Docket Nos. 1691 and 1739 CERTIFICATION OF COUNSEL REGARDING PROPOSED THIRD (3RD) ORDER SUSTAINING, IN PART, REORGANIZED DEBTORS SIXTEENTH (16TH) OMNIBUS (NON-SUBSTANTIVE) OBJECTION TO CLAIMS PURSUANT TO SECTION 502(b) OF THE BANKRUPTCY CODE, BANKRUPTCY RULES 3003 AND 3007 AND LOCAL RULE 3007-1 On May 16, 2012, Perkins & Marie Callenders, LLC and its affiliated Reorganized Debtors,2 by and through their undersigned counsel, filed with the Court the Reorganized Debtors Sixteenth (16TH) Omnibus (Non-Substantive) Objection to Claims Pursuant to Section 502(b) of the Bankruptcy Code, Bankruptcy Rules 3003 and 3007 and Local Rule 3007-1 [Docket No. 1691] (the Objection). On June 13, 2012, the Court entered an order [Docket No. 1739] (the First Order) sustaining, in part, the Objection, including, without limitation, disallowing and expunging Claim Number 1020 of the Law Offices of John T. Hemminger on behalf of Vanessa Corey and Olivia Corey (the Hemminger Claim). Subsequent to the Courts entry of the First Order, the Law Offices of John T. the Reorganized Debtors, the Parties), contacted the Reorganized Debtors regarding the Objection and the First Order as they pertain to the Hemminger Claim. Since this time, the Reorganized Debtors have worked with the Respondent in an effort to the resolve the Respondents issues regarding such matters, and have done so through the proposed form of order attached hereto as Exhibit 1 (the Proposed Order).3 The Reorganized Debtors submit that the Proposed Order is appropriate and consistent with the Parties discussions, and that entry of the order is in the best interests of the Reorganized Debtors and the Debtors, their estates and creditors. The Respondent has consented to the entry of the Proposed Order. Accordingly, the Reorganized Debtors respectfully request the Court to enter the Proposed Order, attached hereto as Exhibit 1, without further notice or a hearing. THIRD (3RD) ORDER SUSTAINING, IN PART, REORGANIZED DEBTORS SIXTEENTH (16TH) OMNIBUS (NON-SUBSTANTIVE) OBJECTION TO CLAIMS PURSUANT TO SECTION 502(b) OF THE BANKRUPTCY CODE, BANKRUPTCY RULES 3003 AND 3007 AND LOCAL RULE 3007-1 Upon consideration of the Sixteenth (16TH) Omnibus (Non-Substantive) Objection to Claims Pursuant to Section 502(b) of the Bankruptcy Code, Bankruptcy Rules 3003 and 3007 and Local Rule 3007-1 (the Objection)2 of Perkins & Marie Callenders, LLC and its affiliated Reorganized Debtors for the entry of an order, pursuant to section 502(b) of title 11 of the United States Code, 11 U.S.C. 101 et seq. The First Order is hereby vacated solely as it pertains to Claim Number 1020 of

the Law Offices of John T. Hemminger (the Hemminger Claim). 4. Pursuant to section 502(b) of the Bankruptcy Code, Bankruptcy Rules 3003 and

3007 and Local Rule 3007-1, the Hemminger Claim shall be deemed to be an allowed general unsecured claim in the amount of $50,000.00 (the Allowed Hemminger Claim) in full and final satisfaction of any and all claims of Vanessa Corey and Olivia Corey (together, the Coreys) against the Debtors and their estates, the Reorganized Debtors, and any affiliates, employees, agents, representatives and insurers of the Debtors and their estates and the Reorganized Debtors, and the Coreys shall be barred from filing, or causing to be filed, any additional or amended claims in these chapter 11 cases. The Allowed Hemminger Claim shall be treated pursuant to, and in accordance with, the terms of the Plan, and within five (5) business days of the entry of

this Order, the Coreys shall dismiss, or cause to be dismissed, with prejudice that certain action commenced in the Iowa District Court in and for Polk County by the Coreys against Perkins and Marie Callenders Inc., assigned Law No. LACL120105. 5. This Court shall retain jurisdiction over any and all affected parties with respect to
