1. Goda Bottle and Glass Share Company invites all interested and eligible bidders by this International competitive Bid (ICB) for the Design, Supply, Civil Construction, Erection and Commissioning of Glass Bottles Manufacturing Plant (GBG.ICB-01-2012). 2. The Tender remains floating from September 3rd, 2012 to November 16th, 2012. 3. Bid Documents can be obtained from Goda Bottle and Glass Share Company Head Office, Mega Building, Room No. 501 during Office hours (Monday to Saturday) upon payment of a non-refundable fee of Birr 500.00 (Five Hundred BIR R ). 4. Interested and eligible bidders are expected to fulfill the Requirements shown below. a) Availability of bid security; b) Availability of Letter of Authorization to sign the bid offers; 5) All Bids must be accompanied by a bid security in the amount of USD 100,000.00 (One Hundred Thousand Birr only). 5.1. The bid bond shall be furnished in bond issued by and/or confirmed through a recognized/reputable international bank through a recognized/reputable local Banks. 5.2 The Bank that issues the bond as per "5.1" here above shall unequivocally guarantee to pay the purchaser immediately upon the first written demand of payment. INVITATION TO TENDER

The Goda Bottle and Glass Share Company invites in a wax Sealed envelope tenders, from internationally reputed tenderers for the Supply of a complete industrial installation for the production of Soda lime glass using a fuel fired regenerative furnace and having capacity of 60 ton/day capacity for the first campaign and have the provision to enlarge to a 90-120 ton/day to be constructed at Edaga Hamus
Tigray.

The Supply of complete industrial installation includes all deliveries and services for the design, construction, erection and commissioning as well as training of personnel for the Glass Plant saves the exclusions in Article IV of the attached conditions of contract. All tenders must be accompanied by Bid Bond amounting to USD100,000 (One Hundred Thousand USD Only) of the value quoted and must be delivered to the following address on or before, November 16th, 2012.

INSTRUCTION TO TENDERERS
2.1 INTRODUCTION The Goda Bottle and Glass Share Company (hereinafter called the "Owner") invites tenderers to Submit their offer for the Supply of a complete industrial installation for the production of Soda lime glass using the fuel fired regenerative furnace, having a capacity of 60 ton/day for the first campaign with a provision to be enlarged to 90-120 ton/day with additional electrical boasting during the second campaign. The tenderer shall bear all costs associated with the preparation and submission of its tender and the client will in no case be responsible or liable for those costs, regardless of the conduct or out-come of the tendering process. These Instructions to Tenderers in so far as they may affect the execution of the contract shall be deemed to form part of the Conditions of Contract. 2.2 THE TENDER DOCUMENT The deliveries and services required tendering procedures and contract terms are prescribed in the tender documents. Tender Documents will be issued with one copy of the documents a-e as described above. The tenderer is expected to examine all instructions, forms, terms and specifications in the tender documents. Failure to furnish all information required by the tender documents or submission of a tender not substantially responsive to the tender documents in every respect will be at the tenderer's risk and may result in the rejection of its tender. 2.3 CLARIFICATION OF TENDER DOCUMENTS A prospective tenderer requiring any clarification of the Tender Documents may notify the Owner in writing by e-mail, fax at the mailing addresses indicated in the Invitation to Tender. The Owner, if it considers that clarification is necessary, will respond in writing to requests for clarification of the Tender Documents which it receives no later than 30 days prior to the deadline for the submission of tenders prescribed by the Owner. Written copies of the response including an explanation of the query, but without identifying the source of the inquiry, will be sent to all prospective tenderers which have received the tender documents.

AMENDMENT OF TENDER DOCUMENTS At any time prior to the deadline for submission of tenders, the Owner may, for any reason, whether at its own initiative or in response to a clarification requested by a prospective tenderer, modify the tender documents by amendment. The amendment will be notified in writing, e-mail or by fax message all prospective tenderers which have received the tender documents and will be binding on them. In order to afford prospective tenderers reasonable time in which to take the amendment into account in preparing their tenders, the Owner may, at its discretion, extend the deadline for the Submission of tenders.

TENDERERS TO INFORM THEMSELVES Tenderers shall visit the site and shall make or cause to be made on their behalf local inquires and shall obtain for themselves on their own responsibility all information which may be necessary for making a tender and entering into a contract and shall examine the Tender Documents in order to ascertain the matters as to which they will be deemed to have satisfied themselves and the risks and obligations which they are to undertake.

PREPARATION OF TENDERS
Expressions used throughout these documents are to be interpreted in accordance with any definition of them contained in the Form of Agreement. All filling in, signing, witnessing and initialing is to be in ink. The person who signs or initials any document must be a person duly authorized by the tenderer and the Owner reserves the right to secure proof of such authorization. No alteration or erasure is permitted to the printed text or figures in any of the Tender Documents, without the prior consent of the Owner as stipulated in 2.4 above. Transcription errors in the pricing, extension or addition in the schedules may be corrected provided the erroneous entry remains legible and the correction is initialed by the person authorized to sign the tender. The Tender Documents shall not be detached or separated one from another and no alteration or mutilation (other than filling in all the blank spaces) shall be made in any of the Tender Documents, without the prior consent of the Owner as stipulated in 2.4 above. The Tender shall be submitted in strict compliance with the Tender Documents as far as possible. If, in addition, tenderers wish to propose for consideration variations in the contents of any of the Tender Documents, which in the opinion of the

tenderer would result in cost and/or operation benefits they shall do so by means of an independent statement or as a supplementary proposal (as in article 4 clause 6.3and 6.4) to accompany their tender. The Owner reserves the right to accept or reject any or all variations proposed by the Tenderer. 3.9 The tender and accompaniments shall be in the English language. Tenders shall be delivered by hand or by registered mail not later than November 16th, 2012 at the address specified in 4.2 below. Tenders shall be submitted in wax sealed packages bearing no writing on the outside which would enable the sender to be identified but having on each package the following information:

Tenderers shall print clearly or stamp their name on the front cover of the submitted Tender Documents. Telephone, e-mails, telegraphic or telexed tenders will not be accepted. The Tender shall include the following. The Tender on one full set of tender documents marked "Original" on the cover and every page. All signed and completed with prices and information called for therein. The Tender on three copies of the Tender document marked copy on the cover. Any proposal that the tenderer wishes to make in accordance with 2.5 of these Instruction shall be submitted in a separate package in accordance with 4.1 of these Instructions but in addition marked "SUPPLEMENTARY PROPOSAL (FINANCIAL) The tenderer shall indicate on the appropriate price schedule of the tender documents the unit prices and total prices of the deliveries and services it proposes to supply & render under the Contract. ELIGIBILITY REQUIREMENTS Each tenderer must include in or furnish with his tender a certification from the Chamber of Commerce concerned, or such similar competent authority as to his competence in connection with the fulfillment of contractual obligations. Tenderers are required to furnish a company profile indicating, internalia, financial, technical and production capabilities.

TENDER VALIDITY PERIOD Tenders shall remain valid for a period of 150 (One hundred and fifty) days following the last date set for submission of Tenders. MODIFICATION AND WITHDRAWAL OF TENDERS Tenderers may modify or withdraw their tenders after the submission of tenders, provided that written notice of the modification or withdrawal is received by the Owner prior to the deadline prescribed for submission of tenders and provided it is submitted in accordance with No. 4 above. No tender may be modified subsequent to the deadline for submission of tenders. Tenders may not be withdrawn in the interval between the deadline for submission of tenders and the expiration of the period of validity of tenders specified in 4.7 above. Withdrawal of tender during this interval may result in the tenderer's forfeiture of the tender security.

TENDER BOND
No tender shall be considered unless it is accompanied by a Tender Bond equivalent to USD100,000 (One Hundred Thousand USD Only) tender lump sum. This Bond shall be an irrevocable guarantee of Bank and shall be confirmed and accepted by the Commercial Bank of Ethiopia. A Bond in respect of another tender is not acceptable as the Bond in respect of this tender. The security provided by unsuccessful tenderers will not be discharged until 150 (one hundred and fifty) days after the date fixed in 4.1 for the delivery of tenders to the Owner, or until such earlier time as a tender shall have been accepted by the Owner and a Performance Bond shall have been duly provided by the tenderer whose tender is accepted.

The security provided by the tenderer whose tender is accepted shall be discharged when the Performance Bond has been duly entered into and executed.
Tenderers are advised that they may, if they so wish, be present at the public opening of tenders at the place stated in 4.2 hereof on November 17th, 2012 at 10.00 hrs, local time. The tender marked "ORIGINAL" shall be the master copy of the Tender. If there should be any discrepancy between entries in the "ORIGINAL" and the copies the entries in the master copy shall be deemed to be correct. To assist in the examination, evaluation and comparison of tenders, the Owner may, at its discretion, ask the tenderer for clarification of his tender. The request for clarification and the response shall be in writing/ e-mail or fax and no change in the price or substance of the tender shall be sought, offered or permitted. 9.1
OPENING OF TENDERS

CLARIFICATION OF TENDERS
PRELIMINARY EXAMINATION
The Owner will examine the tenderers Technical proposal primarily to determine whether they are complete, whether all documents are in order, whether required sureties have been furnished, whether the documents have been properly signed, and whether the tenders are generally in order. Prior to the detailed evaluation, the Owner will determine the substantial responsiveness of each tender to the tender document. A tender determined as substantially non-responsive will be rejected by the Owner and may not subsequently be made responsive by the tenderer by correction of the non-conformity. The Owner may waive any minor informality or non-conformity or irregularity in a tender which does not constitute a material deviation. Those tenders considered to be substantially responsive will be evaluated on the following basis: financial, technical know-how and production capabilities of the tenderer, price quoted; delivery and performance schedule; cost of spare and wear parts; terms of payment, projected operating and maintenance cost; performance and productivity of machinery/equipment offered and the like. a) The technical proposal will be opened for evaluation i.e. without opening the financial proposal Evaluation shall be conducted on technical only to avoid any price bias. b) The Financial proposal shall be opened after the completion of the Technical evaluation. Such event will be communicated to the renderers without disclosing the technical results.

Any proposal made by the tenderer in accordance with 3.8 above may be taken into account only after completion of evaluation of the conforming Tender. The Offer of a bribe or other inducement to any person with the view of influencing the placing of a contract will result in a rejection of the tender. The Owner will determine to its satisfaction whether the tenderer selected as having submitted the most attractive tender considering all criteria is qualified to satisfactorily perform the Contract. The determination will take into account the tenderer's financial, technical and production capabilities. It will be based upon an examination of the documentary evidence of the tenderer's qualifications that should be submitted by the tenderer in the tender document, as well as such other information from clarification as the owner deems necessary and appropriate. An affirmative determination will be a prerequisite for award of the Contract to the tenderer. A negative determination will result in rejection of the tender, in which event; the Owner will proceed to the next attractive tender to make a similar determination of the tender's qualification to perform satisfactorily.

CURRENCY OF PAYMENT
Payment to be made under the contract for the local portion of the Contract Price shall be in Ethiopian Birr. Payments to be made under the Contract for the offshore portion of the Contract Price shall be effected in united States Dollars (US$) currency. Tenderers must submit with their tender an outline of implementation programme/schedule showing detailed engineering design, manufacture, supply of all deliveries, and services, for the construction, erection, testing and commissioning as well as training of Owner's personnel. Such implementation programme shall form the basis for any programme to be submitted under the Contract. Tenderers shall also submit with their Tender a complete description of the manner in which they would propose to carry out the main tasks involved in the implementation of the project envisaged in the tender document.

DISCLAIMER
The Owner will not be responsible for, or reimburse, any expenses or losses incurred by Tenderers in the preparation of tenders. The Owner shall not be bound to accept any tender and reserves the right to reject any tender, with-out obligation to give reasons for such rejection. The Owner will not be responsible for any travel, accommodation or other arrangements made, or expenses incurred, by tenderers in connection with their tender.

FORM OF AGREEMENT

DEFINITIONS
Whenever any word or phrase defined in the Article, or a pronoun used in its stead occurs in the contract, it shall have the meaning assigned to it hereunder:1. "Owner" or "Buyer" : means the Goda bottle and Glass Share company or its legal representative (s), its Successor (s) or its assignee (s) to which all Deliveries and Services are to be supplied under the contract. "Supplier" or "Seller" : means the person or persons, firm or company and his duly authorized agents or legal representatives, the party entering into the contract for supplying to the Owner all deliveries and services covered in the contract and required for the supply of the complete plant. "Owner's Representative at Site" : means the person for the time being or from time to time appointed by the owner in writing to manage the execution of the project at site. "Supplier's Representative at Site" : means the person for the time being or from time to time appointed by the supplier in writing to fulfill the obligations of the supplier in Ethiopia. "Sub-Supplier" : means any person (s) or firm (s) to whom the preparation of any design, the manufacture of any equipment, materials, spare parts, expendable parts of the execution of any other part of the work which is sub contracted by the supplier. "The Engineer: means the consultant, ______________________________ _______________________________________________________________ ________________________________________________________________ or any other person (s) or firm (s) for the time being or from time to time duly appointed in writing by the owner to act as his consultant for the purpose of the whole or part of the contract. "Contract: means the agreement to be entered by and between the owner and the supplier on the date stated on page _____ hereof for the supply of all deliveries and services required for the complete plant, including there in all documents to which references may properly be made in order to ascertain the rights and obligations of the parties under the agreement, including the Annexes and any amendments properly made from time to time. "Contract Price" : means the sum named in article V of the contract or such other sum as that shall become payable to the supplier by the owner in respect to the contract. "Project" : means GODA BOTTLE AND GLASS PROJECT located in northern Ethiopia, about 890 Km by road from Addis Ababa.

10. "Plant" : means the complete industrial installation for the production of ordinary soda lime glass as described in the contract documents, to be constructed at the site, and in respect of which the contract is entered into.

11. "Site" : means the lands and other places on which the plant is to be constructed and erected and any other lands or places where all raw material deposits are located, and provided by the Owner for the purposes of the contract. 12. "Work" : means all equipment, materials, supplies and services necessary to complete the contract. 13. "Deliveries" : means the total of the deliveries of machines, equipment, a materials, accessories, spare parts, wearing parts, expendable parts and steel structures to be supplied by the seller to the buyer in accordance with the contract. 14. "Services" : means the total of the services to be rendered by the Seller to the Buyer such as counter checking of the results of the geological and subsoil investigations and surveying carried out by the Owner, supervision of the work in progress, studies, Technical Assistance, consultation and advisory tasks in accordance with the provisions of the contract. 15. "Technological" or "Mechanical" : means the mechanical and/or technological aspects of the Project Designs, Technical Documentation and Deliveries of any or all of the stations and auxiliary stations of the plant, as well as the total aspect of the Laboratory, Workshops, fire fighting, telephone & public address systems, stores etc.

"Electrical or "Electrotechnical: means the electrical aspect of the Project Designs, Technical Documentation and Deliveries as the case may be of any or all of the stations and auxiliary stations of the plant. 17. "Steel Structures: means any or all structures made of steel which are associated with the civil construction of the plant, including gang-ways, staircases etc. that are not part of the Technological and/or electrical Deliveries. 18. "Spare Parts" : means any or all machines, equipment, or accessories, or parts thereof needed for replacement of defective or damaged identical items installed in the plant. 19. "Wear Parts" : means any or all parts of machines, equipment, or accessories of the plant that are subject to wear and tear and are therefore replaced from time to time. 20. "Expendable Parts: means any or all materials and/or supplies such as oils, grease, chemicals etc., (excluding fuel) that are expended through use. 21. "Project Designs" or "Project Design Documents" : means any or all designs, specifications, computations, technical data, and parameters in script and graphic form of Civil, Technological and Electrotechnical parts of the plant needed for design review, and for the manufacturing, construction and erection of the plant. 22. "Design" : means the determination and drawing of the principal features of the specified item, piece of equipment, or article, or the layout of plant, stations and equipment, such that it will perform the functions and meet the conditions stipulated. 23. "Drawing" : means drawings (graphic representation) of all parts of the designed item, piece of equipment or article in accordance with the design, such that it can be manufactured and/or erected exactly without doubt regarding any portion.

24. "Specifications" : means the technical characteristics and performance requirement of all equipment, workmanship, and materials and supplies included in the contract. 25. "Approval" : means approval in writing. Decisions requiring approval shall also be deemed to encompass carrying out of corrections or returning for complete revision, all of which shall be in writing by the owner's representative or by the Engineer, as the case may be. 26. "Technical Documentation" : means any or all the documents, machinery passport etc. needed for the individual machines, equipment and their component parts, for their transport, storage, erection, putting into operation, operation, testing, maintenance including instructions for safety. 27. "Raw Materials" : means the geological raw materials used in the production of glass namely , silica sand, dolomite, limestone and feldspar as well as the additives used in glass manufacturing for the purpose of oxidation, reduction, refining, coloring or decolorizing. 28. "Utilities" : means the respective public services such as water, electricity, fuel, telephone and fax services that are needed for the construction, erection, commissioning and operation of the plant. 29. "Inspector" : means a firm (s), his assignees or any other person duly appointed by the owner in writing for the purpose of inspecting and testing the quality and performance of Deliveries at the manufacturer's works before they are released for shipment.

protection and safety equipment, welding materials, anchors, tools and accessories etc. 1.11 Supply and delivery of all electrical equipment and materials which at least includes all motors, transformers, switch-boards, panels and desks, capacitor assemblies, batteries, cable trays, installation pipe work, junction boxes, cables with complementary accessories, lighting system, grounding system, lightning arrester system, auxiliary equipment and materials, tools and instruments etc. Supply and delivery of all spare equipment, spare materials, spare accessories, expendable, spare parts and wearing parts required for commissioning and at least for two years of uninterrupted normal operation of the complete installation and taking the geographical location and the local conditions of the Buyer's country into account. The fulfillment of all the obligations of the Owner and Supplier agreed under the Contract in order to commission the plant in accordance with the agreed time schedule, and to ensure continuous operation of the plant safely and efficiently thereafter.

the construction, erection, commissioning and maintenance of the plant as follow: a) In case of re-supply of project designs and technical documents, the owner shall pay for the cost of reproduction and transport only. b) In case that re-supply of Deliveries is required prior to the commissioning of the plant, the Owner shall pay an amount equal to the value of the invoice of the original delivery. Dates of deliveries for re-supply shall be agreed upon by the contracting parties as and when the case arises. 1.7 The supplier shall provide all the technical personnel necessary for the erection, civil constructions and commissioning of the plant in accordance with Article IX. Additional personnel required for this purpose will be offered upon request of the Owner under the same conditions of the contract. The supplier shall train the Owner's technical personnel adequately in order to enable them to efficiently and safely run the plant after commissioning : a) In the supplier's country: b) In the Owner's country during the erection, commissioning and operation of the plant. 1.9 1.10 The supplier shall fulfill all the guarantees specified in Article XVI of the contract. The supplier shall attend to all claims submitted by the Owner as per Article XIX and remedy them in good time or pay penalties in the event that penalties are applied. The supplier shall provide all technical assistance necessary for the smooth operation of the plant, for a period up to two years or upon the mutual agreement concluded thereof after the date of successful commissioning of the plant as per Article IX. The supplier shall at the request of the Owner carry out alterations and modifications that do not affect the cost of the project and the guaranteed qualities and quantities of the end product, provided that the state of development of the project allows such alterations or modifications and does not interfere with the overall time schedule of the project. The conditions of execution shall be after a supplementary agreement has been reached and signed by authorized representatives of both parties. 1.13 When modifications or alterations arise as a consequence of errors in the project designs, or of omissions in that documentation, or due to any other cause that is imputable to the supplier, then all the cost for such modifications or alterations shall be borne by the supplier.

The supplier shall up-date the Technical Documentation and the final project designs on the basis of modifications carried out during the execution of the Project at Site, and deliver the same in 6 (six) copies and 1 (one) reproducible copy soft copy not later than 4 (four) months after the date of successful commissioning of the plant. The supplier shall fulfill all his obligations under this contract so that the scheduled commissioning and successful operation of the plant could be realized.

OBLIGATIONS OF THE OWNER 2.1 2.2 The Owner shall execute payments in accordance with the price and payment conditions specified and agreed in the Contract. The Owner shall provide at his own expenses and responsibility the necessary infra-structure, such as access roads, bridges, , telephone, power installations and water supply required for the project realization; up to the periphery of the plant. The Owner shall provide the necessary personnel with the required back-ground for training in the supplier's country. The Owner shall provide facilities required for the technical personnel of the Supplier based on the conditions specified and agreed in the contract. The Owner shall provide raw materials and utilities required for the commissioning of the plant. The Owner shall fulfill all his obligations under the contract so that the scheduled commissioning and successful operation of the plant could be realized.

EXCLUSIONS
1 The Scope of Supplies and Service to be undertaken by the Supplier shall cover all work required for the complete industrial installation as per the contract and its Annexes, except the specific exclusions indicated in the following sub-articles. 1.1 Supply of transport vehicles during the operation of the plant. The Owner shall separately procure such transport vehicles in accordance with the specification and the number to be recommended by the Supplier. Transport of Deliveries for the plant from port of shipment to plant site, which shall be undertaken by the Owner. However, the supplier shall provide the Owner, information and data on the dimensions and/or weight of individual cases or single equipment, in good time i.e. before such Deliveries are ready for shipment. Carrying out of physical labour work at site. Carrying out of infrastructure development work outside the premises of the plant site and the raw materials quarry area. Supply of raw materials, fuel, water and electric power during commissioning. The Owner shall avail raw materials, fuel, water and electric power free of charge during the commissioning period. Carrying out of the operation of the plant after the Provisional Acceptance. The Owner shall operate the plant under his own responsibility. The Supplier shall render Technical Assistance personnel who shall assist the Owner in the operation and maintenance of the plant.

CONTRACT PRICE
1.1 The Buyer agrees to pay and the Seller agrees to accept the total price of US $ _______________________ (say United States Dollars ___________________ ) for the Buyer's purchase from the Supplier of all the Deliveries, the Project Designs, the Technical Documentation and the Services specified in the contract and its annexes, subject to the provisions made in Sub-Article 1.6 of the present Article. The price established in the Contract and the present Article shall be the total cost of the contract, and shall be broken into local and foreign components. It covers the Delivery of the Project Designs, all the Deliveries and the Technical Documentation thereof, and all the Services, under the conditions of the Contract, and includes packing, marking, forwarding, delivery to port of origin, storage (save for the provisions in Sub-Article 3.4 of Article VIII), local fabrication,duties, loading and all other costs that may occur in the country of the Seller before the delivery becomes the property of the Owner. 1.2 All price stated in the Contract and its Annexes are firm, they shall not be subject to any escalations. The F.O.B. prices and prices "Free delivered" at airports of destination are in accordance with the conditions specified in the Contract. The total Contract price specified in sub-article 1.1 of the present Article is broken down as follows : 1.3.1 Price for working out and delivery free delivered Addis Ababa Airport and an airport of the Engineers choice of the Complete Project Design comprising the preliminary Designs, the Final Designs, and all revisions thereof, and "As Built" Drawings for the Civil, Technological, and Electrotechnical projects and in accordance with the terms (say US dollar _______________). Payments for the civil construction erection and commissioning of the Glass Plant, remunerations and expenses for the services of the Supplier's technical personnel shall be made and classified by using official titles according to their category and profession, and shall be paid in local and foreign component in accordance with fixed man-month rate during their working stay in the Buyer's Country: The Supplier shall indicate the number of personnel required, their duration of stay and total number of economy class boarding trips. The expenses of the Supplier arising in connection with air travel, housing and local transportation in the Buyer's country, and related with their work should be quoted separately (local component).

The exact amount to be paid by the Owner to the Supplier shall be worked out on the basis of the actual number of personnel employed and the actual duration of their stay in the Buyer's country. 1.4.2 Customs, duties and any other taxes levied by the laws of the Buyer's country in connection with the services of the Supplier's technical personnel, excluding duties and deposits related with personal effects and special tools, shall be borne by the Buyer. However; any similar expenses arising in this connection outside the Buyer's country shall be borne and paid by the supplier.

1.4.3. 1.4.4.
The man-month rate specified in the present Article shall be fixed and firm for the life of the contract. The price that the Owner shall pay for any or all of the services of the Supplier's technical personnel, shall be limited to the remunerations and expenses specified in the present Sub-Article. Payment of the cost of training of plant management and operation staff as well as technicians of the Owner to be trained shall be made on manmonth rate basis. The Supplier shall indicate the estimated number of trainees, duration of training, sequence and program of training. 1.5.1 The estimated total sum of payment for training at the above stated manmonth rate amounts to : US $ ___________(say US dollar _______________________________). The exact amount to be paid by the Owner to the Supplier shall be worked out on the basis of the actual number of trainees and the duration of their training. 1.5.2. The expense of all the trainees arising in connection with air travel shall be paid by the owner. All other expenses and costs of the trainees such as living expenses, housing, medical aid and local transportation, arising during their training abroad by the Supplier shall be paid and borne by the Supplier. 1.5.3. Customs duties and any other taxes levied by the laws of the Supplier's Country shall be borne and paid by the Supplier, with the exception of customs duties on personal effects of the trainees. The man-month rate specified under 1.5 above shall be fixed and firm for the life of the contract, and it shall be the only payment that the Buyer has to pay to the Seller for the training of the management and operations staff and technicians of the plant. The actual amount to be paid by the Buyer to the Seller shall be determined on the basis of the respective actual weights of ____ and ____ grade steel structures delivered, as per the approved Final Project Design, and using the same prices per Kilogram as those specified here above. 1.6.2.2 The Supplier shall together with the Owner and the Engineer review the list of spare parts, wearing parts and expendable part as per the

final list of equipment; and in such a way as to ensure their adequacy for two years as specified in the contract and its Annexes. The Unit price of any or all items of the spare parts shall be firm up to the date when such review has been finalized for all items of spare parts, wear parts and expendable parts. 1.6.3 In the event that the actual weights and or lengths of any item of the Deliveries is reduced below that specified in the contract and its Annexes then the Owner shall have the right to reduce the price of that item accordingly in direct proportion of the actual reduced weight or length to that specified in the contract and its Annexes i.e. the unit price ($/kg) or ($/meter) shall remain fixed. However, the contract price shall not be increased if the actual weight of length shall be increased from what is specified in the contract and its Annexes, in order for the plant to fulfill the object of the Contract. 1.6.4 The actual and exact contract price, being the amount to be paid by the Buyer to the Seller, in accordance with the provisions of the contract, shall be determined by the two contracting parties within 90 (ninety) days from the date of the Provisional Acceptance of the whole plant.

TERMS OF PAYMENT
1 Payment of the contract price and expenses specified in the contract shall be effected by the Owner to the Supplier based on the following conditions. 1.1 40 % (forty percent) of the contract price pursuant to Sub-Article 1.3.1 of the Article V of the contract for working out and delivery of the complete civil, Technological and Electrotechnical project design stipulated in the contract shall be effected upon delivery. The remaining 60% (sixty percent) of the contract price pursuant to SubArticle 1.3.1 of Article V shall be affected upon delivery of all "As Built" drawings and documents. The price pursuant to Sub-Article 1.3.2. (a,b,c,d,) of Article V of the contract shall be effected on an installment basis to be agreed upon. The price pursuant to Sub-Article 1.4.1 (a,b,c) of Article V of the contract shall be effected on Monthly basis/performance at a rate to be agreed upon. The payment for training of Owner's personnel pursuant to Sub-Article 1.5.1 of Article V of the contract shall be effected upon completion of training.

CONDITIONS OF DELIVERY
1. All Deliveries shall be supplied and delivered already assembled, tested and certified and ready for erection on site, if this is permitted by their function, size characteristics and/or weight. 2. Deliveries whose size and/or weight do not allow their being shipped completely assembled, shall be supplied in a minimum number of parts after they have been assembled as far as practicable, tested and certified at the Supplier's or Subsuppliers works. 3. All Deliveries shall be perfectly adjusted and adequately protected against damages, deteriorations and corrosion due to handling, storage, shipment and weather in their transit or at site. 4. Local fabrication at site for pipes, conduits, ducts rail, stairs, part of steel structures etc.. must be encouraged for local currency payment for erection on Site. 5. All steel structures shall be supplied, adequately protected with high quality anticorrosion paint and with marks and code numbers stamped for their identification during erection on Site. All connecting parts such as screws, nuts, washers etc. shall be supplied with an excess allowance for eventual needs. 6. All movable parts shall be blocked in position, and all bearings or sliding surfaces etc. shall be protected with preserving grease and supporting wooden skids. 7. Small items shall be packed in wooden and metal cases for easy handling. All welding and other work shall be completed at the factory, and the erection work at site shall not be limited to fitting and mounting only. 8. Unless specifically agreed upon metals, steel structures assembled elements and ducts shall be supplied in sections of up to 12m in length and their weight shall not exceed 30, metric tons, the latter being the capacity of the cranes to be used for erection. 9. Structural and supporting steel work shall be delivered adequately coded, drilled, and packed by grouping similar sections to guarantee their easy identification as well as their protection against impacts that may alter their shapes. 10. All electrical equipment and motors included in the supply shall be factory tested, and test certificates shall be delivered together with them. 11. Specifications on the name plates of all equipment and motors shall bear, where relevant, voltage, frequency, rated current, kW, speed, power factor, temperature, protection degree etc. 12. All switch gears, panel boards DCS panels, UPS and control desks/ monitors for all voltages and uses shall be supplied totally wired, and all their components (circuit breakers, relays, instruments etc.) shall be factory tested.

13. The main instruments of the switch gears, panel boards and control desks susceptible to being damaged during transportation and handling or during storage shall be supplied dismounted and separately packed, with corresponding codification of the position of the equipment. 14. Dust separators or filters shall be supplied as complete as possible. 15. In general all switch gears, panel boards, control desks and other equipment with instruments and other elements susceptible to being affected by humidity shall be protected inside the cases by means of bags of active hygroscope materials and must be covered with air tight nylon or PVC covers. The external or internal part of the case shall be adequately protected with tarred (bitumen laminated) material and properly painted. 16. Batteries, equipment and instruments made of fragile materials will be properly protected inside their cases to guarantee their integrity during transportation and handling. 17. Power transformers shall be packed for transportation completely assembled and full of oil. Transformers of higher capacity shall be supplied filled with oil or nitrogen according to their design and characteristics. 18. Batteries shall be supplied totally assembled, with out electrolyte, and as far as possible dry charged. The electrolyte and distilled water required for initial filling of batteries shall be supplied in well secured plastic containers. 19. Cables shall be delivered in sturdy reels or drums of suitable sizes according to cable size and length. The cable lengths shall suit the run of project circuits as far as possible to avoid jointing in between.

The packing list shall be enclosed in a water proof envelope and placed securely inside a thin sheet metal plate cover affixed on the outside of the case of the lateral walls. Should the goods be delivered without packing, the packing list shall be enclosed as described above, and the metal plate may be affixed directly on the metallic section of the goods, at a visible place. The Supplier shall furnish 2(two) sets of printed instructions relating to transportation, handling, storage, erection, proper maintenance and repair including spare parts catalogue indicating all the parts by name,

number and diagram together with each unit of Deliveries wherever applicable. These technical documents shall be properly and safely packed and secured inside the package containing the respective Delivery, and their location inside the package shall be marked on the outside of the package for easy access to them. 1.8 If the type of Delivery furnished requires bright machined surfaces to insure precision fit, such surfaces shall not be painted but shall be protected against corrosive action by suitable protective coating. All other metal surfaces which are not to be normally painted shall be protected in the same manner, protective coating commodities shall be of types and formula which insure adequate protection to the surface in transit to the final destination. All other Deliveries shall receive one coat of high quality paint before assembly and a second coat after assembly. Parts those are not accessible for painting, after final assembly shall receive two coats of paint prior to assembly. No painting shall be performed prior to inspection unless specifically approved by the Owner. 1.9 In general all switch gears, panel boards, control desks and other equipment with instruments and other elements susceptible to being affected by humidity shall be protected inside the case by means of bags of active hygroscopic materials and must be covered with air tight nylon or PVC covers. On very small items where marking cannot be made by paints, marking shall be done by stamping on one place. Precautionary markings such as "Top", Glass", etc. as well as handling and storage instruction shall be applied on the cases as and when necessary. The packages shall be numbered in sequence to designate the package number and the total number of the packages being shipped.

FORWARDING 3.1 45 (forty five) days prior to the date of readiness for shipment of each consignment, and 60 (sixty) days prior to the date or readiness for shipment of any consignment containing individual items exceeding a weight of 30 (thirty) metric tons, the supplier shall notify the Owner by e-mail, fax or cable of the following : 3.2 The estimated date of readiness of shipment The specification of the deliveries The total weight and volume of the shipment including therein the individual weight and dimensions of any item in excess of 30 metric tons The value of the Deliveries and any other technical data necessary for preparation of receiving the Deliveries.
Within 30 (thirty) days from receipt of the Supplier's notice given as per Sub-Article 3.1 of this Article, the Owner shall notify the supplier by email, fax or cable, the name of the vessel on which Deliveries are to be shipped the scheduled date on which the nominated vessel shall call at port of shipment
The scheduled date on which the nominated vessel shall call at the port of shipment shall lie within 45 (forty five) days after the estimated date of readiness for shipment notified by the Supplier as per Sub-Article 3.1 of the present Article. However, the Supplier shall be prepared to expedite the shipment, in the event that the Ethiopian shipping lines or ships chartered by them should call within one week prior to the date specified by the Supplier, in order to ship all or part of the consignment on such earlier calling ships.

In the event that the Owner fails to obtain shipping space within 30 (thirty) days from the date of readiness for shipment notified by the Supplier as per Sub-Article 3.1 of this Article, the Supplier shall be authorized to warehouse the Deliveries. The Deliveries being warehoused shall have been suitably and sufficiently marked as appropriated to the contract. The Deliveries shall be warehoused in such a way that they are available for shipment on short notice. The Owner shall bear the reasonable addtional expenses incurred by the Supplier in storing and taking reasonable measures to protect and preserve the held-up Deliveries from and insuring it against loss, deterioration and damage however caused starting from the 46th (forty sixth) day after the estimated date of shipment notified by the Supplier to the Owner as per Sub-article 3.1 of made available a shipping space for the held up Deliveries provided that the delivery is made in accordance with the terms and conditions of this contract. The reasonable additional expenses incurred by the Supplier in warehousing and insuring such held-up Deliveries shall be refunded by the Owner within 60 (sixty) days from receipt of the Supplier's proper invoices. The supplier shall notify the owner prior to the date of shipment the name of the vessel and the scheduled date on which the vessel shall call at port of shipment. After receipt of the notice to deliver such warehoused Deliveries, the Supplier shall examine and make good any deterioration or defect therein that may have developed or loss thereof that may have occurred prior to shipment of held-up Deliveries. In case of lost Deliveries the Supplier shall immediately take the necessary measures to replace such Deliveries within the shortest possible item.

In the event that the Supplier fails to ship the Deliveries notified by him as per Sub-Article 3.1 of the present Article when the said vessel has called at the Port of shipment and the vessel is hold up and/or returned without the whole cargo due to reasons attributable to the Supplier, and/or the request for cancellation of an already reserved shipping space is received too late by the Owner, then the Supplier shall bear the reasonable additional costs, demurrages, dead space costs and other expenses incurred by the Owner. The Supplier shall refund such costs and expenses to the Owner within 60 (sixty) days from receipt of the Owner proper invoices.

The warehouse receipt issued under the conditions specified in SubArticle 3.3 of the present Article shall replace the Bill of Lading for such held-up Deliveries explicitly for payment as well as for the application of penalty for delays in delivery. Passing of all risks and Ownership for all deliveries under this contract shall occur only when the Deliveries have passed the ships rail. The Supplier shall forward to the Owner by registered air mail within 3 (three) working days after the date of each shipment a complete set of

The Supplier shall advise the Owner by e-mail , fax, telex or cable within 3 (three) working days from the date of departure of the Vessel, the following: Name of the Vessel Date of departure of the Vessel Expected date of arrival at Djibouti port of destination; Reference number of the Bill of Lading Value and weight of Deliveries
Air mail confirmation of the e-mail, fax advice shall simultaneously be made together with the mode of communication. 3.10 In the event that the Owner requests the Supplier to arrange shipping of the whole or part of the Deliveries as per Article IX Sub-Article 4.3 of the contract, the forwarding procedures stated in this Article shall be maintained. The Supplier undertakes to arrange shipment through the most expedient shipping lines within the shortest possible time. For airfreight delivery of Project Design and Technical Documentation as per Article IX of the contract, the Supplier shall notify the Owner by fax or cable at least 15 (fifteen) days prior to the estimated date of dispatch of the following : 3.12 the estimated date of dispatch the list of contents of the documents

The Supplier shall advise the Owner & the Engineer by e- mail, fax or cable at their respective addresses prior to the shipping of the delivery.

HANDLING AND INLAND TRANSPORT 4.1 4.2 The Owner shall undertake transportation of Deliveries under this contract from the port Djibouti up to the Site. The Supplier shall provide the recommended specification of transport vehicles to be used for handling heavy weight and large dimension Deliveries, within 90 days from coming into force of the contract. The specifications shall be based on the load capacity of the roads and bridges existing between Djibouti and the site, which information shall be furnished by the Owner in writing before coming into force of the contract. The Supplier shall furnish to the Owner technical documentation on the transport and handling of the Deliveries. The Supplier shall undertake proper supervision in the unloading, storage and loading of any special Deliveries at Djibouti and at Site.

RECEIVING OF DELIVERIES 5.1 5.2 The Owner shall take out insurance for all Deliveries uninterrupted from port of shipment to site. Each package shall be inspected, and checked against the packing list in the presence of the Representatives of the Owner and the Supplier; such inspection and checking of Deliveries shall be carried out normally on their arrival at site or prior to their arrival if so required. At the end of the inspection and checking of all the packages of each consignment, a protocol shall be made out, containing the following in case of short packed and/or damaged items: 5.4 Date and place of checking Name of the persons who carried out actual checking Date or receipt of consignment Number and date of the bill of lading The case Number (s) of short packed, or damaged. A formal inspection protocol shall be signed by the Representatives of the Owner and the Supplier for all packages inspected and checked in a similar manner as Sub-Article 5.3. Above.

5.5
In the case of short packed items, a claim shall be forwarded to the Supplier's representative at site in writing together with 2 (two) copies of the protocol. The Supplier shall deliver items missing as a result of short packing, at his own expense, and using the most expedient means of transportation. In case of damaged items the representatives of both parties shall decide whether the damaged item has to be replaced or repaired. On the basis of the decision reached and with due participation of the Owner, the necessary repair or replacement shall be made by the Supplier using the most expedient means. The cost of repair or replacement shall be borne by the party to whom the fault of damage is attributable. The decision to use repaired items in the plant shall not relieve the supplier from fulfilling the parameters and performance guarantees and warranties stipulated in the contract.

Inspection and checking of packages and signing of the protocol for propped receipt of project design and Technical Documentation shall be carried out in a similar manner as indicated above at the project office in the presence of the supplier's representative. The Owner shall collect all deliveries of project design and Technical Documentation at the Addis Ababa Air Port and shall bear all expenses related to customs clearance etc. after their arrival in Addis Ababa. In the event that the Supplier's representative or his assignee does not present himself for receiving of Deliveries and/or Documents within 3 (three) working days after his receipt of a written notification to this effect, then the Owners representative or his assignee shall check and receive the Deliveries against the packing list, and the Owner report shall be valid and final for all such cases.
5.9
STORAGE 6.1 The Owner shall prepare, in accordance with the Supplier's instructions and specifications, open air storage area or in the vicinity of the construction site for the Deliveries to be supplied as per the overall schedule. The Supplier shall be responsible for properly storing, construction of temporary stores, shades fences: management aspects of the storage of all Deliveries. For this purpose the Supplier shall send the required technical personnel. The Supplier shall be responsible for the security of the storage areas and warehouses and for damages caused by his mishandling during storage at site. The owner will be responsible for the overall security and will give assistance in maintaining security. The Supplier shall furnish to the Owner instructions on proper handling, storage and wherever necessary on proper preservation of the Deliveries, as part of the Technical Documentation.

DELIVERY OF FINAL PROJECT DESIGNS The Supplier shall deliver the final adapted architectural, technological, civil and electro technical project designs and data required for the machinery foundation and building structured wherever applicable in accordance with the overall time schedule to be agreed upon in 6 (six) copies to the client free delivered Addis Ababa Airport. The Delivery of the respective Final project designs shall be effected station wise in accordance with the Overall time schedule to be agreed upon. 2.1 "As built" documents shall be delivered within 4 (four) months from the date of provisional acceptance.

DELIVERY OF TECHNICAL DOCUMENTATION The Supplier shall at his own cost and risk deliver all Technical Documentation by airfreight free delivered Addis Ababa Airport, in addition to the documents that are shipped packed together with each delivery. 3.1 The Supplier shall deliver the complete technical documentation in 6 (six) fold in accordance with the time schedule to be agreed upon. 3.1.1 2(two) fold of the respective Technical Documentation shall be included inside the package together with each Delivery of every consignment, 3.1.2 4(four) fold of the respective Technical Documentation related to all deliveries in each consignment shall be supplied free delivered Addis Ababa Airport, at least 15 (fifteen) days prior to the estimated date of shipment of the respective consignment of the deliveries.
DISPATCH OF DELIVERIES The Supplier shall deliver F.O.B. port of shipment all Deliveries in accordance with the overall time schedule to be agreed upon. 4.1 4.2 The date of the Bill of Lading shall be taken as the effective date of delivery. The insurance of all deliveries from port of shipment to the site uninterrupted shall be covered by the local Insurance Company at the cost of the Owner. All Deliveries shall be shipped by or through the Ethiopian Shipping Lines from port of Shipment to Djibouti at the cost of the Owner. The shipping schedule will be prepared by the Owner in consultation with the Supplier. However, the Supplier agrees to readily organize shipping of the whole or parts of the Deliveries from port of shipment to Djibouti through the most expedient shipping line on behalf and at the cost of the Owner if and when requested by the Owner to do so. The terms and conditions for the payment of such freight charges shall be worked-out and agreed upon separately between the two parties. The Supplier shall not charge the Owner any extra charges for such service(s) if and when they arise. 4.4 Partial shipment of less than _____ m3 or _____ metric tons shall not be permitted, save for the last consignment, or save for any shipment initiated by the Owner in order to expedite the work progress at site.

The Supplier shall send his technical personnel to Ethiopia for carrying out the respective tasks upon written notification of the owner. Such notification shall be given to the Supplier 30 (thirty) days prior to the exact arrival date of the respective person(s) 5.1 The general schedule for the time of arrival and duration of stay of the supplier's technical personnel in Ethiopia will be agreed upon by both parties. The date of arrival of the respective technical personnel will depend on the progress of work on site. Accordingly the Owner shall, after due consultation with the Supplier's Representative on site, decide on the date of arrival of the respective technical personnel at site and notify the Supplier within the time limit specified in sub-article 5 of the present Article. The Supplier shall confirm to the Owner by fax or cable, within 7(seven) days from receipt of the notification the name and the personal data of the person(s) concerned. The date of the confirmed booking of a seat on a flight form the city of ________ to Addis Ababa shall be taken as the effective date for the fulfillment or non-fulfillment of this obligation.

13. All applicable requirements of this Article with reference to designs shall apply equally to drawings, detail drawings, specifications, and any other design documents submitted for review. 14. Supplier's designs submitted formally shall bear a certification signed by an authorized representative of the Supplier that the information shown thereon has been checked by the Supplier and is correct for use in the Project except for designs of a preliminary nature furnished for information which shall be clearly identified as such. 15. All designs shall be submitted in accordance with the delivery schedule stipulated in Article IX. 16. The Supplier shall leave a blank area of 100mm x 70mm on all drawings adjacent to the title box for the Engineer's review stamps. 17. Should an error be found in the design during the Construction and Erection, the correction, including any field changes found necessary shall be noted on the design, and it shall be resubmitted as outlined in Sub-Article 3 of this Article, for review and record. 18. All the requirements and procedures specified in this Article with regards to the Technological and Electrotechnical designs are equally valid for and shall fully apply to the civil project designs wherever applicable.

ARTICLE XI

INSPECTION AND TESTING 2.1 An authorized Inspector assigned by the Owner, whether Ethiopian or any other nationality, shall after due notification and agreed and established inspection plan and program have access to the Supplier's manufacturing premises and/or Sub-Supplier's premise of where Deliveries are stored, or prepared for use under the Contract, for the purpose of inspecting and testing all component parts of the Deliveries to be supplied under the contract during and after its manufacture. If the Deliveries or component parts thereof are manufactured in other premises the Supplier shall obtain for the Inspector permission to inspect and test as if the Deliveries are manufactured in the Supplier's own premises. The Owner shall notify the Supplier the name and address of the Inspector appointed by him. The Inspector shall be entitled to take all measures to test the quality and accuracy of Deliveries, including measuring instruments and appliances, to check their conformity with the specifications agreed upon. Deliveries to be supplied under the contract shall be inspected and tested by the Inspector as to the following points, whenever applicable: Physical and Chemical properties of materials or elements incorporated in Deliveries to be supplied. Workmanship and quality of manufacture, fabrication and assembly of deliveries. Performance test and operating test of Deliveries if technically possible.

All other charges and expenses related to the Inspector's visits and services shall be borne by the Owner. 2.3.1 It shall be the supplier's responsibility to advise the Owner and the Inspector by fax, of the date of readiness of deliveries for inspection, at least 45 (forty five) days prior to the date of the respective shipment in general, and 60 (sixty) days prior to the date of shipment for shipments containing individual Deliveries exceeding 20 metric tones in weight. The actual date of readiness for inspection shall be fixed by taking into account the time required for carrying out the appropriate tests and inspection on the respective Deliveries, their packing and dispatch to port of Shipment, in any case the date of readiness for inspection shall be at least 25 (twenty five) days prior to the date of readiness for shipment specified, in subarticle 3.1 of Article VIII. 2.3.2 Exceptions with regard to the relation between the date of inspection with the date of shipment, may only be made for such items of Deliveries that must be inspected and tested immediately upon the completion of their manufacture. Advise for the date of readiness for inspection of such exceptional items of Delivery shall be made in the same manner as described above, and at least 30 (thirty) days prior to the date of readiness for inspection. 2.3.3 After receipt of notice, the Inspector shall promptly inspect and test those Deliveries which have been identified for inspection by the Owner. For those deliveries inspected, the Inspector shall issue certificate at the place of inspection within 5 (five) days provided that the Supplier makes available to the Inspector quality certificates and other essential documents and the necessary clerical assistance. 2.3.4 In the event that the Inspector fails to start inspection of the Deliveries within 5 (five) days from the specified date of readiness for inspection, due to reasons attributable to the advise was received in accordance with the provisions made herein above, the Supplier may carry out the Inspections and tests and issued a Works Certificate to the effect that the machinery and equipment are in a conformity with the specifications approved by the Owner and release these Deliveries for shipping. 2.3.5 However, failure on the part of the Inspector to avail himself at the Supplier's premises for the purpose of carrying out inspection

and testing does not release the Supplier from the responsibility of carrying out the required quality control, testing and inspection. 2.4 The Supplier shall be responsible that the Deliveries being shipped to the Owner be the same Deliveries described in the certificate of inspection issued by the Inspector. All Deliveries inspected under the contract shall be stamped, stenciled or labeled with the Inspector's own emblem except in the case of 2.3.4 above. It is understood that the inspection and testing specified under the present article shall not in any way release the Supplier from the proper fulfillment of his guarantees. Should such inspection and testing reveal that an item of Deliveries is not up to standard, the Supplier may request a re-test within 2 days after such notification. 2.6.1 However the Owner/Inspector may reject the item of Deliveries based on the results of the first test, depending on the nature of the defect. 2.6.2 The Owner/Inspector shall accept the item of Deliveries if it passes the second test but the item shall be rejected if it fails in the second test. 2.6.3 The Supplier shall refund all costs of materials, if any, and/or reasonable expenses incurred by the Owner in connection with retests. 2.7 If materials and/or equipment are not ready for test at the time specified in advance by the Supplier, all additional expenses caused by such delays on the Owner shall be borne by the Supplier. All test data and workshop certificates shall be compiled and be delivered to the owner in accordance with Article VIII. Deliveries accepted during inspection may still be rejected by the Owner if further examination at site reveals defects or faults. However, the Supplier may after obtaining the Owner's consent take the necessary measures for eliminating the defects of faults at his own expense.

If the Owner finds out the performance of any of the Supplier's personnel at site is unsatisfactory, the Supplier shall replace him at its own cost immediately. Civil construction shall start as per the schedule stipulated in the contract. Protocol shall be signed by the site representatives of the Supplier and the Owner confirming the date of readiness of the civil engineering work. The representatives of the Supplier and the Owner shall write a daily job diary which they shall sign by the end of each week. In this diary shall be entered the progress of the civil work and all circumstances connected with construction.

ARTICLE XV
ERECTION
1 The Supplier shall be responsible for the erection of the glass plant and for the supply of all equipment, tools and materials necessary for this purpose which shall remain the property of the supplier. However, the Owner shall be at liberty to sub-contract the whole or part of the erection work based on the recommendation and in accordance with the design, drawings, specifications to be provided by the Supplier and under his close supervision and control. 2 In order to fulfill its obligation under this Article the Supplier shall provide the necessary number of qualified personnel in accordance with the contract to be agreed upon. If the Owner finds out the performance of any of the Supplier's personnel at site is unsatisfactory, the Supplier shall replace him at its own cost immediately. Erection shall start as per the schedule stipulated in the contract. Protocol shall be signed by the site representatives of the Supplier and the Owner confirming the date of readiness of the civil engineering work. The representatives of the Supplier and the Owner shall write a daily job diary which they shall sign by the end of each week. In this diary shall be entered the progress of the erection work and all circumstances connected with erection. When the erection work of a station or part of a station of the plant has been completed, in accordance with the final design, the technical specifications, and the technical documentation, the Supplier shall inform the Owner's Authorized Representative or his assignee for the purpose of testing and confirmation of the proper completion of erection. The Owner and/or his assignee shall test all equipment, materials etc. that have been erected by the Supplier for compliance of the work with the final designs and specifications. This test should demonstrate: 7.1 7.2 7.3 That good quality of materials and workmanship have been employed in the assembly and erection of machinery and equipment, That equipment, sections parts thereof contain all the specified parts and are strictly in accordance with the final specifications. That proper and correct erection and installation of the machinery and equipment have been employed. It is understood that nothing contained in the foregoing shall release the Supplier from fulfilling the guarantees specified under the contract.
The Supplier shall advise the Owner on the number of operators required and the ways, methods and means of how the test shall be carried out prior to the commencement of the test.

The test shall be carried out equipment-wise and/or station-wise by the Owner and/or his assignee in the presence of the Supplier's Representative. If a fault is detected during the testing period, the Supplier shall then, with all speed make good the defects at his own expense. When erection is completed, the Supplier's and the Owner's representatives shall sign a protocol confirming the completion of erection. Equipment or a part thereof shall not be considered fully erected unless the above mentioned protocol is signed by both parties.

PERFORMANCE GUARANTEE
1 GENERAL The Supplier, based on the findings from his counter checking the results of geological studies carried-out by the Ethiopian Institute of Geological Surveys (EIGS), evaluations, technological tests, an analysis of all components of the raw materials deposits (silica sand, limestone, dolomite and feldspar and having satisfied himself of the quality of these materials, guarantees that the plant resulting from the deliveries and project designs which will be delivered by him, will fulfill the production parameters mentioned hereunder concerning the production capacity and power consumption of the respective equipment or department and the quality of its product. Including but not limited to. 1.1 GUARANTEE FOR THE TOTAL PRODUCTION OF GLASS The Supplier guarantees a total production of 60 ton/day of molten glass per 24 hours, free from bubbles without the boaster installment. However, the boaster installation will increase the molten glass output of min. ton _____ and max. _______ tons. The specific fuel consumption for the furnace shall not exceed kg fuel/ton glass. The specific electric energy consumption for the whole plant shall not exceed _______ kwh/ton of glass. The capacity guarantee for the production of 60 tons of glass per 24 hours is valid for the furnace and up to the feeder output. The glass melting production capacity test will be made during the normal operation of the complete technological line. The Supplier shall inform the Owner at least (six) months before the beginning of commissioning the means, methods, and ways, including a detailed list of the activities, of how he intends to carry out the commissioning of the plant. With this notice the Supplier shall also include a detailed programme of : Detailed schedule for Furnace warm up. Detailed schedule of all the tests to be carried out, and the method of test to be applied at each stage An estimate of the raw materials, utilities and auxiliary products required for each test. The number and qualification of the people required The time required for each test. Agreement shall be reached between the Supplier and the Owner on the above mentioned points at least 30 (thirty) days prior to their implementation.
The commissioning of the plant shall start within 15(fifteen) days after the signing of the protocol for completion of construction and erection of the whole plant. Before starting the commissioning of the plant, authorized representatives of the Supplier and the Owner together with the Engineer shall inspect the whole plant in order to ascertain the readiness of the plant to start commissioning. The equipment of stations for which no guarantee tests shall be made will be used during the commissioning of the plant, following an agreement, which shall be concluded between the Owner and the Supplier prior to the start of commissioning.

The plant and equipment shall be tested: Equipment wise Station wise, and Process wise etc. for compliance with the guaranteed values to be agreed upon and for the safe and efficient operation of the whole plant.

Commissioning shall be executed station by station and according to the technological flow. During commissioning the following tasks shall be carried out. Matching of equipment and machinery among themselves. Adjustment to normal service conditions Checking and adjusting (calibrating) of controlling and measuring equipment. Checking of the index and process parameters that have been guaranteed in the Contract and its annexes in order to obtain maximum service conditions. transfer the experience and know-how of the technical personnel of the Supplier to the personnel of the Owner The Commissioning of the plant shall begin with loading tests and matching of the equipment and of the resulting output of the different stations, and shall end with the performance guarantee tests. The end of Commissioning of the Plant shall not exceed 2 (two) months from the starting date (Furnace warm-up). The commencement date of the performance guarantee tests shall be fixed by the Supplier's personnel, and this shall be communicated to the Owner at least (20) twenty days in advance. The supplier shall submit together with the notice of the commencement date of the respective performance guarantee test as specified in Sub-Article 11 of this Article, a detailed programme indicating all the organizational and methodological details, which among other things shall include : a time schedule for the respective performance guarantee tests, which shall be confirmed 3 days in advance of the execution of the respective performance tests; the method of conducting the different tests, the number and qualification of personnel required; station or auxiliary station where the test is going to be carried out the methods of sampling and the number and quantity of samples to be taken; the method of evaluating the different samples to be taken; the types and volumes of mixes, auxiliary facilities and utilities to be used. Performance guarantee tests of the different stations of the plant shall be carried out by the personnel of the Owner under the guidance, co-ordination and direction of the personnel of the Supplier.

These tests shall be used to check if the quality and quantity of the product, and utilities consumption index of the plant are in accordance with the guarantees fixed in the contract. 14 The Supplier shall be allowed a maximum interruption of 10 (ten) percent of the allotted time for each test in the total time scheduled for the guarantee tests. If the interruption is more than 10 (ten) percent of the allotted time of each test, the test shall be repeated all over again. All result of the guarantee tests shall be recorded and signed by the Supplier and Owner in a protocol. If the results of the guarantee tests for the whole plant comply with the guaranteed values and indices specified in the Contract, a summarizing protocol shall be signed as basis for the provisional acceptance certificate of the plant. If the results of the guarantee tests of an equipment, a station or auxiliary station do not meet the guaranteed values and indices fixed in the Contract on the account of the supplier, he shall make all the necessary modifications and shall bear all the related expense for same. The Supplier may then carry out a second test. If after the second guarantee test the values and indices guaranteed in the Contract are complied with, a protocol of test results shall be signed for the respective equipment, station, or auxiliary station as basis for its provisional acceptance. However, if the second test fails, the Supplier may carry out a third test during the same commissioning period. If during the third test the values and indices guaranteed in the Contract are complied with a protocol of test results shall be signed for the respective equipment, station or auxiliary station as a basis for its provisional acceptance. However, if the third test fails, the Supplier shall pay all the penalties and price adjustments agreed in the contract, or the equipment, station or auxiliary station shall be rejected if the value obtained during the tests exceeds the limit established for the respective item in Article XVI of the Contract. All costs and expenses involved with the second and third tests carried out due to the fault of the Supplier shall be borne by the Supplier, if the quality of the products of the respective equipment or station being tested shall not meet the quality specified in the performance guarantee. In the event that the quality of the product of the equipment or station meets the value specified in Article XVI of the contract, then the Supplier shall bear only the additional costs and expenses involved with the repeated tests, that would not have arisen under normal operation of the respective equipment or station. A certificate of Provisional Acceptance shall be issued to the Supplier by the Owner in accordance with the conditions specified in Article XXXI.

ARTICLE XIX
WARRANTY
1. The supplier warrants, that it has all the expertise facilities etc. to perform the works and services in contract, that all items included in the contract and its Annexes shall be in strict conformity with the contract, and that under normal operating conditions they shall show no defects due to design, materials, workmanship and/or construction for a period of 12 months of the plant, but in any case not more than 36 months from the scheduled time of commissioning, provided that the delay is not attributable to the supplier. Special guarantees for the minimum service-life of the following parts of the main equipment are to be given. a) Raw Material Preparation:
b) Batch House c) Melting Furnace (regenerator and Forhearth) d) Forming Machines and lehr. e) Decorating Plant 2. The Supplier also warrants that the Deliveries shall be brand-new incorporating the latest design features, that no second-hand or repaired part shall be delivered, and that the necessary spare parts shall be readily available for a least 15 (fifteen) years from the date of the final acceptance of the plant, or 10 (ten) years from the date of cessation of the manufacture of any particular part whichever is the latest. A representative of the supplier shall visit the plant regularly every year at his own costs, and shall assess the stock balance of spare parts, wearing parts and expendable parts, and shall submit a recommended list of spare parts etc. to be ordered for the following year. The Owner shall have the right to revise the recommended list and to place partial orders as and when the case arises, and the Supplier shall comply with such orders promptly. However, the owner is not legally bound to procure parts from the supplier. The supplier undertakes to furnish the Owner with a complete set of shop drawings that would enable the latter to manufacture the spare parts that the supplier is unable to supply due to cessation of manufacturing of such parts as described above, 10 (ten) years from the date of cessation. The rate of price escalation on spare parts for any one year shall not be greater than the average rate of price escalations of other comparable European manufacturers of glass plant. 3. The Supplier warrants repairing and/or replacing in Ethiopia, at his expense and in the shortest possible time the Deliveries or any part thereof which may show any defects due to fault design, material and/or workmanship and/or construction, including used parts, during the guarantee period. However, this shall not include normal wear and tear.

4. On the Owner's written notification of defects stating the specification of the part affected and the nature and possible cause for same, by e-mail, fax, telex or registered letter, the Supplier shall : a) In case of minor defects that could not appreciably affect production, the Supplier shall take steps to correct the defects within 30 (thirty) days from the date of receipt of notification by the Owner. In case of major defects which would involve whole sections or stations the Owner shall fix a reasonable length of time for correcting the defects and notify this to the Supplier. If the Supplier does not take any action to repair or replace the defective parts, the Owner shall carry out the required repairs and/or replacements at the Supplier's expense and risk; without the exemption of the Supplier's liabilities concerning the equipment guarantees and installations.

5. Defective Equipment or parts thereof shall be repaired only once. If such repaired supplier shall replace totally the defective part or Deliveries at his own expenses. The supplier shall have the right to take back the replaced part or Deliveries at his own expense, provided that he notifies the Owner in writing his desire to do so not later than 3 months after the execution of the replacement. 6. The guarantee period for both the repaired part or equipment and the affected stations or equipment which are out of operation as a result of the repair or replacement shall be extended by a period equal to the period during which they have been out of operation. The equipment or parts repaired or replaced shall have a new guarantee period of 12 (twelve) months from the date of completion of repair or replacement. 7. The Supplier warrants the adequacy and completeness of the technical documents that are supplied to the Owner by the Supplier. 8. The Supplier warrants that he has included all the necessary equipment and machines required for the safe and efficient operation of the plant during its life time as specified in Sub-Article 1 of Article I. 9. The Supplier warrants to give the required and necessary control and supervision specified in the contract and its Annexes for the construction, erection and commissioning of the plant according to the final designs and specifications. 10. The Supplier also warrants that the technical personnel sent for advice and supervision during construction, erection, commissioning and operation of the plant have the necessary know-how and experience required to fulfill their task on time and with the required quality, and that their qualification is in accordance with the stipulations hereto. 11. The Supplier warrants that the welding of various sections of the plant at site as specified in Sub-Article 15 and 16 of Article VII shall be carried out by his specialists and engineers in accordance with the best modern practice for site welding, and that the respective equipment so welded have all the warranties and guarantees specified in the contract and its Annexes.

12. The Supplier warrants supplying all the designs, Deliveries technical documentation and technical services in accordance with the supply and delivery schedule specified in the contract and its Annexes. 13. The Supplier warrants to give adequate training to the Owner's technical personnel both at the plant site and in the supplier's country in order to enable them to operate the plant safely and efficiently after commissioning. 14. The Supplier warrants that the equipment and the total plant will meet the performance guarantees specified in the contract and its Annexes. 15. The Supplier warrants to pay all justified penalties and dues in time in accordance with the provisions specified in the contract. 16. The Supplier warrants to accept claims of the Owner for an additional 30 (thirty) days after the expiry date of the guarantee, provided that the cause of claim occurred during the guarantee period. 17. The Supplier warrants that there will be no cases of liens in relation with the contract and warrants to settle solely and fully such liens, if any. 18. The Supplier warrants to fully indemnify, protect and save harmless the owner from and against all claims, damages, expenses, action or other proceedings arising or resulting from the infringement of any patent, design right, trade mark or any other protected right in connection with the Deliveries and Services supplied under the contract.

above shall be applicable on the value of the Project Design and Technical Documentation that are delayed plus the value of all other Deliveries that the Owner could not construct or erect as a consequence of such delay(s) 1.3 In the event that the supplier fails to send his personnel within 30 (thirty) days from the written notification by the Owner as specified in Sub-Article 5 of Article IX the Supplier agrees to pay as penalty the following: 1.3.1 For delay (s) of the Supplier's technical personnel beyond the specified arrival date and if such delay of arrival does not affect the progress of the construction, erection, commissioning and operation of the plant, the supplier shall pay as penalty for each day of delay: a) First 30 days: the daily rate calculated on the basis of the man-month rate to be agreed upon. b) From 31st day to 59th day: 1.5 times the daily rate calculated on the basis of the man-month rate to be agreed upon. c) 60th day and above: 2 times the daily rate calculated on the basis of the man-month rate to be agreed upon. 1.3.2 For delay(s) of the Supplier's technical personnel beyond the specified arrival date and if such delays of arrival affect the progress of the construction, erection and commissioning and operation of the plant then the same rates as stated above in SubArticle 1.1.1. Shall be applicable on the value of all Deliveries that the owner could not construct erect, commission or operate as a consequence of such delay(s). 1.4 The Owner shall consider any Deliveries, Project Designs, Technical Documentation or Service that have been delivered but do not satisfy the required designs, specification or qualification and hence could not be satisfactorily used in the construction, erection and commissioning of the plant as if such Deliveries, Documents and Services have not been received. Therefore, the same rates and procedures of penalties as stated above shall be applicable. This shall not include minor defects which can be removed immediately on the spot. In the event that the erection of the plant is delayed beyond the stipulated erection schedule, the Supplier shall pay as penalty 0.40% (point four percent) of the F.O.B. cost of the plant for each day of delay beyond the date stipulated in the erection schedule. In the event that the commissioning and performance guarantee tests are not successfully completed within 91 (ninety one) days from the date of commencement of commissioning, and the plant is not made available for operation to the full extent, then the Supplier shall pay as penalty 0.3% (point three percent) of the F.O.B. cost of the plant for each day of delay beyond 91 (ninety one) days.

The total amount of penalties for delays in delivery of project designs, deliveries and services, as well as for delay in erection and commissioning of the plant shall not exceed 10% (ten percent) of the total contract price, excluding the price for training of Owner's personnel.
NON FULFILLMENT OF GUARANTEED VALUES 2.1 If the specific electric energy consumption of any station, auxiliary station, or equipment, in kwh/ton of the respective product, exceeds the guaranteed value stipulated in the contract, the supplier shall pay a penalty of 1.0% (one percent) of the total value of the respective station, auxiliary station or equipment affected, multiplied by the number of kilo watt hour increase over the value guaranteed. The Owner reserves the right to reject the respective station, auxiliary station, or equipment if the specific electric consumption exceeds the guaranteed value by more than 8.0% (eight percent). 2.2 If the specific fuel consumption of the melting furnace, in Kcal/kg of molten glass exceeds the guaranteed value stipulated in the contract, the Supplier shall pay as a penalty 1.0% (one percent) of the total value of the respective station, auxiliary station or equipment affected, multiplied by every 10 (ten) kcal increase per kg of glass. The Owner reserves the right to reject the respective station, auxiliary station or equipment if the specific fuel consumption exceeds the guaranteed value by more than 3.0% (three percent). 2.3 If the dust content of the exhaust gas at the out let of regenerator/chimney exceeds the guaranteed value specified in the contract, the Supplier shall pay as penalty 3% (three percent) of the total value of the respective equipment of each 10mg/Nm3 increases above the value guaranteed. The Owner reserves the right to reject the respective equipment if the dust content exceeds 50mg/Nm3. 2.4 The penalties on non fulfillment of performance guarantees shall be applied in accordance with the agreed rates specified in sub-article 2 of the present article. There shall be no upper limit on the individual or total amount of penalties applied in this respect.
PRICE REDUCTION 3.1 If as per the agreed guaranteed performance the capacity of a station, auxiliary station, or equipment is found to be below the guaranteed output capacity, the respective price of the affected station, auxiliary station or equipment shall be immediately adjusted in accordance with the following: 3.1.1 3% (three percent) price reduction for each 1% (one percent) of reduction in production capacity down to a production capacity

of 95% (ninety five percent) of the contractually guaranteed capacity. 3.1.2 6% (six percent) price reduction for each 1% (one percent) of reduction in production capacity down to a production capacity of 90% (ninety percent) of the contractually guaranteed capacity. 3.1.3 The Owner reserves the right to reject the affected equipment, station, auxiliary station or the plant as a whole, in the event that the production capacity of the affected equipment, station, auxiliary station or the plant as a whole is reduced below 90% (ninety percent) of the contractually guaranteed capacity. 3.2 If the decrease in the output capacity of the station, auxiliary station or equipment affects the total output capacity of the plant, price adjustment shall be effected on the complete mechanical and electrical deliveries. The extent of price adjustment in accordance with Sub-Article 3.1. and 3.2. of present Article shall have no upper-limit. Whenever price adjustments are effected as per Sub-Articles 3.1. and 3.2. of this Article, the total sum of such reductions plus the interest charge shall be deducted from the contract price.

GENERAL 4.1 Any payment made by the Supplier to the Owner on account of penalties and/or price reductions shall not in any way be construed as a limitation of the Supplier's overall responsibilities, or his obligations under the contract. In the event that an equipment, an auxiliary station, a station or the plant as a whole does not fulfill the performance guarantees specified in the contract and becomes subject to rejection, then without prejudice to the right of the Owner to reject the item(s) affected unilaterally at any time, the Supplier and Owner shall immediately discuss and may agree on the measures to be taken by the Supplier if any, in order to remedy the deficiency and improve the performance of the affected item(s), at Supplier's own cost. 4.2.1 In the event that the Supplier is unable to remedy the deficiency with a reasonable time, the Owner shall be at liberty to either reject the affected equipment, station, and if the whole plant is affected the plant as a whole or if he so decided to apply further penalties and/or price reductions.

TERMINATION OF CONTRACT
1. The present contract may be terminated by the Owner in any of the events specified below: a) If the Supplier fails to furnish the performance bond in accordance with the provisions of the contract. b) c) If the Supplier assigns the contract in whole or in part with out the prior consent of the Owner. If the Supplier is in a state of disqualification and/or insolvency such as bankruptcy, liquidation or any other similar condition which could prevent the fulfillment of obligations provided in the contract. In case of force majeure as stipulated in Article XXII of the contract.
ARTICLE XXII
d)
2. The Supplier may terminate the contract in any of the events specified below; a) If the Owner is in a state of disqualification and/or insolvency such as bankruptcy, liquidation or any other similar conditions which could prevent the fulfillment of obligations provided in the contract. In case of force majeure as stipulated in Article XXII of the contract.

3. The contract is subject to termination by either party as stated herein above, provided, however, that the party desiring termination shall give 30 (thirty) days written notice to the defaulting party giving it an opportunity to rectify the default and, if the default is not rectified within that period, the contract shall stand terminated at the option of the party not in default. However, the above stated notice for termination shall be given when attempts to rectify the default amicably have failed. 4. Termination of this contract, from whatever cause arising, shall be without prejudice to the rights of the parties accrued under the contract upto the time of termination.

FORCE MAJEURE
1. Force majeure are contingencies caused by neither of the two parties and which render the performance or further performance of the contractual obligations absolutely impossible. For the purpose of this contract, force majeure shall be deemed to be any cause beyond the responsible control of the supplier or the owner (as the case may be) which prevents, impedes or delays the due performance of the contract by the afflicted party and which by due diligence the affected party is unable to control, in spite of all reasonable efforts to overcome the delay, impediment or cause. Force majeure may include, but may not be limited to the following: War and/or civil commotion Earthquake, flood, tempest, lightning, or other natural disasters, Freight embargoes, accidents or explosions Epidemics and quarantine restrictions etc.
ARTICLE XXIII
2. Force majeure shall not exist where the occurrence could normally have been fore seen and controlled by the debtor or where it renders more onerous the performance or further performance by the debtor of his obligations. Examples of such cases are increase in cost of materials and labour necessary for the performance of the contract and/or enactment of new legislation where by the obligations of the debtor become more onerous. 3. Neither of the party shall be deemed to be in default of its contractual obligation whilst performance thereof is prevented by force majeure. 4. If either party is prevented or delayed in the performance of any of its obligations under this contract by circumstances of force majeure, and if the affected party has given forth with notice by fax, cable or airmail, thereof to the other party and in any case within 10 (ten) days of the beginning of such an event, specifying the details constituting force majeure, with necessary evidence that the performance of a contractual obligation is thereby prevented or delayed and stating the anticipated period during which such prevention or interruption or delay may continue, then the affected party shall be excused from the performance or punctual performance (as the cause may be) of such obligations as from the date of such notice for so long as may be justified. If the party afflicted does not comply with the above obligations it cannot invoke force majeure. 5. The Owner or Supplier shall be diligent in endeavoring to prevent or remove the cause of force majeure. The parties upon receipt of notice of force majeure under Sub-Article 4 here in above shall confer promptly with each other and agree upon a course of action to remove or alleviate such cause (s) or shall seek alternative methods of achieving the performance objectives under the contract. 6. If by virtue of Sub-Article 4 either of the parties is excused from the performance or punctual performance of any obligation for a continuous period of six (6) months, then both parties shall consult to seek agreement as to the required action that should be made to the terms of the contract. But nothing herein shall in any manner affect the validity of the contract.

The Supplier shall make available to the Engineer all the information, technical data and any other documents required for his work, and render his full cooperation in all aspects of the Engineer's work in order to expedite the efficient and timely implementation of the plant as foreseen in the contract. The Engineer shall be entitled at all reasonable times to have access to the works of the Supplier and/or his Sub- Supplier's and they shall afford to the Engineer every facility and assistance required in connection with his task. The Engineer shall not be authorized to make major changes or modifications in the basic design of the plant that would substantially differ from the terms and conditions of the contract and its Annexes, without prior consultations with, and due approval by the Owner. The Owner shall within the dates specified in the respective Article of the contract, confirm approvals and/or corrections of project designs and any other documents submitted by the Supplier to the Engineer and the Owner for review.

PROVISIONAL ACCEPTANCE
1 The Commissioning and performance guarantee tests shall be started as soon as the construction and erection of the plant has been completed, and shall end within 3 (three) months. At the end of commissioning and performance guarantee tests the Owner and the Supplier shall make out and sign a summarizing protocol of agreement covering the results of the commissioning and performance guarantee tests. This shall contain details of the test results, and the subsequent steps that are to be taken by both parties in order to fulfill the object of the Contract, including application of penalties and price reductions as specified in Article XXI of the Contract. Within 30 (thirty) days from signing of the summarizing protocol, the Owner shall issue to the Supplier a Certificate (s) of Provisional Acceptance, provided that the plant has been completed in accordance with the Contract, except in minor aspects that do not affect its use for the purpose for which it is intended. 3.1 The Provisional Acceptance Certificate shall be issued for the whole plant when the following conditions have been met fully. 3.1.1 When the whole plant has performed to the full satisfaction of the owner and in accordance with the terms and conditions of the Contract, for 90 (ninety) days, including the period of startingup, performance guarantee tests, and continuous operation of the plant under the Contractually agreed production capacity. 3.1.2 When all Deliveries and Services of the Supplier have been fully accomplished, and all guaranteed values have been achieved in accordance with the conditions of the Contract. 3.1.3 When any defective portions(s) of the plant that had failed or shown defects during tests have been made good or replaced by satisfactory ones. 3.2 Provisional Acceptance Certificates may be issued for a portion or portions of the Plant, if by agreement between the Supplier and the Owner, any portion(s) of the plant shall be taken over before the remainder of the plant.
ARTICLE XXXI
The Certificate of Provisional Acceptance shall among other thing contain: The date on which the Owner shall be deemed to have provisionally taken over the operation of the plant or portions thereof. The conditions of the plant or portions thereof when such Provisional Acceptance is made.
The date on which Provisional Acceptance Certificate is issued shall be taken as the starting date of the guarantee period specified in Sub-Article 1 of Article XIX for the plant or for the respective portion thereof for which the certificate is issued.

The Certificate of Provisional Acceptance shall be considered as a temporary or interim certificate, which shall eventually be replaced by a Final Acceptance Certificate, after the mechanical guarantee period specified in Article XIX of the Contract has expired, with the exception of the special guarantees provided therein. The Provisional Acceptance Certificate shall not operate as an admission that the plant has been completed in every respect, nor prejudice any right of the Owner or the Supplier against the other. If by reason of default on the part of the Supplier a Provisional Acceptance Certificate has not been issued in respect of every portion of the plant within 120 (one hundred and twenty) days after the starting date of the commissioning tests, the Owner shall be at liberty to use the plant or any portion thereof in respect of which a Provisional Acceptance Certificate has not been issued, if and so long as the plant or the portion so used shall be reasonably capable of being used, and that the Supplier shall be afforded reasonable opportunity of taking such steps as may be necessary to permit the issue of the Provisional Acceptance Certificate. If by reason of an act or omission of the Owner, the Provisional Acceptance Certificate has not been issued within 45 (forty five) days from signing of the summarizing protocol specified in Sub-Article 2 of the present Article, then unless in the meantime the Plant or portions thereof shall have been proved not to be substantially in accordance with this Contract, the Owner shall be deemed to have issued the Provisional Acceptance Certificate.

FINAL ACCEPTANCE
1 The Contract shall not be considered as completed until a Final Acceptance Certificate has been signed and issued to the Supplier by the Owner stating that the plant has been completed and maintained in accordance with the terms and conditions of the Contract. Verification of the whole plant with a view to issuing of the Final Acceptance Certificate of the Plant shall take place in the presence of the Supplier starting 30 (thirty) days prior to the end of the guarantee period stipulated in SubArticle 1 of Article XIX of the Contract. The plant and all portions thereof shall be inspected closely and tested if so required to prove their performance in accordance with the provisions of the Contract. Final Acceptance shall not be effected until and unless the prescribed verification has been carried out and a joint protocol has been issued in respect of the subsequent steps to be taken for any outstanding obligations of the Supplier. 3 Application for the Final Acceptance Certificate may be made by the Supplier to the Owner, at any time after the Supplier has ceased to be under any obligation to the Owner with respect to the respective guarantees of the plant and portions thereof, as specified in Sub-Article 1 of Article XIX of the Contract. Provided that, if by reasons of the fact that it has become necessary for the Supplier to replace or renew any portion of the Plant or equipment, the obligation of the Supplier shall continue after the specified guarantee period; And provided that, the Supplier shall apply for Final Acceptance Certificate in respect of such replaced or renewed equipment or portions of the Plant and in respect of equipment and portions of the Plant whose special mechanical guarantee period exceeds one year only after he has ceased to be under any more obligations thereby.
ARTICLE XXXII
The Owner shall issue to the Supplier a Final Acceptance Certificate, within 30 (thirty) days after receipt of the application for same by the Supplier, provided that the application is made in accordance with the provisions of the Contract, and provided that the following prerequisites for issuing the certificate have been fulfilled: 4.1 That the plant as a whole as well as portions thereof have performed in accordance with the provisions of the Contract during the guarantee period, stipulated in Sub-Article 1 of Article XIX of the Contract; That all defective equipment or portions of the Plant that failed to function properly during the course of the guarantee period have been made good and/or replaced with new ones at the cost of the Supplier; That the Supplier has undertaken in writing to make good and/or replace with new ones at his own cost any and all equipment or portions of the plant that have been found to be defective or have shown abnormal deterioration during the joint inspection of the Plant by the

Owner and the Supplier as specified in Sub-Article 2 of the present article; 4.4 That the Supplier has undertaken to make good and/or replace with new at his own cost in the event that replacements of items that have failed to function during the guarantee period do not fulfill their full period of guarantee; That the period of guarantee of equipment or portions of plant has been extended by the time during which it has not been possible to use because of deterioration, breakdowns or for any other reason attributable to the Supplier.
4.5
In the case of a written statement of rejection by the Owner, of the application for a Final Acceptance Certificate made by the Supplier, due to justifiable reasons, it shall be incumbent upon the Supplier subsequently to fulfill the prerequisites specified in Sub-Article 4 of the present Article and to re-submit his application for the certificate. The Owner shall issue the certificate as soon as the conditions for the issue of the Final Acceptance Certificate have been completed.
If by reason of an act or omission of the Owner, the Final Acceptance Certificate has not been issued within 45 (forty five) days from receipt of the application for issue of same, then unless the Owner has refused the issue of the certificate as provided for in Sub-Article 5 of the present Article, and provided that the joint protocol specified in Sub-Article 2 of the present Article shall have been signed prior to the date of application for the Certificate of Final Acceptance, then the Owner shall be deemed to have issued the Final Acceptance Certificate. The issuing of the Final Acceptance Certificate shall not relieve the Supplier from his obligations with respect to the special guarantees specified in SubArticle 1 of Article XIX. Notwithstanding the issuance of the Final Acceptance Certificate, the Supplier and the Owner shall remain liable for the fulfillment of any obligation incurred under the provisions of the Contract prior to the issuance of the Final Acceptance Certificate which remains unperformed at the time such Certificate is issued, and for the purpose of determining the nature and extent of any such obligations the Contract shall be deemed to remain in force between the two parties.

SETTLEMENT OF DISPUTES
1 If at any time any claim, dispute or difference shall arise between the Owner and the Supplier, either party shall give to the other notice in writing of the existence of such claim, dispute or difference, specifying its nature and the point at issue, with regard to the contract. The Contracting parties shall in the first place make efforts to solve their difference and/or settle the claims bilaterally in an amicable way, within a reasonable time. In the event that an Agreement as per Sub-Article 2 cannot be reached, within a reasonable time, the claim, dispute, or difference shall be referred to arbitration. 3.1 The formation of arbitration and nomination of the arbitrators shall be as follows: 3.1.1 The number of arbitrators shall be 3 (three) 3.1.2 Within three weeks from receipt of the written notification of the claimant by the respondent, both parties shall nominate one arbitrator each. 3.1.3 Within three further weeks the appointed arbitrators shall agree on the person who shall be the chairperson of the court of arbitration. 3.1.4 If the arbitrators cannot agree on the person of the chairperson within the period specified under Sub-Article 3.1.3 above, the chairperson shall be appointed upon application by one of the parties to the contract by the President of Federal Chamber of Trade and Industry, Vienna, Austria. 3.1.5 The same procedure as specified in Sub-Article 3.1.4. above shall be applied, if one of the contracting parties fails to nominate its arbitrator within three weeks. 3.2 3.3 3.4 3.5 3.6 Arbitration shall be held in accordance with the UNCITRAL Rules of Arbitration. The venue of arbitration shall be Addis Ababa, Ethiopia. The contract is subject to Ethiopian Law, and Ethiopian Law shall apply in Settlement of any or all disputes arising there from. The language to be used in the arbitral proceedings shall be English. The awards of the court of arbitrations shall be final and binding on both parties. Upon every or any such reference, the costs of and incidental to the reference and award respectively shall be in the discretion of the Arbitrators, who may determine the amount thereof or the basis upon which the same shall be ascertained. Performance of contract shall continue during arbitration proceeding unless the Owner and/or the Supplier shall demand the suspension of any part thereof and provided such continuation is found to be detrimental to either one or both of the contracting parties.

ARTICLE XXXIV
INTERPRETATION
1 In construction the terms of the contract, the following shall be the basis of interpretation of the contract: 1.1 1.2 By signing the contract the Owner and the Supplier accept the terms and conditions stipulated therein. In interpreting the contract, the contract and its Annexes, and all Documents included by reference, shall be taken together. In case of conflict between the contract and any other document, the provisions of the contract shall govern the interpretation. In case of conflict between the terms of the Design Basis and the terms of the technical specifications in others, the provisions in the Design Basis shall prevail. 1.3 The Several penalties provided in the contract shall be applied independently of each other and the application of any of them shall not prevent the application of any other. No general condition as to any matter shall be rendered inapplicable by reason of any special condition or instruction as to the same matter, except in so far as the two conditions are necessarily inconsistent. The titles of Article and Sub-Articles are only brief headings for the contents therein, and shall not therefore be taken as limitation in the interpretation of the provisions of contract.

PERFORMANCE BOND
1. Within _________ days from the effective date of this contract the supplier shall submit to the Owner a performance bond in the form of a bank guarantee issued by an international first class bank accepted and confirmed by the Commercial Bank of Ethiopia. 2. The performance bond will cover 10% (ten percent) of the total contract price as a security for the due execution by the supplier of all its obligations as stipulated in this contract until the date of issuance by the Owner of the final certificate of acceptance under Article XXXII. 3. The performance bond will be held by the Owner on the conditions and subject to the stipulations herein contained. It shall be valid until the Supplier fulfills all its obligations and guarantees under this contract. 4. The Owner may at any time, on giving prior notice to the Supplier by telex or fax, deduct from the amount indicated in the performance bond any sums for which the Supplier may become liable to the Owner under this contract and which are not paid by it. The Owner shall be entitled on its demand to the immediate payment by the bank up to the full amount of the performance bond not withstanding any contestation by the Supplier or any third party. 5. In the event that any deductions have been made from the amount of the performance bond before the date of receipt of the provisional certificate of acceptance by the Supplier, replenishment equal to the aggregate deductions shall be made on the date of receipt of the provisional certificate of acceptance from the Owner in order that the value of the performance bond is adjusted to its original amount. 6. The performance bond shall not in any way be constructed as a limitation of the Supplier's responsibilities pertaining to its obligations and guarantees under the contract, and shall not in any way prevent the Owner from claiming indemnification for any damage suffered which may exceed the value of the said performance bond. 7. The currency of the bond shall be the United States Dollars. 8. All expenses and fees in connection with the performance bond shall be borne by the Supplier.

ADDITIONAL STIPULATIONS
1 2 3 4 The Civil Works Construction shall be designed and executed by the Supplier following the approval requirements by the government. The design and supply of telephone equipment for the plant shall be subject to the due consent and approval of the Telecommunications Service of Ethiopia. The Scope of technological and Electrotechnical supply is deemed to include all permanent installations that are or become part of the plant. The Supplier shall supply to the Owner sufficient quantities of appropriate quality acid proof tiles for the laboratory, as well as foundation, wall and ceiling damp proofing or insulation material needed for civil works of the plant. The Supplier shall deliver workshop equipment, in advance; these will be needed in the construction and erection of the plant. A model of the plant shall be supplied by the Supplier to the Owner, (size say 1,000mm x 2,000mm) approximate, within 12 (twelve) months from coming into force of the contract, free of charge. The weight certificates referred to in Article VIII of this condition of contract shall be issued in accordance with the following terms and conditions. 7.1 For all Deliveries that are specified and sold on the basis of their weight (such as steel structures, refractory bricks, erection and auxiliary assembly materials, ducts, pipe, cables and their accessories, lubricants, paints, earthing and lightening installation etc.) a weight certificate shall be issued by an organization or office that is duly authorized for such issuance of a weight certificate. 7.1.1 Such weight certificate shall be issued over and above the respective breakdown of weights issued and submitted by the Supplier to the Owner in the packing lists and on the packing boxes or bundles as specified in Article VIII of the Contract. 7.1.2 Deliveries subject to such weight certificates shall be packed separately in order to facilitate cross checking of the weights indicated on the Weight Certificate against that on the packing list. 7.2 For all other Deliveries not covered by Sub-Article 7.1. of the present Article, Weight Certificates shall be issued by he respective manufacturers dully signed by and authorized representative. 7.2.1 Such Weight Certificates shall be issued under the conditions specified under Sub-Article 7.1.1. of the present Article. The Owner shall have the right to check in the presence of the Supplier's Representative the weight of any or all Deliveries in Ethiopia on the weight bridge at the plant site or on any other proper weighing device. In the event that discrepancies arise between the weight specified by the Supplier and the actual weight obtained in the Buyer's Country, then the weight obtained in the Buyer's Country shall be taken as the basis for all purposes of the contract.

It is essential that the timely supply of all Deliveries is of the essence of the contract and accordingly the Supplier shall take all necessary steps to meet time schedule without compromising the criteria as to quality and/or quantity expressed in the contract. The Buyer agrees to treat as confidential all process and technical information, proprietary know-how, patented processes, documents, data and drawings furnished to him under the framework of the Contract other than when required by law or when it becomes necessary in the interest of the plant and agrees to impose the same conditions on the persons or firms he may employ or assign for the fulfillment of the Contract. This provision shall not apply to such confidential information which is or becomes a part of the public domain; or which is already known to the Owner or his assignees. The Seller similarly agrees to treat as confidential any geological data, technical documents or other strategic information obtained in connection with the contract.

The Supplier shall affirm that it has obtained the unqualified right (s) to grant and shall grant to the Owner irrevocable, non exclusive, non transferable licenses for use in the operation of all processes in the Plant. The Supplier shall also undertake to make available to the Owner, starting from the coming into force of the Contract and for a period of 15 (fifteen) years there from, free of charge, the latest know-how and techniques available to him including any technological developments in operation techniques, preventive maintenance and safety measures applicable to the plant construction pursuant to the Contract.

DESIGN PARAMETERS
Plant Production Capacity The Production capacity will be 60 ton/day or 19470 tons per annum of high quality homogenous and free from bubble ordinary soda lime glass in flint, amber and green glass. Capacity of process equipment must be suitable for this production as well as the capacity envisaged for the second campaign for 90-120 tons/day with electrical boasting. Product Specification The Glass quality to be produced will be "Ordinary Soda, lime, silica Glass" homogenous and free of bubbles. Raw Materials / Ingredients Specification 1.3.1 Location of Raw Materials Most of the necessary raw materials for the Production of Glass exist in a sufficient quantity in the proposed Region. finally blown to shape and pushed to the machine conveyor to be feed to the annealing lehr. The bottles are transported by the chain conveyor and cooled. Before they reach the transfer wheel a hot end treatment by spraying Stannic Chloride is applied on the surface to enhance its strength and save in weight. Other treatment equipment at the hot end will be the pill dispenser for increasing chemical durability to pharmaceutical bottles. The bottles will be annealed in their respective annealing lehrs. Products are discharged at the cold end after passing the cold end treatment. Inspection of bottles will be conducted on the single liners by lighted screens and through a gauger and check detector. The packing is manually done at the packing table, however, provision for future packing installation and shrink wrapping is provided. Bottles that need further decoration are diverted to the screen printing to an inline stacker charging the products into the decoration lehr. The decorating department is to be supported by a photo laboratory and screen preparation room. The machine configuration must be in line to the full capacity of the furnace with an average weight of the medium and frequent bottle production such as Beer bottles and soft drink an average of 300 g/bottle Utility systems will be arranged in the most advantageous manner with a view of their direct consumers. Compressed air will be supplied from a centralized system with compressors working in parallel. Raw water will be extracted from underground water wells around the site to be developed by the Owner. Facilities such as raw water reservoir, treatment plant, pump station, service water reservoir, cooling tower etc. will form part of the water supply system. Cooling water for machines and equipment will be recirculated in a closed-circuit system so that, fresh water would have to be supplied only to make up for cooling water losses which will allow an economical use of available water reserves. Fuel oil will be used as a fuel for the glass melting operation/ production. Provisions will be made for unloading road tankers, oil storage tank and oil pumping facility. Electric power will be supplied to the factory from nearby sub-station and related sub-stations. Water supply conduits and cables will be buried under ground, and fuel supply pipes will be laid through ducts. An emergency power generating unit will be provided to run essential machines and equipment in the event of main power supply failure or interruption. The production process will be controlled from control centers in a Central Control Room (CCR) assembling all the switching, controlling, measuring and regulating facilities needed to conduct the glass making process. An adequately equipped laboratory will be provided for the purpose of routine quality control.

3.2. Description of Plant Layout Production units will be arranged taking due consideration to maintenance, handling & process flow convenience. Main traffic roads by which to bring in and take out supplies will be situated as convenient as possible to allow & handle most of the traffic movements so as to keep them off the production centers. Production lines, utility systems & storage will be arranged with due regard to future expansion of the plant. Workshops, Central store and main transformer sub-station will be located in strategic points affording ease of access both from the main traffic road & from production centers. Tenderer must describe in detail units to be provided and technical processes to be employed together with illustrative drawings and diagrams.

SECTION 4.
4.1. WATER The source of water supply for the factory will be from underground water with discharge rate of ____ liters per second (lt/s) located at a distance of ----km from the proposed plant site. Cooling and service water will be supplied from a raw water reservoir. Appropriate water treatment plant and cooling facilities as well as proper supply and return net work will be employed whenever found necessary. Water for cooling the machinery and equipment will be run in a cooling water circuit so that, apart from service water supplies, fresh water will have to be supplied only for making up cooling water losses, which ensures economical utilization of available water reserves. Drinking water will be supplied in a manner such as to be sufficient for the plant. The Supplier shall indicate the specific water consumption per ton of end product. It shall be the responsibility of the Supplier to ascertain the suitability of the water for the purpose for which it is intended. 4.2. COMPRESSED AIR Compressed air will be supplied from compressors installed in the compressor station. 4.3. FUEL OIL
Heavy fuel oil for the Glass Plant will be supplied from _______________ Via Port of Djibouti. Fuel oil will be unloaded at an unloading station from road tankers and then pumped to the fuel storage tank. The fuel storage tank and the pipeline to the melting furnace and drying kiln will be provided with electric heating system (possibility of using waste heat for heating). The fuel oil is pumped from the storage tank to the Regeneration furnace with an adequate pumping station. The Supplier shall indicate the specific fuel consumption per ton of glass melted. The specification of heavy fuel oil available in Ethiopia is indicated in table 4.1. 4.4. ELECTRICITY
The electric power supply will be from the interconnected national grid system through 132 kv transmission line to Adi-grat from Mekele by Ethiopian Electric Light and Power Authority (EELPA) The Authority will extend cable from its substation which will be constructed near the site at 15 kv, 3-phase, 50 cycles up to the 15kv bus-bars of the main station of the plant.

The Supplier's scope of deliveries and services starts from the bus bar end of the 15kv incoming cables and shall cover the complete plant with respect to supply & distribution of power, lighting etc. For running the machinery and equipment as well as lighting the electric power requirement of the plant per ton of glass shall be indicated. As well the electric power requirement of each production station shall be indicated. Appropriate earthing system including lightning protection and materials used shall be included in the offer & shall be in accordance with the International standards. 4.5. LUBRICANTS AND OILS
All lubricants and oils required for trail run shall be listed and provided by the supplier. However, the supplier shall provide equivalent lubricating oil grades available in Ethiopia. 4.6. TELEPHONE Internet
The telephone line connection between the national network and the plant will be provided by the Owner.

6.10. Bucket ELEVATORS All elevators shall be over designed for 115% of their capacity to provide for possible emergency over loads during operation. 6.11. TRAVELING CRANES AND HOISTS Overhead traveling cranes with capacities more than 5 (five) tons shall have sufficiently dimensioned corridor of walkways all along the space of the driving axle as access for maintenance and repairs. 6.12. ELECTRICAL EQUIPMENT The design of main electrical equipment i.e. motors, cables, low voltage and high voltage cubicles, transformer, capacitors etc. shall comply with the IEC recommendations. Motor dimensions shall comply with IEC recommendations. The altitude above sea level of the Site is 2280 m. derating of the equipment shall be duly considered so that limits of temperature rises shall be according to the latest IEC recommendations. In the electro-technical design of the plant, consideration shall be made for future expansion of the plant. Operating Voltages: 380 volts, 220 volts , frequency (50HZ) For signaling system (4-20ma) or the appropriate voltage shall be used. 6.13. ILLUMINATION SYSTEM For designing of the lighting system illumination level for various sections shall not be less than the standard values. 6.14. EARTHING SYSTEM The entire earthing system shall be interconnected to render low over all earthing resistance. The earthing shall be connected with all metal parts of the plant, machines, platforms and structures that might be live in case of fault. The measurement system shall be provided with a separate earthing for service and security earthlings. 6.15. LIGHTENING PROTECTION Lightening protection shall be provided for all buildings and tall structures. Underground earthing system shall be provided for each section for direct discharge to earth in the event of lightening. 6.16. WELDING Welding rods required to be used in all aspects shall be supplied by the supplier. Welding shall be in accordance with applicable standards. Machinery & Equipment requiring special welding shall only be carried out by suitably qualified welders of the Supplier. 6.17. ELECTRIC MOTORS Unless otherwise specified, all motors located in the factory building shall be of tropical insulation and totally enclosed fan cooled type. Those located outside shall be weatherproof type.

6.18. MOTOR STARTERS The Supplier shall specify starting characteristics of all motors. The motors shall be arranged for push button remote control electric starting. 6.19. ELECTRICAL SYSTEM Materials used for the electrical system shall be suitable in all respects for the class of services in each instance and shall be in accordance with the international standards. The design of the electrical system shall include all necessary drawings, diagrams, schemes, calculations, etc. 6.20. COMMUNICATION The internal communication system shall be designed by the supplier and all equipment and necessary accessories shall be listed and quoted for. 6.21. SAFETY AND FIRE PROTECTION The recommended type of safety equipment and the necessary fire protection system with all its details shall be provided. 6.22. VENTILATION AND AIR CONDITIONING SYSTEM The recommended type of ventilation and air conditioning system with all its details shall be provided for the necessary departments needing ventilation and air conditioning. 6.23. TANKS All metallic tanks and containers shall be constructed with all necessary bracing, connection branches and pads, flanges, screwed and tapped as necessary. All tanks and containers required in the various stations shall be designed and constructed in accordance with the internationally accepted standards. 6.24. VESSELS Pressure vessels and tanks shall be designed and constructed in accordance with approved standards. Pressure vessels shall be fitted with adequate safety and safety equipment. 6.25. PUMPS AND COMPRESSORS All pumps and compressors for continuous and vital services shall have stand-by installed. All operating and stand-by services are to be electric motor driven. The Supplier shall standardize and when ever technically possible minimize the number of pumps, compressors and sub assembly types. The location area of compressors shall be ventilated if found necessary. For each pump and compressor, the supplier shall provide all necessary technical data. All pumps and compressors shall be designed and installed in accordance with the internationally accepted standard.

6.26. INSTRUMENTS All instruments shall be designed with dust and moisture covers. Scales shall be of such material that no discolourization or pealing takes place with age under tropical conditions. All electrical equipments and meters shall comply with approved international standards and unless otherwise stated shall be of industrial grade accuracy. Temperature measurement for temperature above 150 0C shall be of the thermocouple type and below 150 0C by resistance thermometer type. All control and measuring proportioning devices needed for an accurate and systematic supervision of operation of the entire plant are to be supplied. Process and operation control is to be made from control room(S). Pressure gauges shall comply with requirements of approved standards. Stop cocks shall be fitted adjacent to each pressure gauge and isolating valves included where pressure gauge piping is connected with the main system. 6.27. PIPING The materials of all pipe work shall be suitable in all respects for the class of services in each instance and shall be in accordance with approved standards. All piping shall be supplied with flanges and other fittings as required and shall be protected and closed against entry of moisture and foreign matter while stored as site. All sharp edges and burrs shall be removed from the bore of the pipe. The pipe work shall be designed by the Supplier in such a way as to permit easy dismantling and re-erection by the Glass Factory Staff. All piping shall be supported by means of hangers or other approved arrangements. 6.28. VALVES Valves shall be of the most appropriate versions. Valves shall be located so that any plant item may be isolated from all services and process lines to allow tanks and vessels to be drained and vented and permit stand-by pumps to be brought into service during normal factory operations. 6.29. INSULATION For thermal economy purposes, all pipe work, tanks and vessels having a temperature exceeding 50 0C shall be insulated. Insulation thickness shall be in accordance with the International standards. 6.30. NEW EQUIPMENT The Supplier shall guarantee to use new, high quality and selected materials and equipment throughout the works. The use of materials liable to deterioration due to environmental conditions will not be allowed. 6.31. COMPLETENESS OF SUPPLY All items necessary for a complete and perfect working of the plant which may not have been included in the specification shall be included by the Supplier. A list of all special equipment and tools as well as equipment shall be separately listed and quoted for.

SECTION I: MAJOR MACHINERY AND EQUIPMENT IN THE PRODUCTION PROCESS OF THE PLANT I. GENERAL BASIC REQUIREMENTS.
1. Although the plant is to be designed for an out put of 60 tons/day molten glass for the first campaign lay-outs of equipment and machinery shall be designed in consideration of future capacity expansion of the plant by at least twice of the same capacity. Machinery and equipment common to both technological capacities shall be provided with adequate capacity right from the beginning. 2. All machinery and equipment should be of the simplest possible, trouble free design with minimum wear, efficient and economic operation characteristics. Provisions for interchangeable parts shall be considered, wherever possible in order to minimize spare parts stocks. The selection of machinery and equipment shall be based on taking easy access to all machinery and equipment for inspection maintenance and repair, oiling and control into consideration. Furthermore all safety precautions shall be provided for all equipment to meet factory regulations. In the Electro-technical design of the Plant, consideration shall be made for future expansion of the plant. The main transformer station as well as 0.4kv sub-stations shall be so designed that buildings can be extended and equipment can be installed in a pre-planned way to cater for future expansion. The general conception of instrumentation and automation design will be based on present world degree or on that of the Supplier's country for similar plants or process and/or the Buyer's technological, electrical and mechanical requirements by means of a techno-economic evaluation. The design of main electrical equipment i.e. motors, cables, low voltage and high voltage cubicles, transformers, capacitors etc. shall comply with the IEC recommendations. Motor dimensions shall comply with IEC recommendations. The altitude above sea level of the Site is ________m. derating of the equipment shall be duly considered so that limits of temperature rises shall be according to the latest IEC recommendations. 6. Suppliers are requested to offer all the machinery equipment etc.... necessary within the limits of each individual station group and auxiliary station regardless of whether or not such machine, equipment facility, etc. .... is described in the specification.

All stockpiles will be covered by roofs to protect the materials against rain water. Wind break fences and trees should protect the materials from contamination. The unprocessed raw materials are stored in the open and stock piled, however, there should be a minimum of clean platform to avoid contamination with the dust. Foreign Cullet will be stored in the open however separate plat forms with partition may be envisaged at present for storing different colors. The plant rejects are collected by a conveyor and directly damped into a crusher and stored or elevated to the cullet silo. The supply raw materials will be weighed via 50 ton weigh bridge located at the entrance.

Technical Specification
3.1 Receiving and transfer of raw materials (i) Major materials are such as Sand; Soda ash; Limestone; Dolomite; and Feldspar. Are received from the stock storage and dumped in bulk by front loader/bulk truck and discharged by gravity into receiving hopper. Material will be transferred into the respective silos through a vibratory feeder, a bucket elevator and screw conveyor on the top of the silos. (ii) Minor materials are such as Salt cake; Pyrite; Nitrate etc. Will be received in small bags and using their own facilities.

2.
General Description of the Equipment Control Centers and Control Posts, Electrical Equipments Rooms.
The recommended control center (s) and control posts shall be specified in the offer. In additions, decentralized electro-rooms will be provided within the plant to accommodate contactor cubicles. They will appropriately be located close to the respective plant unit or stations. The layout will be made in detail at the design stage. Control Centers The control center (s) will be designed for the control and supervision of continuous processes. They must be permanently attended by supervisory personnel. They essentially consist of control boards and monitors (both described under the appropriate head lines) and other boards or panels needed for the registration of measured values, centralized registration of trouble conditions etc. The mimic diagram will be fitted in the upper portion of the control board. Control Posts The control posts will be designed for the control and supervision of partial processes. They shall be attended by operating personnel as required (e.g. raw material lines).this posts are integrated with central control Control Boards The control board will consists of a measuring section and a supervisory section. It serves for supervising the machinery of the process unit concerned. Indicator lamps will indicate the operating conditions of the equipment. The control board also incorporates running-hour indicators and the necessary measuring instruments for current, voltage, departmental Kwh, temperature, power factor, fuel, and other measuring instruments. The measuring section of the control board houses, among other things, the measured-value recorders, two-point and instantaneous controllers for indicating and signaling measured-value limits, the controllers for adjusting final control elements, power units and part of the associated components such as electronic amplifiers balancing, calibrating, and adjusting resistors as well as fuses for measuring circuits. The process section concerned is symbolically shown as a flow diagram in the upper portion of the control board. Arranged in the lower portion are, the readings of process quantities that are required for running the plant unit directly within the operator's sight. The supervisory section will be mounted on a base to ensure optimum visibility of the instruments from the control desk area.

Control monitors or Central Control The control desks will be fitted with all the controls and supervisory devices for closing the circuit breakers of the contactor board incoming feeder panels, connecting the control voltages and the drive starting preliminary signal, and for "emergency stop" location. Furthermore, all the controls, signal and adjusting devices required for the operation of the plant are located on the control monitors. The control monitors will be located in front of the control boards. The Monitors shall be located in the central control room. Contactor cubicles They will serve for the power supply to the electric driving motors and other electrical equipment of larger machine groups. They will be of sheet-steel-enclosed dust-proof design and have from and rear doors, so access is ensured to all the built-in components. The contractor cubicle will consist of the incoming-feeder panel and the adjacent outgoing-feeder panels. The incoming-feeder panel houses the circuit breaker for the power supply intake from the low-voltage main switchboard. In the contactor panels, the switching and control devices, fuses and terminals are grouped for each drive. Air-break contactors will be used as switching devices for the power supply to the driving motors. Motor protection is secured by circuit breakers with dual protection and/or fuse in conjunction with bimetallic relays (thermal releases). The releases shall be adjusted to the motor rated current during initial start up. If the bimetallic release operates on overload, the line contactor will be deenergized and the drive shut down. At the same time, an audible and a visual signal will be given. Switch boxes for individual operation (local control) The switch box will be used for the local control of low and medium power drives. the switch box will be of sheet-steel enclosed design and will have a lockable cover. The box will contain a key switch to change over from remote control to local control as well as the push-buttons for local control. The drive which has been changed over to local control will remain interlocked in accordance with the material flow. The protection for the motor and equipment remains. However, where having been changed over, the drive will be excluded from group shut-down that means, the operator is fully responsible for the safety of personnel during the local control of the drive. Generally, local control should be performed only during initial start-up and in exceptional cases when trouble has occurred. Other devices located outside the equipment sections In order to give an early warning to the personnel before the plant is started up, a number of hooters and warning lamps (red light) will be distributed over the plant area. These devices have to be operated compulsorily before each start up.

Alarms will be used to signal trouble within the electrical equipment and limit values in process measurements being reached. Emergency push buttons will be distributed over the plant area, the operation of which will de-energize the station concerned. Cabling All low-voltage cables (1 Kv) will have copper cores, P.V.C. insulation add P.V.C. covering. They are suitable for indoor and underground laying. Appropriate types for: Multicolor cable with P.V.C. covering, rated voltage 1 KV: for indoor, power and control. Steel tape armoring and P.V.C. covering, rated voltage 1 KV for outdoor, power and control. Multicore measuring cable, screened, with P.V.C. covering to be specified by the Supplier. Measuring devices Primary elements, measuring instruments and accessories will be supplied as required for the process equipment. Electrical transducers operating on a standard current signal will primarily be used (4-20 MA) D.C. Motors Whenever D.C. motors are found to be necessary then they shall be thyristor supplied having, however, different types of cooling. Three-phase low-voltage motors These motors will be totally enclosed and of surface ventilated design. Motor frames (cast-iron and welded construction) to be specified in the offer.
3. THYRISTOR DRIVES
If the thyristor converter drives are used then they shall incorporate all essential functional units such as a) Power section arranged as a fully controlled three-phase bridge. b) Information-processing section with the necessary control amplifiers. c) Power supply unit with a stabilized reference source and pulse control unit. d) Protective rectifier for protecting the devices from supply transients. e) Supervisory section comprising the components for sensing the actual current value for feedback control purposes and for quick initiation of protective pulse suppression and the devices necessary for supervision, interlocking, and trouble signaling. f) Fans for cooling g) Field supply for supplying the field with a constant voltage (including field current supervising circuit). h) Remote reference adjustment for adjusting the reference potentiometer from a control post outside the thyristor cubicle.

The basis of the necessary power of the transformers to sustain the power input and the total installed capacity of the plant must be calculated on the basis of the maximum power demand of ________ MVA. Particular main transformer stations and substations to be installed shall be specified in the offer. 5.2 The following voltage levels will be used for the equipment: 15 KV, 50 Kz cable incoming supply 380 V, 50 Hz for three-phase low voltage motors 380/220 V, 50Hz for power systems and lighting. 220 V, 50 Hz for control voltage for contactors and relays 440 V DC for D-C-Drives 110 V DC for control circuits 48 V DC for signal lamps (with 60wt bulbs) 5.3 Type and design of the equipment 15KV switch gear (Supply by Ethiopian Electric Authority) 15/0.4 KV transformers (main transformers Supply by Ethiopian Electric Authority) The cubicles will be equipped with motor-driven oil minimum circuit 0.4KV distribution board For the distribution of power in the low-voltage range, indoor switchboard will be used. The incoming-feeder panels and outgoingfeeder panels will be switchboard units. The incoming -feeder versions will be fitted with circuit breakers. The outgoing-feeder panels will be equipped with load break switches and fuses. The switchboard will incorporate all the necessary circuit breakers, isolators, fuses, protective and measuring devices. D.C. Voltage of 110 V, taken from the batter cubicle with automatic battery charger will be used as auxiliary voltage. 0.4 KV Capacitor Installations The 0.4 KV capacitor installations will improve the power factor on the 0.4 KV bus bars to 90 percent. capacitor panels will be controlled by air-break contactors. Tripping on short-circuit will be secured by low-voltage fuses. For connection and disconnection of the capacitors under automatic control, a reactivepower controller will be used. For special modes of operation, change-over to manual control will be possible. D.C. Supply D.C. Power will be supplied form metal enclosed battery cubicles if found necessary. The battery cubicle will arranged for stand-by parallel operation, i.e. the connected loads will be supplied from the mains via the rectifier, the battery being permanently available as stand-by in a fully charged state by an automatic battery changer. Emergency Diesel Generating Unit The emergency diesel generating unit will be located in the building of the main transformer station MTS. The Diesel generating unit will be designed to feed important loads of the process and the emergency lighting system under emergency conditions, i.e. on failure of the public power supply. The set will provide a _______KW output at site (altitude 2600m) Generator and Diesel engine will be mounted on one common sheet-steel base. In case of failure of the public power supply the Diesel engine will be automatically started after about 15 ... 20 seconds. The set will not be designed for parallel operation with the mains. Earthing System For each transformer station the earthing system will be designed as a common protective and service earthing system for the high-voltage and low-voltage installations. All the equipment units and devices to be earthed shall be connected to that earthing system, as shall be any conductive parts of devices and metal work which are not part of the operating current circuit, but may become live directly or indirectly under fault conditions. The earthing system will be designed with consideration of the specific earth entering resistance of the site so that safe discharge of fault and leakage currents into the soil will be ensured. Cabling Compound-impregnated steel-tape armored cables with lead covering; protective sheathing and concentric copper conductors will be used in the high-voltage range wherever found necessary.

Reinforcing steel shall be in Grade S____ for plain bars and Grade S____ for deformed bars. All basements and underground trenches shall be provided with proper slopes, ramp and sump pits so as to drain all water if required. 3. HYDRAULIC AND SANITARY The distance between manholes in the waste water drainage network must not exceed 50m. Sewage pipes must be located in the green areas wherever possible. Sewage pipes must have sand and gravel bedding of not less than 100 mm thickness. Sewage pipes shall have a slope providing a minimum velocity of 0.7 m/sec with a circulation depth of 0.6 x Diameter. The elevation difference between inlet and outlet pipes in each manhole should be 20-50 mm. Rain water drainage pipes shall have a minimum diameter of 300mm. Several drainage outlets from the industrial area shall be foreseen so as to reduce diameters and shorten pipe lengths. Drainage pipes shall have a slope providing a minimum velocity of 0.8 m/sec. with a circulation depth of 0.7 to 0.8 x Diameter. Channels shall be used to prevent entry of surface runoff water into the plant site. Fire hydrants shall be provided so as to cover the whole built-up area, and located preferably at road intersections. The water supply scheme for service water shall foresee closed circuit circulation. Drinking water system and service water system shall be separate. Steel piping shall be foreseen for both drinking water and service water. Adequate collection pits for sanitary sewage shall be installed near the various building units. Air conditioning, ventilation and dust tightness shall be provided wherever technologically required. Provision shall be made for warm water supply in the social buildings(from waste heat) and the laboratory (Social Buildings include: Administration, canteen, kitchen and restaurant). No space heating shall be foreseen. 4. STIPULATIONS FOR BUILDING MATERIALS AND CONSTRUCTION DETAILS FOR INDIVIDUAL OBJECTS. All objects shall be designed, on the basis of the aforementioned general terms Raw Material Preparation Side and roof cladding in EGA corrugated sheets shall be foreseen as protection against rain.

Raw Material Storage and Product Store The Supports for steel frames shall be reinforced on concrete foundation or steel columns. Masonry filling between columns can be used as required. Batch House Side and roof cladding shall be chemical resistant to corrosion. Storage Silo (Batch Silos) Design shall envisage a steel silo with reinforced concrete and a simple construction method. Production Hall Supports for steel frames shall be reinforced on concrete of steel column. The Side and roof cladding shall be in steel corrugated sheet that can understand the heat and hot gases. Drinking Water Tank Drinking water tank shall be without soil cover and located on a high ground so as to enable gravity supply. Raw Water Tank/Reservoir Required capacity and number of tanks reservoir shall be considered in view of the raw water supply source and future expansion. Main Transformer Sub-Station Cable Basements shall be well drained. Control Center The control room shall be free from vibrations and protected from dust ingress. Basement shall be avoided. Workshops and Central Store The total height of the central hall shall be about 10m. with top lighting. Reasonable height of ancillary rooms shall also be considered. A store for Lubricants and chemicals shall be foreseen. The layout of shops, offices, stores and W.C. shall be carefully studied, with due attention to functionality. Due precaution shall be taken to avoid fire and other hazards in the central store and workshop. Natural ventilation and illumination shall be maximized and glare shall be avoided. A proper space utilization analysis shall be carried out so as to optimize the design. Motor Vehicle Workshop Main workshop room height shall be about 5m and reasonable height of ancillary rooms shall be considered. Top lighting shall be used. Natural ventilation and illumination shall be exploited to the maximum. Steel structure roof system with corrugated EGA sheet roofing shall be used.

Roads and Squares Roads and squares shall have flexible pavement (asphalt concrete). Pavement around Raw Material Preparation/storage Yard Pavements around raw material preparation, storage yard and loading areas of glass products shall be in concrete. Surface Water Drainage In order to protect the plant site from storm water, an open drainage channel shall be foreseen. Sewage Drainage The location of the treatment plant shall be studied in order to reduce the length of piping and depth of the tank. Dispatch Building The building shall be located at the appropriate functional position. The space allocations shall be based on the specific functional requirements, which shall accommodate the sales office and dispatch control. Office Building A two-storey structure shall be foreseen including a meeting hall. Space accommodation analysis shall be made. Clinic The building shall be located in an area where it can be easily accessible from outside without disturbing the main functions of the factory and other auxiliary buildings. A simple design taking into account the functional relations of the various services such as waiting hall, examination, treatment, pharmacy, laboratory etc. shall be foreseen. Workers Restaurant The space accommodation shall be foreseen for multipurpose hall(s) and kitchen plus store and staff rooms. Natural ventilation and illumination have to be maximized. Kitchen design shall be adopted to the local socio-economic conditions. The main hall shall be designed to accommodate multi functional programs such as meetings, assembly, film show, cultural show etc. stage and projector room shall be foreseen. Store for chairs, tables etc. serving the dinning hall shall be foreseen. Hand wash basins, urinals and water closets shall be foreseen near the entrance and exit. Fence Barbed wire on precast concrete posts shall be provided. Sub-Grade All floor levels for each object, including roads, green areas etc., shall be determined on the basis of the final site topography so as to reduce subgrade excavation to a minimum and obtain a harmonious adaption of the plant to the terrain.
