Dear Mr. Deogracias:

We are pleased to submit our proposal to provide investment consulting services. As a
comprehensive national consulting firm, Synergia is fully capable of providing the entire scope of
consulting services described in your Request for Proposal.
Since its inception, Synergia Consulting Services Inc. has assisted clients in 1) measuring and
evaluating investment performance, 2) selecting investment managers, 3) formulating practical
investment and administrative policies, 4) selecting and monitoring deferred compensation service
providers. The resources Synergia brings to your Program includes a highly qualified and
experienced professional staff. Synergia believes that its experience in providing similar services
gives us a unique position, including knowledge of the appropriate investment decisions.
Synergia will provide the Consulting Services to you and for your benefit for which Synergia acts,
or will act as a consultant.
We have carefully reviewed your contract requirements and this is to certify that we fully comply
with all the terms and conditions of your contract requirements.
Our responsibilities as professionals would be to (1) conduct a feasibility study of 2GO Group,
Inc. regarding its investment opportunities and viability, (3) prepare a thorough analysis of the
information gathered and presenting it in a form of a due diligence report, and (3) provide guidance
on the interpretation of data for a fluid comprehension of the study
Your responsibility as our client is to give a timely response for our proposal to be able to
communicate with us to avoid misinterpretations.
Please note that we will not be providing services mentioned below:
1. This engagement does not include business management. We will not review the
payment of any invoices or bills.
2. This engagement will not audit, compile or review financial statements, or any
other accounting documents and information, in accordance with generally accepted auditing
standards. Accordingly, we ask that you not in any manner refer to this as an audit or review.
3. We solely provide assistance in the determination of viable investment

arrangement, thereby we disclaim responsibility of the significant deficiencies or material
weaknesses of the ultimate decision you choose to make.
4. Our report is not to be used for any other purpose and is exclusively for your
information.
In relation to this engagement, we have illustrated below the proposed timetable of the tentative
dates of relevance for the consultancy service.

Meet up with the client for further September 25, 2017

Acceptance of the engagement proposal September 29, 2017
Commencement of consultancy service work October 2, 2017
Observation and feasibility research of the October 6, 2017
company’s investment opportunities
Preparation of comprehensive due diligence October 20, 2017
report
Closing conference November 20, 2017
Completion of consultancy service November 27, 2017
The charges for our services will be based on the type of service involved and not the number of
time units. We assess a single project fee for our work including other expenses amounting to
P130,000. One half of the fee is due upon the acceptance of this proposal and the balance due 60
days following the payment. However, if you choose to pay the entire amount at the outset, we
would be pleased to grant an 12% reduction in the total fee.
We appreciate your interest in our consulting services and look forward to assisting you and
delivering significant value that would support you to make the best decision.
If you agree that the foregoing fairly sets out your understanding of our mutual responsibilities,
please sign a copy of this letter in the space indicated below and please do not hesitate to contact
