    SPECIAL POWER OF ATTORNEY

    KNOW ALL MEN BY THESE PRESENTS:

    WE, _______, both of legal age, and with residence and postal address
    _____________ do hereby by these presents NAME, CONSTITUTE and
    APPOINT, ______, of legal age, Filipino citizen, and with postal address at
    _____________, to be our Attorney-in-Fact, to exercise the powers enumerated
    hereunder and in my behalf in the case entitled: __________;

    a. To cause or initiate the filing of appropriate legal action(s) (judicial,


    quasi-judicial and/or administrative) to protect and preserve our rights and
    interests, in relation to the above-stated case;
    b. To cause the preparation of complaints, petitions, and other initial
    pleadings as well as answers and responsive pleadings, and all other pleadings
    which may require Verification and/or Certification of Non-Forum Shopping,
    sign the Verification of pleadings, and execute the Certification against Forum
    Shopping, and other requisite pleadings and parts thereof, as circumstances may
    so require;
    c. To attend and/or participate in pre-trial conferences and/or
    mediation/Judicial Dispute Resolution proceedings called for or held in legal and
    administrative actions involving us;
    d. To negotiate, conclude, enter into and execute a compromise or
    amicable settlement of the case or enter into a plea bargaining agreement under
    such terms and conditions as said Attorney-in-fact may deem just and reasonable;
    e. To agree on simplification of the issues;
    f. To amend the pleadings;
    g. To obtain stipulations or admissions of facts and documents;
    h. To limit the number of witnesses;
    i. To undertake a preliminary reference of issues to a commissioner or
    arbitrator or to submit the case to mediation;
    j. To do and agree on such matters as may aid in the prompt
    disposition of the action or cases;
    k. To prepare, submit, amend, sign and file any documentation
    required by Philippine law or regulation with the judicial, quasi-judicial and/or
    administrative bodies;
    l. To take and execute and deliver any other agreement, instrument,
    certificate or other document as the said attorney-in-fact shall consider necessary
    or desirable in connection with the exercise of his powers;
    m. To sign the verification and certification against forum shopping in
    connection with the above-cited case, move for the amendment of the complaint
    and its withdrawal, move for the execution of the decision, to file any motion for
    reconsideration, notice of appeal, petition for review and/or certiorari of any
    order, resolution, or decision rendered in the said case; and
    n. To do and perform all acts for and in our behalf, as required by
    applicable law and court rules.

    HEREBY GIVING AND GRANTING unto said Attorneys-in-facts full


    power and authority to do and hereby ratifying and confirming all that said
    Attorney-in-facts shall lawfully do or cause to be done by virtue of these presents.
