Schall - C&D Reply Letter

CEASE AND DESIST LETTER – RESPONSE

Dear Ms. Marcia-Creencia:

I am the counsel for Mr. Marco Schall, and we are writing in relation to the
letter he received from your office dated 08 January 2020.

Our client advised us that in your letter, a demand has been made upon him
to Cease and Desist from breaching his Employment Agreement (“Agreement”)
dated 18 April 2017 with your client, LearningLitz, Inc., for allegedly violating Items
15 and 16 of the abovementioned Agreement, which relates to Non-Competition.

In addition, your client further claims that since Mr. Schall is still bound by
his undertakings under the Agreement during its term and for 12 months after its
termination, his supposed employment with Lifelinks International Resources, Inc.
is in direct violation of his commitments under the Agreement.

However, contrary to your client’s allegations, Mr. Schall is neither employed


nor did Lifelinks International Resources, Inc ever employ him, as LearningLitz, Inc.,
suggests. Furthermore, our client would like to emphasize that he is very much
aware of his obligations under the Agreement and has never committed any acts,
which would violate such Agreement and expose him to legal liabilities.

For these reasons, we would like to conclude that the claims made by your
client in your Cease and Desist letter are invalid.
