DEED OF ASSIGNMENT

This Deed of Assignment, made and entered this 15th day of September 2016 , in
Quezon City, Metro Manila, by and between:

ZAINIAH PHILIPPINES INC., a corporation duly organized and existing


under Philippines laws, with office address at 3 rd Floor Regalia Park Tower, 150
P. Tuazon Blvd., Cubao, Quezon City represented by its President, RONALD
FESALBON, by virtue of the powers conferred upon him under the attached
Secretary’s Certificate (Annex “A”), and hereinafter referred to as the
ASSIGNOR;

and

PIL-CHI TELECOMS INC., a corporation duly organized and existing


under Philippines laws, with office address at Unit 906B, State Investment
Center, 333 Juan Luna Street, Binondo, Manila represented by its President,
MARK GLENN SY, by virtue of the powers conferred upon him under the
attached Secretary’s Certificate (Annex “B”), and hereinafter referred to as the
ASSIGNEE.

WITNESSETH: That,

WHEREAS, the ASSIGNOR is willing to assign, and the ASSIGNEE is willing to accept the
ASSIGNOR’s NINETY-EIGHT THOUSAND (98,000) SHARES by way of this instrument;

NOW, THEREFORE, for valuable consideration, the ASSIGNOR does hereby assign, cell,
cede, transfer and convey in a manner that is absolute and irrevocable, NINETY-EIGHT
THOUSAND of its SHARES unto the ASSIGNEE, free from all liens and encumbrances.

Any and all expenses incidental to the conveyance and registration of the transfer from
the name of the ASSIGNOR to the name of the ASSIGNEE, such as documentary stamp tax,
transfer fees, registration expenses and the like shall be the sole and exclusive account of the
ASSIGNEE, except for the capital gains tax, if any, which shall be for the sole account of the
ASSIGNOR.

IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF ASSIGNMENT on
the date and place first above written.
