Contract To Sell
This Contract to Sell is made and executed and entered into this ________ day of ____________ in
____________________, by and between:
-AND-
MARYROSE A. TORINO, of legal age, Filipino, single and with residence and
postal address at _________________________, hereinafter referred to as the
BUYER;
WITNESSETH;
WHEREAS, the SELLER is the registered owner of a parcel of land (Lot 5481-B-1 of the Subdivision
Plan, PSD-04-192613, being a portion of Lot 5481-B, (LRC) PSD-99397, L.R.C. Record No. 1290),
situated in Brgy. Banay-Banay, Lipa City, Batangas with a total area of NINE HUNDRED TWENTY-
FIVE SQUARE METERS (925.33 sqm), more or less, and covered by Transfer Certificate of Title
(“TCT”) No. 072-2016000774 (the “Land”) issued by the Registry of Deeds for Lipa City. A copy ofTCT
No. 072-2016000774 is attached hereto as Annex “A” and made an integral part of this Contract;
WHEREAS, the BUYER has offered to buy and the SELLER has agreed to sell the a portion of the Land
with a total area of FOUR HUNDRED SQUARE METER (400 sqm) of the above mentioned property
under the terms and conditions herein below set forth;
NOW THEREFORE, for and in consideration of the total sum of ONE MILLION PESOS
(P1,000,000.00) Philippine Currency, and of the covenants herein after set forth the SELLER agrees to
sell and the BUYER agree to buy the aforesaid property subject to the following terms and conditions:
1. The total consideration shall be ONE MILLION PESOS (P1,000,000.00) Philippine Currency (the
“Purchase Price”), payable through CASH as follows:
1.1. The amount of TWO HUNDRED THOUSAND PESOS (P200,000.00) representing earnest money
deposit shall be considered part of the total Contract price and shall be payable upon execution of this
Contract to Sell and submission by the SELLER of the following:
Original owner’s duplicate title over the Land;
Original copies of the tax declarations over the Land;
Original copies of the latest official receipts for realty tax payment, if any, over the Land; and
Subdivision survey plan signed by a licensed geodetic engineer indicating the specific
portion subject the herein sale of land.
1.2. The remaining balance amounting to EIGHT HUNDRED THOUSAND PESOS (P850,000.00)
PESOS Philippine Currency, shall be payable within TWENTY MONTHS upon execution of this
Contract to Sell.
1.3. In case the BUYER could not fulfill any of their obligation stated in this Contract To Sell, the earnest
money shall be forfeited in favor of the SELLER.
2. All pending bills, if any, Real Estate Tax up to the time of sale shall be for the account of the
SELLER.
3. The Parties agree that the capital gains tax and documentary stamps tax due on the sale shall be for
the account of the SELLER and the BUYER, respectively:
The amount equivalent to the capital gains tax shall be deducted from the Purchase Price due to the
SELLER and remitted to the Bureau of Internal Revenue by the BUYER. The SELLER shall be liable
for any deficiency should the capital gains tax turn out to be more than what was deducted from the
Purchase Price by the BUYER.
4. Notarization fees, Registration Fee, Transfer Fees and all miscellaneous fees and expenses to transfer
the certificate of title in the name of the new owner shall be for the account of the SELLER.
5. The SELLER undertakes and agrees to execute and deliver to the BUYER such documents and/or
certificates as may be required by law for the registration of the sale and transfer of title to the Land
to the BUYER.
6. Possession to the subject property shall be delivered by the SELLER to the BUYER upon full
payment of the total consideration.
7. Upon full payment of the total price, the SELLER shall sign and execute a DEED OF ABSOLUTE
SALE in favor of the BUYER. The SELLER shall likewise execute and/or deliver any and all
documents, including but not limited to the original copy of Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the transfer of ownership from SELLER to the
BUYER.
8. In case the SELLER could not fulfill any of the obligations stated in this Contract to Sell, the
BUYER shall be entitled to a full refund plus 10% interest per month.
9. The SELLER warrants that the Land is free from any and all encumbrances of whatever nature as of
date of this Contract, and guarantees the BUYER’s peaceful use, possession and enjoyment of the
Land.
10. The SELLER further warrants that she is not engaged, or habitually engaged, in the business of
buying and/or selling real properties, and that the Land is not offered for sale or lease to the general
public in the ordinary course of business.
