Articles of Incorporation
of
Meraki Corporation
The Undersigned incorporators, all of legal age, have voluntarily agreed to form a stock
corporation under the laws of the Republic of the Philippines and certify the following:
FIRST: That name of said corporation shall be”Meraki Corporation”;
SECOND: That the purposes for which such corporation is incorporated are:
Primary Purposes
To engage in, conduct and carry on the business of advertising, both as principal and agent,
including the manufacture and construction of advertising devices and novelties, to construct,
purchase, lease or otherwise acquire fences, billboards, sign boards, buildings and other structure
suitable for advertising purposes, to advertise online in the world wide web, different
applications in different platforms (Mobile devises and Computers.), and other similar operations
and likewise to advertise by radio, television, and in general to employ or use any form of
advertising media.
Secondary Purposes
1. To engage in the business of operating advertising companies, studios and advertising
connected services.
2. To purchase, acquire, own, lease, sell and convey real properties, such as lands, building,
studios, equipment and other personal properties as may be necessary or beneficial
conducting corporate activities and other related activities advanced by the Corporation
and to pay cash, shares of its capital stock, and other evidences of indebtedness, for any
business or property acquired by the corporation.
3. To invest and deal with the money and property of the corporation in such manner as may
from time to time be considered wise or expedient for the advancement of its interest and
to sell, dispose of, or transfer the business properties and goodwill of the corporation or
any part thereof for such consideration and under such terms as it shall see fit to accept.
4. To establish and operate one or more branch offices or agencies and to carry on all of its
operations and business without any restrictions as to place to amount including the right
to hold, purchase or otherwise deal in and with real and personal property anywhere
within the Philippines; and
5. Generally, to do all and everything necessary, suitable, and proper for the
accomplishment of any purposes, or the attainment of any of the objects that connected
with the business of the corporation as may now or hereafter be authorized by law, and to
perform any and all acts connected with the business above-defined or arising therefrom
or incidental thereto.
THIRD: That the principal office of the corporation is located in the City of San Pedro, Province
of Laguna, Philippines;
FOURTH: That the corporation shall have perpetual existence or a term of 50 years from the
date of issuance of the certificate of incorporation.
FIFTH: That the names, nationalities, and residence addresses of the incorporators of the
corporation are as follows:

Seventh: That the authorized capital stock of the corporation is FIVE HUNDRED FIFTY
MILLION PESOS (Php550,000,000), divided into TWO HUNDRED SEVENTYFIVE
MILLION (275,000,000) shares with the par value of TWO PESOS (Php2.00) per share.
Eighth: That the number of shares of the authorized capital stock above-stated has been
subscribed as follows:
