    EQUIPMENT AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS:

    THIS EQUIPMENT AGREEMENT is made and entered into this _____ day of
    ____________, __________, at _______________________________, by and between:

    SOROSORO IBABA DEVELOPMENT COOPERATIVE (SIDC), a duly registered


    cooperative under the Cooperative Development Authority, with principal office address at Sorosoro
    Ibaba, Batangas City, represented herein by its Chief Executive Officer, HON. RICO B. GERON
    hereinafter referred to as the BORROWER;
    -and –

    NONILON S. FAJARDO, of legal age, married, Filipino, and with residence at Brgy. Quipot,
    Tiaong, Quezon, Philippines, hereinafter referred to as the “LENDER”

    WITNESSETH that –
    The Parties hereby agree as follows:

    1. The LENDER agrees to lend and the BORROW agrees to borrow the electrical power meter
    (kuntador) located at Barangay Quipot, Tiaong, Quezon;
    2. The LENDER represents and warrants that the LENDER is the true and lawful owner of the
    electrical power meter conveyed by this agreement and has full power to convey such
    properties, and properties so conveyed is free, clear and unencumbered;
    3. The LENDER hereby warrants that the LENDER has the authority necessary to sign this
    agreement;
    4. The LENDER agrees to indemnify and save harmless the BORROWER from and against
    any and all claims, lawsuits, actions, damages, loss, costs and expenses and demands, by
    third parties, that in any manner result from the LENDERS’s breach of the LENDER’s
    warranties and undertakings in this agreement. This indemnification binds the heirs,
    executors, administrators and assigns of the LENDERS;
    5. The BORRROWER is responsible for the cost of repair or replacement of any or the
    equipment that is damaged, lost, confiscated, or stolen from the time BORROWER assumes
    custody until it is returned to LENDER.
    6. The BORROWER shall be responsible for the proper use of the equipment. Equipment shall
    be returned to the LENDER in as good condition as when received by the BORROWER,
    except for reasonable wear and tear;
    7. Neither party hereto may assign this agreement without the written consent of the other, such
    consent not be unreasonably withheld;
    8. This agreement constitutes the entire agreement between the parties with respect to the
    subject matter hereof, and supersedes all pre-existing agreements and understandings
    between them with respect thereto.

    IN WITNESS WHEREOF, the parties herein affixed their signatures on the date and place above
    written.
