BY-LAWS

OF

PUROK SAMBAG MEMBERS ASSOCIATION

ARTICLE I

NAME AND SEAL

The name of the Association shall be Purok Sambag Members Association. The
corporate seal of the association shall be in such form and design as may be determined by the
majority of the general membership.

ARTICLE II

OFFICE

The principal office of the association shall be located in the Purok Center of Purok
Sambag, Victoria, San Remigio, Cebu.

ARTICLE III

MEETINGS

Section 1. Annual Meetings – The annual meetings of the members shall be held at the principal
office of the association on December 30 of each year. The President shall render his or her
annual report to the members regarding the activities of the association. The election of directors
shall also be held during the regular meeting.

Section 2. Monthly Meetings – The monthly meetings of the members shall be held at the
principal office of the association on every last Sunday of the month.

Section 3. Special Meetings – Special meetings of the members shall be called, as the need
arises, by majority vote of members of the Board of Trustees or the President or upon petition of
one-third of the general membership.

Section 4. Notices – Notices of the time and place of the annual and special meetings shall be
given either personally, by mail or by any means available and practicable, at least two (2) weeks
before the date set for such meeting. The notice of every special meeting shall state the purpose
or purposes of the meeting.

Section 5. Quorum –In all meeting of the association, whether regular or special, twenty-five
(25) members in good standing shall constitute a quorum to do business., except those matters
where the Corporation Code requires the affirmative vote of a greater proportion.

Section 6. Order of Business – The order of business at the annual meeting of the members shall
be as follows:
a. Proof of Service of the required notice of hearing.

b. Proof of the presence of a quorum.

c. Reading and approval of the minutes of the previous annual meeting.

d. Unfinished business.

e. Report of the President.

f. Election of the members of the Board of Trustees for the ensuing year.

g. Other matters.

Section 7. Voting Proxy – Each member in good standing shall be entitled to one vote, and he
may vote either in person or by proxy which shall be in writing and filed with the Secretary of
the association before the scheduled meeting.

ARTICLE IV

MEMBERSHIP

Section 1. Types of Members – The following shall be the types of members of the Association:

a. Regular Members – Every person who is a resident of Purok Sambag, Victoria, San
Remigio, Cebu is a regular member.

b. Member in Good Standing – A member who has not committed two (2) consecutive
absences in the association’s monthly meetings is a member in good standing.

Section 2. Recovery of Good Standing Status – a member who lost his good standing status may
recover the same by attending in the next monthly meeting. The Board may impose such
additional sanction as it may deem fit.

Section 3. Rights of a Member in Good Standing – A member in good standing shall have the
following rights:

a. To exercise the right to vote on all matters relating to the affairs of the association;

b. To be eligible to any elective or appointive office of the association;

c. To participate in all deliberations and meetings of the association;

d. To avail of all the facilities of the association;

e. To examine all the records or books of the association during business hours.

Section 4. Duties and responsibilities of the Members – A member shall have the following
duties and responsibilities:
a. To obey and comply with the by-laws, rules and regulations that may be promulgated by
the association from time to time;

b. To attend in all meetings of the association;

c. To participate in all activities organized by the association;

ARTICLE V

OFFICERS

Section 1. Officers – The officers of the association shall be the President, Vice-President, the
Secretary, Treasurer, and the Auditor, all of whom shall be elected by the members in an election
called for such purpose.

Section 2. Qualifications –The officers to be elected must be of legal age, good moral character
and a member in good standing.

Section 3. Term of Office -- The officers shall hold office for three (3) years and until their
successors are duly elected and qualified.

ARTICLE VI

POWERS & FUNCTIONS OF THE OFFICERS

Section 1. President – The President shall have the following functions and duties:

a. To act as the executive officer of the association, and a s such shall have active executive
management of the operations of the Association, subject, however, to the approval of the
Board;

b. To act as the official spokesperson of the Association;

c. To call meetings of the general membership of the Association, and shall preside over
such meetings.

d. To perform all duties inherent to the Office.

Section 2. Vice President – The Vice-President shall assume the duties of the President in case
of the latter’s absence, temporary or permanent incapacity or permanent vacancy in the office of
the president arising from death, resignation, expulsion or any other cause. He shall also perform
such other duties as may be assigned to him by the President.

Section 3. Secretary – The Secretary shall keep all the records of the proceedings of the meetings
of the general membership of the Association. He shall also give all notices required by these by-
laws; keep the seal of the association and affix such seal to any paper or instrument requiring the
same. He shall have custody of the Members Register and the correspondence files of the
association. He shall also perform all such other duties and work as the President may from time
to time assign to him.
Section 4. Treasurer – The treasurer shall have the following duties:

a. To keep safety all monies and other properties of the Association;

b. To collect all dues from the members of the association;

c. To submit an annual statement of income and expenditures at the annual meeting of the
general membership of the Association;

d. To submit such financial statements as may be required by the Board from time to time;

e. To perform all such other duties and work as the President may from time to time assign
to him.

Section 5. Auditor – The Auditor shall have the following duties:

a. To examine and audit all financial transactions of the Association, including all books,
ledgers, journals, and other supporting records pertaining thereto; and

b. To perform all duties incidental to the Office of the Auditor and such other duties as may
be assigned by the President from time to time.

ARTICLE VII

FUND

Section 1. Funds – The funds of the association shall be derived from monthly dues, special
assessments, gifts, prizes, and donations.

Section 2. Disbursements – Withdrawal from the funds of the association, whether by check or
any other instrument shall be signed by the treasurer and countersigned by the President.

Section 3. Fiscal Year – The fiscal year of the association shall be January 1 st to December 31 of
each year.

ARTICLE VIII

AMENDMENT AND REPEAL OF THE BY-LAWS

These by-laws or any provision hereof, may be amended, repealed, or new by-laws
adopted by a majority vote of the members at any regular or special meeting held for the
purpose.

Adopted this ___day of _____, 2017 in Victoria, San Remigio, Cebu by the affirmative
vote of the undersigned members representing a majority of the members of the association duly
held for the purpose.
