Terms & Conditions
Grace Period:
MedEx will be granted a grace period of 4 months to evaluate and develop primary care center plans. A period where it will be allowed to manage all activities within the clinics, study and
develop plans for its operations.
Contract Period:
MedEx proposes a period for management for 2 years. Upon expiry, parties may agree to renew MedEx’ management role for another 1 year on such terms as may be mutually agreed.
Non-Interference Disclosure:
Owners will commence MedEx and enable their staff to continue to manage the clinics agreeing on no interference. MedEx on the other hand will be held responsible for all the actions during
the contract period. MedEx will have the right to study the clinics after signing the initial agreement to evaluate and put the plans and update owners of its intentions. A yearly or quarterly
meeting will be held to update the owners of clinics performance.
Medex will have the authority to manage all Site clinics activities’ example and limited to, Hire & Fire, Adjustment and development of the clinic. Including Development of its systems and
management of resources.
Confidentiality:
MedEx agrees to maintain the confidentiality of all information relating to this indicative term sheet and the proposed engagement unless required by law or with permission from KAEC.

Consents/Approvals/Conditions precedent:
The proposed engagement is subject to satisfactory negotiation and conclusion of the definitive agreement and all relevant approvals/consents being obtained.
