CHAPTER 4

MANAGEMENT STUDY

A. Type Of Business

The type of business preferred is corporation since in this form it is easy

for the organization to acquire the needed capital for the business.

Corporation is a type of business which is formally registered with the

Securities and Exchange Commission in order to have its juridical personality

separate and distinct from its incorporators. It has legal rights and liabilities that

are distinct from their employees and shareholders.

The incorporators of the organization agreed to contribute money or

property as a startup capital of the park. All these incorporators are individuals

with big vision for tourism businesses in Bohol particularly in the town of Loboc.

Corporation type of business has lot of advantages and disadvantages

as well.

The advantages of a corporation type of business are as follows:

 The liability of the owners towards the creditors is limited to their

investment in the company. This means that incase of liquidation in

the company, if the company’s assets are insufficient to meet the

liability, nothing is required to be contributed by the owners. Only the

owners’ contribution is at stake rather than their personal assets.

 The corporation is considered a legal person with perpetual

existence. It exists until it is liquidated and death or change in

ownership has no effect on the corporation.

 The ownership is represented by number of share certificates held by

a person, and this makes the transfer of ownership very easy.

However, there are also disadvantages for this type of business such as:

 A corporation is a complex process and requires registration with the

SEC and fulfillment of certain requirements related to amount of

capital, and number of directors.

 A corporation is subject to a fix 30% corporate income tax and 10%

tax on dividends paid to the stockholders, except when the recipient

of the dividends is another domestic corporation which is free from

tax.

Table 41 shows the labor requirement of the business as well as the

corresponding annual salary including the 13th month pay. Only the probationary

/ regular employees will receive the 13th month pay such as the managerial

positions.

All the employees will be hired as contractual basis subject to renewal

according to performance, except for the managerial positions. Managers will

start as probationary until promoted to regular status. Managers have different

employment arrangement for the reason that they will possess and perform

bigger responsibilities. Fast turnover of managerial positions should be prevented

to continue the implementation of the management strategy.

All employees will be rated on daily basis. The “no work means no pay”

policy should be practiced. It is assumed that there will be 26 working days and 4

day-off in a month for all the employees except for the managerial positions, in

which they will be required only to report from Monday to Friday.

D.2. Employee Benefits

The Management will comply with the Regional Minimum Wage Law

regarding the amount of compensation to the employees as well as its adherence

to the prescribing rules and standards of the New Labor Code of the Philippines,

and the statutory benefits available such as Social Security System, Philippine

Health Insurance and PAG-IBIG. Thus, the regular employees of the park will

receive statutory benefits. Regular employees will receive and benefit the

employer’s contribution for SSS, PHILHEALTH and PAG-IBIG. Moreover, the

management will also contribute to contractual employees’ monthly contribution

to PHILHEALTH and PAG-IBIG.

E. Management Policies

E.1. Hiring Of Employees

a. All vacant positions shall be advertised through word of mouth and

referrals.

b. A thorough screening shall be done by the incorporators. After

selection of the managerial positions, the managers shalll be the in-

charge of screening.

c. All applicants who pass the screening shall be asked to get a medical

certificate in the health center. Failure to comply means not fit to

work.

d. All accepted and hired applicants shalll be asked to sign a Contract

of Employment.

E.2. Training of Employees

a. All hired employees shall undergo an orientation on the vision,

mission, and goals of the park.

b. All employees shall undergo 1-month training with regards,

i. How to perform their tasks in adherence to International

standards of tourism

ii. How to deal with clients

E.3. Termination of Employees

a. An employee shall be fired on the following grounds:

i. Excessive absence without leave (AWOL); and

ii. Failure to follow the company’s vision, mission, goals, policies,

rules and procedures.

b. An employee will be issued a memo on the 1st and 2nd offenses.

c. On the 3rd offense, the employee shall be advised to resign.
