Condition of Sale

GENERAL SALES CONDITIONS
These general conditions of sale are to be deemed applicable to all orders received and confirmed by
the Seller. Any matter not expressly and otherwise defined will be governed by the following general
conditions of sale which will be indicated on the back of the order confirmation. The placing of the order
by the buyer implies acceptance of the general conditions of sale.
CONCLUSION OF THE CONTRACT
The sales contract will be considered fully concluded only with the order confirmation which will be sent
within 3 days of receipt of the order itself. The order confirmation will be sent by email or copy. Failure
to send the order confirmation within the times and in the ways mentioned above shall not be in any
way binding for the seller who cannot be held liable, either contractually or extra-contractually, for any
damage suffered by the buyer due to failure to conclude the contract.
DISCLAIMER
The Seller shall be exempted from liability for non fulfilment of its obligations due to force majeure
meaning any event which cannot reasonably be avoided or overcome and which is not ordinarily,
foreseeable at the time of the conclusion of the contract. The term "force majeure" shall include by not
be limited to natural disasters, prolonged loss of energy, fire, explosion and epidemics.
DELIVERY
The goods will be delivered in United Arab Emirates (UAE). If shipment of the goods is agreed to the
buyer place, this will always be at the buyer's expense and the transfer of risk will take place at the time
of delivery of the products to the first carrier, its being understood that the Seller shall not be liable in
any way for damage to the goods during transport.
WARRANTY
In the event of any faults and/or conformity defects, the Buyer shall report these in writing within 3 days
from the delivery of the products at the Seller's facility or, if agreed, from receipt of the products at the
Buyer's domicile. In order to be valid and effective, the claim must identify the faulty and/or defective
products, specifying the nature of the fault and/or conformity defect and providing adequate proof of its
existence. General claims which do not contain the above-mentioned indications will not be taken into
consideration.
For Products which have been manufactured according to specifications, drawings or models supplied
by the Buyer, the Seller's warranty shall be limited to the adequacy of the materials and workmanship.
For Products or essential components manufactured by a third party and supplied by the Seller by
contract, the Seller's warranty shall be limited to the warranty provided by the third party. This warranty
does not apply to damage resulting from normal wear and tear and uninstallation, inadequate storage
and maintenance, failure to observe the operating instructions, undue stress or overloading, unsuitable
transport of media, construction work or unsuitable building site, improper repairs or alterations carried
out by the buyer or third parties, the use of spare parts other than original ones and other reasons
beyond the control of the Seller.
No action or claim may be brought by the Buyer due to alleged breaches of warranty or any other
obligation of the Seller after the expiration of twelve (12) months from receipt of the Products by the
end user or at the latest after eighteen (18 months from shipment of the Products by the Seller. In the
event of the sale of the products being made to a buyer who has its registered office or residence
abroad, the warranty provided for in these general conditions will always be valid for 12 months,
regardless of the different legal provisions existing in the country where the buyer has its registered
office or residence.
In any case, all damage, discrepancies or diminished functionality which the products may suffer during
transport, for which the Buyer assumes all risk, shall not be deemed as faults and/or conformity defects.
The seller disclaims all liability for malfunctions, faults and/or defects that may result from misuse of the
goods.
In case of use of the Products in civil and/or industrial applications, the Seller shall consider the cost of
disassembling the defective Product and restoring the damaged object up to AED 100,000 for each
event.
LIABILITY
If, following the filing of a claim, it is proven that the fault and/or conformity defect is attributable to the
Seller, the latter shall replace the defective products or parts thereof, at no cost to the Buyer, with the
exception of the costs which the Buyer has to bear for the shipment of the defective product. The
replaced product or product parts shall be shipped to the Buyer at the Seller's expense.
It is understood that the above warranty (consisting of the obligation to replace or supplement the
products) includes and replaces the warranties or liabilities provided for by law, and excludes any
liability of the Seller (whether contractual or non-contractual) arising from the products sold, including
for acts and omissions of its employees or third parties in the performance of their obligations.
PAYMENTS
Payments must be made directly to Plastfit or to people provided with authorization. In case of late
payment of the Purchaser, the legal interest for the delay shall be applied. In the event of non-payment
or in case of late payment, all costs and expenses will be charged to the Purchaser, including legal fees
incurred in recovering his own credit.
PRICES
The Prices refer to goods without packaging and do not include taxes, fees and charges of any kind,
which are charged to the Purchaser. For delayed deliveries is agreed that apply the prices in effect at
time of delivery according to changes between the date of the offer and the delivery.
WITHDRAWAL
The Seller shall be entitled to withdraw from the Contract if the Buyer does not make regular payments
or is late in making such payments. The Seller shall also be entitled to withdraw in the event of the
Buyer becoming insolvent in whole or in part or being subject to any bankruptcy proceedings or in the
event of modification of the Company. In the case of a natural person, also in the case of declaration of
incapacity or death. The same right of withdrawal shall be granted in the event of the buyer suffering a
bill of exchange protested by anyone, including for an unaccepted promissory note. The exercising of
the right of withdrawal shall entitle the Seller to the immediate payment of any amounts owed.
VAT & Tax
The buyer is required to provide accurate fiscal information.
