ASSIGNMENT AGREEMENT

This ASSIGNMENT AGREEMENT made this day 14th of October 2013, by and between,

(Ashish Sharma) hereinafter “Client”, having its principal office at, Shop no -37, Ground Floor, Xth
Central Mall, Mahavir Nagar, Kandivali, West 400067 Mumbai Maharashtra India AND Lean Deganos
“Developer”, having its principal office/home at #12 Calle Real, Real Village 1 Quezon City, Metro Manila
Philippines

WHEREAS, “Developer” (Lean Deganos) entered into a Contract with the client on freelancer.com
(Project Url: https://www.freelancer.com/projects/Graphic-Design-Website-Design/Design-Website-
Mockup.6547279.html),

WHEREAS, Client desires to have Website designed and developed by Developer: And all the project
details and payment would be handled on third party website Freelancer.com under the project name:
Design a Website Mockup; and project URLhttps://www.freelancer.com/projects/Graphic-Design-
Website-Design/Design-Website-Mockup.6547279.html. All the communication and project details on
freelancer.com website between developer and client constitute to legal document.

Whereas, Developers User ID on Freelancer.com is leandeganos and Client’s User ID is Foxrocks.

Whereas, All the project details, instruction, development and communication between both the
parties (Client and Developer) on Freelancer.com stands proof (legal document) for Assignment.

NOW THEREFORE, Developer and Client agree as follows:

1. Developer and Client hereby agree that the Developer shall assign all its intellectual property,
right, title, and interest, to the client:
2. Developer shall assign the website design, source code, html, images, database, custom
programming, documentation to the Client.
3. Developer and Client agree that Client shall retain a worldwide, royalty free, non –exclusive,
transferable, and perpetual right and license to the Custom programming, including but not
limited to, the right to modify, amend, create derivative works, rent, sell, assign, lease, license,
sub-license, or otherwise alter or transfer the custom programming.
4. Client shall own all worldwide right, title and interest in and to the Code content
5. Developer shall assign all the work including clip art, background image, images to the client and
developer is prohibited to claim ownership Or use it for another project.
6. Client shall have all the rights, without limitation
a) The right to use;
b) The right to modify, improve, alter, translate, rewrite into another language or in another
manner;
c) The right to adapt;
d) The right to integrate and incorporate into any existing or future work;
 e) The right to expoit;
f) The right to perform;
g) The right to grant license or sublicense
h) The right to distribute;
i) The right to broadcast;
j) The right to perform in public;
k) The right to reproduce;
l) The right to transfer to another environment (hardware, software,computer, electronic, web,
multimedia, or other)
7. During Development and support period developer agrees to keep all the information on the
website and server confidential and in no manner should harm users on the website. All the
users info and other related data should not be kept secret at any point of data.

Warranty of Originality. The Developer warrants and represents that, to the best of his knowledge, the
design work assigned hereunder is original and has not been previously published, or that consent to
use has been obtained on an unlimited basis; that all work or portions thereof obtained through the
undersigned from third parties is original or, if previously published, that consent to use has been
obtained on an unlimited basis; that The Developer has full authority to make this agreement; and that
the work prepared by The Developer does not contain any scandalous, libelous, or unlawful matter.

This agreement will be governed and interpreted by the laws of the jurisdiction of State of Maharashtra,
Mumbai City, without regard to its conflicts of law provisions.

IN WITNESS WHEREOF, the parties set their hands and seals as of the date first above written by their
duly authorized representatives.
