SALE DEED

This Deed of Sale is made and executed on this the _____ day of ___________, 2014, at
Hyderabad, by:

M/s. Euroflex Transmissions (India) Pvt. Ltd., a Company incorporated under Companies
Act, 1956, represented by its Director Mr. K.Srinivasa Murthy, S/o. Sri K.Rama
Koteswara Rao, aged 54 years and having its registered office at Plot No.99, CIE Phase-II,
Gandhi Nagar, Balanagar, Hyderabad-500037 (PAN: AAACE5313K).

(Hereinafter called the “VENDOR”)

IN FAVOUR OF

M/s. Srikar Avenues Pvt. Ltd., a Company incorporated under Companies Act, 1956,
represented by its Director Mr. N.Shankar Shenoy, S/o. Sri Sunder Narahari Shenoy, aged
55 years, and having its registered Office at # 6-3-788/36 & 37A, Durga Nagar, Ameerpet,
Hyderabad-500016 (PAN: AAMCS2524G).

(Hereinafter called the “PURCHASER”)

The expressions, “Vendor” and “Purchaser” shall mean and include their respective legal heirs,
legal representatives, successors-in-interest, administrators, assigns, etc., wherever the context
so permits.

WHEREAS the Vendor herein is the absolute owner and possessor of the total land
admeasuring Ac. 1-35 Gts. in different Survey numbers (as detailed in the table hereunder)
situated at Gundlapochampally Village, Medchal Mandal, Ranga Reddy District, having
purchased the same from Sri B.Seetarami Reddy, through Sale Deed dated 19.12.2005,
registered as Document No. 18066 of 2005, on the file of the Sub Registrar, Medchal,
R.R.District, more particularly described as Item Nos. 1 to 4 in the Schedule annexed hereto and
hereinafter collectively called as “Schedule Properties”.

WHEREAS the Vendor herein along with neighbouring land owners had entered into a
Development Agreement-cum-General Power of Attorney dated __________ registered as
Document No.__________ on the file of the Sub-Registrar, Medchal, Ranga Reddy District
with M/s. Sri Aditya Homes Private Limited, hereinafter called as “Developer”, with a view to
develop their respective lands into residential layout plots and since then no development
activity has been taken place.

WHEREAS the Vendor are in need of money for better investment and therefore, has offered
to sell the “Schedule Properties”, subject to the Development Agreement-cum-GPA, and the
Purchaser has agreed to purchase the same.

NOW THIS DEED OF SALE WITNESSETH AS FOLLOWS:

1. In consideration of a sum of Rs.71,25,000/- (Rupees Seventy one lakhs Twenty five


thousand only) duly paid by the Purchaser to the Vendor through Cheque No.__________,
dated ___________, drawn on ___________________________________; the receipt of which
the Vendor does hereby admit and acknowledge and accordingly discharges the Purchaser. The
Vendor does hereby transfer, convey, sell and assign all its rights, title and interest in the
Schedule Properties along with all easements, appurtenance, etc., to the Purchaser herein, to
have and hold the same absolutely and forever.

2. The Vendor has today put the Purchaser in symbolic possession of the Schedule
Properties and hereby assigns all its rights whatsoever under the development agreement to the
Purchaser.

3. The Vendor does hereby declare that the Schedule Properties are free from all
encumbrances, prior mortgages, charges, prior agreements of sale, except the development
agreement, adverse claims, litigations, demands, whatsoever etc., and that the vendor has free
and marketable title to sell the same to the Purchaser herein and that the Vendor has not
knowingly suffered any liability in respect thereof and further covenants to indemnify and keep
the purchaser fully indemnified from all or any loss that may be caused to the Purchaser or
anyone claiming through Vendor, due to any defect in title of the Vendor or otherwise.

4. The Purchaser alone shall be entitled to deal with the developer and is entitled to take
delivery of the proportionate share of the developed areas along with common areas from the
developer in terms of the development agreement.

5. The Vendor does hereby assure and undertake to execute any other document or deed
for better conveyance as and when in the manner required by the Purchaser at the Purchaser's
cost.

6. The Vendor declares that they does not hold any surplus land under the Central Act 30
of 1976 and further that the Schedule Properties are not "assigned lands" within the meaning of
A.P. Act 9 of 1977.

7. The Vendor hereby declares that the market value of the schedule properties
Rs.71,25,000/- i.e. Rs.___________/- per Acre and sufficient stamp duty thereon is paid
herewith.

8. The Vendors further declare that there are no trees, fish ponds, mines or any valuables
in the Schedule Property.

No. 348 of Gundlapochampally Village, Medchal Mandal, Ranga Reddy District and bounded
as follows:
