Vehicle Lease Agreement
This lease agreement is entered into this day,________________________ , and remains in full
force and effective through________________________________________ between
______________________and TimelyMotors LLC, organized and existing under
the laws of the State of Georgia.
The following terms and conditions shall apply for length of the lease.
RECITALS
WHEREAS the Lessor is the registered owner of the Vehicle,
WHEREAS the Lessor is the desirous of the leasing the Vehicle to the Lessee on such terms as
are set out in this Vehicle Lease Agreement and the Lessee is desirous of leasing the Vehicle
from the Lessor on the said terms.
WHEREAS this Agreement is a lease only and the Lessee will have no right to title, or interest
in or to the Vehicle except for the use of the Vehicle described in this Agreement.
WHEREAS this Agreement shall be treated as a true lease for federal and state income tax
purposes with the Lessor having all benefits of ownership of the Vehicle
NOW, THEREFORE, IT IS HEREBY AGREED as follows:

INTENDED VEHICLE PURPOSE (circle one): Personal Business
SCOPE OF USE: Lessee will use Lease Vehicle only for personal use or routine business use
and operated the Lease Vehicle only on maintained roads and parking lots. Lessee will comply
with all laws relating to holding licensure to operate the vehicle and pertaining to operation of
motor vehicles. Lessee will not sublease the Lease Vehicle or use it as a vehicle to hire.
MILEAGE: Mileage of the rental vehicle is mileage recorded at the commencement of the car
rental agreement. Mileage on the vehicle will be unlimited.
INSURANCE: Lessee must provide Lessor with proof of insurance that would cover damage to
the Lease Vehicle at the time this Vehicle Lease Agreement is signed. If the lease vehicle is
damaged or destroyed while it is in the possession of the Lessee, the Lessee agrees to pay any
required insurance deductible and assigns all rights to collect insurance proceeds to the
owner.
SECURITY DEPOSIT: Lessee will be required to provide a security deposit to the Lessor in the
amount as listed in the Lease Cost Fees Summary to be used in the event of loss or damage to
the Lease Vehicle during the time of this agreement. In the event of damage to the Lease
Vehicle, Owner will apply the costs of necessary repairs or replacements. If the cost of the
repairs or replacement of damage to the Lease Vehicle exceeds the amount of the Security
Deposit, Lessee will be responsible for payment to the Owner of the balance of the cost.
INDEMNIFICATION: Lessee agrees to indemnification, defend, and hold harmless the Lessor
for any loss, damage, or legal actions against the Lessor as a result of Lessee's operation or use
of the Lease Vehicle during the terms of this Vehicle Lease Agreement. This includes any
attorney fees necessarily incurred for these purposes. Lessee will also pay for any parking
tickets, moving violations, or any other citations received while in possession of the Lease
Vehicle.
REPRESENTATION AND WARRANTIES: Lessor represents and warrants that to the LessorΎʼn
knowledge; the Lease Vehicle is in good condition. Lessor represents and warrants that Lessee
is legally able to operate a motor vehicle under the laws of the jurisdiction and will not operate
it in violation of any laws, or in any negligent or illegal manner. Lessor has been given the
opportunity to examine the Lease Vehicle in advance of taking possession of it, and upon such
inspection, is not aware of damage existing on the vehicle other than that notated by separate
Existing Damage document.
JURISDICTION AND VENUE: In the event of any dispute over agreement, this Lease Vehicle
Agreement will be interpreted by the laws of the United States of America, and any lawsuit or
arbitration must be brought in the corresponding region of the United States of America. If
any portion of this agreement is found to be unenforceable by a court of competent
jurisdiction, the remainder of the agreement would still have full force and effect.
ENTIRE AGREEMENT: This Lease Vehicle Agreement constitutes the entire
agreement between the parties with respect to the rental arrangement. No
modification to this agreement can be made unless in writing signed by both
parties. Any notice required to be given to the other party will be made to the
contact information below
