TABLE OF CONTENTS
PART 1
GENERAL INFORMATION AND INSTRUCTIONS
Bidders that have been successfully pre-qualified for the Provision of FPSO System Integrity Monitoring
Services for Deepwater (Erha/Usan) by responding with the documentation as specified in the
advertisement published October 28, 2020, and as a result of this submission meet the minimum
requirements set forth for Technical Tender are now requested to complete the Technical Tender for
consideration for Technical Qualification.
This Part 1 includes Instructions to Bidders regarding items to be submitted to Company as part of Bidder’s
response to this Invitation to Tender. Part 2 (Technical Proposal Requirements) specifies the minimum
documentation required for the Bidder to be considered for Technical Qualification in the tendering process.
Part 3 Services Outline Agreement is Company's Proposed Agreement for the Work being tendered.
Bidder shall provide all information requested per the entire Technical ITT. Failure to provide all of the
required information within the time specified and as detailed therein may preclude further consideration of
Bidder for Technical Qualification.
Unless additional information is specifically requested through a Company issued technical clarification, the
information Bidder submits in this Technical Tender will be the only information used in the Technical
Evaluation Process. Therefore, Bidder should ensure the Technical Tender information and documents are
complete, comprehensive and well-organized in a format as noted in Part 2.
Bidders should note that the electronic copy loaded into the NipeX portal will be the primary tool used to
review and evaluate the Technical Tender. Bidders are encouraged to structure and organize the
information contained in the electronic files in similar manner to that of the hardcopy Technical Tender.
Acceptable file formats for the electronic data loaded are MS Word, MS Excel and PDF .
1.0 Definitions
For purposes of this Invitation to Tender (ITT), the following words and phrases shall have the
meanings stated below:
a. Affiliate: (1) ExxonMobil Corporation, (2) any company in which ExxonMobil Corporation now or
hereafter (a) owns or (b) controls, directly or indirectly, more than fifty percent (50%) of the stock
having the right to vote or appoint its directors (Company), and (3) any joint venture in which
ExxonMobil Corporation or a Company as defined under (2) in this paragraph is the operator. Also
referred to as ExxonMobil.
b. Bidder (or Tenderer): Those who receive this ITT and respond in such a manner as to constitute a
submission of a tender.
c. Agreement or Contract: The fully executed documents contained in Part 3 of this ITT as may be
modified by the mutual agreement of Company and Contractor.
d. Company: Esso Exploration and Production Nigeria Limited and Esso Exploration and Production
Nigeria (Offshore East) Limited the ExxonMobil Affiliate located in Nigeria.
g. Goods: The materials and/or equipment specified in Invitation to Tender Part 3 Services Outline
Agreement and each applicable Order.
k. Order: The document issued by Company specifying the Goods to be supplied and/or the Services
to be performed for Company, using any form Company may provide whether labeled as an Order
or by other labels including, but not limited to, "call-off", "release", "work release", "work order",
"work authorization", "letter of authorization", "purchase order" or "request for services".
l. Services (or Work): The Services specified in Invitation to Tender Part 3 – Services Outline
Agreement and in each applicable Order, including all the activities, operations, tasks, duties, work
and undertakings of Contractor and its Subcontractors required to perform such Services including,
but not limited to, the provision of materials, equipment, tools, and personnel and the necessary
supervision, consultations, and support incidental thereto.
m. Tender: The Bidder's submission in response to this ITT. As used in this ITT, Tender may refer,
individually or collectively, to Bidder's Technical Tender or Commercial Tender.
2.0 Introduction
b. Company intends to award services under the terms of Services Outline Agreement and the
Exhibits of the Agreement included in Part 3.
The purpose of this work is to ensure that Esso Exploration and Production Nigeria Limited and Esso
Exploration and Production Nigeria (Offshore East) Limited (EEPNL/EEPN(OE)L) maintains the
operational integrity and reliability of safety critical and business critical equipment over the life cycle of
the facility, through both programmatic and adhoc integrity inspection and testing of the production
equipment and facilities. This ensures compliance with the applicable safety, health and environment
(she) requirements, local regulations, industry codes and standards.
a. Preliminary - The condition of the contract and drawings (if any) shall be read in conjunction with
these specifications and matters referred to, shown or described in any one of them.
b. Definitions - The terms "Approved", "Directed", and "Required" shall mean the approval, direction
and requirement respectively of the Company’s representative. The COMPANY shall be Esso
Exploration and Production Nigeria Limited and Esso Exploration and Production Nigeria (Offshore
East) Limited, hereinafter referred to as EEPNL/EEPN(OE)L.
c. Applicable Codes and Standard - The in-line inspection work shall comply with the relevant
sections of the latest editions of the following standards, codes and specifications. Where the
requirements of this Job Description document conflict with the referenced standards, codes or
specifications, the requirements of this document shall apply. Where the referenced codes or
standard are not dated, the latest version of these codes and standard shall apply.

a. Lead Inspector(s) - The lead inspectors shall be certified to API 510, API 570, API 653 or
their equivalents. In addition, the inspector shall have a minimum of 5 years experience in
supervising pressure vessel inspection activities as specified in API 510 and piping
inspection activities as specified in API 570. The API 653 is a required certification for
Marine class/RBI inspection.
b. Rope Access Team Lead - The rope access team lead shall be certified to IRATA Level 3
or its equivalent. He shall be an NDE technician certified to Level 2 for the actual method
according to ISO 9712 or EN 473 as implemented by ASNT, CSWIP, PCN, NORDTEST,
or an equivalent recognized qualification scheme. The rope access team lead shall have a
minimum of five years' experience in conducting NDE specified in this scope of work.
c. Rope Access NDT Technicians - NDE technicians shall be certified to Level 2 for the actual
method according to ISO 9712, EN 473, ASNT, CSWIP, PCN, NORDTEST, or an
equivalent recognized qualification scheme. NDE technicians shall be rope access
certified to IRATA level 2 or its equivalent. In addition, the NDE technicians shall have a
minimum of 5 years' experience in conducting visual inspection and NDE of oil production
facilities, including pressure vessels, process/utility piping, tanks, valves, fittings, non-
welded joints, insulation, supports, clamps, small bore take-offs, FPSO hull shell, internals,
and primary structures. The technician should also have knowledge of protective coatings
and identification and grading of coating failure.
d. NACE Certified Coating Inspectors - Coating inspectors shall be certified NACE CIP Level
2. The Coating inspectors must be qualified to perform advanced coating inspections using
both nondestructive and destructive techniques and instrumentation. The required
personnel must have sufficient knowledge of specialized coating materials and techniques
for the surface preparation and application used on a wide variety of substrates, especially
those used in the upstream oil and gas industry. The required personnel must be vast in
report writing, condition surveys, failure analysis, and refurbishment, and use of
computerized databases for documenting coating inspection reports.
e. Helper - Rope access helper shall be a trainee NDE technician certified to at least Level 1
for the actual method according to ISO 9712 or EN 473 as implemented by ASNT, CSWIP,
PCN, NORDTEST, or an equivalent recognized qualification scheme.

severe external defects or damages such as cracks, pitting corrosion, general corrosion, etc.

cameras, head mounted digital cameras, boroscope, magnifying glasses, binoculars,
pit gauges, flash lights, scraper, wire brushes, etc.
All equipment and consumables required for Ultrasonic testing (UT meters, data
loggers, probes, transducers, scopes, step wedges, and IIW calibration block, etc).
Equipment shall be capable to support creation of reports in B-Scan and C-scan
format.
B-scan and C-scan equipment and consumables.
All magnetic particle testing equipment and consumables.
All penetrant testing equipment and consumables.
All testing (RT) equipment and consumables.

All equipment and consumables required for specialized NDE techniques such as
thermal/Infrared testing (TIR), automated UT (AUT), guided wave UT (GWUT), time
of flight diffraction (TOFD), acoustic emission testing (AET)
1. External visual inspection of process/utility piping including small bore piping, deadlegs,
valves, flanges, and bolts to identify coating failure, insulation damage, external corrosion,
pitting, mechanical damage, corrosion under supports, and any other anomalies. Establish
accuracy of P&ID and Isometric drawing and update data base as necessary.
2. Visual inspection, UT or RT of welds to identify any possible degradation in weld or
adjacent areas.
3. Thickness measurement using appropriate technique as approved by EEPNL/EEPN(OE)L
at defined TMLs on piping in accordance with EEPNL/EEPN(OE)L approved procedures
and API 570.
4. NDE using appropriate technique (UT (Linear/Shear Wave, B/C-scan, etc), RT, MT, DT,
ET, other specialized NDE techniques) of piping items identified during visual inspection for
further inspection and fitness for service (FFS) assessment.
5. Adhoc NDE of any piping upon request by EEPNL/EEPN(OE)L.
b. Vessels
c. Tanks
1. General visual and close visual inspection of storage tanks to identify coating failure,
insulation damage, external corrosion, pitting, mechanical damage, and other defects, in
accordance with EEPNL/EEPN(OE)L approved procedures and inspection plan.
2. Close visual survey of tanks sacrificial anode system, during marine class surveys.
3. NDE, using appropriate technique, of any flaw identified for further investigation or FFS
assessment.
4. Any other adhoc visual/NDE inspection of storage tanks upon request by
EEPNL/EEPN(OE)L.
d. Risers
1. Visual inspection of all risers, riser splash zone, risers clamps and supports, and caissons
to detect coating breakdown, insulation damage, external corrosion, pitting, unsealed
therrmowells, corroded valve bodies, pressure switches, light fixtures, and any other
anomalies.
2. Drop cell potential measurement of risers sacrificial anode system.
3. NDE, using appropriate technique, of corroded or damaged areas identified during visual
inspection.
1. General visual inspection of all insulated equipment and facilities to identify damaged
insulation and likely points for water ingress.
2. Use of specialized technology such as pulsed eddy current and ultrasonic guided wave as
screening tools to inspect sections of insulation that are not damaged but are prone to CUI.
3. Use of flash radiography, real time radiography or digital radiography to detect corrosion
under insulation.
4. Stripping, visual inspection and NDE of identified CUI hot spots.
Inspection shall include general visual inspection, close visual inspection and NDE of:
1. Hull internal and external, above water only.
2. Tanks
3. Cranes
4. Riser hang off supports
1. Integrity inspection of all installed and portable lifting equipment. These includes installed
lifting equipment such as beams, mono rails, hoists and pad eyes; portable hand and
powered lifting equipment such as air tugger, hydraulic winches, electrical winches, eye
bolts, pulley blocks, and other lifting devices.
2. Inspection will be in accordance with Lifting Operations and Lifting Equipment Regulations
1998 (SI 1998 No 2307) (LOLER).standards.
3. Upon successful inspection and servicing of the lifting equipment the service provider shall
issue an approved Lifting Certificates recognized by regulatory bodies and Marine class
society.
1. Perform annual operational integrity inspection and testing of Fire & Gas system, including
manual call stations, delude system, audio and visual alarm systems and other installed
firefighting and suppression systems.
2. Issue approved certificates recognized by the Regulatory bodies and Marine classification
society
Contractor is therefore required to meet DNV certification and Approval programs for the
provision of the aforementioned services. The survey shall be conducted under the
supervision and direction of a DNV Surveyor. The DNV Type Approval and Certification
requirements for these services shall include:
1. Approval Program No. 402A (Standard for Certification No. 2.9): Approval of Firms
Engaged in Ultrasonic Thickness Measurements of Ship’s Structure
2. Approval Program No. 402B (Standard for Certification No. 2.9): Firms Engaged in
Nondestructive Testing (NDT) of Offshore Projects and Offshore Units/Components
Contractor shall provide evidence of obtaining from DNV relevant DNV Type Approval for
provision of these services. If Contractor is not yet approved by DNV, Contractor shall provide
evidence that Contractor has commenced certification process with DNV and shall provide
detail plan to obtain relevant DNV Type Approval.
3.1.16 Responsibilities
The Contractor shall:
a. Comply with all Company’s SHE policies, procedures and specifications included or
referenced herein to Company’s satisfaction promptly and on schedule.
b. Verify and ensure that equipment, materials, consumables and workmanship comply with
applicable Company safety regulations, codes and specifications required for work
execution.
c. Provide required offshore safety training including water survival and firefighting training
to all Contractor personnel.
d. Shall develop and implement a site-specific program for the control of malaria for its
employee. Comply with COMPANY Malaria Chemoprophylaxis Compliance Program
(MCCP).
e. Provide all Contractor personnel with EEPNL/EEPN(OE)L approved hard hats, safety
boots, safety glasses with side shields, fire resistant coveralls and other required
personnel protection equipment.
f. Ensure all supplied consumable materials are new and proper for the application
intended. All materials shall be free from defects in workmanship and materials are free
of any patent or copyright infringements. All consumable materials shall be used in
accordance with manufacturer’s procedures and within manufacturer recommended
expiration date.
g. Provide adequate package and storage for all equipment and consumables during
transportation and onsite. Such equipment and transportation shall come transported in
certified pre-slung ISO containers suitable for lifting by crane. Also, Contractor shall
provide certified ISO container of adequate size for storage of all Contractor’s equipment
at offshore location. The storage must be equipped with lock and key to safeguard the
equipment.
h. Hold in confidentiality all information regarding Company facilities and operations and
shall not provide such information to third parties.
i. Maintain professionalism during communication with Company and other contractors
employed by Company.
j. Interpret requirements of purchase orders, work orders, construction drawings, contract
specifications, codes and safety manuals.
k. Submit timesheet for review and approval on weekly basis.
l. Understand potential hazards associated with all inspection work. Obtain appropriate
permit to work and conduct Job Safety Analyses (JSA) for all aspects of work including
confined space entry, surface cleaning, photographic survey, flammability or explosibility
of consumables i.e. solvents, power tools, lifting gear requirements and certification for
both minor and heavy lifts, etc.
m. Evaluate the adequacy of contractor's equipment and competency of personnel for safe
execution of intended work.
n. Obtain all applicable permits and licenses as required by federal, state and local
requirements. Permits and licenses shall be in the name of the Contractor. Such
permits shall include but not be limited to the following:

o. Perform the Work in compliance with all applicable governmental, local and other
competent authorities' laws, regulations and orders and with Company's rules and
regulations included herein.
In the event EEPNL/EEPN(OE)L is of the opinion that any of Contractor's personnel are not
properly qualified to perform the Work, EEPNL/EEPN(OE)L shall notify Contractor and
Contractor shall provide an acceptable replacement within two (2) days at no cost to
EEPNL/EEPN(OE)L. EEPNL/EEPN(OE)L at its discretion may waive some of the qualification
requirements specified in Section 2.1 above.
Contractor shall ensure that personnel undergo training and re-certification to update their
knowledge as necessary. Contractor shall include in the Technical proposal, detailed training and
certification plan for Nigerian technicians.
when due. Contractor is responsible for updating equipment calibration for all inspection
work. Contractor shall field verify calibrations of equipment before use each day.
b. For radiographic testing equipment, calibration certificates shall include but be limited to
calibration certificates for the survey meter and the dosimeter. Radiography equipment
without these certificates shall not be allowed to be used at EEPNL/EEPN(OE)L location.
c. Contractor shall provide certified abseiling ropes and harnesses, a set for each rope
access technician.
d. MT test equipment shall include yokes/prods with Burmah-Castrol magnetic particle
inspection field indicator.
e. Contractor shall provide tarps for reducing visible light during dye-penetrant testing.
f. The Contractor shall comply with the following requirements for Automated UT (AUT)
Corrosion Mapping/Scanning Equipment, and Personnel.
i. Must be computer based UT data gathering system capable of high-resolution data
collection at high production rates.
ii. Must be capable of evaluating vessels and other equipment for potential degradation
and service-related damage while in service.
iii. Must be able to endure the humidity and hazardous environmental conditions typical
of offshore locations. The AUT system shall be portable enough to be easily
transported around for access to offshore structures and facilities.
iv. Equipment shall have a minimum of 4 channels, be able to multiplex and MUST
pulse-on- position (POP) not time based. Shall be capable of recording the complete
RF waveform (A-scan) and data, concurrent with scanning positions, to facilitate the
analysis of the data by a third party and/or EEPNL/EEPN(OE)L and assure the
repeatability/comparison with subsequent examinations.
v. The AUT system shall be capable of performing fully automated scans with
mechanized scanners having a minimum of 2-axis. The scanners shall be capable
of performing scans on piping as small as 4” and vessels or tanks of considerable
diameter; both carbon and stainless steel. Additionally, manual scanners should be
available for tight access areas and complex geometry such as elbows tees and
nozzles.
vi. The AUT equipment software shall be capable of providing A-Scan, B-Scan and C-
Scan displays for pulse-echo corrosion mapping and flaw detection examinations.
The software shall be capable of outputting the various displays (C-Scan, D-Scan)
into a collective view such that the numerous scans required for a vessel can be
globally viewed; i.e. rollout or other format such as ACAD. Additionally, Time of Flight
Diffraction (TOFD) examination data shall be able to provide D-Scan displays, typical
for a line scan.
vii. The AUT system shall be able to output the AUT thickness data in ASCII or other
readily importable form such that the entire thickness data results are easily
accessible. Also, it shall be capable of performing statistical analysis of the data
including the minimum and average thickness for corrosion mapping and defect
sizing for weld and other examinations.

detailed procedures for all NDE techniques required for this service.
c. All contractor personnel working for EEPNL/EEPN(OE)L shall be qualified or certified, as
required. Copies of all personnel qualifications and certifications shall be delivered to the
Erha Corrosion Engineer or designated EEPNL/EEPN(OE)L representative for review
seven days before mobilization.
d. QA/QC systems shall include training of Nigerian technicians, personnel qualification,
personnel certification and equipment calibration tracking.
Company desires to commence Services (or Work) subject to the Agreement upon contract award
The Specified Term of the Agreement shall be an initial term of five (5) years. Company shall have the
option to extend the Specified Term for one (1) year following the initial 5-year term. Reference Part 3
Services Outline Agreement for additional details and requirements.
"Nigerian Content" means the quantum of composite value added to or created in the Nigerian
economy by a systematic development of capacity and capabilities through the deliberate utilization of
Nigerian human, material resources and services in the Nigerian oil and gas industry.
NNPC/EEPNL/EEPN(OE)L PSC intends to and will expect the contractor to comply with the Nigerian
Oil & Gas Industry Content Development Act. As a result Bidders will be evaluated on their perceived
willingness, documented track record, and demonstrated plans to fully comply with the Nigerian
Content and Company requirements. Defaulting contractors upon conviction are liable to a fine of up to
5% of contract cost or outright cancellation of contract
Also note that in line with section 104 of the NOGICD Act 2010, the sum of one per cent of the
contract/subcontract cost for this service shall be deducted at source and paid into the Nigerian
Content Development Fund established for purposes of funding the implementation of Nigerian content
development in the Nigeria oil and gas industry.
a. Conduct work in a way that has near and long term benefits to the community in which Company
works, consistent with its corporate guiding principles. This includes working directly and through
others to provide education and training which brings together national objectives to improve quality
of life with business needs.
b. Work proactively to achieve high levels of Nigerian content in the scopes of work for projects.
c. Invest in training to bridge the gaps between business needs and local capabilities.
Company and Contractor shall achieve these principles and objectives by:
1. Utilizing Nigerian individuals, contractors and suppliers as specified in the schedule of the Nigerian
Oil & Gas Industry Content Development (NOGICD) Act 2010 (50% Nos as contained under
Integrity Management Services(Inspection, Testing and Certifications)).
2. Developing the capability of individuals and contractors, where appropriate, to meet business
needs.
3. Understanding the Nigerian content expectations of the Government, which is a high priority, and
by meeting the terms of legislation and agreements.
4. Providing evidence that, materials for use on this project will be obtained locally in Nigeria. Such
evidence shall include signed documents signifying that contractor has engaged Nigerian
companies for the supply of these materials.
5. Providing evidence of Nigerian Content Equipment Certificate (NCEC) for all equipment to be
deployed for service or proof of request for NCEC from NCDMB.
Company believes that in successfully achieving the above, the outcome will be reduced costs and
increased availability of some goods and services over time. Furthermore the full cycle, long-term
profitability of offshore oil developments will be enhanced by the ability of current projects to generate
benefits for Nigerians and Nigerian businesses.
Bidders are to provide detailed breakdown of overall cost indicating the Nigerian Content of each item
on the commercial pricing table provided. Both competitive price and Nigerian Content value of the bids
will form basis of selection of the contractor to be recommended.

Contractor shall maintain and preserve and shall cause its subcontractors to maintain and preserve
accurate documentation and data (including but not limited to written and electronic records books of
accounts, correspondences, plans, permits, licenses, drawings, payroll records, memoranda, receipts
and documentation of related systems and controls) pertaining to all information provided in the
Nigerian Content Measurement Template.
In the event more than one entity may be needed to perform the Services, all other entities proposed to
have a part in the Services (whether Bidder is a corporation or an unincorporated joint venture) must be
placed in a subcontractor role. No such outside entities will be a party to any Agreement entered into
between Company and Contractor, and Contractor will be required to take full responsibility for any
such entity's performance under the Agreement. Tenderer shall identify and completely describe all
proposed subcontracts as part of its Tender.
The following requirements apply to a Tender submitted for an unincorporated joint venture:
a. If Bidder submits a Tender that is a joint venture, the administrative requirements shall include a
"Power of Attorney" executed by all of the members of the joint venture and to be legalized by a
notary public, as required, designating and appointing one of the members of the joint venture as a
"Managing Member" and authorizing the Managing Member to sign the Tender on behalf of the
joint venture, and to act for and to bind the joint venture in all matters relating to the Tender. The
Tender shall be signed on behalf of the joint venture by the Managing Member or by all members of
the joint venture.
b. In the event a contract results from the Tender, the Managing Member shall be authorized to incur
liabilities and receive instructions and otherwise act for and on behalf of any and all members of the
joint venture during the entire execution of the contract, including payment or receipt of payment on
behalf of the joint venture.
c. A copy of the joint venture agreement entered into by the joint venture members shall be submitted
with the Technical Tender as specified in Part 2. The joint venture agreement must provide that:
1. Each member of the joint venture shall be jointly and severally liable for any and all of the
duties and obligations assumed by the joint venture under the Tender and the resulting
agreement, if awarded.
2. The composition and the constitution of the joint venture shall not be altered without the prior
consent of Company.
The Technical Tenders will be submitted in English. Tenders must be signed by an officer of the Bidder
who has the authority to bind Bidder to an Agreement if Tender is accepted.
Technical Tenders should be completed in strict accordance with all instructions in this ITT or they may
be deemed unresponsive and may be disqualified from further consideration. Technical information not
included in the original sealed tender will not be considered unless specifically requested as part of a
formal technical clarification issued in writing by Company
The Technical and commercial Tenders will submitted in double envelop and both tenders shall be due
on March 20, 2023. Bidders with successful Technical Tenders shall have their Commercial Tenders
evaluated. No commercial pricing information may be included in the Technical Tender.
The tenders from Bidders will be handled as Sealed Bids and must comply with the requirements set
out in this Invitation to Tender.
1. The Notice of Intent included at the end of this Part 1 must be completed and returned via e-mail by
February 13, 2023, to the Bid Administrator at Ngeria.Bidadministrator@exxonmobil.com
2. All Electronic Technical Tender data should be uploaded onto the NipeX portal no later than
the due date indicated above. Any tenders NOT loaded by this due date will be considered a
"no quote". Tenders sent by fax or mail will NOT be accepted. Only tenders loaded via the
NipeX portal by the due date will be considered for evaluation.
3. Bidder must provide a contact for Company to use during the technical evaluation phase of the bid
process. This contact must be familiar with the Tender submitted by the Bidder and able to answer
clarification questions regarding the Bidder's Tender. Bidder must provide the contact’s name, title,
address, phone number, and e-mail address.
9.0 Bidder's Exceptions to Terms & Conditions in Company's Proposed Agreement (Part 3)
Bidder shall submit a compliant base Tender that is in strict accordance with the specifications set forth
in this Invitation to Tender. Bidder's exceptions to the proposed Agreement, if any, should be detailed in
Table 2-1 “Exceptions”, Appendix 1, Part 2 of this ITT. In addition, Bidder should insert its proposed
changes in an electronic file using the electronic copy of the Agreement. These proposed changes
should be highlighted through "Track Changes" in Microsoft Word utilizing the "track changes while
editing" feature.
Company will review Bidder's proposed exceptions to the Agreement Terms and Conditions during the
Technical Evaluation Stage and inform the Bidder of any exceptions which Company is prepared to
accept. Agreement Terms and Conditions must be agreed upon between the Company and the
Bidder before a Bidder can be invited to submit a Commercial Tender. Failure to agree upon
Agreement Terms and Conditions during the Technical Evaluation Stage may result in Bidder’s
disqualification.
If mutually agreed, existing executed Multi-Country Services Agreement with ExxonMobil may be
utilized in lieu of the base Services Outline Agreement provided in Part 3. Such Multi-Country Service
Agreement if utilized, will be amended to include all relevant Nigerian Government Laws and NCD
requirements currently included in Part 3 and will include all Exhibits contained herein.
If Bidder’s Technical Tender is deemed successful and meets the Nigerian Content requirements then
Bidder will be invited to submit a Priced Commercial Tender. In the Commercial Tender, Bidder must
submit its tender in strict accordance with the Agreement Terms and Conditions agreed upon between
the Company and Bidder during the Technical Evaluation Stage. Bidder should carefully consider the
agreed upon Agreement Terms and Conditions in determining the operating responsibilities, costs and
risks involved and carefully consider these in preparing the bid rates.
Company wishes to emphasize that Bidder and its sub-contractors must strictly comply with its
Business Ethics, Conflict of Interest and Alcohol and Drug Use Policies; the provisions of which are set
forth in Article 26 and Exhibits G of Part 3 of the Invitation to Tender.
Bidder is required to observe the requirements of all applicable laws, rules, regulations and decrees of
governmental authorities with respect to the performance of its contracts.
Company does not expect nor authorize Contractor or its sub-contractors to take any action on behalf
of Company in the performance of the work, conduct of operations or rendition of services that would
subject either party to liability or penalty under any laws, rules, regulations or decrees of any
governmental authority.
Company policies require that Company book all assets and record all transactions properly. In order
to do this, it is essential that all invoices, financial settlements, reports and billings furnished by a
contractor must properly reflect the facts about all the activities and transactions handled for the
account of Company.
Company requires that all employees avoid any conflict between their own interests and the interests of
Company. This means that Company's employees or their family members may not own interests in or
otherwise receive benefits from other persons or organizations if such ownership or benefits might
influence such employees' judgment in handling the Company's business. In this connection,
Company employees are not allowed to accept any gifts or extravagant entertainment.
Company has also advised all other companies, firms and individuals that provide services to Company
of these policies and similar action has been taken worldwide by all companies with which Company is
affiliated.
Under certain circumstances, Company may be held liable for acts/conduct of the Contractor violating
applicable laws, rules, regulations and decrees of governmental authorities as highlighted in 10.0
above, even in cases where such conducts are not authorized by Company.
To ensure due diligence is carried out in this bid process, Company is requesting from Bidders as
prospective business associate, extensive information about Bidder’s identity and upon award of a
contract, Bidder will be requested to enter into certain undertakings with respect to payments to foreign
officials and related issues.
Bidder shall complete the attached Appendix 2 to Part 2, “Prospective Business Associates
Questionnaire”, fully answering all questions.
As provided in Part 3 - (Agreement), Exhibit ‘B’ all payments to Contractor under the Agreement shall
be made in split ratio, 60% U.S. Dollars and 40% Nigerian Naira or 100% Nigerian Naira, as applicable.
This split is necessary to comply with Nigerian Local Content obligations.
For all items for which a price is requested, Bidder shall provide rates in 100% US Dollars only.
Company will pay 60% of the quoted price in US Dollars and 40% of the quoted price in Nigerian Naira.
(if applicable)
Where applicable, all reimbursable items in any eventual contract will be reimbursed in the original
currency of expenditure.
Bidder shall direct all questions regarding this ITT in writing via e-mail to the EEPNL/EEPN(OE)L Bid
Administrator, at the address shown in Section VIII - Bid Submittal Procedures above.
Bidder may advise Company of obvious errors or omissions identified in this ITT, however such
notification will not constitute a clarification. Company may or may not respond to all Bidders if or when
such notification is provided depending on if such errors, omissions or inconsistencies noted will
materially affect completion of the Technical process.
If the answer to any question significantly changes or supplements this ITT, Company will issue a
written addendum which shall be numbered consecutively and forwarded to all Bidders as a revision to
the documents contained in this ITT. Nothing shall be deemed to change or supplement this ITT
except such addenda issued in writing or e-mail, to Bidders by Company.
Bidder shall submit all questions or clarifications regarding this Invitation to Tender to
Company on or before February 20, 2023. Questions and clarifications requests submitted after this
date will not be entertained. Company shall respond to Bidders questions by February 27, 2023.
Bidder may, without prejudice, withdraw their Technical Tender by written request provided the
request is received by the EEPNL/EEPN(OE)L Bid Administrator (ref. Section 8.0) prior to the
Technical Tender response due date per Section 8(1).
a. to determine whether or not a Bidder will be included in any recommendation to progress to the
next stage of the bidding process;
b. to accept or reject part or all of any quotation received that it believes is unresponsive or in any way
unsatisfactory;
f. to award or not to award an Agreement as a result of this solicitation of quotations including any
subsequent conditioning, clarification, re-quotes or negotiation of such tenders; or
Company may require an on-site inspection/audit of Bidder's proposed facilities, equipment and work
areas prior to an award. Refusal of Bidder to submit to such an inspection/audit will preclude further
consideration of Bidder for Contract Award.
If and when Commercial Tenders are requested from Bidders that are determined to be Technically
Qualified and Nigerian Content Compliant, quoted prices to be provided must, at a minimum, include
the following:
a. Compliance with the enclosed Agreement Terms and Conditions, as specified in Part 3 Services
Outline Agreement or as revised per Section 9.0;
c. Compliance with Safety and Health Policies and Drug and Alcohol Requirements as contained in
the Agreement;
d. All miscellaneous costs such as: insurance, overhead, consumables and labor required for
maintenance of Contractor's equipment, standard wear and tear costs, profit, etc;
e. Any costs for additional equipment which Company did not specify in Exhibit B of Part 3 Services
Outline Agreement but which Bidder, being experienced in providing FPSO System Integrity
Monitoring Services should have reasonably foreseen and included as required equipment for
completing the work.
Compliance with these requirements will be a determining factor in the final award.
Upon award of an Agreement, the successful Bidder will provide additional documentation per
Company's request. Such documentation shall include, but is not limited to, equipment inventories,
specifications, maintenance and inspection records and personnel information.
i. Incorporation in Nigeria:
Company adheres to the provisions of Section 54 of the Companies and Allied Matters Acts of
Nigeria, which states as follows:
a. “Subject to sections 56 to 59 of this Act, every foreign company which, before or after the
commencement of this Act, was incorporated outside Nigeria, and having the intention of carrying
on business in Nigeria shall take all steps necessary to obtain incorporation as a separate entity in
Nigeria or for that purpose, but until so incorporated, the foreign company shall not carry on
business in Nigeria or exercise any of the powers of a registered company and shall not have a
place of business or an address for service of documents or processes in Nigeria for any purpose
other than the receipt of invoices and other documents, as matters preliminary to incorporation
under this Act.
b. Any act of the company in contravention of subsection (1) of this section shall be void.”
Bidders must comply with applicable Nigerian Laws and Regulations. Bidder must be validly
registered with the Nigeria Upstream Petroleum Regulatory Commission (NUPRC) and possess in
its own name a current permit to operate as an oil industry service company. Alternatively if Bidder
is affiliated to a company that is incorporated in Nigeria or otherwise registered with Nigeria
Upstream Petroleum Regulatory Commission (NUPRC) to operate as an oil servicing company,
then Bidder's Tender will be considered by Company so long as Bidder is agreeable to executing
the contract resulting from the bid award both in the name of the Bidder and its Nigerian affiliate,
with express representation in the Agreement that any work to be performed in Nigeria or its
territorial waters will be performed by the Nigerian affiliate.
ii. Nigerian Oil and Gas Industry Content Development(NOGICD) Act 2010:
Non-compliance with the Nigerian Oil and Gas Industry Content Development Act 2010 will
constitute a “fatal flaw” and will preclude Bidder from further consideration and participation in the
tendering process.
Company’s expectation is that all its Contractors/Suppliers shall provide their employees with
working conditions, including payment of wages and benefits, which comply with applicable laws
and regulations. In addition, Contractor/Supplier’s employees are expected to meet the legal
employment age requirements in the country of their employment.
The Contractor/supplier understands that it shall comply with all applicable laws
prohibiting the utilization of forced or compulsory labor.
The Contractor/supplier understands that it shall provide its employees with working
conditions, including payment of wages and benefits, which comply with all applicable
laws
The Contractor/Supplier understands that it shall ensure that its employees meet the
legal employment age requirements in the country of employment
Adherence to these stated requirements is a condition of this Bid.
This ITT and any participation therein, including any statements whether oral or written between
Company and Bidder or any negotiations between Bidder and Company, shall not create or be
deemed to create any binding legal relationship or contract or be construed to do so between
Company and any Bidder. Only when a written Agreement is signed by the successful Bidder and
communicated by Company to the successful Bidder in the manner specified in these instructions,
shall any legal relationship be created between Company and the successful Bidder. The provisions
of that Agreement shall govern the relationship between the parties. Bidder understands that award
of the contract will be contingent upon Bidder being fully qualified.
All Bidders submitting tenders do so with the understanding that Company does not accept any
obligation of confidentiality with respect to any information disclosed to Company in the ITT
documents unless specifically covered by a separate written confidentiality agreement. By
submitting their quotations, all Bidders agree they will place no restrictive notices on any document
(including drawings) provided as part of this ITT. The Bidders further agree that if they do place
such notices on documents, Company is authorized to remove and/or disregard any such restrictive
clauses and shall be free to use and disclose any or all information contained therein to third parties
without accounting to the Bidder. Company has provided anticipated activity as part of this ITT to
assist Bidders in developing the pricing structures for the quotation, but does not guarantee any
amount of work.
Company shall not be under any obligation to the successful Bidder or Bidders except as to specific
work or quantities described in the Orders against an Agreement if so awarded. Company
specifically disclaims all responsibilities for any costs, expenses or charges that Bidder incurs or is
required to expend in its preparation activities, work performed, quantities begun or produced, and
obligations or expenses incurred by the successful Bidder or Bidders prior to the issuance of the
Agreement Award and any applicable releases, including, without limitation, quotation preparation
expenses and Bidder commitment or cancellation charges.
All information contained in this ITT is confidential and may not be disclosed, published, or
advertised in any manner without Company's written authorization. All documents remain the
property of Company, and Bidders shall be required to return them upon request. Appropriate
information may be given to subcontractors, but Bidder must inform sub-contractors that the
conditions in this section apply.
a. Warranty and Representation. Bidder and Company are aware of a practice (known as "Illegal
Information Brokering") where certain persons or entities approach Bidders, subcontractors,
vendors or other suppliers, and offer confidential information or illicit influence in order to obtain
business through corruption of the competitive bidding processes. Bidder recognizes that the
practice of Illegal Information Brokering or any other corruption of the agreement award
process is not permitted by Company and Bidder warrants and represents that it has not and
will not utilize or participate in Illegal Information Brokering in connection with this Agreement or
any release.
b. Notification. Bidder agrees that it will promptly notify Company's controller if anyone approaches
Bidder for the purpose of Illegal Information Brokering concerning this Agreement, any release,
or any other related business interest of Company or any Buyer. Company undertakes that
such notice and any related information provided by Bidder will be treated with the utmost
discretion. Company also undertakes that it will handle this information with appropriate security
measures in order to prevent any supplier, Bidder or subcontractor from gaining any unfair
advantage subsequent to such notice.
For exports into or imports from the US, CONTRACTOR will comply with the requirements of
Exhibit L dealing with Export Control and further shall not take any action that would subject
another party to penalty under the law of any jurisdiction to which such party is subject. Provided
always that parties shall not be required to do anything which conflicts with the Nigerian Content
Directives and/or related laws.
CONTRACTOR shall provide information regarding the nature, specifications and technical
details of goods or services supplies by CONTRACTOR as requested by COMPANY.
Bidders not registered with Esso Exploration and Production Nigeria Limited and Esso Exploration
and Production Nigeria (Offshore East) Limited (EEPNL/EEPNL(OE)L) or with the appropriate
regulatory authorities in Nigeria must endeavor to do so immediately. Such Bidders should contact

PROPRIETARY INFORMATION AGREEMENT
All information and documents provided by Esso Exploration and Production Nigeria Limited affiliate of ExxonMobil Corporation
(The Company) in this Invitation to Tender (ITT) for the provision of FPSO System Integrity Monitoring Services at Erha shall be
deemed Proprietary Information. In consideration for providing said information, Bidder's agreement to the provisions herein is
required in respect of Company Proprietary Information.
Bidder agrees to treat any information provided by Company as part of this ITT as confidential and proprietary information and to
divulge only those segments of the information to others as required to obtain subcontract pricing or material pricing.
The term Proprietary Information shall mean all information, directly or indirectly acquired from the Company, concerning the
technical and business activities and know-how of the Company, Participants, their respective affiliates, successors, including all
such information contained in the ITT, except information falling into any of the following categories;
Information which, at the time of disclosure hereunder, is lawfully in the public domain.
Information which, after disclosure hereunder, enters the public domain, except where such entry is the result of
breach of this agreement.
Information, other than that obtained from third parties, which prior to disclosure hereunder, was already lawfully in
Bidder's possession either without limitation on disclosure to others or which subsequently becomes free of such
limitations.
Information obtained from a third party, who is lawfully in possession of such information and not subject to a
contractual or fiduciary relationship to the Company, with respect to said information. Information may only be
disclosed in accordance with the terms under which it was provided.
Proprietary Information shall not be deemed to be within the foregoing categories merely because such information is embraced
by more general information in the public domain or in Bidder's possession. In addition, any combination of features shall not be
deemed to be within the foregoing categories merely because individual features are in the public domain or in Bidder's
possession but only if the combination itself and its principle of operation are in the public domain or in Bidder's possession.
Bidder will not disclose any Proprietary Information to any third party, except its Sub-Contractors and joint venture partners, nor
use Proprietary Information other than on Company's behalf.
Bidder also agrees to take all reasonable precautions to safeguard any documents which may be supplied in respect to the ITT.
Bidder agrees to return all documents supplied by the Company prior to disclosure by Bidder of any Proprietary Information to any
Bidder or joint venture participant. Bidder hereby remains liable for and is obligated to obtain from any such Sub-Contractor or
joint venture participant, their agreement to the terms contained herein by obtaining signed Proprietary Information Agreements
identical to that contained herein.
This Agreement must be signed by Bidder upon receipt of the ITT and returned with the completed ITT Receipt
Acknowledgment Form.
