APPOINTMENT LETTER
Dear ………….,

Congratulations!!

We are pleased to offer you an Employment with Upcrest Engineering Design Consultants Pvt Ltd based on the interview
discussions you had with us and your application submitted to us. Details of the terms and conditions of offer are as below:

1. You will be designated as “Process Associate” and will be based at our Delhi Centre.
2. Your date of commencement of Employment will be on or before 11/10/2018.
3. You will be entitled to receive compensation and benefits (Fixed Pay of INR 150000/- PA) as per the enclosed
annexure.
4. Your employment would be subject to the Terms & Conditions, mentioned in your appointment letter, which will be
issued to you on your Date of joining. You will be on probation for a period of 6 months from the date of
joining, whichever is applicable. During this period your work, attendance & conduct will be under scrutiny.
During this period your services can be terminated without assigning any reason or notice thereof.
5. The notice period to be served would be 1 month.
6. Please bring along the below listed documents / details on your day of joining.

a) Date of Birth proof certificate (Copy of passport / birth certificate / S.S.C) (Two Copies)
b) Original UEDC Certificates (all from 10th to Highest)
c) Resignation Acceptance Letter with acknowledgement
d) Relieving letter from previous employer (Original)
e) Proof of compensation last drawn ( last 3 Months)
f) 4 passport size photograph
G) Last 3 months’ salary slip/salary certificate, Supporting Bank Statement, Last Company’s appointment
l letter/Appraisal letter.
h) PAN Card and Aadhar Card
i) Blood Group Proof

7. You may be required to work on a shift basis. Shifts may be scheduled across 24 hours a day and 6 days a week subject to
applicable laws for a full working 8 productive hours in office, if in case The shift timings may change from time to time which you
will be notified of in advance.

8. You may be required to travel, whether in India or Overseas, in connection with office work at certain interval.

9. You will be based at our office /unit at Delhi as per records. However, your services are transferable to any of the
sections/divisions of the company, or at any place in India or abroad, as per the requirements of the company, or if so, required in
the subsidiary or branches or group units of the company as the organization may deem fit in the above capacity or any other
capacity.

10. Your appointment is and shall be subject to the rules and regulations of the company in force from time to time as well as other
statutory provisions under applicable statutes and Information Technology Act.

11. You agree and undertake that during the continuation of your employment with us:
9.1 You shall not associate, in any capacity whatsoever directly or through anyone else either part time or full time or as a
free-lancer, with or without remuneration or on honorary basis with any business of an individual, firm, partnership firm or
concern without obtaining prior written permission of the company.

9.2 The Provisions of this clause shall not restrict or prejudice to other rights and remedies available to the company.

9.3 It is required that Employee has to work for tenure of at least 2 Years in the organization, in case of non-fulfillment of
above, Organization hold the right to take necessary action against the Employee that includes forfeiting the payable full
and final amount, non-issuance of experience letter and relieving formalities.

12. You are required to sign confidentiality, Non-Disclosure and Non-Solicitation Agreement, which ensures abiding by complete
secrecy on your part to the affair of the business of the Company as well as non-disclosure of the information/data of the client
partly or wholly at any time now or in future, to any individual/party whether internal or external by any means. This means that
you will not disclose the client details to anyone that may lead to the business loss of the company & in case found, company can
suit and take legal actions as per the laws of “Government of India”.

11. You shall conduct yourself with discipline and professional ethics within the company as well as outside and shall make your best
efforts to protect and further interest of the company to the maximum extent possible. You should not make use of the company, its
clients, customers or associate’s data, facilities, equipment or any office property for private work. Personal work should not be
conducted during office hours.

12. As per the company policy, you are required to give a notice period of a minimum 60 days (2 months) and handover the
projects, tasks allocated, company devices if provided like laptop, mobile etc. during this period for a successful and smooth
transition and not causing damage to the company in any case. In case of not meeting the criteria, the company can forfeit the Full
and final amount as a damage to the company. Also, during the notice period, any leave taken shall be considered as unpaid and
shall be adjusted from the full and final amount after the completion of notice period.

13. Your services shall be terminated forthwith or without any notice if at any time during the Currency of employment, you are
found guilty of misconduct, moral turpitude, an act of indiscipline, disobedience, insubordination, incivility, insobriety, dishonesty or
corrupt practice or breach of any of the terms or conditions of this appointment or if you are found to be unfit or incompetent to
discharge the duties attached to your office or entrusted to you, or if you declared bankrupt or insolvent or if it is found to be false
or incorrect or found to have been Knowingly suppressed by you.

14. You will be required to undergo the medical tests/examination as and when asked by the Company and if you are found
medical/physically unfit, you will be immediately discharged from the services of the company.

15. In any case, you will not involve yourself into any kind of political, criminal disputes or any protests going on that
can affect the working of the company and the projects. Your services shall be terminated at the same time without giving any
notice and the loss to the work will be forfeited from your salary.

16. In case, you leave the company without serving notice and taking salary, not giving notice and handover of work
and projects, a suitable legal action and notice will be sent to your parents/family members and you have to pay the two
months’ salary to the company. No F&F shall be made in this regard.

17. In case, any data is deleted by you in any circumstances intentionally or un-intentionally, either from your workstation or from
server, a legal suitable action and two months’ salary to be paid by you to compensate the loss to the company or will be liable to
pay amount equivalent to loss whichever is higher.

18. You will make your own transport arrangements for reporting to work according to the timings stipulated from time to time.

19. In event of any dispute, depending upon the nature of the dispute, New Delhi, will be treated as the place where the dispute

has arisen, hence the dispute will be subject to above said jurisdiction only, irrespective of the place of your posting at the time of
arising o of dispute.

You are requested to return the duplicate copy of this appointment letter duly signed by you as a token of your formal acceptance
of the terms and conditions of the appointment.

7. This offer letter and your employment with uedc is subject to the clearance of your background verification as per
the company policy.
8. Kindly sign a copy of this letter as a token of your acceptance of this offer within 7 days from the date written above
post which this offer stands withdrawn.

Thus, you will be entitled to maximum Annual CTC of up to Rs. 0,00,00/- (Rupees Only) per annum which is inclusive of Total
Gross Salary plus Maximum Monthly Benefits as per our salary structure in force.
2.1 Salary shall be reviewed on an annual basis at the beginning of each financial year and you shall be notified of the
amount of your salary entitlement for the succeeding year, depending upon your performance of both company as well as
Individual during the year.
2.2 Not with standing the provisions of clause 2.1, you acknowledge that, it is the Company policy to review the salary
payable to its employees for successive financial years and such reviewed salary may be higher or lower than the salary
received for the previous financial year depending upon the overall performance of the Company.
2.3 Your Salary shall be subject to statutory and other required deductions as per government norms in addition to the
below company standard criteria of security deduction.
2.4 A flat 10% of total monthly salary (same applicable to incremented salary if any during initial tenure of 24 months
service) shall be deducted every month for a period of minimum of 24 months as a security deposit. 75 % of the deducted
salary (along with compound bank interest ) shall be payable only if you complete minimum 24 months i.e 2 years in
continuous employment with the company and rest 25 % will be released as a part of full and final settlement while leaving
the organization on condition of serving proper Notice Period and hand over of work. In case of any situation, leaving the job
including but not limited to personal, medical, family, professional, not reporting to work or absenteeism for more than 10
days, bad attitude, breaking code of conduct, any office politics, termination due to Code of conduct, not working as per your
KRA (Annexure A), cases of harming the repute of company by bad words, and so on, you are not eligible for the payout of
the deducted 10% salary and the same shall be forfeited as a damage to the company.

2.5 The above 10% deducted salary per month shall be paid along with accumulated rate of interest/month based on the
particular time of the deduction only after satisfying the above criteria.
2.6 The Company shall, in its sole discretion, be entitled to amend, vary and modify any the terms and conditions of the
policy with regard to the benefits that are offered to you and the same benefits/incentives will entirely depend upon your
performance, overall contribution to the growth of the company and the financial position of the company.

3. You will be required to contribute employees share towards PF if applicable as per law.
