This deed of trust establishes Nor Asmida Binti Yussoff as the trustee holding 5,000 shares of Deveno Ocean Engineering Sdn. Bhd. on behalf of Wei, Huailin as the beneficiary. The shares were fully paid for by Wei, Huailin, and Nor Asmida Binti Yussoff is only acting as the nominee shareholder. The trustee agrees to transfer the shares to Wei, Huailin or their appointed nominee at their request. The trust will terminate when the shares are transferred to Wei, Huailin or their nominee.

DEED OF TRUST

THIS DEED OF TRUST is made this by NOR ASMIDA BINTI


YUSSOFF (NRIC NO.: 931109-01-6352) of No. 1, Jalan Pinggan, Rumah Awam,
Machap, 86200 Simpang Renggam, Johor (hereinafter referred to as “The Trustee”)
of one the part WEI, HUAILIN (China Passport No. EV4784907) of Block A, 2507,
Residensi Southkey Mozek, Persiaran Southkey 1, 80150 Johor Bahru, Johor
(hereinafter referred to as “the Beneficiaries”) of the other part.

WHEREAS:-

1. DEVENO OCEAN ENGINEERING SDN. BHD. [COMPANY NO.


202301036747 (1530670-D)] a private limited company incorporated in Malaysia
and having its registered office at No. 40-02, Jalan Austin Heights 8/4, Taman Mount
Austin, 81100 Johor Bahru, Johor Malaysia (hereinafter referred to as “The
Company”) with a fully paid up capital of RM50,000.00 share capital at RM1.00
each out of which 5,000 shares (“the said Shares”) are registered in the name of the
Trustee.

2. The Company intends to be a collaboration between Malaysian Companies and


overseas Company for the purpose of business arrangements in Malaysia.

3. The said Shares are fully paid by the Beneficiaries and the Trustee is strictly the
nominee of the Beneficiaries in holding the Shares on trust for the Beneficiaries upon
terms and conditions hereinafter contained.

NOW THIS DEED WITNESSETH as follows:-

1. The Trustee hereby declares and covenants that she holds the Shares on trust for
and on behalf of the Beneficiaries absolutely and hereby agrees that he will at the request
of the Beneficiaries transfer the Shares to the Beneficiaries or such person(s) at such
time and in such manner or appoint and will at all times execute all documents and do
all such acts and things as may be necessary to procure the appropriate registration of
the Shares to any such transfer or dealing or if so required to protect the interest of the
Beneficiaries.

2. Notwithstanding the clause hereinbefore set forth, the Trustee shall execute all
the Transfer forms or/and all other necessary connected documents in escrow pertaining
to the Shares of the Company and the same shall be deposited and kept in the custody
of the Beneficiaries including but not limited to a valid Power of Attorney to be
registered with the High Court of Malaya for the purpose to be stipulated therein.

3. The Trustee shall not sell, transfer, assigning the Shares in whatever nature or
method without the written consent of the Beneficiaries.

4. The Trustee further agrees and declares that the trust hereby created in respect of
the Shares shall terminate and be of no further effect upon the Shares becoming vested
in the name of the Beneficiaries or appointed nominee(s).

5. The Beneficiaries will at all times hereafter indemnify and keep indemnified the
Trustee against all liabilities which the Trustee may incur by reason of the Shares being
so registered in the name of the Trustee as aforesaid and all costs and expenses incurred
by the Trustee in the execution of this Deed of Trust.

AND THE TRUSTEE HEREBY FURTHER DECLARES that this Declaration of


Trust shall be binding upon parties’ successors-in-title personal representative and
permitted assigns.
