have inspected the above property and hereby offer to purchase the said property on "as is where is basis" by forwarding a Online Transfer
dated 02 August 2023 for the sum of RM 6,000.00
being Earnest Deposit payable to THE ROOF REALTY SDN BHD as Stakeholder.
[Note : THE ROOF REALTY SDN BHD shall not be held responsible and liable in whatsoever nature of claim(s) for any cash payment without an Official
Receipt issued by THE ROOF REALTY SDN BHD]
1.The Purchase Price of RM 600,000.00
2.Ten Percent (10%) of the total purchase price inclusive of the Earnest Deposit sum shall be paid immediately upon signing the Sale & Purchase
Agreement (SPA) by the purchaser. (subject to RPGT retention)
3.The balance of Ninety Percent (90%) shall be paid within ninety (90) days from the date of signing the Sale & Purchase Agreement / Receipt of
Consent from the Developer AND / OR Relevant Authorities (whichever is applicable) with an extension period thirty (30) days carrying an interest rate
eight percent (8%) per annum and shall SUBJECT to the terms and conditions as agreed by both parties in the Sale & Purchase Agreement.
4.The Sale & Purchase Agreement must be signed by both parties within 21 full working day from the date of acceptance by the Vendors.
In default of signing the Sale & Purchase Agreement within the above validity date :
a. In default of signing by the purchaser(s), (provided that there is no undue delay on the part of the Vendor and/or Vendor's Solicitor) the said Earnest
Deposit sum paid herewith shall be forfeited by the Vendor, which the Vendor shall then to pay to THE ROOF REALTY SDN BHD an amount
equivalent to 50% of the forfeited Earnest Deposit sum or 50% of the agreed Agency Fee, whichever is the higher.
b. In default of signing by the Vendor, the Purchaser shall be entitled to the relief of specific performance against the Vendor (at the cost and expense of the
Vendor) or alternatively, to terminate this Letter of Offer to Purchase whereby the vendor shall refund the Earnest Deposit to the Purchaser and to pay a
further sum equivalent to the Earnest Deposit being Agreed Liquidated Damages to the Purchaser. If the Purchaser has opted to terminate this Letter of
Offer to Purchase, the Purchaser shall pay 50% of the said Agreed Liquidated Damages to THE ROOF REALTY SDN BHD or 50% of the agreed
Agency Fee, whichever is the higher.
c. In exercising the Vendor or the Purchaser’s respective right(s) under Clause 4(a) or 4(b) above, THE ROOF REALTY SDN BHD is hereby authorized
by both parties to continue holding the Earnest Deposit sum as stakeholder until this Letter of Offer to Purchase is mutually terminated by the Vendor and
Purchaser or until it is determined by the Court of Laws with competent jurisdictions.
5.The Purchaser(s) shall bear the Stamp Duty, Registration Fees, and his/her legal fees incurred in the SPA in this transaction. The Vendor shall bear
his / her own solicitors fees, the Discharge of charge and cost of obtaining the necessary consent from the Relevant Authorities. Outgoing
expenses such as quit rents, assessments, maintenance charges (if any) shall be apportioned at the time of completion of Sale.
6.The Vendor shall pay to THE ROOF REALTY SDN BHD an Agency Fee in accordance to VALUERS, APPRAISERS, ESTATE AGENTS AND PROPERTY
MANAGERS ACT 1981 and it shall be due and payable immediately upon signing the Sale & Purchase (SPA) plus 6% Service Tax (SST).
Rules 48 (a) of the VALUERS, APPRAISERS AND ESTATE AGENTS RULES 1986 states that : the scale of fee to be charged by registered estate
agents for their professional services for the Sale and Purchase of Land and Buildings shall be an amount fee of (RM 12000)
Plus 6% Service Tax
7.In the event the Vendor(s) rejected this offer, the Earnest Deposit sum paid herewith shall be refunded in full to the Purchaser without any interest
and without any legal recourse.
8.This Letter of Offer to Purchase shall constitute as a binding contract/agreement between the parties which shall only be superseded only upon the
execution of the formal (SPA).
9.Vacant possession shall only be given upon full settlement of purchase price. The property shall be sold with existing Tenancy.
10.Special Condition If the loan is rejected or loan margin below 90%, the booking fee of RM 6,000 is refundable to the purchaser.

enclosed herewith (collectively, “Letters”) and I/we hereby agree to the terms and conditions stated in the Letters.*

1. By signing at the offer letter, I/We hereby acknowledge and confirm that I/we have been advised by
you (The Roof Realty Sdn Bhd) of the following:
a) you are a reporting institution under the First Schedule of the Act to adhere to the reporting
guidelines as provided by the Central Bank of Malaysia; and
b) you have the anti-money laundering / counter financing of terrorism (AML/CFT) obligations to
among others, conduct customer due diligence on me/us and to keep proper record on
my/our identity, the details of transaction involved and other documents as may be required
under the Act, including but not limited to a copy of my/our identity card (“Requested
Document”).
2. Notwithstanding your advices on such AML/CFT requirements, I/we have decided to not provide
you with the Requested Document. Nevertheless, I/we hereby give our consent to you to conduct
necessary searches on me/us for you to comply with the Act.
3. I/We further agree to indemnify you against any losses, damages, claims, costs and expenses
suffered or incurred by you including costs on solicitors and client basis in connection with and
arising from my/our refusal to furnish the Requested Document to you.
