Terms and Conditions

1. Service Scope

● Redsky Digital will provide social media marketing services as outlined in the
proposal, including content creation, page management, live session
arrangements, and analytics reporting.
● Any additional services requested by International Placewell Consultants Sri
Lanka that fall outside the scope of the original proposal will be subject to
additional charges and must be agreed upon in writing.

2. Payment Terms

● The monthly fee for the services will be 40,000 LKR.

3. Duration and Renewal

● The initial contract period is 6 months, starting from ________________________.


● The contract will be subject to renewal upon mutual agreement at the end of the
term.

4. Content Approval and Brand Representation

● All content created will be subject to International Placewell Consultants's


approval before posting.

● Redsky Digital agrees to maintain the integrity and professional image of the
International Placewell Consultants's brand in all content and interactions.

5. Confidentiality
● Any confidential information shared during the contract period will be protected and not
disclosed to third parties.

6. Cancellation Policy
● Either party may terminate the contract with a 30-day written notice.
● In case of early termination by the client, any payment for the current month will be
non-refundable.

7. Liability and Indemnification


● Redsky Digital will not be liable for any indirect or consequential losses due to social
media marketing services.
● International Placewell Consultants agrees to indemnify Redsky Digital against any
claims arising from content or services provided.

8. Performance and Analytics


● Redsky Digital commits to performing services to the best of its ability and in line with
the proposal.

9. Changes to Terms
● Any changes to these terms must be agreed upon in writing by both parties.

10. Governing Law


● This agreement shall be governed by and construed in accordance with the laws of Sri
Lanka.

11. Dispute Resolution


● Any disputes arising under or in connection with this agreement shall be resolved
through amicable negotiations. If unresolved, disputes will be subject to arbitration
under the laws of Sri Lanka.

12. Acceptance
● By proceeding with the services,International Placewell Consultants agrees to these
terms and conditions.
