    Business Sale Agreement

    Here referred to as “Seller"

    1. The Seller hereby offers to sell to the Purchaser Ngalo Business Pty Ltd t/a Ngalo Security
    Services with registration number 2016/475700/07, with PSIRA number 2869511.

    2. Both parties hereby agree on purchase price of R75 000.00 (Seventy-Five Thousand
    Rands Only).

    3. Both parties have agreed that purchase price will be paid as follows:

    3.1 100% payable by the buyer to the seller upon the completion of Director changes at
    CIPC.

    4. The Seller and Purchaser hereby agree as follows:

    4.1 The seller will assist in transfer of company into buyer’s name.
    4.2 The seller shall settle CIPC and Psira fees (if any) from proceeds of sale.

    5. Should the Purchaser discover any Debt or Liability under the company (excluding CIPC
    and Psira), which was incurred before this sales agreement, for 6 months (Six months)
    after this agreement, the Seller will be liable such debt.

    6. The Seller hereby warrants that the company, Ngalo Business Pty Ltd t/a Ngalo Security
    Services with registration number 2016/475700/07, with PSIRA number 2869511, has no
    other prior Debts or Liabilities.

    7. For the purpose of this agreement, including the giving of notices in terms hereof and the
    serving of legal process, the parties choose domicilium citandi et executandi ("domicile")
    as follows:

    8.1 A party may at any time, during the sale, change its domicilium by notice in writing, provided
    that the new domicilium is in the Republic of South Africa and consists of, or includes, a physical
    address at which process can be served.

    8.2 Any notice given in connection with this agreement may be delivered by hand; or be sent by
    prepaid registered post; to the domicilium chosen by the party concerned.
