On behalf ofEli Lilly Services India Pvt Ltd(“ELSIPL” / “Company”), we are pleased to extend you an offer of employment
as aAnalyst - Software Configuration & Developmentwith the Company. We request you to please read this Offer Letter
carefully, since it contains certain important details pertaining to your proposed employment with the Company.

The terms under this Offer Letter are valid for a period of 48 hours only, during which time you are required to convey
your acceptance to this offer. Please note that the contents of this Offer Letter are confidential and should not be used as
a bargaining tool for negotiating employments with your existing employer or any other organization or prospective
employer.
Please note that your salary structure and additional compensation details are as provided in Annexure – A below.
This offer is made to you basis the information and documents that you have furnished to the Company as on the date
above mentioned. Furthermore, you will be required to submit the documents mentioned in Annexure B before your Date
of Joining (defined below) the Company, and, during the course of your employment, as per the timelines specified/
communicated by the Company from time to time. The offer of employment and your employment with the Company is
contingent on timely submission of such required documents. Non furnishing of mandatory document/s within specified
time shall result in termination of employment.

The offer of employment and your continued employment with the Company is subject to confirmation that you are legally
authorized and available to work in your position at the agreed location on your start date in 16th August - 2022 and at
all times thereafter; the successful verification of your background information ; and you reporting to ELSIPL on the Date
of Joining. ELSIPL, at its sole discretion and at any time, reserves the right to withdraw this offer prior to or terminate your
employment after the Date of Joining, including in case of any failure by you to comply with all conditions mentioned in
this Offer Letter.
You are also required to sign an employment agreement detailing the terms and conditions of your employment, on the
Date of Joining. Your employment with the Company will commence only after the employment agreement is signed by
you and the entire induction and on-boarding process has been completed.
Your place of employment will be at Eli Lilly Services India Private Limited, 3rd Floor, Building Primrose (7B) – Wing B,
Embassy Tech. Village, Outer Ring Road, Devarabisanahalli, Bengaluru – 560103. Your engagement implies that you will
undertake work of any kind, which the Company may require. Please also note that this job is transferable and that you
may be required to work (without any further remuneration or benefit) at any place of business which ELSIPL has or may
later acquire.
As a part of the process, upon your joining we will be conducting a background verification and you agree to provide your
details, as requested by the Company. The terms set out in this Offer Letter are for your guidance and not necessarily
exhaustive.

ANNEXURE – A
COMPENSATION STRUCTURE

Gratuity to be paid, if eligible, in accordance with the provisions of the Payment of Gratuity Act, 1972.
You will be entitled to a joining bonus of INR 1,00,000 subject to applicable tax and withholdings, payable within a month
of your date of joining ELSIPL and upon your successful submission of the requisite documents concerning the
confirmation of your employment with ELSIPL. You acknowledge that the joining bonus shall be returned by you to
ELSIPL in full (including applicable tax and withholdings) in case you resign from the services of / are terminated for
misconduct from ELSIPL within 24 months from your date of joining the Company.
You may, at the sole and absolute discretion of ELSIPL, receive a ‘Repayable Relocation Cost’. You acknowledge that
this ‘Repayable Relocation Cost’ shall be returned by you to ELSIPL in full (including applicable tax and withholdings) in
case you resign from the services of / are terminated for misconduct from ELSIPL within 24 months from your date of
joining the Company. Notwithstanding the above, ELSIPL may undertake certain costs and expenses concerned with
your relocation to a particular location stemming from your employment with ELSIPL. You hereby further acknowledge
that such cost and expenses concerning your relocation and incurred by ELSIPL shall be returned by you to ELSIPL in
full (including applicable tax and withholdings) in case you resign from the services of / are terminated for misconduct
from ELSIPL within 24 months from your date of joining the Company.
As an ELSIPL employee, you are eligible to be enrolled in the Provident Fund Scheme, 1952.
The above salary and perquisites are taxable at the prevailing rates under applicable Indian laws.
