- Hereinafter called " The seller"
It is mutually agreed between both side to sign this contract with

terms and condition as follows:
1. COMMODITY : Vietnam golden corn crop year 2021

2. SPECIFICATION: 1.000 Ton+ 5% (at buyer's option)
3. QUATITY :
- Moisture: 14,5 % max.
- Black and broken: 8 % max.
- Foreign matter: 1% max.
- Other requirements: Dry, not infected; no sour smell.
- The weight and quality of the goods are determined at the port of
loading.
4. PRICE: USD 216/Ton FOB HCM port, Incoterms 2020.
5. PACKING:
50kgs net in new Polypropylene (PP) with polyethylene (PE) inner
liner.
5% of total bags as empty space bags to be supplied free of charges
6. SHIPMENT.
6.1. Time of shipment: not later than 15 April 2022.
6.2. Port of shipment : Odessa port.
Port of destination : Sai Gon port.
Partial shipment : not allowed
Transhipment : not allowed
Inspection: Shipped weight and quality at port of loading to be final.
Notice of shipment:
+ Within 2 days after sailing date of carring vessel to Vietnam,
the Seller shall notify by cable or fax to the Buyer the following
information:
-Name and Nationality of the vessel;
-Deadweight Capacity (DWC);
-Draught; -ETD, ETA. - B/L number and date; - L/C
number;
- Commodity; Quantity and Quality of goods.
+ Within 2 days after receipt of goods, the Buyer shall notify by
cable or fax to the Seller the following information:
- Commodity; Quantity and Quality of goods;
- B/L number and date;
- L/C number.
7. INSURANCE :
The Seller to be covered marine insurance for the Buyer’s risk of loss or
damage to the goods during the carriage at Bao Viet Insurance
Company with 110% invoice value covering ICC (A), showing claim
payable at Bao Viet Insurance Company , Ho Chi Minh city Branch in
invoice currency.
8. PAYMENT:
- By irrevocable L/C at sight.
- Issuing bank: Malaysia Bank
- Advising bank: Vietnam bank
- Date of issue: within 7 days from the signing date of this contract.
- Beneficiary: Vissan Company
- Date and place of expiry: November 10,2021 in Vietnam
- Period of presentation: within 15 days from B/L day
- Payment documents :
+ Signed Commercial Invoice issued by the Seller in triplicate.
+ 3/3 ( Full set) of originals clean B/L
+ One (1) original and two (2) copies Certificate of Quantity, Weight,
Quality issued by SGS.
+ One (1) original and two (2) copies Certificate of Origin issued by
Authorized authority.
+ Two (2) originals and two (2) copies Insurance Policy of Bao Viet
Insurance Company and endorsed in blank.
+ Packing list in triplicate.
+ Beneficiary's Certificate that one full set of non-negotiable shipping
documents have been sent by DHL to the Buyer.
9. FORCE MAJEURE:
Neither the Seller nor Buyer is responsible for any delay in or
cancellation of shipment and/or delivery due to force majeure, such as:
strikes, fire, floods, war, riots, embargoes, earthquakes, including but not
limited to Acts of God, restriction or any condition beyond the seller's control.
Force majeure circumstances must be notified by each party to other within 7
days by writing with a certificate of force majeure issued by Government
authority. Beyond this time, force majeure circumstances shall not be taken
into consideration.
10. CLAIM:
The Buyer has the right to make claim to the Seller for quantity, quality
by the written form according to the Inspection Certificate of SGS within 30
days after receipt the goods. Claim will be settled within 30 days from the
date of receipt of the claim.
11. ARBITRATION:
All dispute arising out of or in relating to this contract shall be final
settled by the Vietnam International Arbitration Centre at the Vietnam
Chamber of Commerce & Industry in accordance with its arbitration Rules.
12. PENALTY:
-TO CANCELLATION OF CONTRACT:
Cancellation of this contract is not acceptable. If the Seller or the Buyer
want to cancel the contract, 1% of total contract value will be charged as
penalty to that party.
-TO DELAY OPENING:
In case delay-opening L/C happens, the Seller has the right to
delay shipment.
-TO DELAY SHIPMENT/ DELAY PAYMENT:
In case delay shipment/ delay payment happens, the penalty for delay
interest will be based on annual rate 6%.
13. GENERAL CONDITIONS
This contract is made in Ho Chi Minh City- Viet Nam, in 06 English
originals, 03 for each party of equal value. This contract comes into
effect from signing date, any amendment and additional clause to these
conditions shall be valid only if made in written form by telex or fax and
confirmed by both parties.
