DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale entered into by and between:

BRIAN DEXTER MEDIJA, of legal age, Filipino, single and a resident at


Sto. Tomas, Davao del Norte Davao Region;

LOWELL MEDIJA JR., of legal age, Filipino, married to EDNA LEAH


MAY ESPAÑOLA and a resident at Sto. Tomas, Davao del Norte Davao
Region;

LOUELA LYNNE MEDIJA-ABELLERA, of legal age, Filipino, married to


JOHN JULIUS ABELLERA and a resident at Sto. Tomas, Davao del
Norte Davao Region;

EDEN MEDIJA, of legal age, Filipino, single and a resident at Sto.


Tomas, Davao del Norte Davao Region;

EVELYN MEDIJA, of legal age, Filipino, married to LOWELL MEDIJA


and a resident at Sto. Tomas, Davao del Norte Davao Region;

Hereinafter referred to as the “VENDOR”;

(the VENDOR and the VENDEE shall hereinafter be individually


referred to the “PARTY” and collectively as the “PARTIES”

WITNESSETH:

WHEREAS, the VENDOR is the owner of a parcel of land, located at Tibal-og, Sto. Tomas,
Davao del Norte, Philippines and covered by Transfer Certificate Title No. 142-2018005658 for
the Registry of Deeds for the Province of Davao del Norte, containing a total area of FIFTY FIVE
THOUSAND NINE HUNDRED TWENTY SEVEN (55,927) square meters, which property is more
particularly described as follows:

WHEREAS, the VENDOR offered to sell the above-mentioned property, measuring FIFTY
FIVE THOUSAND NINE HUNDRED TWENTY SEVEN (55,927) square meters, more or less
(hereinafter referred to as "subject property"), which offer was accepted by the VENDEE,
subject to terms and conditions mutually acceptable to both parties;

NOW, THEREFORE, for and in consideration of the foregoing premises, the PARTIES
agree as follows:

In consideration of the amount of PESOS: (P ),


receipt of which in full is hereby acknowledged by the VENDOR, the VENDOR hereby SELLS,
TRANSFERS and conveys UNTO the VENDEE, its successor and assigns, the Subject Property.

It is further agree that the capital gains tax (CGT) and broker's commission, of any, shall
be for the exclusive account of the VENDOR, while the other taxed and charges, such as, but
not limited to documentary stamps tax, transfer tax, registration fees and notarial expenses,
shall be shouldered by the VENDEE;

The VENDOR hereby warrants that the title of the Subject Property is free from any and
all liens, claims, charges and encumbrances, that the VENDOR has the exclusive right to
dispose, sell, transfer and convey the same and that the Subject Property is not subject to any
claim, future or contingent, from any third party/person, and is free of any tenants, occupants
or settlers. The VENDOR further warrants and undertakes, at his/her own expense, to execute
or procure all documents and perform all acts necessary to give effect to the provisions of this
Deed, and to defend the title and ownership of the VENDEE, its assigns and successors-in-
interest, over the Subject Property against any and all claims, encumbrances or suits that may
be instituted by any party. Should the VENDOR refuse or be unable to defend the title of the
VENDEE, its assigns or successors-in-interest in the Subject Property, the VENDOR shall
compensate the VENDEE, it's assigns or successors-in- interest for any loss, expense or damage
resulting therefrom or should the VENDEE be compelled to institute a case of engage the
services of counsel to defend its title or ownership to the Subject Property.

Upon execution of this Deed, the VENDOR shall submit to the VENDEE:
1. The original Transfer Certificate of Title No. No.142-2018005658;
2. The original copy of the latest Tax Declaration(s) for the Subject Property;
3. The acknowledgement receipt for the VENDEE's payment of the purchase price;
4. Tax clearance from the office of City Treasurer relative to the real property tax;
5. The latest Official Receipts showing the payment of Real Property Tax; 6.
Government issued ID's of the signatory;
6. Certified true copy of the TCT; and
7. Certificate of no improvements issued by Assessor's office

The VENDOR shall turn over the possession of the Subject Property to the VENDEE upon
execution of this Deed.

Each PARTY warrants and represents that they have full power and authority to execute
this Deed of Absolute Sale and perform their obligations therein, including condition their own
independent full due diligence and verification and implementation of the provision of this
Deed, and that the same are their free and voluntary act and deed that they are fully aware and
knowledgeable of the consequence of their acts.

A written notice or demand to the VENDOR or his/her attorney-in-fact at their


respective addresses stated above shall be regarded as sufficient notice or demand to the
VENDOR.

IN WITNESS WHEREOF, the parties have hereunto affixed their respective signatures

This instrument refers to a Deed of Absolute Sale of a parcel of land located at Bobon, Mati

consisting of four (4) pages, including the page(s) where this Acknowledgement is written, and
has been signed by the parties and their instrumental witnesses on each and every page hereof.
