AND

INTERNATIONAL EDUCATIONAL SCIENTIFIC CULTURAL


ORGANISATION
(“IESCO”)

THIS MEMORANDUM OF UNDERSTANDING (hereinafter referred to as “this
MOU”) is made this 27th day of May 2024.

BETWEEN

THE INTERNATIONAL INSTITUTE OF ADVANCED ISLAMIC STUDIES (IAIS)


MALAYSIA is a nonprofit organization that operates as a company limited by
guarantee, founded in 2007. Its main purpose is to encourage a favorable Muslim
identity, promote unity within the global Muslim community, support social
development in the country, and facilitate dialogue between civilizations. It was
registered at Jalan Ilmu, Off, Jln Profesor Diraja Ungku Aziz, 59100 Kuala Lumpur,
Malaysia. (Hereinafter referred to as “IAIS”).

AND

INTERNATIONAL EDUCATIONAL SCIENTIFIC CULTURAL ORGANISATION


(974063-T) is a company limited by guarantee incorporated in Malaysia under
the Malaysian Companies Act 1965 having its registered address at E-3A-07,
Pusat Komersial Setapak, Jalan Taman Ibu Kota, Taman Danau Kota, 53300,
Kuala Lumpur, Malaysia (Hereinafter referred to as “IESCO”).
(collectively hereinafter referred to as the “Parties” and individually as the
“Party”)

NOW THIS AGREEMENT WITNESSETH as follows:-

1. OBJECTIVE OF PARTIES

The Parties hereby agree to enter into a collaboration agreement or any


other substance with the same aims and objectives in relation to
cooperate in the implementation and development of educational,
scientific and cultural projects that will take place in Palestine .
(hereinafter referred to as “this MOU”) subject to the terms and
conditions to be negotiated and agreed upon in the Agreement and the
laws, rules and regulations from time to time in force in Malaysia.

2. OBLIGATIONS OF THE PARTIES

The Parties hereby agree to the following:

2.1 Obligation and Rights of (THE INTERNATIONAL INSTITUTE OF


ADVANCED ISLAMIC STUDIES (IAIS) MALAYSIA)

2.1.1 Provide the financial support needed to prepare and to develop


educational projects.

2.1.2 Work in utmost honesty preserve and maintain the good will and
reputation of both parties; and

2.1.3 Provide comments and recommendations when needed.

2.2 Obligation and Rights of IESCO

2.2.1 Plan, implement and evaluate all activities related to the funded
projects from THE INTERNATIONAL INSTITUTE OF ADVANCED
ISLAMIC STUDIES (IAIS).

2.2.2 Coordinate closely with THE INTERNATIONAL INSTITUTE OF


ADVANCED ISLAMIC STUDIES (IAIS) in all preparations related
to projects activities including the financial aspect.

2.2.3 Finalise work plans, reports, media tools and materials related to
the projects.

2.2.4 Submit a complete, a comprehensive, narrative, and financial


report to THE INTERNATIONAL INSTITUTE OF ADVANCED
ISLAMIC STUDIES (IAIS) that reflect all the implemented
activities.

2.3 Obligation and Rights of Both Parties

2.3.1 to work together in the spirit of brotherhood and professionalism in


the practice of the collaboration for the benefit of both parties; and

2.3.2 to work in utmost honesty preserve and maintain the good will and
reputation of both parties.

3. MUTUAL COOPERATION

The Parties hereby agree to cooperate and actively participate to


negotiate the terms of the Agreement, in good faith, professionalism and
with due diligence with the common purpose of executing the MOU and
shall render all necessary assistance to each other in accordance with the
spirit and the terms and conditions in this MOU duly entered into by the
Parties to ensure the successful delivery of the purposes.

4. CONFIDENTIALITY

4.1 The Parties undertake to observe confidentiality towards other parties not
concerned or connected with this MOU. Any confidential information
disclosed to either Party pursuant to this MOU shall not without prior
written consent of the other Party be disclosed to a third party or be used
for any purpose not expressly permitted in writing by the other Party.

4.2 Each Party agrees and undertakes that it shall ensure that all the
employees, agents and sub-contractors to whom Confidential Information
is divulged are made aware of and undertake to comply with the
obligations as to the confidentiality herein contained; and

4.3 The confidentiality provisions contained in this Clause shall not be


applicable where:

(a) such disclosure of information is required under any written law in


force and/or where it is required by any governmental or statutory
authority in Malaysia; or

(b) the confidential information which is the subject of the disclosure is


already in the public realm not due to the negligence or willful
breach of any of the Parties to this MOU.

5. EFFECT OF MOU

This MOU shall serve as record of the Parties’ intentions and shall
constitute and is intended to constitute legally or enforceable binding
obligations on the Parties.

6. PERIOD OF MOU

This MoU is effective as of 27TH May, 2024 (the “Effective Date”), and shall
last for at least two years or later and may be renewed upon written
consent of both parties.

7. TERMINATION

Either party may terminate this memorandum of understanding at any


time by giving the other party ten (14) days prior written notice. This
agreement constitutes the whole agreement between the parties and any
alteration must be in writing and signed by both parties.

8. COUNTERPART

This MOU may be executed in a number of counterparts. This MOU


comprises all the counterparts, taken together.

EXECUTION

IN WITNESS WHEREOF the Parties hereto by their duly authorised


representative(s) have hereunto set their hands the day and year first above
written.
