ThePartiesfullyagreetoabidewithgeneralprincipleswithinthebankintheFederalRe
publicofNigeriaconcerningnon-circumventionandnon-
disclosureintheirconductwitheachotherintheeventofsuchanoffenceoccurring,thi
sagreementshallbeinvalidatedimmediatelyandpenaltyshallbeapplied.

Theundersignedpartiesherebycertifythattheyarefullysatisfiedaboutthegenuinen
essofthebothParties.ThedocumentswhicharegoingtofollowthisAgreementlikelett
ersofintent,fullcorporateoffers,bankcomfortletters,contracttermsandconditions,
bankingdetailsorpre-
advisedpaymentinstrumentsand/oranyinformationcontainedinsuchdocuments
willnotbepassed,underanycircumstance,ontoanotherintermediaryorbrokerortra
derorwhatevercompanyorprivatepersonswhoarenotendlenderorborrowerwitho
utpriorspecificwrittenconsentoftheparty(s)providingsuchinformation.

ThisAgreementismadeandenteredintoonthisdate,shallobligatetheundersignedp
artiesandtheirpartners,associates,employers,employees,affiliates,subsidiaries,
parentcompanies,anynominees,representatives,successors,clientsandassignsh
ereinafterreferredtoasthe"theparties"jointlyseverally,mutuallyandreciprocallyfo
rthetermsandconditionsexpresslystatedandagreetobelow,andthatthisAgreeme
ntmaybereferencedfromtimetotimeinanydocument(s),orwrittenAgreements,th
etermsandconditionsofthisAgreementshallapplytoanyexchangeofinformationwr
ittenororalinvolvingfinancialinformation,personalorcorporatenames,contractsin
itiatedbyorinvolvingthepartiesandanyaddition,renewal,extension,roll-
overamendment,renegotiationornewAgreementhereinafterreferredtoas"thetra
nsaction"(project/transaction")forthepurchaseofallfoodcommodities,products,e
quipment.

NOW,THEREFOREITISAGREED:

Theintendingpartiesherebylegally,andirrevocablybindthemselvesintoguarantee
toeachotherthattheyshallnotdirectlyorindirectlyinterferewith,circumventoratte
mpttocircumvent,avoid,by-
passorobviateeachother'sinterestortheinterestorrelationshipbetweenthe"partie
s"withtheprocedures,sellers,buyers,brokers,dealers,distributors,refiners,shipp
ers,financialinstitutions,technologyownersormanufacturers,tochange,increaseo
ravoiddirectlyorindirectlypaymentsofestablishedortobeestablishedfees,commis
sions,orcontinuanceofpre-
establishedrelationshiporinterveneinanycontractedrelationshipswithmanufactu
rersortechnologyownerswithintermediariesentrepreneurs,legalcounsel,orinitiat
ebuy/sellrelationshiportransactionalrelationshipthatby-
passesoneofthe"parties"tooneanotherinconnectionwithanyongoingandfuturetra
nsactionorproject.Furthermore,the"parties"irrevocablyagreethattheyshallnotdi
scloseorotherwiserevealdirectlyorindirectlytoathirdpartyanyconfidentialinforma
tionprovidedbyone"party"totheotherorotherwiseacquired,particularly,contractt
erms,productinformationormanufacturingprocesses,prices,fees,financialAgree
ment,schedulesandinformationconcerningtheidentityofthesellers,producers,bu
yers,lenders,borrowers,brokers,distributors,refiners,manufacturers,technology

owners,ortheirrepresentativeandspecificallyindividualsnames,addresses,princi
pals,ortelex/fax/telephonenumbers,references,productortechnologyinformatio
nand/orallotherinformationadvisedbyone"party(s)"tobeoneanotherasbeingconf
identialorprivilegedwithoutpriorspecificwrittenconsentofthe"party(s)"providing
suchinformation.

ThisAgreementshallbevalidforoneyearcommencingfromthedateofthisAgreemen
tandexpireSEPTEMBER302025.ThisAgreementhasanoptiontorenewforafurtherperio
doffive(5)yearsubjecttoanduponthetermsandconditionsagreedbetweenbothpar
ties.

Declaringsuchbreach,Intheeventthatanamicablesettlementcannotbeagreedtob
ymutualdiscussionand/orarbitrationbyathirdpartyeachofthepartiessubjecttothe
declaredbreachshallberesponsiblefortheirownlegalexpensesuntilasettlementorj
udgmentisreached,providedhowever,thatthe"party"foundindefaultbyajudgmen
tshallcompensateinfulltheaggrieved"party"forallit'slegalexpenses,notwithstandi
nganyotherprovisionsofthejudgment.

Commissions,fees,compensationorremunerationtobepaidaspartoftransactionco
veringthe"parties"tothisAgreement,shallbeagreeduponbyseparatewrittenAgree
mentbythe"parties"concernedandshallbepaidatthetimesuchcontractdesignated,
concludedormonieschanginghandsbetweenbuyersandsellers,unlessotherwisea
greedamongthe"parties",the"parties"herebyirrevocablyandunconditionallyagre
eandguaranteetohonorandrespectallsuchfeesandremuneration,arrangementsm
adeaspartofacommissiontransactionevenintheeventthatthe"party(s)"isnotanint
egralmembertoaspecificcommissionandfee/remunerationAgreement.

Inspecificdealswherethisofficeallowsthebuyersorbuyersmandate,andthesellerto
dealdirectlywithoneanother,thisofficeandallpartiesshallbeinformedofthedevelop
mentofthetransactionsbyreceivingcopiesofthecorrespondencemadebetweenthe
buyerorbuyer'smandateandtheseller.

Inwitnesswhereofthe"parties"heretohaveexecutedanddeliveredthesecovenants
bymutualAgreementthedayandyearwrittenonallfaxesaretobeconsideredoriginal
,legalandbinding.Eachrepresentativesignsbelowguaranteesthathe/sheisdulyem
poweredbyhis/herrespectivelynamedcompanytoenterintoandbeboundbytheco
mmitmentsandobligationscontainedhereineitherasindividual,corporatebodyoro
nbehalfofacorporatebody.

FORCEMAJEURE

Anydelayinorfailureofperformancebyeitherpartyoftheirrespectiveobligationsund
erthisagreementshallnotconstituteabreachhereunderorgiverisetoanyclaimsford
amagesif,andtotheextentthatsuchdelaysorfailuresinperformancearecausedbye
ventsorcircumstancebeyondthecontrolofsuchparty.

Theterm“BeyondtheControlofSuchParty“IncludeLawfulorderofGovernmentorAu
thority,ActofWar,RebellionorSabotage,Fire,Flood,Earthquakeorothernaturaldis
asters.Anyothercausenotwithinthecontrolofsuchpartyorwhichisbyexerciseofrea
sonablediligence,thepartywillbeunabletoforeseeorpreventorremedy.

ARBITRATION

AlldisputesandquestionswhatsoeverwhicharisesbetweenthepartiestothisAgree
mentandtouchingonthisagreementontheconstructionorapplicationthereoforany
accountcost,liabilitytobemadehereunderorastoanyactorwayrelatingtothisagree
mentshallbesettledbythearbitrationinaccordancewiththearbitrationlawsoftheIC
C.

ThisAgreementcontainstheentireagreementandunderstandingconcerningthesu
bjectmatterhereofandsupersedesandreplacesall

priornegotiationsandproposedagreements,writtenororal.Neitherofthepartiesma
yalter,amend,normodifythisagreement,exceptbyaninstrumentinwritingsignedb
ybothparties.ThisAgreementshallbegovernedbyandconstruedinaccordancewitht
heRulesandRegulationsoftheInternationalChamberofCommerce(ICC),Paris.Int
heeventthateitherpartyshallberequiredtobringanylegalactionsagainsttheotherit
enforcesanyofthetermsofthisagreementtheprevailingpartyshallbeentitlestoreco
verreasonablyattorneyfeesandcosts.

CODESOFIDENTIFICATION:

ThePartiestothiscontractagreethatalldocumentsrelatedtothistransactionshallind
icatethecodesasindicatedherein.And,thecodesshallnotbechangedduringtheterm
ofthistransactioncontract,includingallrollovers,renewals,extensionsandalladditi
ons.

LIABILITYDISCLAIMER:

Alldisputesandquestionswhatsoeverwhicharisesbetweentheparties(TheRECEIV
ERandThePROVIDER)tothisAgreementandtouchingonthisAgreementontheconst
ructionorapplicationthereoforanyaccountcost,liabilitytobemadehereunderorast
oanyactorwayrelatingtothisagreement,theARRANGERS/AGENTS/LAWYERmenti
onedinthisDOAarenotresponsibleforanyfinanciallosstoanyPARTYinvolvedinthistr
ansactionofanykind,theyonlyactasintroducerstobothPARTIES.BoththeRECEIVE
RandthePROVIDERshouldbeartheirfullresponsibilitybydoingduediligenceoneach
otherbeforeengaginginanymoneyrelatedmatters
