Subject: Breach of sale agreement dated 1.1.2022 for purchase of 2
BHK apartment in Electronic City
Under the instructions from our client Rajshekhar, S/o. Venkatesh,
R/o. No. 25, 5th Main, Silk Board, Bangalore, Karnataka-560068, we hereby issue the following legal notice to you as here under.
1. It is brought to your notice that both of you agreed to sell away
the notice schedule property and offered to sell away the 2BHK apartment in Electronic City for bill contract of Rs. 48,00,000/-. Our clients agreed to purchase the same. 2. It is informed to you that after negotiations and discussions, both of you agreed to receive an amount of Rs. 10,00,000/- towards advance sale consideration out of total sale consideration of Rs. 48,00,000/-. The same was reduced into writing as agreement of sale dated 01.01.2022. Our clients paid the advance amount in the presence of mediators and the terms of sale was reduced into writing on the same date itself. 3. It was also agreed that you would execute the registered sale deed in favour of my client within three months from the date of the agreement, i.e., on or before 31.3.2022, by receiving the balance sale consideration amount of Rs. 38,00,000/- (Rupees Thirty-Eight Lakhs only) from my client. 4. It is further brought to your notice that our clients are always ready and willing to perform their part of their obligation to pay the balance sale consideration within the stipulated time as agreed in the agreement. But of you never came forward you failed to perform your part of obligation and violated the terms of contract. Whereas our clients have been ready and willing to perform their part of the obligation by mobilizing funds to pay the balance sale consideration. 5. However, despite repeated requests and reminders from my client, you have failed and neglected to execute the registered sale deed in favour of my client till date. You have also refused to accept the balance sale consideration amount from my client and have shown your intention not to perform your obligations under the agreement. 6. Your conduct amounts to a clear breach of the sale agreement and a violation of the rights of my client. You have also caused mental agony and financial loss to my client by your unjustified and illegal actions. 7. Therefore, through this notice, I hereby call upon you to execute the registered sale deed in favour of my client within 15 days from the date of receipt of this notice, by receiving the balance sale consideration amount of Rs. 38,00,000/- (Rupees Thirty-Eight Lakhs only) from my client as stipulated in the agreement of sale dated 01.01.2022. You failed to perform your part of your obligation; our client will take appropriate legal action against you without any further notice to you in the competent court of law. Both of you will be held liable for the costs and consequences thereof including Rs.10,000/- towards cost of this notice. 8. A copy of this notice is retained by me for future reference and action.
