LETTER OF AWARD

Dear Sir/Ma`am

On the basis of your quotation and subsequent techno-commercial negotiation, we are pleased to award the
AMC for ACB’s (Make: ABB) installed at _______________________________________ for the period of 22 nd
December 2024 to 31st December 2025.

AGREED TERMS &CONDITIONS:

Annual Maintenance Contract for ACB’s (Make: ABB) at , _____________________________

Rate for the period of 22nd December 2024 to 31st December 2025.

Value of Order:

Rs. 17,500/- (Rupees Seventeen Thousand Five Hundred Only) works out on the basis of quantity, unit, rate,
value of individual items. The Price also includes labour for lifting all materials and its components to
installation place.

Payment Terms: The payment of Rs. 17,500/- will be made in a single installment, which is due at the signing
of this agreement.".

Scope of Annual Maintenance Contractor Work:

The following services will be provided by you under the AMC

1. 4 (Four Routine Services) in a year/ Quarterly visit

2. Immediate attendance of Break-down if any.

3. Servicing Ovehauling of ACB

4. Cleaning of ACB shall be done at every routine service.

5. Tightening of Nut/ Bolts and calibration shall be done once in a year or when required

6. Servicing of all ACBs shall be done ones in a year. Proper greasing after removing old grease, settings of all
contacts, mechanical latch, testing of protection release, mechanical operations of ACBs, Tripping circuits,
alignment of Jaw Contacts, Checking of all Poles, Checking of Closing Coil, UV & Shunt release for their
operations etc. shall be done during this service.

7. We shall make visit to site when required.

8. In case of complaint, we shall sincerely try to send our engineer / technician within 24 hours, subject to
force measured clause.

9. We request you to please keep some spares as emergency in all the MSC locations (as per spares
recommended by us / our principles).
10. Your staff shall take measurement of general readings on day to day basis. They shall also maintain temp.
rise on critical locations from time to time.

Breakdown Maintenance: This procedure is to be executed in the event of malfunctions that impede the
operation of the equipment. The work will be conducted during the service coverage period as stipulated in
the AMC Contract. Breakdown Maintenance encompasses activities such as fault finding, repair or
replacement of defective parts, and functional checking to ensure optimal equipment functionality.

Preventive Check-ups: These measures encompass actions deemed necessary by


----------------------------------------------------------------- to uphold the equipment in proper operating condition.
Preventive Checkup includes functional checks, environmental assessments, electrical parameter verification,
battery health evaluations, and cleaning of the UPS if deemed necessary. Scheduled between Monday to
Friday, during regular working hours (9-6), the preventive checks will be planned in advance in coordination
with the customer representative.

Spares and Materials: The defective parts diagnosed during maintenance can either be repaired or replaced
by new or whether serviced parts. Spares replaced will be either the same make or equivalent.

Parts removed shall be property of -----------------------------------------------------------------. All the spares "except
those are not covered" will be supplied by ----------------------------------------------------------------- as a part of service
contract and these spares will be kept at ----------------------------------------------------------------- offices. Additions/
Deletions of these spares .if any would be done by -----------------------------------------------------------------
to ensure minimum downtime.

Response/Turnaround Time: Immediate responses will be provided over the phone. In case a site visit is
necessary, the response time is set at 2 hours, with a commitment to complete the site visit within a
turnaround time of 12 hours from the moment the call is logged. This service commitment is applicable from
22nd December 2024 to 31st December 2025 by -----------------------------------------------------------------. If the
service issue is not rectified within the stipulated time frame, a deduction of 25% will be applied to the
payment

Tools/Instruments- _______________________________ would provide necessary tools and instruments to


their service Engineer for the purpose of servicing the equipment covered by the contract.

Arbitration: It is mutually agreed that any disputes or differences arising between the parties, pertaining to, or
even subsequent to the completion of this agreement, but concerning issues outlined within this agreement or
touching upon the business affairs of the parties, construction or interpretation of the terms and conditions
herein, and the rights, relations, and obligations of the parties, shall be initially resolved through mutual
understanding and conciliation.

In the event of a dispute, the vendor shall present their grievance to M/s SAS Maintenance Services LLP,
and M/s SAS Maintenance Services LLP will endeavor to resolve the matter through conciliation. However,
should the dispute persist, it will be referred to arbitration in accordance with the provisions of the Arbitration
and Conciliation Act, 1996, or any statutory modification or re-enactment thereof currently in force. The
parties unanimously designate M/s Ambience to appoint the arbitrator.

The agreed-upon seat of the arbitration will be in Delhi, and the courts of Delhi alone will possess jurisdiction
to adjudicate any disputes between the parties. The arbitration proceedings shall be governed by the laws of
India, conducted preferably through day-to-day proceedings, and the parties hereby commit to abide by the
decisions rendered by the arbitrator.

General: At the time of agreement you are required to fulfill the following requirements:
 Initial every page of the Contract and sign and date where indicated.
 Submit PAN Number & GST No. as applicable.
 You need to submit the Memorandum and article of association the company and board resolution in
favour of the authorised signatory to sign this letter of award by attesting his/her signatures by the
two Directors of the company.
 Kindly sign the duplicate copy of the Supply Order as a token of acceptance.
