PRICE VALIDITY:

 Price validity is 7 days from today.

 Quoted prices are based on currency exchange rate PKR 320 equivalent to 1USD, In case
of any major changes in currency rate between USD to PKR or any changes in custom duty
and Govt. taxes structure, we have reserve the rights to change our prices accordingly.
PAYMENT TERMS:

Payment terms (Negotiable) will be as per below milestones:

 50% advance with PO/Order Confirmation

 30% against material delivery
 20% against system commissioning
2% bank guarantee / insurance guarantee will be submitted for defect liability period

2. Terms & Conditions

NET-METERING:
EPL’s Scope:
a) Exide will assist in net metering enablement process if required (only
documentation).
b) Exide will prepare the document for net metering. Any associated equipment for net
metering will be borne by client.
Customer’s Scope:
a) Meter name up gradation
b) Sanctioned load up gradation
c) Client’s information update for the facility, in disco’s record, if required to apply for
net-metering.
d) Net metering demand notice payment (if Exide is chosen to assist, payment will be
made to Exide for further processing)
NOTE:
Net Metering documentation, earthing and SPD are already included in our proposal but KE
challan for the smart meter charges and NEPRA generation license fee (for above 25kW
system) will be borne by customer/end-user as per NEPRA / AEDB policy.Net Metering
process would be started after the clearance of payment. The documentation for net-
metering application is an additional service for customer support. Timeline for net metering
to be operational depends on the DISCO/NEPRA approvals, it does not fall under
Exide’s scope of work. Client shall not withhold Exide’s quoted amount due to net metering
and its delays. EPL will never be responsible for any loss or penalty, in-case of any delay from
DISCO/NEPRA or due to circumstances in processing of net metering services or issuing of
license etc.
RELOCATION
Client will be charged for relocation of system/any solar equipment from one site to another,
as per actual.
ORDER CANCELLATION
Order cancellation is not allowed in case LC / order has been placed to suppliers by EPL. In
case of order cancellation after issuance LOI from buyer to EPL but before LC / Order to
suppliers by EPL; EPL reserves the right to charge fee of 15% of the selling price.
EXCLUSIONS IN THE OFFERED BOQ:
The equipment/services other than those mentioned in BOQ will be charged as per actual.
Moreover, the following works are considered in the client’s scope, when needed:

a) Load Bearing Capacity of Roof

b) Consultant charges, which shall be required for above 250kW system as per NEPRA
policy (if Exide is chosen to assist, its charges shall be borne by customer)
APPROVALS/PERMISSIONS:
EPL has not considered any activities and costs for approvals / permissions / authorization /
licenses / permits etc., for starting the execution and commissioning of the project / works /
job. All such requirements are to be completed by customer at its risk and cost in a way that
it does not cause any delay or hurdle in starting the execution and commissioning of works
assigned to EPL. If required, all building / planning permits, operating permits, right of way
permits and environmental license are to be obtained by customer. However, if required, EPL
shall provide assistance to customer for getting the installations approved but all expenses
shall be paid by customer.
AMENDMENT IN TAXES & DUTIES
The quoted prices of complete scope are based on the US dollar parity rate and the duties
and taxes applicable at the date of quotation / proposal / letter of intent / inquiry / contract
/ agreement and thereafter any upward fluctuation in the currency rate and/or any change
in duties and taxes which includes customs duty, regulatory duty, income tax , sales
tax, service tax, cases/duty charges, fees etc., that will be applicable at the time of invoice,
shall be passed on to the buyer. Taxes and duties as applicable at the time of delivery of items
and/or invoice whichever is later, must be paid by the client. If client claims any exemption,
it must provide a valid, signed certificate or letter of exemption for each respective
jurisdiction, to Exide before signing the contract/agreement.
INCOME TAX DEDUCTION
Exide Pakistan Limited is exempt from withholding of income tax levied under section
153(1)(a) by virtue of exemption available in section 153(5)(a) read with article 47A
and article 77 of part-IV, second schedule of income tax ordinance, 2001. Declaration /
Undertaking will be provided on submission of sales tax invoice.
DEVIATION AND EXTRA WORKS:
Any type of modification/deviation and extra work if requested by the customer as a
deviation to contractor’s design/scope of work, the same shall be charged additionally as per
contractor’s daily rates plus site overheads or as per mutual agreement. Further any
material required to execute such modification shall be charged as per mutually agreed
upon rates which shall be fair and reasonable. Obligation of contractor to start the job/work
on modification, deviation, and/or extra work shall be upon written agreement on price,
scope of work and the time scheduled by both the parties (Customer & EPL)

CONSEQUENTIAL LOSSES OR INDIRECT DAMAGES:

Contractor shall not be responsible for consequential losses or indirect damages arising out
of execution and performance of contract on account of the following, but not limited to loss
of profit; loss of interruption of operations; loss of information and data; loss of interest.
DEFECT LIABILITY PERIOD:
Defect liability period shall be 12 months and shall commence from the date of taking over /
provisional acceptance of any part of the works/job and/or task(s) by the customer. Defect
Liability Period (DLP) for respective part of the works and/or task(s) would be separate and
not linked with other part of works and/or tasks. EPL has not considered continued services
of manpower during Defect Liability Period. These services shall be provided only on call basis
(as and when required) for fault rectification. EPL has not considered any cost for the
operation & maintenance of the system.
ENERGY GENERATION:
Please refer P90 Energy Generation Number (±5%) from Simulation Report. Performance
Guarantee will be provided against the P-90 Energy Generation Number, if required.
The average simulated/calculated kWh/Year is subject to:
a) Irradiance, Temperature, system availability, load, weather conditions or soiling
losses.
b) Shutdown of inverters due to any reasons like primary source cut off, maintenance
and inspection.
c) Grid parameter like voltage, frequencies etc. Are above and below the predefined
limits.
d) Avoidance in proper daily or alternate days cleaning.
e) Solar power curtailment due to maintaining required Genset efficiency.
f) Due to scheduled or unscheduled inspection tangible or non-tangible assets which can
directly or indirectly impaired generation of PV system.

MANUFACTURER’S PRODUCT WARRANTY:

Warranty policy for solar panels and inverters shall commence from the date of delivery to
Site. Warranty does not cover modifications or repairs carried out improperly by the customer
or by third parties. Warranties are exclusively claimable from manufacturer / supplier on back
To back basis. EPL role is EPC contractor and facilitator. The customer expressly understands
and agrees that warranties regarding patents, materials, workmanship or use of the
equipment (the “Manufacturer’s Warranty”), if any, are made exclusively by the
manufacturer and not by EPL. The customer exclusive remedy under manufacturer’s
warranty shall be as provided therein (Attached Manufacturer Warranty T&C) and shall lie

exclusively against and be obtainable only from the manufacturer, and customer expressly
agrees that it shall have no claim or cause of action against EPL in the event the
manufacturers, for any reason, unwilling or unable to perform under the terms of
manufacturer’s warranty.
