2 Terms and Conditions

These terms and conditions are to be read in conjunction with the Particulars contained at the outset of this Reservation Agreement (the 1- Particulars)
The Purchaser(s) understand that, by signing this form, the Purchaser hereby enters into a binding agreement with the Seller for the purchase of the
Property, subject to following
1- Where the Purchaser is more than one person such, all Purchasers will be jointly and severally liable under the terms and conditions of this
Reservation Agreement.

2- All capitalized terms in these terms and conditions have the meaning as set out in the Particulars.

3- All payments under this Reservation Agreement shall be made through bank transfer or cheques in United Arab Emirates Dirham, unless
otherwise agreed by the Seller in writing free of any fees, costs, expenses, exchange rate differences, bank charges, taxes or levies imposed by
any relevant authority from time to time and without any deduction or set off so that cleared funds are received by the Seller and on the
relevant due dates.

4- The Purchaser(s) must provide the documents specified in this Reservation Agreement, to the satisfaction of the Seller, no later than five
working days from the date of this Reservation Agreement.

5- The terms of this Reservation Agreement and the binding offer and acceptance contained herein are subject to the payment of the
Reservation Amount (”the “Deposit) in clear funds. The Purchaser acknowledges and agrees that the Deposit is non-refundable paid in lieu of
the execution of the Sale and Purchase Agreement ”the “SPA" and if the Purchaser fails to sign and return to the Seller the SPA within
fourteen (14) days from receiving the SPA, or breach any of his obligations under this Reservation Agreement the Deposit will be confiscated
by the Seller and the Purchaser agrees that such Deposit is a fair compensation for the Seller and the Seller will be free to deal with the Property
without the need to any notice or court order.

6- The full terms and conditions relating to the purchase and ownership of the Property shall be contained in a definitive sale and purchase
agreement with related documents as may be required pursuant to the relevant Dubai laws.

7- The Seller may, for any reason, terminate the Reservation Agreement within 90 days of the date of this Reservation Agreement upon written
notice to the Purchaser without the need for any court order or further formality, and in such event, the Seller will refund the Deposit along
with any received instalments and registrations fees paid by purchaser, and the Purchaser(s) shall have no further claim whatsoever against
the Seller.

8- The Seller shall provide the Purchaser(s) with the SPA as soon as reasonably practicable after the date of this Reservation Agreement provided
the Purchaser(s) is/are not in breach of the terms and conditions of this Reservation Agreement .

9- The Purchaser(s) must sign the SPA within fourteen (14) days from receiving the SPA. Failing which this Reservation Agreement shall terminate
automatically,save for Clause 5 of the Terms and Conditions which shall apply and the Purchaser will lose the Deposit and the Seller will be free
to deal with the Property.

10- The parties agree that the SPA shall be deemed to be delivered to the Purchaser(s): (i)when personally delivered, on the actual day of delivery; or
(ii) when sent by courier, on the date of delivery evidenced by the couriers records; or (iii) when sent by post, three (3) working days after the
actual date of dispatch; or(iv) when sent by email, on the day after the email is sent to the email address provided in this Reservation
Agreement (or any other address provided by the Purchaser(s))

11- Once the SPA is executed, the SPA will replace this Reservation Agreement, and the terms of such SPA shall prevail and will constitute the only
contract between the parties in respect of the sale and purchase of the Property.

12- The Property Details (set out in the Particulars) drawings and plans are subject to change by the Seller at any time prior to the Purchaser(s)

delivering the signed SPA to the Seller. Should there be a variation in the saleable area of the Property from the saleable area stated in this
Reservation Agreement , the Purchase Price shall be recalculated accordingly.

13- The Purchaser may not assign its interest in the Property and/or this Reservation Agreement without the prior written approval of the Seller
and on such conditions as the Seller requires, in its absolute discretion.

14- The Seller, at its discretion, may assign or deal with its interest in this Reservation Agreement, the Sale Agreement and/or the Project, and the
Purchaser hereby consents to any such dealing.

15- The Property is for residential use only. The Property is part of wider Project and Master Community (as set out in the Particulars) and is
subject to governance documents established for the coordinated running and management of the project and master community.

16- The Purchaser(s) warrants that all the information provided to the Seller is true and accurate to the best of its/their knowledge and belief and
agrees to be bound by the Seller’s standard policies and procedures in respect of any confirmation of, or subsequent changes to the
information provided by the Purchaser(s)

17- Neither the Seller, any of its officers, directors, employees, representatives, servant or agents, nor any Sales Agent executing this Reservation
Agreement (together the Relevant Parties) shall have any obligation or liability whatsoever to the Purchaser or any third party arising from the
transaction contemplated herein that is attributable to any acts, errors, omissions of the Relevant Parties or any third party, including
government bodies.

18- The Purchaser shall not assign or transfer this Reservation Agreement without the prior written consent of the Seller.

19- The Reservation Agreement will be governed by the laws of the UAE, as applicable in the Emirate of Dubai. The Courts of Dubai shall have

exclusive jurisdiction to resolve all disputes between the Seller and the Purchaser in relation to this Reservation Agreement.

3 Purchaser(s) Acknowledgement:
The Purchaser(s) confirm the following :

1- Having read and understood this Reservation Agreement, the Purchaser agrees to comply with the above-mentioned Terms and Conditions.

2- Acknowledge and agree that the final plans for the Project and the Property are subject to approval by competent authorities including the
Seller. And understand that the Property Area, as stated in the Particulars is approximate only. The final Property Area will be measured
following completion of construction and calculated in accordance with the applicable law.

3- Acknowledge that the purchase of the Property is subject to availability and in the event that the Property is not available, the Seller may
terminate this Reservation Agreement pursuant to the Terms and Conditions.

4- Acknowledge and agree that in this agreement will terminate and the Purchaser will lose the Deposit in any of the following events.

a- The Purchaser(s) does not provide the documents specified in this Reservation Agreement, to the satisfaction of the Seller, within five
working days from the date of this Reservation Agreement.

b- The Purchaser(s) does/do not signed SPA within fourteen (14) days of the notification date to the Purchaser(s)

c- Clearance of the Deposit into the Escrow Account is not achieved for any reason.

d- The Purchaser(s) does/do not provide the fees outlined under paragraph 1-3 of the Particulars of this Reservation Agreement

contemporaneously with signing this Booking Form.
