SOFTWARE DEVELOPMENT AGREEMENT

This Software Development Agreement ("Agreement") is entered into on this 30th day of May, 2025,

by and between:

[Client Company Name], a company incorporated under the laws of [Client Jurisdiction], having its

principal office at [Client Address], hereinafter referred to as the "Client",

AND

[Developer Company Name], a company incorporated under the laws of [Developer Jurisdiction],

having its principal office at [Developer Address], hereinafter referred to as the "Developer".

1. PURPOSE

The Client desires to engage the Developer to design, develop, and implement custom software

tailored for the European market, and the Developer agrees to provide such services under the

terms and conditions of this Agreement.

2. CONTRACT VALUE

The total value of this Agreement shall be INR 5,00,00,000 (Five Crore Indian Rupees). Payment

shall be made in the following milestones:

- 20% on contract signing

- 30% upon delivery of prototype

- 30% upon final delivery

- 20% upon completion of 3-month post-delivery support


3. SCOPE OF WORK

The Developer shall deliver:

- A fully functional software solution compliant with European regulations, including GDPR.

- Documentation and training materials.

- 3-month post-delivery support.

4. INTELLECTUAL PROPERTY

All rights, title, and interest in the software developed shall vest with the Client upon full payment.

5. CONFIDENTIALITY

Both parties agree to maintain confidentiality of proprietary information.

6. WARRANTIES

The Developer warrants that the software will perform substantially in accordance with the agreed

specifications for a period of 3 months post-delivery.

7. TERMINATION

Either party may terminate this Agreement with 30 days written notice under specific breach

conditions.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [choose either

India or a European country], and subject to the jurisdiction of courts located therein.
