    I am pleased to submit for your consideration this proposal regarding amendment of the gross estates of
    the late Heinz Juergen Warnke.

    Scope of Services

    The following services are covered in this proposal for your consideration:

    1. Prepares amended list of properties with fair market value at the time of death
    2. Issues auditor’s certification regarding the fair presentation of the aforesaid properties based on
    the applicable provisions of the tax code.

    Fees and Expenses

    I will bill professional fee of P30,000 for the foregoing services. The agreed fee is payable upon signing
    of this agreement.

    Confidentiality and Limitation of Liability Clauses

    Ms. Ellen Warnke Janecki acknowledge as agree that all information communicated by one party to the
    other in connection with carrying out these services shall be received in confidence. It shall be used only
    for purposes of this engagement and that no such confidential information shall be disclosed by either of
    the parties, hereto, without prior written consent of the other party, except as may be necessary by reason
    of law or regulatory requirements applicable to each party and its business.

    The maximum claim against me by Ms. Ellen Warnke Jenecki for any reason arising from or relating to
    the services under this engagement, shall be limited to the fees paid to me for the services or work
    product giving rise to any claim or alleged liability.
