DIFC LIQUIDATION PROCEDURE

Please note that the procedure the process for closing your business in DIFC is outlined below:

1. Raise a Service Request via the DIFC Portal available in the following link
https://portal.difc.ae/signin and select application for winding up (Needs to be done by
Client).

2. Fill in the required fields and upload the required documents (Needs to be done by
Client).

3. Click on generated templates for Shareholders resolution and Directors declaration


available in the service request get it signed by the relevant individual and re-upload
(Needs to be done by Client).

4. Select the Liquidator from the drop down and submit the request in the Portal (Needs to
be done by Client).

5. Upon our verification, the status of the company will be changed to pending dissolution
and the Liquidator receives the login details to access the Portal. Liquidator can
thereafter proceed with completion of the rest of the sections as below:

• Insert the dates of publishing adds for the 3 consecutive days and upload the same
in the Portal.
• After 15 days of publication of liquidation. Publish another advertisement for final
general meeting.
• Prepare liquidation report.
• After 30 days of final general meeting publication, issue a letter of FGM.

6. Login to DIFC portal https://portal.difc.ae/signin


• Go to pending action tab and upload documents

• Proceed to submit original documents to the Registries Services Office as listed


below

a. Commercial License
b. Certificate of Incorporation
c. Publishing news adds for the 3 consecutive dates
d. Publishing news adds for final general meeting
e. Original Resolution
f. Original Declaration
g. Original Liquidators report.
