CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


This Contract executed by and between:
SPOUSES WALTER A. ENGLER AND AMABEL PEDRO ENGLER, both
of legal age, Swiss and Filipino citizens, with address at Unit No. 9F
situated in the 9th floor of Forbeswood Heights Tower 6 located at Fort
Bonifacio, Taguig City, M.M., hereinafter referred to as the SELLER.

- and -
YUPANGCO HOLDINGS CORPORATION, a corporation registered in the
Republic of the Philippines, with postal address at 3rd Floor Yupangco
Building, #339 Sen. Gil Puyat Ave.,Makati Philippines, duly represented
herein by its President, ROBERT L. YUPANGCO, hereinafter referred to as
the BUYER.

WITNESSETH

WHEREAS, the SELLERS are true and registered owners of a certain


residential condominium unit at Forbeswood Heights Tower 6, Fort
Bonifacio , Taguig City (the “Property”)by Condominium Certificate of Title
No. 28934, entered in the Registry of Deeds for Taguig City, more
particularly described as:

“UNIT NO. 9F, situated in the 9th Floor of Forbeswood Heights


Tower 6, located at Fort Bonifacio, Taguig City, M.M. containing an
area of Fifty nine (59) Square meters, more or less.”

in the diagrammatic floor plan appended to the enabling or


master deed of the condominium project annotated on Transfer
Certificate of Title No. 1439-P which embraces and described the land
located at Brgy. Fort Bonifacio, Taguig City.

WHEREAS, the SELLER desire to sell and the buyer agrees to buy the
aforesaid property and to which offer, the seller has agreed;

NOW, THEREFORE, for and in consideration of the foregoing premises,


the parties hereby agree to strictly comply with the following terms and
conditions, to wit;
1. That the total consideration of the purchase price of the subject
property shall be EIGHT MILLION PESOS, (P 8,000,000.00) Philippine
Currency;

2. That the Buyer shall make a 20 percent downpayment in the


amount of ONE MILLION SIX HUNDRED THOUSAND PESOS,
(P1,600,000.00),

3.That the Buyer agrees to pay the remaining 80 percent balance of


the purchase price to the SELLER which shall be payable on or before the
31st of March, 2020 and shall be made payable to Walter A. Engler.

4.Both Parties agreed that the Capital Gain Tax shall be shouldered
by both the SELLER and the BUYER and shall be paid as follows:

4.1. SELLER’S share in the payment of Capital Gains Tax would be


PHP 300,000.00 pesos only.

4.2. BUYER’S share in the payment of the Capital Gains Tax shall be
the remaining amount of more or less PHP 337,200.00 pesos only.

5. Buyer shall pay for the Documentary Stamp Tax, Transfer Tax,
Registration fees, IT fees, an other Miscellaneous fees relating to transfer
of title and Tax Declaration.

6. Notarial fees shall be shouldered by the Seller

7. That in the event the BIR will have an assessment for the VAT
involving the sale of the condominium unit 9F situated in the 9th floor of
Forbeswood Heights Tower 6 located at Fort Bonifacio, Taguig City, M.M,
said VAT shall be shouldered/paid by the Seller.

8. That the above 20% down payment was made payable to Abdon
T. Pedro, authorised representative of the SELLERS as evidenced by a
Special Power of Attorney executed by the SELLERS.

9. That during the effectivity of the contract, the SELLER shall not
DEAL, TRANSFER, ASSIGN SELL or DISPOSE the subject property in
favour of any third party without the written consent of the BUYER.

10. This agreement shall be controlled by and construed in


accordance with the laws of the Republic of the Philippines. Any legal
action arising from this agreement or for review of judgement thereon shall
be brought before the court of competent jurisdiction in the city of Makati.

this page where the acknowledgement is written and refers to a Contract
to Sell.
