    MEMORANDUM OF AGREEMENT

    KNOW ALL MEN BY THESE PRESENTS, that:

    1.0 This covenant, Agreement or Contract of Relationship, entered into by and between:

    1.1 NAME OF RADIOLOGIST, of legal age, married, Filipino with office and
    postal address at Davao City, hereinafter referred to as the RADIOLOGIST,

    -AND-

    1.2 RUGENE N. BERATO WELL LABORATORY DIAGNOSTIC CENTER, a


    laboratory lawfully established, maintained and operating under R.A. 4688
    otherwise known as the Clinical Laboratory, herein represented by RUGENE
    N. BERATO, RMT, owner/proprietor or otherwise lawful representative, of
    legal age, single, Filipino, with the same office address hereinafter referred to
    as the DIAGNOSTIC CENTER.

    2.0 Whereas, that –

    2.1 WHEREAS, the DIAGNOSTIC CENTER is desirous of engaging the service


    of a Licensed RADIOLOGIST.

    2.2 WHEREAS, the RADIOLOGIST is willing to render services for the


    DIAGNOSTIC CENTER under such terms and conditions hereunder set
    forth;

    3.0 WITNESSETH: therefore –

    3.1 For and in consideration as follows, the DIAGNOSTIC CENTER is willing to


    retain, as it is hereby engaging the services of the Pathologist, and the latter
    is willing to render, as she hereby agreed to render services, to wit:

    4.0 UNDERTAKING OF THE DIAGNOSTIC CENTER

    4.1 It shall be undertaking of the DIAGNOSTIC CENTER to remunerate the


    RADIOLOGIST 25% per test, payable every last day of the month. B v

    4.2 It shall be the undertaking of the DIAGNOSTIC CENTER to renew the license
    of the facility according to the requirements according to the existing
    Memorandum or Administrative order/s of the Food and Drugs Administration.

    5.0 UNDERTAKING OF THE RADIOLOGIST

    5.1 It shall be the undertaking of the RADIOLOGIST to:

    5.1.1 To perform according to the standards set forth by

    5.1.2 To formulate and perform quality control programs for XRAY and
    Ultrasound set forth by the Food and Drug Administration;

    5.1.3 To visit the facility at least once a week, specifically every


    Thursday, 1:00 PM to 5:00 PM

    5.1.4 To response to calls by the DIAGNOSTIC CENTER requiring


    urgent attention relative to the results of XRAY and Ultrasound.
    6.0 TERMS AND CONDITIONS

    6.1 This Covenant Agreement or Contract Retainership is subject to the following


    terms and conditions:

    6.1.1 It shall not be construed that there is any employer-employee


    relationship between the DIAGNOSTIC CENTER and the
    RADIOLOGIST, neither are the Radio Technologist and Ultrasound
    Technician be considered employee of the RADIOLOGIST;

    6.1.2 The RADIOLOGIST shall not be responsible for the act or


    procedure done of performed by the Technician except those
    procedures that are done and performed with her consent, personal
    presence and direct supervision;

    6.1.3 The DIAGNOSTIC CENTER shall not retain or otherwise hire the
    services of another RADIOLOGIST without favorable written
    endorsement of herein contracting Radiologist;

    6.1.4 The services of the RADIOLOGIST shall not be understood to


    include giving lectures or attending conferences or meetings with
    other clinical departments. In case of teaching or training
    institutions in which case there shall be added, aside from those
    herein already provided for, additional compensation or
    remuneration which may further agreed upon by herein both
    parties;

    6.1.5 The contract shall be valid and in force and effect until the
    expiration. Hereof, and may be terminated only by written and
    mutual consent and further agreement by herein both parties; In
    that this contract shall be valid for one (1) year for the
    RADIOLOGIST of DIAGNOSTIC CENTER and will be automatically
    renewed unless either party serves a written notice.

    IN WITNESS WHEREOF, we have hereunto set our hands on this _____ day of ______
    in Davao City, Philippines.
