SIGNAGE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This SIGNAGE AGREEMENT is made and entered into this ________ day of ___________, 2020 by and between:

SOROSORO IBABA DEVELOPMENT COOPERATIVE (SIDC), a duly registered cooperative under the Cooperative
Development Authority and with business address at Sorosoro Ibaba, Batangas City represented by its _______________, MR.
RYAN ABADILLOS, hereinafter referred to as the FIRST PARTY;
-AND- 
       _____________________, ______________________________ with principal address at
________________________ and herein represented by its _______________________, _________________________,
hereinafter referred to as the SECOND PARTY;

WITNESSETH;
WHEREAS, the SECOND PARTY is engaged in the services of printing and signages and other fabrication/printing
materials and has the expertise of providing the same to its patron;
WHEREAS, the FIRST PARTY needs the services of the SECOND PARTY to provide signages and similar materials
and its installation/fabrication for its KooPrints on its OSS Business operations;
WHEREAS, the SECOND PARTY has agreed to render such services to the FIRST PARTY with consideration agreed
upon; and
NOW, THEREFORE, for and in consideration of the foregoing, this Agreement is entered by and between the FIRST
PARTY and the SECOND PARTY with the following covenants, to wit:

1. The SECOND PARTY shall undertake the installation/fabrication of signages, acrylic signage, store
ID, and the like for SIDC OSS Tiaong.
a. That the quality and quantity of the materials shall be as per specification given by the FIRST
PARTY as well as sample submitted by the SECOND PARTY and approved by the FIRST
PARTY;
b. That the custom duty, VAT or other taxes and cost of transportation, or any other incidental
charges, if required in connection of the delivery of materials shall be borne by the SECOND
PARTY.

2. FIRST PARTY shall pay to the SECOND PARTY a down payment equivalent to TWENTY FIVE
(25%) Percent of the Contract price or FIFTY THOUSAND PESOS ONLY (Php 50,000.00);
Upon 60% completion of the work, the FIRST PARTY shall pay the SECOND PARTY another
25% of the contract price or FIFTY THOUSAND PESOS ONLY (Php 50,000.00);

Upon completion of the whole work, FIRST PARTY shall pay the SECOND PARTY, FORTY
(40%) PERCENT of the contract price or EIGHTY THOUSAND PESOS ONLY (Php80,000.)

The TEN (10%) PERCENT remaining balance will be released TWO (2) MONTHS after the
completion of the project.

2. The SECOND PARTY may employ subcontractors for the execution of any portion of its obligations
under this Agreement, but such subcontracting shall not relieve the SECOND PARTY of its obligations
under this Agreement and the SECOND PARTY shall remain liable for any acts or omissions of such
subcontractors. The SECOND PARTY shall further ensure that all sub-contractors perform in terms of
all applicable provisions of this Agreement;

2.a FIRST PARTY shall have the right during the continued duration of this Agreement to direct the
SECOND PARTY to replace such sub-contractor upon 5 (five) days written notice if the sub-contractor’s
performance is materially deficient, or good faith doubts exist concerning the sub-contractor’s ability to
render future performance because of inter alia changes in the ownership, management, or the financial
condition of the sub-contractor;

2.b Each subcontractor shall, prior to its appointment as subcontractor under this Agreement, sign
irrevocable, unconditional and written confidentiality and non-disclosure undertakings in favor of FIRST
PARTY on terms and conditions acceptable to the FIRST PARTY;

2.c. All agreements of whatever nature concluded or to be concluded between the SECOND
PARTY and a Third Party in relation to the services of signage installation and similar activities shall
include a provision that the SECOND PARTY shall be entitled to freely cede, assign and delegate its
rights and obligations under such agreement to FIRST PARTY; save that should the SECOND PARTY
be advised by a Third Party with whom it is contracting that any agreement cannot be assigned to
FIRST PARTY, alternatively, such contract can be assigned but at a cost to FIRST PARTY, the
SECOND PARTY shall immediately notify the FIRST PARTY of such fact as well as any cost
implications as a result of such inability (or ability to assign, as the case may be) to assign and the
 SECOND PARTY shall not enter into such agreement without the prior written consent of the FIRST
PARTY.

This Memorandum of Agreement shall take effect upon signing by the Parties to the Agreement.
This Agreement will be valid for _______________ from _________________ to
________________ subject to renewal upon mutual consent of both parties herein.
