    EXTRA-JUDICIAL SETTLEMENT OF THE

    SHARES OF STOCKS
    OF THE DECEASED MAGDALENA BINAY-AN

    KNOW ALL MEN BY THESE PRESENTS:

    This Extra-judicial Settlement, made and executed by and among:

    ENERO BINAY-AN, Filipino, widower

    FRANCISCO BINAY-AN, married to Betty Pasi, both Filipinos

    JEAN BINAY-AN, single, Filipino, of legal age

    ANTHONY BINAY-AN, married to Marlyn Gavino-Binay-an, both Filipinos

    MARIAN BINAY-AN CABSON, married to Brady Cabson, both Filipinos

    ESTHER BINAY-AN, single, single, Filipino

    all of legal age, residing at Tuba, Benguet.

    WITNESSETH:

    WHEREAS, the above-named parties are the surviving spouse and the legitimate
    children and sole heirs of the deceased Magdalena Binay-an, who died intestate in
    ______________ on __________________ without any will.

    WHEREAS, the said deceased at the time of her death, left certain shares of stocks in
    Philex Mining Corporation, and more particularly described as follows:

    WHEREAS, there are no known debts or obligations due against the estate of said
    decedent.

    WHEREAS, it is to the best interest of the parties hereto to divide and partition and
    adjudicate among themselves the said shares of stocks in the form and manner hereinafter set
    forth.

    NOW, THEREFORE, for and in consideration of the foregoing premises and


    invoking the provisions of Rule 74, Section 4 of the Rules of Court, the parties hereto do by
    these presents agree to divide and partition the corresponding shares of stocks of the
    deceased Magdalena Binay-an which are more particularly described above, adjudicate as
    they do the same to and among themselves pro indiviso in equal shares, subject, however, to
    the liabilities imposed by Rule 74 Section 4 of the Rules of Court, in favor of any other
    possible heirs, creditors and other persons who might be deprived of their lawful
    participation in the shares of stocks of the decedent for a period of two years.
