1. INTRODUCTION:

 M/s. -------------has set up a COGEN/ Captive/ IPP Power Plant of --- X ---MW at
--------------------- (Site). The stated Plant capacity is---- MW and comprises Boiler of --- X
----TPH AFBC/CFBC/WHRB/TG/PF Boiler and --- X --- MW, ------make Extraction Cum
Condensing/Backpressure/Fully condensing Steam Turbine Generator or STG and the Balance
of Plant, as defined below. The basic fuel for this Power Plant is ___.
 This offer is for providing services of Operation & Maintenance of above mentioned Power
Plant

2. DEFINITIONS :

In the Offer/Contract, unless repugnant to the meaning or context hereof, the following
definitions shall have the following meanings:

1.1 “AMC” means annual maintenance contract required for the systems
1.2 “Availability”- means the basis of calculating on the hours for which the Plant actually
generates power + Waiting Hours.
1.3 “Battery Limits” or “Terminal Points” mean as identified in this Offer and any scope
beyond such limits/points are not in Operator’s scope of services.
1.4 “Boiler” means AFBC/CFBC/WHRB/TG/PF Boiler of __ TPH (__kg/cm 2, __ °C) along with
auxiliaries
1.5 “BOP” means the balance of plants/systems which are part of the Power Plant excluding
the Boiler and STG. It shall include cooling tower (CT) and cooling water system(CWS),
water treatment plant(WTP), Fuel handling plant (CHP), compressed air system, air
conditioning (AC), ventilation system, switchyard, ash handling plant(AHP) and fire-
fighting system(FFS).
1.6 “Capital Spares”- mean the component, parts, assemblies that are critical in nature for an
Equipment or the Insurance Spares, which is of high value and long delivery item and the
failure of those component is unpredictable or warranty defects and failure of such items
shall affect power generation partly or in totality.
1.7 “Chemicals” mean that are used for treatment of raw water, boiler water, cooling water,
effluent water and acid & alkali required for regeneration of WTP, resins and treatment
of cooling water.
1.8 “Contract” means the order/letter of intent/contract that may be awarded by the Owner
to the Operator based on this Offer.
1.9 “Emergency’’ means a sudden state of unforeseen crisis, usually involving potential
danger to men or machineries, that requires immediate action.
1.10 ”EPC” means the contractor(s) who have performed the Engineering, Procurement &
Construction of the entire Power Plant.
1.11 “Exclusions” are those services/fee/work/supply as stated in Annexure -------, which are
not in the Operator’s scope of services and to be arranged by the Owner at its cost.
1.12 “Facilities” are those equipment/work/services as stated in Annexure -----, which are in
Owner’s scope at its cost, to be provided to the Operator for performing the O&M
services.
1.13 “Fuel” - Fuel will mean Fuel of specifications as per OEM specification for Boiler.
1.14 “KWh’’- It means kilowatt-hour.

1.15 “Lubricants” mean all lubricants required for the rotating equipment’s within the Battery
Limits, inclusive of such dependent parts, if applicable, as STG, air compressors , fans,
pumps and BOP and special purpose high temperature greases and including those
required exclusively for general use maintenance purposes by the Operator.
1.16 “Manmonth” means the maximum of 8 hours of work a day and 26 days in a month.
1.17 “Manpower” means the personnel/workforce to be engaged in the O&M services.
1.18 “O&M Responsibility Matrix” the document identifying the respective obligations and
responsibilities of the Owner and the Operator as described in Annexure – 4.
1.19 “O&M” means the operation and maintenance services to be provided by the Operator
for the Plant.
1.20 “OEM” means Original Equipment Manufacturer.
1.21 “Offer” or “Proposal” means this offer.
1.22 “Operator” means M/s Thermax Limited / its subsidiary, which will be providing O&M
services to the Power Plant.
1.23 “Owner/Client” means M/s. -----------------------, having registered Office at ----------
1.24 “Party” means individually the “Owner” or the “Operator” and “Parties” shall mean
collectively the “Owner” and the “Operator”.
1.25 “Plant Area” means area where the Plant’s located upto the Battery Limit / Termination
Points as identified in EPC / OEM scope
1.26 “Plant” means the Power Plant of __ MW gross capacity constituting Boiler, STG, BOP and
DG set
1.27 “Prudent Utility Practices” mean those practices, methods and techniques that are
generally followed by the industry with respect to the O&M of these types of Plants and
generally conform to the O&M guidelines recommended by the manufacturers of the
equipment involved in the Plant.
1.28 “Regular Wearing Spares”- mean the parts, components, sub-assemblies that form
integral parts of an Equipment, not limited to fittings & valves spares, consumable parts
like gaskets, gland packing, filters, strainers, standard and minor bolts, nuts, washers and
studs for flanges, glass/fragile items and all such critical spares, which are of normal wear
& tear type and failure of such item is predictable.
1.29 “SEB” It shall mean relevant electricity company / State Electricity Board having
regulatory status at the generation/consuming site(s).
1.30 “STG” means extraction cum condensing type 1 nos. of steam turbine of __ MW
1.31 “Synchronization’’ or “Commissioning” means, the first time closing the generator
breaker for generation of power and to supply to grid or to the Owner for its use.
1.28 “Waiting Hours” mean the period during which Plant is stopped for power generation
due to the reasons not caused by the Operator.
1.29 “War Risks” shall mean where the Site is located war, hostilities or warlike operations
(whether a state of war is declared or not), invasion, act of foreign enemy, civil war,
rebellion, revolution, insurrection, mutiny, usurpation of civil or military government,
conspiracy, riot, civil commotion and terrorist act and any explosion or impact of any
mine, bomb, shell, grenade or other projectile, missile, munitions or explosive of war.
1.30 “Water”- means the quality & quantity as per the design basis as stated in EPC / OEM
contract.

3. SCOPE OF SERVICES & PERFORMANCE GUARANTEES

1) Scope of Services:
For providing operations & maintenance (O&M) services as per Prudent Utility Practices for
________________Plant at Site. The attached Scope Matrix as Annexure-1 covers the services that will
be performed by the Operator as part of its O&M services. The same Scope Matrix also covers the
obligations which are in Owner’s scope. The Scope of O&M services of the Operator shall be
restricted to the Battery Limits / Terminal Points stated in this Offer, subject to the Owner providing at
its cost the Facilities as stated in this Offer under the headings “Exclusions” and “Scope Matrix”. The
list of Exclusions attached as Annexure --- covers the work/supply/services which are not in the scope
of the Operator and which shall be arranged by the Owner at its cost.

2) Plant Availability:
The Operator guarantees the Plant availability of 90 % in the first year & in the subsequent years. The
availability of the Plant is deemed achieved if the following event(s) occurs:
 Regular cleaning shutdowns due to ash cleaning frequency, Emergency / forced shutdown beyond
Operator’s control, such as abnormal grid, Fuel, warranty/latent defects, design failures, etc.
 Non-supply of Fuel, Water and all kind materials like Chemicals, Consumables, all Spares, Lubricants,
Bed Material in proper quality and quantity in a timely manner.
 In the event of Force Majeure or the Owner’s instruction to the Operator to shut down the Plant due
to reason not attributable to the Operator.
 The outage of Plant on account of modification, research & developmental work and investigation
initiated by the Owner.
The Plant availability calculation shall be done as per mutually agreed equation. The Plant availability
factor will become effective only after 3 months of P.G. Test or stabilization has been achieved for the
Plant and the Plant has come under Regular O&M services.

3) Auxiliary Power Consumption


a) The actual auxiliary power consumption depends upon the pattern of load of the process plant as well
as aging of equipment and actual quality of Fuel etc. The auxiliary power consumption shall be studied
over a period of first 3 months and parameter for auxiliary power consumption is to be established
and guaranteed.
b) The Operator will be allowed degradation factor recommended by OEM. All such demonstration will
be at or near full load simulating the condition of P.G. Test conducted by OEM/EPC contractor.

4. BATTERY LIMITS / TERMINAL POINTS:

1. Fuel:
• Coal (Imported/ Indian) - From Coal Storage Yard onwards.
• Coke Fine/ Charcoal/AFR- At Boiler Inlet.
• Slope/ Spent Wash – From out let of Spent wash Storage Tank.
• Lime Stone- from Grizzly Hopper onward.
2. HSD – From out let of HSD Storage Tank.
3. Bed Material: At Bed material storage yard near boiler.
4. Process Steam: At the outlet of process steam header or outlet of PRDS in case of
Turbine not in Operation.
5. Electricity: Downstream termination of breakers/switches on outgoing HT & LT
feeder in MCC / switch gear room for Owner’s consumption will be the terminating
limit for Operator.
6. Raw Water & DM water: From outlet of DM water Tank.
7. Effluent: Client scope.
8. Sanitation: Client scope
9. Storm water drain: At the power plant boundary limits.
10. Startup Power: Client scope. In case of DG set, routine Operation & Maintenance by
operator.
11. Exhaust Gases: At the inlet of Chimney.
12. Bed Ash: At the outlet of bed ash hopper/boiler drain area.
13. Fly Ash: At the Ash Silo Discharge Damper/gate inside the Power Plant
14. Chemicals/Spares/Consumables/Lubricants: Operator Store inside the Power plant.

1) The above are only indicative Manpower and the +/- of Manpower for the agreed scope will not
affect the Regular O&M Fees as it is the Operator’s responsibility to manage the head counts to
achieve O&M of the Plant and achieve performance output, without compromising on statutory

2) The Operator shall follow all the Labour Rules like minimum wages, leave, overtime and shall comply
HR policy of Operator.
3) The key Manpower like; Station Manager, Deputy SM, and Maintenance In-charge will be interviewed
by the Owner. Rest of the Manpower will be screened by the Station Manager.
4) The qualifications & experiences of the proposed Manpower to be mobilized are as below:

ANNEXURE – IV : EXCLUSIONS
The following are excluded from the Operator’s Scope of Services:

1. Testing & Commissioning of Plant: The Commissioning, stabilization and proving the
performance guarantee test (“P.G. Test”) of the Plant are the responsibilities of the OEM / EPC
Contractor.
2. Pending work related to OEM / EPC: All pending work related to erection, performance,
completeness, design defect etc., of the Plant is Owner’s responsibility to be rectified to
Operator’s satisfaction.
3. Extension/ Modification of building/ roads etc.: Any work connected with extension/
modification or capital repair of existing building, plant / roads or any other civil & structural
works as may be required for the Plant are excluded from the scope of Operator.
4. Metering & Billing - Fuel billing, water billing and import and export billing of electricity
5. Settlement with OEM/EPC: Settlement of all the issues including warranty, commercial and
financial with the OEM / EPC Contractor.
6. Commercial and legal issues with Local & Statutory Authorities including payment of statutory
fee for the Plant.
7. All modifications related to development / improvement of the activities for the Plant.
8. All specialized testing like Ultimate Analysis of Fuel.
9. Any modifications required for the Plant to meet present and future environmental standards.
10. Replacement of Capital Equipment like; Gear Box, Motor, Pumps, etc.
11. All taxes and duties for the performance O&M services for the Plant.
12. Fabrication/installation of additional accessories other than the existing that may be required for
the Plant like; canopies, junction boxes, panel cutouts etc.
13. Bulk replacement such as of Battery Banks, Insulation, Lubricant in STG, MOT, coils or tubes in
Boiler of APH, Eco, SH, etc.
14. Related to all equipment’s with mechanized housekeeping.
15. All types of Underground pipeline or overhead electrical line maintenance in Plant Area
16. DCS & PLC software renewals & upgrade, replacement or repair of Monitors services
17. Scaffolding material if required for the Operator.
18. The watch and ward required for the safety & security of equipment, materials and Plant.

The above Contract Prices are exclusive of applicable taxes/duties/levies which shall be charged in addition
to the Contract Prices. The Year-1 for Regular O&M operations shall commence immediately on
Synchronization/Commissioning of the Plant or once the Operator has mobilized the 80% of indicated
manpower as per Annexure -------
2. PAYMENT TERMS:
a) 3 months O&M Fees as Advance along with Order/LOI which will be adjusted in the last 3 month bills of
the Order/LOI.
b) The Operator shall submit invoice for the services rendered in the preceding month by 1 st week of next
month. The Owner shall pay to the Operator 100% of the bill along with the applicable taxes within 7
working day after submission of Invoice.
c) If the delay in payment extends beyond 30 days of submission of invoice Operator is entitled to adjust
the payments with the advance
d) In case of any occurrence of force majeure, the Owner shall make payment as per the payment terms.
e) LD payable if any for shortfall in performance shall be adjusted against the settlement of 12 th month
invoice for a year.
3. MOBILIZATION:
The Owner acknowledges that the Operator will require sufficient time (of not less than 90 days) from
the date of the Contract for mobilization of Manpower. The Owner shall pay the overtime for the Pre-
O&M engagement, if the Operator’s personnel have to work beyond 8 hours in a day then 1.5 times of
the normal rate per extra hour or 2 times the normal rate for working on a weekly-off day.
4. TERM (PERIOD):
The duration of providing the O&M Services shall commence from _______ and shall be for ___ years,
unless extended for a further period under mutual consent in writing.
5. LIQUIDATED DAMAGED (LD) & LIABILITY LIMITATION
The LD applicability for Plant Availability or Auxiliary Power Consumption as stated in this Offer are
subject to the conditions stated therein. The maximum LD or the liability limitation for any reasons shall
not be more than 5% of the Contract Price payable annually.
6. GENERAL CONDITIONS:
The attached General Conditions shall be applicable for this Offer and Contract.
7. VALIDITY OF OFFER:
Unless previously revoked, this Offer shall be valid for 30 days from the date of this Offer.
