AGREEMENT OF LEAVE AND LICENSE

This AGREEMENT OF LEAVE AND LICENSE is made and executed


at Pune on this 8th day of the month of August in the year 2022.

BETWEEN

MR. OMPAL SOHAN JHURIA

Age: 31 years, Occupation: Business,

Residing at: Sonai Niwas, Survey.No 32,

Shelarmala, Katraj, Pune - 411046.

Hereinafter referred to as “THE LICENSOR” (which expression shall


unless it be repugnant to the context or to the meaning thereof shall be
deemed to mean and include its heirs, executors, administrators and
assigns) OF THE FIRST PART;

AND

M/s. Skyline
A Partnership firm

PAN No. AARFN2642L

A Partnership firm having its office at Flat No 09, Bule Hills Society, NDA
Road, Bavdhan, Pune - 411021, through its Authorized
Signatory/Partner Shri Anand Ramesh Sharma, Age: 32 years,
Occupation: Business.

Hereinafter called as "THE LICENSEE” (which expression shall unless it


be repugnant to the context or to the meaning thereof shall be deemed to
mean and include its heirs, executors, administrators and assigns) OF
THE SECOND PART;

WHEREAS the Licensor is seized and possessed and is the exclusive and
lawful owner of the non-residential premises (office) bearing No. _____ ,
admeasuring about 1000 Sq.fts situated at SR. NO.294/3/B, PUNE
MARBLE SOC.POLT NO.3/4, BAVDHAN PUNE - more particularly
described in the Schedule written Herein below;

AND WHEREAS the Licensor wants to let out on License basis the said
commercial premise which is more particularly described in the Schedule
written hereunder;

AND WHEREAS the Licensee is in need of the said premises for his
business purposes;

AND WHEREAS the Licensor wants to let out the said premises
mentioned in the Schedule;

AND WHEREAS the Licensor agreed to let out the said premises
described in the Schedule written hereunder to the Licensee on Leave
and Licence Basis and the Licensee accepts the same on Leave and
License for its business purposes on the terms and conditions mentioned
hereunder;

NOW THIS DEED OF LICENCE WITNESSETH AS FOLLOWS:-

1. It is agreed that the period of licence will be for 60 months


commencing from 1st August 2022 ending 31st July 2027. The period
of Five years.

2. It is agreed between the parties that the Licensor will let out the
premises, described in the Schedule written hereunder (hereinafter
referred to as 'The said premises') to the Licensee for Commercial
purposes only.

3. It is agreed between the parties that the Licensee will pay a sum of Rs.
10000/- (Rupees Ten Thousand Only) per month to the Licensor by
way of license fee / compensation on or before the 5th day of each
month in advance by Cheque / ECS.

4. The Licensee has paid a sum of Rs. 50,000/- (Rupees Fifty Thousand
Only) vide cheque no _______ dated __ th August 2022 drawn on ____
Bank, ______ Branch, Pune to the Licensors to be kept as interest free
security deposit. It is also agreed that the Interest Free Security
Deposit amount of Rs. 50000/- (Rupees Fifty Thousand Only) shall
be refunded to the Licensee by the Licensors at the time of Licensee's
vacating the Licensed premises after deduction of deductible dues, if
any.

5. It is agreed between the parties that the month of License is according
to English Calendar month which commences on the first day of each
month and expires on the last day of the said month.

6. It is further agreed between the parties that the license is created only
in respect of the said premises and the Licensee will have No Right,
Tiltle, Interest in the said property. The Licensee has no right to put
any third party into the possession of the said premises.

7. It is further agreed that the Licensee will use the said premises for
commercial purposes only i.e. for his business purposes only and not
for any other allied legal purposes and will not do any act which is
illegal or which will put the Licensor in trouble and the Licensee will
not create any type of nuisance and shall use the said premises in a
normal prudent manner. In case of any violation of any Laws, the
licensee shall be responsible and liable for the same, the licensor shall
in no way be held responsible for any of the breaches in laws.

8. Upon the expiry of the period of the license the licensee shall vacate
the said premises immediately along with all the belongings forthwith.
The licensee shall have no right to continue the occupation of the said
premises. The Licensee agrees to reimburse all such charges/
payments which remain unpaid during the period of this license, as
soon as the bills are produced before him. If the same is not done, the
licensor shall have the right to deduct the pending dues payable to
any authorities from the interest free security deposit kept with the
licensor.

9. The Licensee agrees and undertakes to keep the said premises,


belonging to the Licensor in a clean and good condition and will not
cause any damage to the said premises in any manner. The Licensee
shall keep the said premises in a good and tenantable condition.

10. It is further agreed between the parties that in event of any damage
to the said premises or any part thereof or to the normal internal
fittings and fixtures, the Licensor shall be entitled to recover by
deducting such loss or damage out of the interest free security deposit
kept with the licensor.

11. The Licensee shall not erect or build or permit to build in the said
premises any construction or erections of whatsoever nature. However
the licensee shall be allowed to renovate and make internal changes

as per the need or requirement at his own costs subject to the prior
permission of the licensor.

12. The Licensee shall permit The Licensor or his / her agents to enter
upon the said premises for inspecting the state and condition of the
said premises at all reasonable times during the period of the
agreement with a prior notice of 24 hours.

13. It is agreed between the parties that the legal ownership of the said
premises shall always be of the Licensor. This leave and licence
agreement is a temporary arrangement for the period specified herein.

14. The Licensee shall not grant, assign, mortgage or create any charge
or otherwise transfer his right, title, interest in this agreement or part
with the possession of the said premises or any portion thereof to any
third party.

15. It is agreed between the parties that if in case either of the party
wants to terminate the licence, he will do so by giving two months
clear notice in writing to the other party. Upon the expiry of the said
notice period the present agreement would automatically stand
terminated. However, the license shall not be terminated for the first
three months of the license period by the licensee. The Licensor shall
have the right to terminate the said license, in case of any breaches of
the terms and conditions of the said agreement on the part of the
Licensee. Upon such a notice by the Licensor to the licensee, the
Licensor shall have the right to take possession of the licensed
premises upon the expiry of the license period. In the event the
licensee fails to vacate the licensed premises upon the expiry of the
notice period, the licensee shall be liable to pay compensation at the
rate double of the license fees till the actual vacation of the premises.
The licensor shall be entitled to deduct the said compensation amount
directly from the security deposit. The said notice shall be sent in
writing and shall be served on either party at the address mentioned
in the title of this agreement.

16. It is agreed that the Licensee will pay the electricity charges,
telephone charges etc to the concerned authorities and no costs, the
Licensor will be liable to pay the same. The Licensee will also follow all
the rules of the Licensor and keep the Licensor indemnified in all

respects. The Licensee may be at a liberty to obtain the separate
telephone connection if required for its business purposes.

17. The parties agree that they have no intension to create tenancy in
favour of the Licensee nor there is any relationship of Landlord and
tenant between the parties nor does any party have any intention to
do so. The present agreement is nothing but a mere licence.

18. The electricity charges for electricity consumption and the


telephone charges along with its rental shall be paid and borne by the
Licensee separately. The Municipal taxes and other charges of the
said premises shall be borne exclusively by the licensors.

19. The original agreement for the present leave and license shall be
with the licensor and the copy of the same shall be with the Licensee.

20. All the costs and expense such as stamp duty, registration fees
and other miscellaneous expenses are agreed to be borne by both the
parties equally.

21. It is specifically agreed between the parties that the Courts at Pune
shall have jurisdiction in case of any dispute amongst the parties.

SCHEDULE OF THE PROPERTY

All that piece and parcel of the office admeasuring about 1000 sq. fts

situated at SR.NO.294/3/B, PUNE MARBLE SOC.POLT NO.3/4,

BAVDHAN PUNE, within registration District Pune, Sub district Taluka

Haveli and within the local limits of Pune Municipal Corporation.

IN WITNESS WHEREOF the parties hereto have signed this Agreement
on the day, date and year mentioned hereinabove.
