Terms & Conditions
MEMBERSHIP FEES: The membership fees must be paid monthly in advance on the first day of each month. In respect of any broken period a pro-rata adjustment shall be made. Unless
specifically stated otherwise, a set-up fee of $105 per location will be payable on all new package and reactivation of suspended accounts. The introductory offer as published on the website,
or any other offer is for new companies to Servcorp.
BILLING & SECURITY DEPOSIT: Credit card or direct debit billing is a requirement of membership. The Member irrevocably authorizes Servcorp to deduct all amounts charged to the
Member by Servcorp on such credit card / direct debit account at any time during any billing period. Payment by credit card will attract an administration fee at the rates stipulated by
Servcorp’s Merchant. Servcorp reserves the right to require a security deposit and agrees to notify the Member of such a requirement in advance. Should a security deposit be required,
refund of security deposit shall be made on request to the Member 60 days after the termination of the Agreement. The security deposit shall not be deemed as advance payment however
Servcorp is entitled to deduct from the security deposit any monies owed to Servcorp for services provided. Such deduction shall not be deemed to waive any breach by the Member of this
Agreement. If the Member fails to demand the refund of the security deposit within 365 days after the date of termination of this Agreement, the security deposit shall be deemed forfeited to
Servcorp absolutely. Servcorp shall have the right to pursue the Member for monies owed under this agreement, including but not limited to forwarding the Member’s contact information to
legal advisors, collection agencies and credit reporting bodies, which may result in listing a default against the Member and/or Guarantor where applicable.
COSTS: The Member will be responsible for Servcorp’s reasonable costs in recovering any monies owed under this Service Agreement.
TERMINATION: The member is committed to pay rental for the membership type selected on this agreement for duration of the twelve month agreement. At the end of the twelve month
term, agreements will roll over to a month to month term and rental will be equal to the current market as determined by Servcorp. Notice to terminate must be received in writing at any time
to terminate this agreement on the last calendar day to the following month. Receipt of the termination or downgrade notification date must be confirmed in writing by Servcorp. Once this has
been completed, an administration/disconnection fee of $105 will be applied to the Member’s account for administration and technical work associated with termination or downgrade. The
disconnection fee does not apply to The Membership. Servcorp reserves the right to terminate this agreement immediately in the event that its team members are being harassed by the
Member or persons attempting to contact the Member. Should Servcorp have reason to suspect immoral, unethical, illegal or fraudulent business practice it reserves the right to immediately
terminate this agreement and all services being provided and to notify the appropriate authorities without notice.
SERVICES: The services provided by Servcorp may vary at Servcorp’s absolute discretion during the term of membership and shall be provided during Servcorp’s normal business hours.
Services charged include, but are not limited to: telephone calls, excessive incoming calls, secretarial services, photocopying and printing, facsimiles, postage and courier services, sundries
(including stationery), conference room and private office rental, refreshments, email and Internet. The Member acknowledges that Servcorp owns all telephone numbers and IP addresses
allocated for use by the Member. Servcorp retains the right not to accept any excessively large, unreasonable or unlawful packages. All service prices are available via Servcorp Home. All
services are to be paid seven days after date of invoice. During the term of membership, should the level of service not meet the Member’s expectations, the Member should contact
customerservice@servcorp.net and Servcorp will respond within two working days.
INCLUSIONS: Each Premium Virtual Office Package Member receives four days per calendar month (non-cumulative and only in daily blocks) complimentary access to a private office at
your home location. Each Premium Virtual Office Package Member and Virtual Office Package Member receives three days per calendar month (non-cumulative and only in daily blocks)
complimentary access to a private office in cities where the Member does not hold a membership. All bookings are subject to availability and consecutive days are generally not available.
Members with multiple packages will be capped at three days complimentary private office access per month outside your home locations for Premium Virtual Office Members and Virtual
Office Members. Office access (referred to as “Day Suite” access) can be booked via Servcorp Home. A secretarial booking fee applies for any resource when bookings are made via a team
member. Should an office not be available for the time required, the Member should contact the Servcorp team to confirm if an additional office can be made available. Where this is possible,
the team will set up the office for the Member. This office will be equipped with broadband internet and Cisco IP phone connections (call charges & internet charges do apply for usage). A
fee of $52 a day will apply for this additional set up. Secure Wi-Fi access is complimentary in private offices/day suites and Coworking lounges.
CANCELLATION POLICY: Cancellation of resources and facilities within 24 hours incurs a 100% charge and cancellation within 48 hours incurs a 50% charge. Complimentary private offices
booked in advance and not utilised may be charged full price for the duration of the booking at Servcorp’s discretion. In the event that a particular facility that has been booked by the Member
becomes unavailable, Servcorp reserves the right to provide the Member with at least 24 hours’ notice to move the existing booking to a room type of equal or greater value.
COWORKING SPACE ACCESS: Depending on their package, Members may utilise the complimentary Coworking space at any Servcorp location worldwide. Access to the Coworking space
is available during Servcorp’s normal business hours. Premium Virtual Office Package Members and Virtual Office Package Members receive three hours complimentary access per day,
and Address Package members receive one hour complimentary access per day, all non-cumulative and subject to availability. Communications Package Members are not entitled to any
complimentary Coworking space access. Additional hours are available on a pay per use basis. The Membership includes 2 vouchers per month which equals one day per month hot desk
space, non-accumulative. Additional days is on a pay-as-you-use basis in daily blocks – price can be viewed on Servcorp Home.
INCREASES: The Member shall pay during the term of this agreement all charges for services rendered at the rates stipulated and documented by Servcorp at its absolute discretion. The
Member agrees that Servcorp reserves the right to change the charges for such services upon giving one month written notice of such change, and such new charges shall apply from the
date of expiration of notice. The monthly membership fee shall automatically increase by a minimum of 10% after six paid month membership and at each anniversary of the paid membership
commencement date thereafter, unless a 12 months fixed agreement is in place. In case of a 12 month fixed agreement, a membership increase of a minimum 10% will occur at each 12
month anniversary of the paid membership commencement date.
SERVCORP COMMUNITY: Included with each package is a basic listing of the Member’s company name and contact details on Servcorp Community (https://home.servcorp.com) after one
month. Use of Servcorp Community is subject to the terms of use on the website.
CALL TRANSFER OPTIONS: Servcorp will be in contact with Premium Virtual Office Package, Virtual Office Package and Communication Package Members to confirm up to three contacts
to whom calls can be transferred; additional contacts will incur an additional monthly charge. Call charges will apply to all transferred calls. The Member should check the setup of the
telephone number and transfer options and notify the Virtual Office Manager of any changes. In the case of Unified Messaging email message delivery, the Member is responsible for browser
and ISP security settings which enable or prevent delivery of voicemail packets. Changes to the communications services must be notified by the Member in writing providing one month
notice.
VOICEMAIL MESSAGE NOTIFICATION: The voicemail system will automatically notify Premium Virtual Office, Virtual Office Package and Communication Package Members as each new
message is received (only call charges apply).
CALL VOLUME: Premium Virtual Office Package, Virtual Office Package and Communication Package Members receive 15 incoming calls per day included in the service. Charges apply
for higher incoming call volume.
INDEMNITY CLAUSE: Servcorp shall be expressly indemnified by the Member against any loss and/or damage which is caused by corruption of data or any loss of information from
hardware, software, mechanical, Internet damage or any errors by Servcorp Team Members. The Member guarantees not to use any Servcorp service for immoral or illegal purposes.
INVOICE: Detailed invoices are only available online at Servcorp Home. Credit card and direct debit processing of invoices shall occur on the first business day of each month. Declined
credit cards will incur a service fee of $47, and insufficient funds from direct debit payments or dishonoured cheques will incur a service fee of $40. Should payment not be receipted by the
20th of any month for any reason, Servcorp, at its absolute discretion, may request a security deposit, and/or suspend or terminate all services. Any monies owing to Servcorp for more than
20 days shall bear a fixed penalty of $80 and an administration fee at a rate of 5% on the overdue balance per month until payment. All bank fees will be paid by the Member. All payment
queries after the 21st of the month may bear an administration fee.
STAFF: If the Member, or any business of which the ownership or control is directly or indirectly associated with the Member, at any time during the term of the membership or within 12
months after termination of the membership, employs any of the staff employed or who were employed by Servcorp or any business affiliated with Servcorp during the term of the membership,
then the Member shall pay to Servcorp by way of liquidated and ascertained damages an amount equal to 30% of the new annual wage or package of the employee which the parties agree
is a genuine pre-estimate of the loss suffered by Servcorp. The applicability of liquidated and ascertained damages applies to all staff whether permanent, part-time or otherwise.
GUARANTOR: In consideration of Servcorp entering into this Agreement with the Member, the Guarantor, for himself or herself and each of their executors and administrators, unconditionally
agrees that they and each of them will be with the Member jointly and severally liable to Servcorp for the payment of the membership fee and all other monies payable by the Member and
also for the due performance of all the terms and conditions on the part of the Member contained or implied in this document.
DRESS CODE: When utilising Servcorp locations businesslike dress standard applies at all times.
SERVCORP LOYALTY PROGRAM: Each month, Members will accumulate loyalty points equal to 20% of their Servcorp Virtual Office expenditure. The credit amount can be redeemed in
the form of a Serviced Office Upgrade or a Coworking Upgrade. A Serviced Office Upgrade allows the Member to use loyalty points towards the office rental costs of a Servcorp office of any
size, any price, at any Servcorp location internationally. Minimum term is one month. A Coworking Upgrade allows the Member to use loyalty points for a maximum of six months’ free
membership cost of a private or shared flexible office at any Servcorp location internationally. Minimum membership term is one month. Servcorp loyalty points will expire 5 years after the
date accrued. A copy of the full terms and conditions of the Servcorp Loyalty Program can be viewed at Servcorp Home.
MEMBERSHIP: Any additional companies or business names, whether registered under the same company or not for which the Member uses Servcorp services of any kind must be advised
to Servcorp in advance. An additional charge per month equivalent to the Address Package membership will apply per company name additional to the name stated on the Servcorp
Agreement. The membership will automatically be upgraded should the Member utilise a service not included in the package.
ADDRESS USAGE & MAIL FORWARDING: The Member and/or company mentioned in this agreement agrees that only Servcorp has the right to handle mail forwarding/redirecting from
the contracted address and no other third parties including the post office can perform this on behalf of the Member. This clause will be valid both during and indefinitely after termination of
this agreement. Should the Servcorp address continued to be displayed on any material relating to the company after the termination date, Servcorp reserves the right to charge the price of
the Address Package per month until the address is changed or removed. Servcorp reserves the right to claim for damages if any attempt is made to breach this condition.
REFERRAL REWARDS: If the Member refers a friend or associate to Servcorp and that person becomes a new Member at any Servcorp location, the referring Member will be eligible for
a referral reward. For every successful referral for a Servcorp Virtual Office®, the referring Member will receive one month free membership at the existing Virtual Office location. For every
successful referral for a Servcorp Serviced Office, the referring Member will receive commission worth 10% of the rental on the initial agreement term upon commencement of the new client’s
office rental.
TAXES: All prices quoted are exclusive of any government taxes where applicable and allowable by law.
100 POINTS OF IDENTIFICATION: It is a requirement of the Communications Package and of the Meetings Package to provide photo identification and of the Virtual Office Package and of
the Address Package to provide acceptable 100 point identification documentation (“the Documentation”). If Servcorp does not receive the Documentation from the Member it has the right
at its absolute discretion to terminate the membership.
