THE CONSTITUTION

2022

1. THE NAME
The name of the group shall be “COMRADES FAMILY SELF HELP GROUP”
hereinafter referred to as the “group”
2. AIM
The main aim/objective of the group shall be;
1. To create an enabling platform through which members shall make
savings
2. To enable members acquire modified credit facilities
3. To invest in various projects which generate income
4. To remain non-political forum
5. MEMBERSHIP
Any person will become a member if he/she;
1) Is an adult of the age 18years and above and who shows interest and
commitment to the group shall be eligible for membership and shall,
subject to approval by the officials, become a member on payment of
all dues as required by the group rules and regulations.
2) The group attracts a minimum of ten (10) members and a maximum
of twenty (20) members who will all be bound by this constitution.
3) Officials of the group may refuse admission to a person after
assigning reasons for their decision.
4) Membership shall cease with effect from the date of a member’s;
i) Death
ii) Withdrawal
iii) Expulsion from the group
iv) Becoming certifiably insane
v) Being declared bankrupt in a court of law
5) Any member can be expelled from membership if the officials of the
group so recommend and if a general meeting of the group shall
resolve by two third (2/3) majority that such a member should be
expelled on the following grounds;
i) His/her conduct has adversely affected the reputation and
dignity of the group.
ii) Fails to make monthly contributions in three(3) consecutive
months and does not give a valid reason to the officials why
he/she has failed to do so,
iii) Is found with criminal case in accordance with laws of the land
and is convicted in a court of law.
6. CONTRIBUTIONS
1) Ever member of the group shall make monthly contribution of
ksh.1000 only.
2) There shall be a collectively contributions and the amount will not be
less than ksh.700 and not above ksh.1000 in the following cases;
a) A demise of a member of the group through death
b) If a member of the group through death looses one of his closest
family member declared with proof of documents to be;
i) His/her father
ii) His/her mother
iii) His/her wife/husband
iv) His/her biological child, son or daughter and in this case not
adopted child
C) Any other contributions not limited to a certain amount
that can be prescribed by the officials.
5. NOMINEES/DEPENDANTS/NEXT OF KIN
Every member shall nominate in writing and support of
documents his/her nominee/dependant/next of kin to
whom on his/her death deposits shall be vested.
1) In the event of death of a member, the group through
the officials after satisfying itself and after obtaining
such documentary proof of the death of a member as it
may consider necessary;
a) Shall pay to the nominee/dependant/next of kin the
value of the deceased member’s deposits
b) Shall and may conduct a meeting with the
nominee/dependant/next of kin and with voluntarily
without persuade of any extent the
nominee/dependant/next of kin may decide to
continue with the group or cease to continue and all
the deposits and profit generated of the deceased
shall be given to him/her.
7. OFFICIALS
1) The officials of the group shall include;
a) The chairperson
b) The secretary general
c) The secretary
d) The executive officer
e) The project manager
f) The deputy project manager
2) The officials shall be elected at annual general meeting to be held
each year after which the chairperson’s office shall give a satisfactory
report on the following;
a) Audit report of the year
b) Membership status
c) Projects and investments status as at the time
8. DUTIES OF THE OFFICIALS
1) THE CHAIRPERSON
He/she is the leader of the group and shall perform the following
duties;
a) Shall unless prevented by illness or other sufficient cause or factor
preside over all the meetings of the committee and all general
meetings of the group, virtual or physical
b) Oversee all the projects and investments made by the group
c) Counter check on audit reports at any given time
d) Make communications or give the directions on matters of the
group
e) Solve any dispute or conflict that may arise with the help of other
officials
f) Inspects, visits and review all reports from the project office
2) THE SECRETARY GENERAL
He/she is the overall spokesperson of the group and responsible for;
a) Act in the absence of the chairperson
b) Advise the chairperson accordingly
c) Schedule all events, meetings and functions with the advice of the
chairperson
3) THE SECRETARY
He/she is responsible in the following
a) Shall work as an independent office
b) Shall keep all records and documents of the group
c) Shall writes minutes of every meeting, virtual or physical
d) Shall brief the members on the minutes discussed and agreed
after the meeting on various platforms
4) THE EXECUTIVE
The office shall work independently and he/she will be in-charge of;
a) Monitor all payments made by members
b) Keep the records of all income made from the projects and
investments of the group
c) Inspect and receive all financial reports from the project office
5) PROJECT MANAGER
He/she is the head of the project office and shall perform the
following
a) Oversees all the projects and investments of the group
b) Keep audit reports of the investments only
c) Gives the direction and guidelines on the projects and
investments to make
d) Inspects and counter check all the projects on daily basis
e) Able to give an audit report on projects and investments of the
group in a meeting when required to do so
6) DEPUTY PROJECT MANAGER
He/she will be answerable to the project manager and shall be
responsible for;
a) Taking post in the absence of the project manager
b) Counter check and inspect the projects and investments of the
group when requested by the project manager or even the
chairperson of the group
9. FUNDS
1) All funds of the group shall be kept at the bank account
2) The funds of the group shall be derived from;
a) Monthly contributions of members
b) Fines and penalty imposed to members for various reasons
c) Income generated from the projects and investments
d) Any other sources as may be included in audit records
3) Funds of the group may only be used under this grounds;
a) Facilitate projects and investments
b) Assist any member of the group in-case of a financial needs
c) In the case of the death of a member or a family member of
this group;
i) A certain amount of money shall be withdrawn from the
group’s account but not exceeding ksh.30000 to assist
facilitate burial expenses in the case of death of a
member of the group
ii) A certain amount will be withdrawn from the account
and approved by officials and not exceeding 15000 to
facilitate burial expenses in the case of death of a family
member of this group
d) Funds can be withdrawn with the approval of officials to
facilitate any function, meeting or event as may be prescribed
and such matter agreed among all members
10. MEETINGS
There shall be two (2) types of meetings;
1) Special meeting;
a) Shall be held after every 2 months to address the progress of the
group and audit report from the executive and the meeting may
be virtual or physical
b) May be held at any time with the communication of the
chairperson approved by other officials to address any arising
matter or in emergency cases, the meeting can be virtual or
physical and should be communicated by the chairperson 2 days
before the day of the meeting
2) General meeting;
Shall be held annually and will be in any date of the last two (2)
months of the year and address the following;
a) Confirmation of the minutes of the previous meetings of the
whole year
b) Consideration of all accounts of the whole year
c) Election of the officials
d) Any other business among the members present
e) Official handing over of the constitution and accounts records to
the elected chairperson and the secretary of the group
respectively
11. PENALTIES
A member may be fined on the following grounds;
1) If he/she fails to attend the meeting without a reasonable apology
and such an apology not to attend meeting should reach to the
chairperson or any other official one hour before the start of the
meeting, such member is liable to a fine of ksh.300
2) If he/she fails to clear the loan borrowed in required time, such
member is liable to a fine as stipulated in the rules and regulations of
the group
3) If the code of conduct of any member is adversely and believed to
be breached in accordance with the rules and regulations of the
group, such member is liable to a fine not exceeding ksh.2000 or
suspension from the group activities for a period not exceeding 2
months or both
4) Any other penalty which may be deemed fit by members of the
group may be awarded to any member in any case that may arise .

12. AMENDMENTS
1) Amendments of this constitution shall be approved by a two third
(2/3) of the majority of members present at the meeting
2) The chairperson of the group shall be the custodian of this
constitution
13. DISSOLUTION OF THE GROUP
The group shall not dissolve except by a resolution passed at the general
meeting of the members by a vote of two third (2/3) of the members
present.
14. DECLARATION
We, the founders of “COMRADES FAMILY SELF HELP GROUP” hereby
adopt this constitution and shall lead, guide and protect us on our daily
activities that will take place for the purpose of this group. We therefore
accept to keep, respect and obey all articles stipulated under this
constitution.
