This is with reference to the discussion you had with us recently. We are pleased to offer
you the position of Service Desk Analyst with Wipro Philippines Inc. (“Company”) under
the following terms and conditions:
1. Job Description
1.1 As Service Desk Analyst, your duties and responsibilities are detailed in the job
description attached as Annexure 1.
1.2 The Company reserves the right to assign or transfer you to any affiliate or subsidiary
of the Company in position or process be it Tech, Semi-Tech or Non-Tech, and to revise
the foregoing job description accordingly. In such case you will be governed by the terms
and conditions of service applicable to the new assignment. The Company shall be
responsible for providing you the relevant training and support in such instances.
2.1 Your initial place of work will be at Manila in the Philippines. However, your services
are transferable, and may be assigned, after reasonable notice, to any location in the
Philippines or abroad, where the Company or its affiliates conducts business. The duties to
be performed by you hereunder shall be performed in such locations as are reasonably
necessary or appropriate to carry out your duties hereunder, subject to reasonable travel
requirements on behalf of the Company from time to time.
2.3 Your Appointment is subject to your being certified medically fit by a practitioner
recommended by the Company, receipt of satisfactory background check, and your
submission of the required documents (attached Joining Document Submission Form). As
some of the required documents are relevant to the timely payment of your salary, your
failure to comply with their submission may prevent the Company from making such
payment. You understand and agree that the Company may rely on your details provided

and the consequent termination of your employment.
3.1 Annual Base Salary: As compensation for services to be rendered pursuant to this letter,
the Company shall pay you a annual base salary of 420000.
3.3 You will be entitled to an annual 13th month pay as mandated under the law, which
would be one/twelfth (1/12) of the total basic salary earned during the calendar year band
would be due in December. In case you do not complete one year till the year end, the
same would be paid on prorated basis.
3.4 You will be provided with HMO benefit as per the Company Policy, which is subject to
change.
3.5 Statutory deductions, namely, SSS, Philhealth, and PAG-IBIG contributions would be in
accordance with the laws of the country, and/or, as per Company policy.
3.6 Your compensation shall be reviewed on the basis of merit periodically as per Company
policy and will be at the sole discretion of the Company.
4. Reimbursement of Expenses
The Company will reimburse you for reasonable travel, entertainment and other business
expenses incurred in connection with the performance of your duties hereunder, in
accordance with the policy of the Company with respect thereto.
5.1 Sick Leave: You shall be entitled to 10 working days of sick leave in any calendar year
for each completed year, which will be prorated from your date of joining.
5.2 Vacation Leave: You shall be entitled to reasonable annual periods of vacation as per
Company policy (not less than an aggregate of 10 working days in any calendar year for
each completed year, to be taken by agreement with the Company) with full pay.
5.3 Accumulation and encashment of the leave will be as per Company policy.
6. Term
6.1 Your date of appointment is effective from the date of joining, which is 11 November,
2022 , unless otherwise communicated in writing by the Company. You will have a
probation period of six months from the date of your joining the Company. During this
period, your performance shall be regularly evaluated on the basis of your Key Result Areas
(KRAs), your demonstration of the required competencies (Integrity and Honesty,
Teamwork, Respect and Dignity, Customer Centricity, Fun, Innovation and Excellence,
Initiative and Self-Direction, Analytical/Problem-Solving Skills) and the Company’s values
(Intensity to Win, Act with Sensitivity, Unyielding Integrity) in the discharge of your
function, and your compliance with the Company’s rules and regulations. The standards to
be used in assessing your performance shall be agreed upon by you and your immediate
coach. Failure to meet standard requirements is a just cause for terminating your
employment.
In addition:
o As a new hire, you have to undergo and successfully complete and pass all the
training requirements defined and discussed with you at the start of the training
program or at appropriate times as determined by the Company throughout the
duration of the training program related to Induction, Pre-process and Process or
Client-specific Training (CST).
o These training programs aim at developing and evaluating specific qualifications
and skill set necessary for you to become successful in performing your work after
training. They are designed as a ladderized training program that focuses on
developing and measuring skills, aptitude/knowledge, and behaviors relevant and
important to your job.
o As such, there are specific and defined performance factors or parameters and
passing marks that you must achieve as a condition for continuance of training and
employment.
6.2 In the event that you become a regular employee, your services may be terminated
without any liability on the part of the Company for just or authorized causes pursuant to
the Labor Code of the Philippines and the Company rules and regulations.
6.3 In case you wish to terminate the employment with the Company, you shall be required
to serve 30 calendar days prior notice. The Company may, at its discretion relieve you
from such date as it may deem fit even prior to the expiry of the notice period given by
you. However, if the management desires you to continue the employment during the
notice period, you shall be obligated to do so.
You shall render yourself liable for liquidated damages equivalent to your one (1) month’s
pay in the event of your failure or refusal to continue in employment during the notice
period and your agreement herein shall serve as authorization for the Company to set off
any such accountability you will incur against any final pay and/or severance benefits due
in your favor without prejudice to your liability for any deficiency in case your final pay
and/or severance benefits are less than a month’s pay.
6.4 In the event of gross misconduct or fundamental breach of duties or obligations, the
Company may terminate the contract of employment for cause, as provided by the
applicable laws.
6.5 In the event of termination of your employment with the Company, whether voluntary
or otherwise, you agree to inform the Company and to promptly deliver, without need for
a request, all documents and data pertaining to your employment and the Company’s
Confidential Information, whether prepared by you or otherwise coming into your
possession. You undertake not to retain any written or other tangible material
containing any information concerning or disclosing other Confidential Information of
the Company. You also agree that you will continue to comply with your obligations under
Clause 8 hereof, protect the value of the Company’s Confidential Information and prevent
the misappropriation or disclosure thereof after separation/ termination. Upon your
termination or separation from the Company, you likewise agree not to disclose or use to
your benefit or to the benefit of any third party, or to the detriment of the Company, any
Confidential Information acquired in the course of your employment with the Company.
6.7 This offer of appointment is subject to your successful verification of all educational
curricular requirements as laid down by the university/institution for award of the
degree/diploma and the requirements, including aggregate, specified by Wipro for your
role.
7. Retirement
You shall be entitled to retirement benefits in accordance with existing law. The
compulsory retirement age under law is 65 (sixty-five) years.
8. Confidentiality
8.1 During the course of its business, the Company is required to keep confidential, the
information about its Customers and itself and for that purpose, to ensure the same from
each employee assigned to perform services for the Company/ its Customers and each
employee, who obtains or is in a position to obtain any information or materials.
8.2 During the normal course of business, it may be imperative to record / monitor all work
related transactions made by you in order to assess quality, as applicable. This clause by no
means would impede upon your working ability / capacity and should be taken in light of
Company procedures and policies.
8.3 You shall therefore regard and preserve as confidential all information related to the
business and activities of the Company as well as its Customers, their clients, suppliers and
other entities with whom they do business, which may be obtained by them from any
source or may be developed as a result of any of the said agreements with the Company’s
Customers. You shall hold such information in trust and confidence for them and not
disclose any such information to any person, firm or enterprise, or use any such
information for your own benefit or the benefit of any other party, unless authorized by
the Company.
8.4 You shall not directly or indirectly, engage in or assist others to engage in, any activity
or conduct that violates the provisions of this Clause.
8.5 You acknowledge that the information, observations and data concerning the Company
and/or the Customers provided to you, is and shall continue to be the property of the
Company and/or its Customers’, as the case may be and that you shall not be entitled to
any right or license in relation to the said information, nor shall you copy, reproduce,
8.6 You are not a party to or aware of any agreement, obligation or restriction that
prevents or prohibits you from complying with these obligations and you agree to take any
other steps reasonably required and/or appropriate to ensure compliance with the
obligations set forth herein.
8.7 You understand that if you threaten to or actually breach or fail to observe any of the
obligations set forth in this Clause, Company will be subject to irreparable harm, which will
not be adequately satisfied by damages and you therefore agree that the Company shall
be entitled to injunctive relief and/or any other remedies permitted, to ensure and enforce
your compliance with these obligations in the unlikely event you do not comply with them;
provided, however, that no specification herein of any particular legal or equitable remedy
shall be construed as a waiver, prohibition or limitation of any legal or equitable remedies
available to the Company.
8.8 You shall deliver to the Company upon cessation or termination of your employment,
or at any other time the Company may request, all memoranda, notes, plans, records,
reports, computer tapes and software and other documents and data (and copies thereof)
relating to the said, or the business of the Company or any affiliate or its Customers, which
you shall then possess or have under your control.
8.9 You agree that, notwithstanding the cessation or termination of your Employment, the
confirmations and undertakings under this Clause shall always continue in full force and
effect.
9.1 You will not engage in any external activities of a commercial nature.
9.2 You will not engage in any activity of a non commercial nature without prior written
approval of the Company.
9.3 You will be required to effectively carry out all duties and responsibilities assigned to
you by your supervisor and others authorized by the Company to assign such duties and
responsibilities.
9.4 You will be required to apply and maintain the highest standards of personal conduct
and integrity and comply with all Company policies and procedures.
9.5 You agree that you shall not directly or indirectly, share, discuss your compensation
details, in full or part, with any person in or outside the organization other than those
authorized to do so.
9.7 Any matter or situation or incident that may arise that could potentially result, or has
resulted, in any violation of the Policies or the terms of your employment, you shall
immediately bring to the notice of your Business Unit Head or any other person
responsible for the management of the Company.
9.8
a. You agree that all worldwide rights, title and interest in any and all advances, computer
programs, concepts, compositions, data, databases, designs, discoveries, domain names,
drawings, formulae, ideas, improvements, integrated circuit typographies, inventions,
know-how, mask works, sketches, software, practices, processes, research materials, trade
secrets, work methods, patents, trade-marks, copyright works and any other intellectual
property (whether registerable or not) produced, made, composed, written, performed, or
designed by you, either alone or jointly with others, in the course of your employment with
the Company and in any way relating to the business of the Company (the “Intellectual
Property”), are vested in (and all such future rights will vest in) and be the exclusive
property of the Company.
b. You agree that both during the term of this Agreement and following the termination of
employment with the Company, you will fully and promptly disclose to the Company,
complete details of any Intellectual Property right arising in connection with your
employment, with the intention that the Company shall have full knowledge and
ownership of the working and practical applications of such right.
c. At the expense of the Company, you shall co-operate in executing all necessary deeds
and documents and shall co-operate in all other such acts and things as the Company may
reasonably require transferring, vesting and assigning such Intellectual Property rights in
the name of the Company.
d. You voluntarily and unconditionally waive any and all existing and future Moral and
Economic Rights in relation to any and all works you will make in the course of your
employment with the Company ("Works").
e. You agree that the Company shall have the sole and exclusive ownership of and right of
control over any and all business, customers, and goodwill created or developed by you in
the course of your employment with the Company, including without limitation all
information, records, and documents concerning business and customer accounts and all

any statement or representation made by the Company or any Group Company or anyone
acting on their behalf.
g. Computer and email address to be used only for work; software not provided by
Company not to be installed; Company reserves access to files of employees and emails.
9.9 You agree that during your employment and for a period of one year from the
cessation of your employment with Wipro (irrespective of the circumstances of, or the
reasons for, the cessation) not to solicit, induce or encourage:
9.10 In the course of employment you would be handling sensitive information and you
acknowledge and recognize that Confidential Information available to you, if leaked, would
cause irreparable harm to the Company and its protection is of utmost importance to the
Company. For a period of six (6) months after separation you will not accept any offer of
employment from a customer with whom you have interacted or worked in a professional
capacity representing the Company, with the customer during the six (6) months preceding
the date of separation, at the locations where you have interacted with customer.
9.11 Data Protection: For the purposes of the , you give your consent to the holding,
processing and accessing of personal data provided by you to the Company and the
Group for all purposes relating to the performance of your duties under this Contract
including but not limited to:
10.1 Language: This appointment letter was originally drafted in the English language. If
it is translated into any language other than English, the provisions of the original English
language version shall control in the case of any asserted conflict in terms.
10.3 If any of the provisions of this Agreement are declared or found to be void or
unenforceable the remaining provisions of this Agreement shall continue in full force and
effect.
10.4 These employment terms supersede and replace any existing agreement or
understanding, if any, between Wipro and you relating to the same subject matter.
10.5 You warrant that you are not prevented by a court or by any other administrative or
judicial order from providing the services required under this agreement. In the event that
you are not a citizen of the country of posting, you should have a valid work permit to
work in the country of posting.
It is understood that your date of joining Wipro Philippines Inc, will not be later than 11
November, 2022 failing which, this offer will automatically stand revoked without any
further notice. Please sign and return the duplicate copy of this letter in token of your
acceptance of the terms described in this letter.
You are joining Wipro Philippines Inc at a very exciting time and will have an opportunity
to play a vital role in the growth of the Company. We wish you a long and mutually
beneficial relationship with us.
I have read, understood and thereby accept the terms of this letter. I understand that the
benefits and policies and procedures of the Company are subject to future updates and/or
changes, and that my employment is contingent upon the conditions set forth in this letter.
