SCHEDULE A-1 to
POVIO, INC. CONSULTING AGREEMENT

Services and Compensation
Anton Paar – BC RD Particle Characterization

1. Description of the Services and list of deliverables. These Services accepted by the Consultant shall be deemed
incorporated into and governed by the Consulting Agreement. The Services will include, but will not be limited to,
the following:
shall be performed in the field of Back-end development on the Project Anton Paar – BC RD Particle
Characterization, and further specified by email or call correspondence between Consultant and the
Company.
2. Compensation.
A. The Company will pay Consultant 45 USD gross per hour upon delivery by the Consultant and acceptance
by the Company of the deliverables stated above.
B. After the completion of each Project or individual task(s), the task(s) logged via app.povio.com and marked
as “Done tasks” under the Payouts menu shall be subject to the approval of the contact person or other
designated agent of the Company. The completed tasks must be logged by the end of the week in which
they are performed; otherwise, the Company is not obliged to consider and pay them. The payment of such
Services by the Client (Client is the legal entity for which the Company provides services) to the Company is
a prerequisite for the payment of those Services by the Company to the Consultant.
C. The Consultant will receive an email notification(s) about the tasks approved and paid by the Client
throughout the month. The payment from the Company to the Consultant for such tasks will then follow in
7 days or no later than on the 5th of the following month. In case of insolvency of the Client, lack of liquidity
o f the Client, or non-payment to the Company by the Client for certain performed Services by the
Consultant, the Company has no obligations to the Consultant - the burden of default is borne by the
Consultant. In order to help prevent adverse tax consequences to Consultant under Section 409A (as
defined below), in no event will any payment under Section 3.A. of this Schedule A be made later than the
later of (1) March 15th of the calendar year following the calendar year in which such payment was earned,
or (2) the 15th day of the third (3rd) month following the end of the Company’s fiscal year in which such
payment was earned.
D. All payments and benefits provided for under this Agreement are intended to be exempt from or otherwise
comply with the requirements of Section 409A of the Internal Revenue Code of 1986, as amended, and the
regulations and guidance thereunder (together, “Section 409A”) so that none of the severance payments
and benefits to be provided hereunder will be subject to the additional tax imposed under Section 409A,
and any ambiguities or ambiguous terms herein will be interpreted to be exempt or so comply. Each
payment and benefit payable under this Agreement is intended to constitute a separate payment for
purposes of Section 1.409A-2(b)(2) of the Treasury.
3. Time limits of provision of Services. Consultant undertakes to deliver the Services within the time limits agreed by
both parties in the List of tasks or by email. The time limits may be extended or changed at any time if agreed by
both Parties.
This Schedule A-1 is accepted and agreed upon as of 01/29/2024.
