SALE AGREEMENT
(FOR ANIMAL FEEDS PROCESSING MACHINE)

BETWEEN
ISAYA JUMA RUMANYIKA of P.O. Box _____________Dar es salaam
(hereinafter referred to as “Vendor”) who resides at Plot No: 172, NSSF, Toangoma-
Temeke, Dar es Salaam, with National ID No: 19930623-1410-0000129; which
expression shall, where the context so admits include successors and assigns in title of
one part;
AND
PABLO ELIAS CORREA GUATARASMA of P. O. Box ________________ who

resides at Ubena Zoos, Pwani Highland Estate, of a Venezwelan Nationality, with E-
Permit No: WPA/26973/22 (RPH40139572A00) (hereinafter referred to as the
“Purchaser”) where the context so admits include successors and assign in title of
one part.
WHEREAS: the Vendor is the lawful owner of an animal feeds processing Machine
with particulars; Grinding Unit with Motor: 7.5kw, Mixing Unit with Motor; 2.2kw,
and installation package (Control Box and wire” (hereinafter to be referred to as the
“Machine”).
AND WHEREAS the Vendor is desirous of selling the Machine to the Purchaser
and the Purchaser is desirous of buying the same on the terms appearing hereunder.
NOW THEREFORE it is HEREBY AGREED by and between the Vendor and the
Purchaser as follows: -
1. That in consideration of the sum of Tanzania shillings Eight Million Only
“TZS. 8,000,000/=” (hereinafter referred to as the “Purchase Price”) the
Vendor sells to the Purchaser the Machine referred to herein above.
2. That the Purchase Price shall be paid in three installments as follows;

a) The sum of Tshs. 4,000,000/= Million at the time signing of
this deed, and or agreement
b) The sum of Tshs. 2,000,000/= Million will be paid within
thirty (30) days from the date of the first payment.
c) The sum of Tshs. 2,000,000/= Million within 60 days after the

3. That upon signing of this deed the Vendor acknowledges the receipt of
Tanzania Shillings 4,000,000/= Million “TZS. 4,000,000/=”) from the
Purchaser.
4. That the Vendor guarantees that the sold machine is new and in a good
condition and that he shall deliver the Machine together with the
documents of operations to the Purchaser immediately after the payment
of the last installment. Never the less, in the event that the Purchaser
delays to pay the purchase price, the same shall attract a delay penalty of
15% for each month delayed.
5. THAT both parties agree that during the usage of the Machine by the
Purchaser within a period two Month’s before completion of the
purchase price, in case of breakdown in the functioning g of the machine,
all risks associated thereto that shall be borne by the Purchaser. IN THE
EVENT, the purchaser shall default settling and completing or paying the
agreed purchase price within a period of three months from the date of
signing of this agreement, the Purchaser shall return back the machine on
his own costs to the vendor and no refund shall thereafter be made.
6. That both parties irrevocably bind themselves to effect the completion of this
agreement and ownership from the Vendor to the Purchaser.
7. That the Vendor commits himself that the Machine is free from encumbrances
whatsoever and that all cost for transportation of the machine to the site,
installation-repair and maintenance costs and all its associated risks shall
be borne by the Purchaser. It is the sole duty of the purchaser to test the
machine in ensuring that it is functioning properly.
IN WITNESS HEREOF the parties have set their respective hands herein in the
manner and on the dates hereafter appearing.
