AGREEMENT TO SELL
THIS AGREEMENT TO SELL is executed at Zirakpur (Mohali), on this
16th day of July, 2024

BY AND BETWEEN

Mr. Rajender Kumar S/o Late Shri Krishan Lal And Mr. Sahil S/o
Late Shri Krishan Lal both residing at Flat No.33, Tower-B, Spangle
Heights, Dhakoli, Sub Tehsil Zirakpur, SAS Nagar, Mohali, Punjab.
hereinafter jointly called the SELLER (which expression shall unless
excluded by or repugnant to the context be deemed to include his
heirs, executors, successors, administrators, legal representatives and
permitted assigns) of the one part.

AND

Mr. Ajay Aggarwal Son of Sh. Sulekh Chand Aggarwal And Mrs.
Anu Aggawal Wife of Sh. Ajay Aggarwal Residings at House No.287,
Sector-12, Panchkula (Haryana-134112), hereinafter called the
PURCHASER (which expression shall unless excluded by or repugnant
to the context be deemed to include his heirs, executors, successors,
administrators, legal representatives and assigns) of the other part.

WHEREAS
1. The Seller is the absolute owner, in possession and enjoyment of,
and has all rights attached to piece and parcel of commercial
land situated at Plot No 4, Kalka Shimla Highway (Opposite to
City Court) Near Indian Bank, Zirakpur, Mohali, (Punjab-140604)
admeasuring -approximately 599.5 square yards with all the
constructions built on it and together with all fixtures and fitting,
more fully described in the Schedule (hereinafter referred to as
“Said Property”).
2. The Seller has agreed to sell and the Purchaser has agreed to
purchase in entirety the Said Property subject to a good and
marketable title being made in respect thereof and the premises
being found free from all encumbrances, liens, attachments,
charges and other claims etc. for a total consideration of
Rs.9,60,00,000/- (Rupees Nine Crore Sixty Lakh Only).
WHEREAS
It is hereby agreed by and between the parties as follows:

1. Total Consideration: The total sale price of the Said Property


has been agreed at Rs.9,60,00,000/- (Rupees Nine Crore Sixty
Lakh Only).

2. Advance Payment: The Purchaser has paid to the Seller a sum


of Rs.3,50,00,000/- (Rupees Three Crore Fifty Lakh Only) as
advance (Earnest Money) payment towards the purchase of Said
Property as under: Details of payment mentioned below:-
(i) Rs.11,00,000/-, UTR No.ICICR42024071400500767, Date:-
14-07-2024 ICICI Bank, and
(ii) Rs.33,65,000/-, vide Cheque No.000019, Date:-15-07-2024,
HDFC Bank and
E-Stamp Paper of Rs.100, Vide Certificate No.IN-PB36014290100388W

(iii) Rs.89,00,000/-, UTR No.ICICR52024071500381178, Date:-


15-07-2024 ICICI Bank and
(in the favour of Sahil)
(iv) Rs.11,00,000/-, UTR No.ICICR42024071400500760, Date:-
14-07-2024 ICICI Bank, and
(v) Rs.33,65,000/-, vide Cheque No.000018, Date:-15-07-2024,
HDFC Bank and
(vi) Rs.89,00,000/-, UTR No.ICICR52024071500382280, Date:-
15-07-2024 ICICI Bank and
(in the favour of Rajender Kumar)
(vii) Rs.79,20,000/-, Though Cash

Rs. 3,50,000/- TDS amount as deducted and to be


deposited on the aforesaid advance payment by the Seller.

The Seller hereby confirms and acknowledges the receipt of both


the payments as mentioned above.

3. Handover of Possession: The Seller shall handover the


possession of the Said Property to the Purchaser on the date of
execution of this Agreement i.e. on 15th July, 2024.

4. Interest: The Purchaser shall pay interest at the rate of 12% per
annum on the balance payment of Rs. _______________/- (Rupees
_______________________________ Only) from the date of the
execution of this Agreement till the date of payment of entire
balance.

5. As Is Where Basis: The Said Property is sold by the Seller to


Buyer on AS IS WHERE IS BASIS.

6. Providing Copies: That simultaneously with the execution of


this Agreement to Sell, the Seller shall provide to the Purchaser
copies of all title deeds and other papers and writings of
whatsoever nature relating to the Said Property in order to do
title verification of the Said Property. All the original documents
of the Said Property will be handed over by the Seller to the
Purchaser at the time of completion of Sale.

7. Timeline: That the sale shall complete (Sale Deed) on or before


April 30, 2026. The completion of the sale shall be subject to a
good marketable title being made out and the Seller makes the
premises free from all encumbrances, liens, claims and demands
whatsoever and not subject to any scheme of acquisition or
requisition. Time shall for this purpose be deemed to be the
essence of this agreement.

8. Taxes & Duties: That the Seller confirms that all the taxes,
duties, levies, charges, dues, amounts of whatsoever nature due
in respect of Said Property to all the concerned agencies and/or
all government/ statutory authorities and any other private
parties/ persons including utility bodies have been settled with
no future liabilities arising thereof confirms.

9. Purchaser’s Right and Liabilities : As the Purchaser is taking


possession of the Said Property from the date of execution of this
Agreement, therefore the Purchaser shall be liable for all day to
day expenses and all outgoings and liabilities in respect thereof
from the date of the handover of possession i.e. from 15 th Day of
July, 2024. In the same way, the Purchaser shall be entitled to
get any income, accruals and incomings from the Said Property.

10. Sellers’ Right and Liabilities: That the Seller shall be


liable for all expenses, outgoings and liabilities up to and
inclusive of the date of handover of the possession of the Said
Property. Similarly, all the income and incomings before the date
of handover of the Said Property will belong to the Seller.

11. Expenses: That the stamp duty and other expenses for
this agreement to sell and at the time of registration of the
Conveyance Deed / Sale Seed shall be borne by the Purchaser
only.

12. Purchaser Rights: That the Purchaser can get the said
land/Property transferred in his own name or in the name(s) of
his nominee(s) or any other person (s) whomsoever and the said
Sellers shall have no objection for the same.

13. Specific Performance: That if the purchaser back out


from this bargain then the advance payment made by it may be
forfeited in favour of the said Sellers, if the said Sellers backs out
from this bargain then the purchaser can get the sale deed
registered in his favour through court by depositing the balance
sale consideration in the court.

14. Seller’s Covenants: That the SELLER shall not create any
charges over the SAID PROPERTY after the execution of this
Agreement to Sell and the SELLER has no right to sell it to
anybody else after the signing of this Agreement to Sell.

15. Binding and Irrevocable: That the SELLER and Purchaser


hereby, further confirms and declares that this Agreement is
irrevocable and shall be final and binding on him/them, their
heirs, executors, administrators and assigns.

16. Arbitration & Jurisdiction: Any dispute, difference,


controversy or claim (“Dispute”) arising between the Parties out
of or in relation to or in connection with this Agreement shall be
referred to and settled by way of arbitration proceedings in
accordance with the Arbitration and Conciliation Act, 1996 or any
subsequent enactment or amendment thereto (the “Arbitration
Act”) by a sole arbitrator appointed by the Parties jointly. The
seat of the arbitration shall be at Mohali. The language of the
arbitration shall be English. The directions/award of the Sole
Arbitrator shall be final and binding on the Parties. The courts at
Dera Bassi (Mohali) will have the exclusive jurisdiction.

17. Copies: That this deed of Agreement to Sell is made in


Duplicate, Original has been kept by the Purchaser and copy by
the said Sellers for their records and ready references.

Land Measuring 6Bighe-12Biswe being 153/2640 Share measuring
0Bighe-7Biswe-13Biswasi, Total land measuring 0Bighe-12Biswe,
Situated at Village Dhakoli, Sub Tehsil Zirakpur, Distt. S.A.S. Nagar,
Mohali, (Punjab), Hadbast No.48, as per the Jamabandi thereof for the
Year 2014-2015 annexed herewith.

IN WITNESS WHEROF the SELLER and the PURCHASER hereto have set
their respective hands hereunto and to a duplicate hereof, on the day,
