AGREEMENT TO SELL
THIS AGREEMENT TO SELL is executed at Zirakpur (Mohali), on this
16th day of July, 2024
BY AND BETWEEN
Mr. Rajender Kumar S/o Late Shri Krishan Lal And Mr. Sahil S/o
Late Shri Krishan Lal both residing at Flat No.33, Tower-B, Spangle
Heights, Dhakoli, Sub Tehsil Zirakpur, SAS Nagar, Mohali, Punjab.
hereinafter jointly called the SELLER (which expression shall unless
excluded by or repugnant to the context be deemed to include his
heirs, executors, successors, administrators, legal representatives and
permitted assigns) of the one part.
AND
Mr. Ajay Aggarwal Son of Sh. Sulekh Chand Aggarwal And Mrs.
Anu Aggawal Wife of Sh. Ajay Aggarwal Residings at House No.287,
Sector-12, Panchkula (Haryana-134112), hereinafter called the
PURCHASER (which expression shall unless excluded by or repugnant
to the context be deemed to include his heirs, executors, successors,
administrators, legal representatives and assigns) of the other part.
WHEREAS
1. The Seller is the absolute owner, in possession and enjoyment of,
and has all rights attached to piece and parcel of commercial
land situated at Plot No 4, Kalka Shimla Highway (Opposite to
City Court) Near Indian Bank, Zirakpur, Mohali, (Punjab-140604)
admeasuring -approximately 599.5 square yards with all the
constructions built on it and together with all fixtures and fitting,
more fully described in the Schedule (hereinafter referred to as
“Said Property”).
2. The Seller has agreed to sell and the Purchaser has agreed to
purchase in entirety the Said Property subject to a good and
marketable title being made in respect thereof and the premises
being found free from all encumbrances, liens, attachments,
charges and other claims etc. for a total consideration of
Rs.9,60,00,000/- (Rupees Nine Crore Sixty Lakh Only).
WHEREAS
It is hereby agreed by and between the parties as follows:
4. Interest: The Purchaser shall pay interest at the rate of 12% per
annum on the balance payment of Rs. _______________/- (Rupees
_______________________________ Only) from the date of the
execution of this Agreement till the date of payment of entire
balance.
8. Taxes & Duties: That the Seller confirms that all the taxes,
duties, levies, charges, dues, amounts of whatsoever nature due
in respect of Said Property to all the concerned agencies and/or
all government/ statutory authorities and any other private
parties/ persons including utility bodies have been settled with
no future liabilities arising thereof confirms.

11. Expenses: That the stamp duty and other expenses for
this agreement to sell and at the time of registration of the
Conveyance Deed / Sale Seed shall be borne by the Purchaser
only.
12. Purchaser Rights: That the Purchaser can get the said
land/Property transferred in his own name or in the name(s) of
his nominee(s) or any other person (s) whomsoever and the said
Sellers shall have no objection for the same.
14. Seller’s Covenants: That the SELLER shall not create any
charges over the SAID PROPERTY after the execution of this
Agreement to Sell and the SELLER has no right to sell it to
anybody else after the signing of this Agreement to Sell.

Year 2014-2015 annexed herewith.
IN WITNESS WHEROF the SELLER and the PURCHASER hereto have set
their respective hands hereunto and to a duplicate hereof, on the day,
