We are pleased to offer you a position of Program Advisor with Ikan Uplevel Technologies Private Limited,
hereinafter referred as “IKAN” or “Company” or “Employer”. This offer of employment is for a regular, full-time
position at IKAN. Please note that the terms of employment detailed in this document (the “Offer Letter”) and / or
the annexures to this Offer Letter are confidential. The contents of these documents should not be disclosed to
third parties without the prior approval from IKAN.
1. Compensation
• Salary / Benefits: Your annual fixed salary including employer contribution to provident fund will be INR
10,00,000 (Rupees Ten lakh Only). A break-up of your salary is set out in Annexure - A. During the term
of your employment, you will be eligible to participate in all the employee benefits extended by the IKAN
to you as per IKAN’s Policy.
• Incentives: In addition to your fixed salary, you shall be eligible to receive incentive based on your
achievement of the sales targets as determined by IKAN in accordance with and subject to the sales
incentive plan or IKAN’s Policy as fixed and decided by IKAN from time to time. The incentive shall be
subject to any changes based on prevailing market and/or business conditions.
3. Commencement of Employment
You are required to commence your employment on the 13-Sep-2023 . This offer is not valid beyond the said date
unless the date is extended by IKAN and communicated to you in writing.

formalities. At the time of joining or earlier if requested, you are requested to submit the documents set out in
Annexure C.
a. You are able to provide evidence of your right to work and remain in India in accordance with applicable
law or that you will be issued the relevant work visa or work permits.
b. Completion by IKAN of your background checks including credit, education, and employment reference
and the verification of your personal information, each to the satisfaction of the IKAN.
c. You hereby consent to the abovementioned background screening, either by the IKAN or through a third-
party provider appointed by the IKAN and give consent to IKAN or such third-party provider to contact
any person during completion of such background checks and verifications.
7. Entire Agreement
This Offer Letter (together with the agreements and annexures referred to herein, together referred to as
“Agreement”) supersedes any prior agreements, representations or promises of any kind, whether written, oral,
express, or implied between you and IKAN with respect to the subject matters herein. This Agreement may not be
modified or amended except by a written agreement, signed by the IKAN and by you, or by an amendment to the
IKAN’s Policy as IKAN deems necessary from time to time at its sole discretion, along with being communicated
to you in writing through an appropriate medium, and this shall be binding on you and shall supersede the terms of
the Agreement to that extent.
To indicate your consent and acceptance with all the terms as stated in this Agreement, please sign wherever
indicated in this Agreement and return the same to IKAN. Once you accept this offer and join IKAN, this
Agreement will serve as your formal Appointment Letter.

Pay Components
1. Basic Salary ("Basic") is fixed at 50% of the total fixed salary. Basic is fully taxable and is relevant to fix other
salary components. Basic is disbursed monthly.
2. House Rent Allowance ("HRA") is fixed at 50% of Basic and this component is used to meet the cost of a
rented house taken by an employee for his stay. The employee is eligible to avail income tax exemption in respect
of rent paid by him for the rented accommodation in accordance with the Income Tax Act, 1961.
3. Provident Fund contribution is a 'defined contribution plan'. The contribution by the employer to the fund is
12% of the Basic or INR 1,800 (Rupees One Thousand Eight Hundred Only) as opted by the employee. A
matching contribution of an equivalent amount as the employer’s contribution would have to be made by the
employee as well. The contribution is remitted to a government recognized Provident Fund.
4. The balance of CTC after allocating any tax-exempt allowances is disbursed as "Special allowances" monthly.
This is fully taxable in the hands of the employee. In due course, where an allowance is determined to be eligible
for income tax deduction, the same will be allocated separately from the Special allowances to provide tax benefits
to the employee.
• Flexible Allowances: You are eligible to claim tax deduction in respect of expenditure incurred under the
following heads.
• Leave Travel Assistance ("LTA") – Tax deduction towards expenditure on LTA is subject to you
complying with the conditions laid under the Income Tax Act, 1961. Further, you are required to furnish
documentation in support of your claim for tax deduction under this head. The maximum amount of tax
deduction that can be availed under this head is restricted to INR 120,000.
• Professional development expenses – Expenditure incurred by you towards education, training, and other
certification courses related to your current or future role up to a sum of INR 120,000/- per annum is
eligible for tax deduction.
• Meal Card: You will be provided with meal vouchers equivalent to INR 1,100 (Rupees One Thousand
One Hundred Only) per month, if opted by you, to enable you meet the cost of lunch and beverages during
business days.
• Taxable Flexible Allowance – This component taxed at normal tax rate.

EMPLOYMENT AGREEMENT
This Employment Agreement ("Agreement") is made at Bangalore on 7-Sep-2023 by and between: Ikan Uplevel
Technologies Private Limited, a private limited company incorporated under the Companies Act, 2013, bearing
corporate identification number U74999MH2022FTC390612 and having its address at C/o, Awfis Space Solutions
Pvt. Ltd., Samrah Plaza, St. Mark’s Road, Bangalore – 560001, hereinafter referred to as the “IKAN”, or the
“Employer”) (which expressions shall, unless repugnant to the context or meaning thereof, be deemed to mean and
include its successors and permitted assigns); and Anikit Das , residing at Sadar Block, Kalidashpur, Haripur,
Baleshwar Sadar, Baleswar, Odisha, 756001 , hereinafter referred to as the “Employee” (which expression
shall, unless it be repugnant to the context or the meaning thereof be deemed to mean and include his/her heirs and
legal representatives).
IKAN and the Employee shall hereinafter collectively be referred to as the "Parties" and severally as the "Party".
Recitals:
IKAN is engaged in the business of providing technical interview preparation to help individuals up-level their
careers significantly by helping them transition into their dream jobs at top-tier companies.
IKAN desires to employ the Employee, and the Employee desires to be employed by IKAN, on the terms and
conditions set out in this Employment Agreement.
2. Employment Term
2.1. IKAN hereby employs the Employee, upon the terms and conditions set forth in this Agreement and
the IKAN Policies, with effect from 13-Sep-2023 (“Date of Employment”) and the Employee hereby
accepts the employment at IKAN.
2.2. The term of this Agreement shall be deemed to have begun from the Date of Employment and shall
continue until terminated by either Parties in accordance with Clause 6 hereof (the “Term”).
2.3. The Employee shall hold the position of Program Advisor . The Employee may perform his services

for IKAN from a location as instructed by IKAN. Alternatively, with IKAN’s written approval, the
Employee can perform his services from a location of his choosing so long as he is able to fulfil the
requirements of his position and is generally accessible by phone and email as per the business needs of
IKAN.
2.4. Notwithstanding Clause 2.3, IKAN reserves the right to require the Employee to physically attend to
his employment at IKAN’s offices.
2.5. The Employee shall have read and shall be bound by IKAN’s Policies, which may change from time to
time.
3.2. The Employee agrees and undertakes to perform his duties and responsibilities to the best of his skills
and abilities, including:
3.3.1. carrying out such roles, functions and / or responsibilities as may be directed by IKAN from time to
time; and
3.3.2. At all times, conforming to and complying with all applicable laws, the IKAN Policies and such
directions and orders as may from time to time be given by IKAN.
3.3 The Employee may also be required to make visits and travel both within India and overseas, as may be
necessary for the proper discharge of his duties and responsibilities and as directed by IKAN.
4.2. IKAN shall in no way be liable for any taxes that may arise as a result of your compensation.
Furthermore, IKAN reserves the right to deduct tax at the source from any component of your
compensation and take any such additional measures as are required to comply with the relevant federal,
state and local tax laws.

such entity conducts a business which is competitive with the business of Employer or is engaged in any
other business activity, provided, however, that nothing herein contained shall be construed as (a)
preventing the Employee from investing his personal assets in any business or businesses which do not
compete directly or indirectly with the Employer, provided such investment or investments do not require
any services on his part on the operation of the affairs of the entity in which such investment is made and in
which his participation is solely that of an investor, (b) preventing the Employee from purchasing securities
in any corporation whose securities are regularly traded, if such purchases shall not result in his owning
beneficially at any time more than 5% of the equity securities of any corporation engaged in a business
which is competitive, directly or indirectly, to that of the Employer, (c) preventing Employee from
engaging in any activities, if he receives the prior written approval of IKAN with respect to his engaging in
such activities.
5.2. The Employee hereby agrees and undertakes that during the Term, the Employee shall not, directly or
indirectly take up any partnership, employment, consultancy, agency, contract, directorship, trusteeship,
committee membership or office with any Person or entity other than the Employer, without the prior
written consent of the Employer.
5.3. The Employee hereby agrees and undertakes that during the Term and for 12 months thereafter, the
Employee shall not, and expressly covenants not to, whether directly or indirectly, through any of its
related parties, or through any Person, employ or attempt to employ, solicit or attempt to solicit, or assist
any other Person to employ or attempt to employ, or solicit or attempt to solicit, any Person (including but
not limited to the key management of IKAN) who is in the employment of IKAN, or is a consultant or
contractor of IKAN, to leave his employment, consultancy or contractorship with IKAN, terminate or
breach his employment, consultancy or contracting agreement with IKAN, or itself to, directly or
indirectly, hire or engage in any other manner, any Person who is employee, consultant or contractor of
IKAN.
5.4. It is agreed by and between the Parties that the employment with IKAN and the compensation payable
under this Agreement shall be sufficient consideration for this Clause 5.
5.5. The Employee hereby acknowledges and agrees that the limitations as to time and the limitations of the
character or nature placed in this clause 5 are reasonable and fair and will not preclude the Employee from
earning a livelihood, nor will they unreasonably impose limitations on the Employee’s ability to earn a
living. In addition, the Employee agrees and acknowledges that the potential harm to IKAN of the non-
enforcement of this clause 5.4 outweighs any potential harm to the Employee by this Agreement and has
given careful consideration to the restraints imposed upon the Employee by this Agreement, and is in full
accord as to their necessity for the reasonable and proper protection of Confidential Information and
Intellectual Property of IKAN now, existing or to be developed in the future. The Employee expressly
acknowledges and agrees that each restraint imposed by this Agreement is reasonable with respect to
subject matter, time period and geographical area.
5.6. IKAN may, at its sole option, relieve, wholly or in part, the Employee, from complying with the

provisions of this Clause 5.
5.7. The Employee shall not, directly, or indirectly, or in any communications with the media, or with any
employee, consultant, contractor, customer, client, dealer, distributor or supplier (in each case, whether
existing or potential) of IKAN or of any of their respective Affiliates:
5.7.1. criticise, ridicule or make any statement which disparages or is derogatory or tarnishes the name,
reputation or goodwill of IKAN or any Affiliates or any of their respective directors or senior officers or
their respective products or services; or
5.7.2. assert any rights or claims with respect to the Intellectual Property or with respect to any trademarks,
service marks, domain names and trade or business names currently employed or contemplated to be
employed by IKAN.
5.7.3 leak, share or circulate, directly or indirectly, information, including Confidential Information, about
IKAN obtained from internal communications within the Company through any oral or written medium,
including but not limited to, emails, internal messengers like discord, google hangout, slack, whatsapp etc.
6. Termination
6.1 The employee shall be under probation for a period of three (3) months from the date of your joining
the IKAN. During this period, the employee’s performance will be monitored closely. The employment
with the Company shall be deemed to have been confirmed upon the completion lapse of the probation
period, without any issuance of confirmation letter. During the probation period, either Party can terminate
the employment with 1 day notice period. The IKAN can also extend the probation period at its sole
discretion
6.2. Termination by either Party: Either Party may terminate this Agreement upon written notice to the
other Party. The termination would be effective after 15 days from the date of the receipt (by the other
Party) of such notice (hereinafter referred to as the “Notice Period”). Alternatively, IKAN may terminate
the Employee’s employment with immediate effect, upon giving the Employee salary in lieu of notice or
pro-rated salary for the remaining Notice Period in case the Employee has been permitted to work during
the Notice Period. In case the Employee has given a notice to terminate this Agreement, IKAN may, at its
sole discretion, permit the Employee to leave service during the Notice Period without any salary in lieu of
notice. In relation to this sub-clause, “Termination Date” means the date on which the Notice Period
expires or the date on which the Employee is asked to discontinue service, whichever is earlier.
Notwithstanding anything aforesaid, termination by the Employee shall be subject to the satisfactory
completion of all his existing duties, obligations and projects etc.
6.3. Termination by IKAN for Cause: Notwithstanding anything mentioned in sub-clause 6.1 hereof, IKAN
may terminate the Employee’s employment under this Agreement, with immediate effect by a notice in
writing (and without salary in lieu of notice), in the event of any of the following (each a “Cause”):

i. wilful misstatements, dishonest statements or acts of the Employee, with respect to IKAN; or
ii. the commission by the Employee of, or indictment of the Employee for any offence involving moral turpitude,
deceit, dishonesty or fraud (“indictment,” for these purposes, means a probable cause hearing or any other
procedure pursuant to which an initial determination of probable or reasonable cause with respect to such
offence is made.)
iii. gross negligence, misconduct, or insubordination of the Employee in connection with the performance of the
Employee’s duties to IKAN; or
v. breach by the Employee of any of the terms or conditions of this Agreement, the Employee Invention
Assignment Agreement, the IKAN Policies or the directions or orders of IKAN;
vi. going on or abetting a strike in contravention of any law for the time being in force; or misconduct as provided
under labour laws;
vii. the Employee conducting himself in a manner which is regarded by IKAN as prejudicial to its own interests;
ix. breach of integrity by the Employee, or embezzlement, or misappropriation or misuse or causing damage to
IKAN’s property;
x. irregularity in Employee’s attendance, or his/her unauthorised or unapproved absence from the place of work for
more than five (5) consecutive working days.
In this case “Termination Date” means the date of the notice, however, in case of a termination for Cause,
if in the opinion of the Board such Cause may be cured, IKAN shall grant the Employee a grace period of
fifteen (15) days to cure such Cause. IKAN may also, in its sole discretion, waive any Cause.
6.4 Termination by IKAN for non-performance: Notwithstanding anything mentioned in sub-clauses 6.2
hereof, IKAN may terminate the Employee’s employment under this Agreement, with 15 days notice in
writing or salary in lieu thereof, in the event IKAN, in its sole discretion is of the opinion that the
Employee is not performing / has not performed to the satisfaction of IKAN (“Non Performance”). In this
case “Termination Date” means the date of the notice. IKAN may also, in its sole discretion, waive any
non-performance in reaction to this clause 6.3.
6.5. Termination upon Total Permanent Disability or Death of Employee: This Agreement shall
automatically terminate upon Employee's total permanent disability, or death.
6.6. Termination due to liquidation: If the employment of the Employee is terminated by reason of the

liquidation of IKAN for the purpose of reconstruction, merger, spin-off, acquisition, amalgamation or by
reason of any reorganisation of IKAN or any other corporate action (including a transfer of establishment /
unit / undertaking) then the Employee shall have no legal or contractual claim against IKAN by reason of
the termination of the employment.
6.7. Clause 6.1 to 6.5 hereinabove mentioned shall be subject to any amendments under IKAN’s policy
from time to time at the sole discretion of the IKAN as it deems necessary.
7.2. In the event the Employee’s employment with the IKAN is terminated, Employee shall sign and
deliver to IKAN a termination and/or release certificate as provided by IKAN, without any additional
consideration or benefit.
7.3. It is further agreed and understood that until such time as all of the IKAN’s Property, Confidential
Information and Intellectual Property are returned and the termination certificate is provided as above
mentioned, IKAN shall, in addition to initiating legal proceedings for recovery (and without prejudice to
any other rights or remedies that IKAN may have under law or equity), be entitled to withhold any salary,
emoluments or other dues of the Employee then or in future payable to the Employee, and may further, at
its discretion, deduct therefrom the full value of the said property/properties calculated at its then
replacement price. The Employee recognizes and agrees that the IKAN shall be entitled to recover from the
Employee and the Employee shall be bound and liable to make good to IKAN any loss suffered by IKAN
on account of misuse of IKAN’s Property, Confidential Information and Intellectual Property by the
Employee and/or any damage occasioned to the IKAN’s Property, Confidential Information and
Intellectual Property whilst in the custody of or entrusted to the Employee.
8. IKAN’s Policies
The Employee agrees and undertakes that the Employee shall be bound by all the policies and procedures of
IKAN, as may be drafted, revised, amended and/or updated from time to time by IKAN.
9. Holidays / Leave
General Holidays will be declared at the beginning of the Calendar year and the Employee is entitled to this
benefit. You may be called upon to attend duties as and when required on holidays, as may be scheduled in
accordance with the needs of IKAN. You will be entitled to vacation and sick leave as per the IKAN’s Paid Time
Off policy.

information, which may either affect your employment with IKAN currently or in the future or may conflict with
the terms of your employment with IKAN, either directly or indirectly. If at any time during your employment,
IKAN becomes aware that you have suppressed any material or relevant information required to be disclosed by
you, IKAN reserves the right to forthwith terminate your employment without any notice and without any
obligation or liability to pay any remuneration or other dues to you irrespective of the period that you may have
been employed by IKAN. Any change in your personal information including residential address, marital status
and educational qualification should be notified to IKAN in writing within three (3) days from the start of such
change. Any notice required to be given to you shall be deemed to have been duly and properly given if delivered
to you personally or sent by post to you at your address as recorded in IKAN’s records.
11. Travel
You may be required to make visits and travel both within India and overseas, as necessary for the proper
discharge of your duties.
15. Waiver
No waiver by IKAN of any breach of this Agreement shall be a waiver of any preceding or succeeding breach. No
waiver by IKAN of any right under this Agreement shall be construed as a waiver of any other right. IKAN shall
not be required to give notice to enforce strict adherence to all terms of this Agreement

17. Miscellaneous
17.1. Entire Agreement:
The terms of this Agreement, the Offer Letter and the Employee Invention Assignment Agreement are the
entire agreement and understanding with respect to the subject matter hereof and supersedes all prior
agreements, contracts, offers, discussions, oral understandings, verbal agreements or representations
between IKAN and the Employee including, but not limited to, any agreements, contracts, offers,
discussions or representations made during the Employee’s interview(s) or relocation negotiations, whether
written or oral. This Agreement, the Offer Letter and the Employment Invention Assignment Agreement
shall constitute the complete and exclusive statement of its terms and no extrinsic evidence whatsoever
may be introduced in any judicial, administrative, or other legal proceeding involving this Agreement. Any
subsequent change or changes in the Employee’s duties, salary or compensation will not affect the validity
or scope of this Agreement. In the event of a conflict between the terms of this Agreement and the Offer
Letter, the terms of this Agreement shall prevail.
17.2. Amendments:
No change, modification, or termination of any of the terms, provisions, or conditions of this Agreement
shall be effective unless made in writing and signed or initialled by all signatories to this Agreement. IKAN
shall be entitled to make amendments to its policy as it deems necessary from time to time at its sole
discretion and this shall be communicated to the employee in writing through an appropriate medium, and
this shall be binding on the employee and shall override the terms of this Agreement to that extent.
17.3. Survival:
Termination of this Agreement shall not affect those provisions hereof that by their nature are intended to
survive such termination.
17.4. Assignment:
Except as otherwise provided in this paragraph, this Agreement shall inure to the benefit of and be binding
upon the Parties. Neither this Agreement nor any right or interest hereunder shall be assignable by the
Employee without the IKAN’s prior written consent; provided, however, that nothing in this Section 17.4
shall preclude the Employee from designating a beneficiary to receive any benefit payable hereunder upon
his death, or the executors, administrators, or other legal representatives of the Employee or his estate from
assigning any rights hereunder to the Person(s) entitled thereunto. This agreement shall be assignable, with
prior written consent of the Employee by IKAN to a Subsidiary or Affiliate of IKAN; to any corporation,
partnership, or other entity that may be organised by IKAN, its general partners, or its officers, as a
separate business unit in connection with the business activities of IKAN or of its general partners or
officers; or to any corporation, partnership, or other entity resulting from the reorganisation, merger or
consolidation of IKAN with any other corporation, partnership, or other entity or any corporation,
partnership, or other entity to or with which all or any portion of IKAN’s business or assets may be sold,
exchanged or transferred.
17.5. Severability:
If any paragraph, sub-paragraph, or provision of this Agreement, or the application of such paragraph, sub-

paragraph, or provision, is held invalid or excessively broad by a court of competent jurisdiction, the
remainder of this Agreement, and the application of such paragraph, sub-paragraph, or provision to
Persons, or circumstances other than those with respect to which it is held invalid shall not be affected.
It is clarified that for the purpose of this clause 17.6, the Employee shall provide IKAN with any
reasonable information that may be requested for by IKAN, and in the event the Employee refuses the
provide any such information other than as may be required under applicable law) the Employee shall
provide IKAN with specific reasons for such refusal.
17.7 No Attachments:
Except as required by law, no right to receive payments under this Agreement shall be subject to
anticipation, commutation, alienation, sale, assignment, encumbrance, charge, pledge, or hypothecation, or
to execution, attachment, levy, or similar process or assignment by operation of law, and any attempt,
voluntary or involuntary, to effect any such action shall be null, void and of no effect

PART A
Definitions:
In this Agreement:
“Affiliate” means any Person, which Controls, is Controlled by, or is under the common Control as that of the
Company;
“Confidential Information” means any data or information that is proprietary to the IKAN and/or its Affiliates,
whether in tangible or intangible form, in whatever medium whether unmodified or modified by the Employee,
whenever and however disclosed, including, but not limited to: (i) any marketing strategies, plans, financial
information, or projections, operations, sales estimates, business plans and performance results relating to the past,
present or future business activities of such party, its affiliates, subsidiaries and affiliated companies; (ii) plans for
products or services, curriculums and customer or supplier names, data or lists; (iii) any scientific, technical or
engineering information, invention, idea, design, drawing, process, procedure, algorithm, formula, improvement,
technology or method; (iv) any concepts, reports, analysis, forecasts, data, know-how, works-in-progress, designs,
development tools, specifications, hardware configuration, computer software, source code, object code, flow
charts, databases, inventions, information and trade secrets; (v) Intellectual Property, (vi) any other information
that should reasonably be recognized as confidential information of IKAN; (vii) any other information marked as
‘confidential’ by IKAN; and (viii) any information generated by the Employee that contains, reflects, or is derived
from any of the foregoing. Confidential Information need not be novel, unique, patentable, copyrightable or
constitute a trade secret in order to be designated Confidential Information. Confidential Information shall also
include information of a third party that is in the possession of IKAN and / or its Affiliates and is disclosed to the
Employee under or in connection with this Agreement. The Employee acknowledges that the Confidential
Information is proprietary to IKAN, has been developed and obtained through great efforts by IKAN and that
IKAN regards all of its Confidential Information as trade secrets.
“Control” (including, with its correlative meanings, the term “under common control with”), as used means the
power, direct or indirect, to direct or cause the direction of the management and policies of such a Person whether
by contract or otherwise. In any event, and without limitation of the previous sentence, for purposes of this
Agreement any Person owning more than 50% of the voting securities of another Person shall be deemed to
control that Person;
Date of Employment” shall have the meaning assigned to it in clause 2.1 hereof;
“Intellectual Property” includes ideas, concepts, creations, discoveries, inventions, improvements, know how,
trade or business secrets, formulations; trademarks, service marks, designs, utility models, tools, devices, models,

methods, procedures, processes, systems, principles, synthesis protocol, algorithms, works of authorship,
flowcharts, drawings, books, papers, models, sketches, formulas, proprietary techniques, research projects,
copyright, designs, and other confidential and proprietary information, databases, data, documents, instruction
manuals, records, memoranda, notes, user guides, in either printed or machine-readable form, whether or not
copyrightable or patentable or protectable under any other intellectual property law, or any written or verbal
instructions or comments;
“Intellectual Property Rights” or “IPRs” include (i) all rights, title, and interest under any statute or under law
including patent rights; copyrights including moral rights; and any similar rights in respect of Intellectual Property,
anywhere in the world, whether negotiable or not; (ii) any licenses, permissions and grants in connection
therewith; (iii) applications for any of the foregoing and the right to apply for them in any part of the world; (iv)
right to obtain and hold appropriate registrations in Intellectual Property anywhere in the world; (v) all extensions
and renewals thereof; and (vi) causes of action in the past, present or future, related thereto including the rights to
damages and profits, due or accrued, arising out of past, present or future infringements or violations thereof and
the right to sue for and recover the same;
“Person” or “Persons” means and includes an individual, proprietorship, partnership, corporation, company,
unincorporated organisation or association, trust or other entity, whether incorporated or not;
internal memoranda, computer equipment (including laptop, desktop, computer accessories, software etc),
training materials, books, and all other like property, including all copies, duplications, replications, and
derivatives of such property which embody Confidential Information and Intellectual Property or any other
information concerning the Business, of the Company, whether such documents have been prepared by the
Company or any other Person,
papers, blueprints, drawings, specifications, pen drives, laptops, keys, pass cards, identification cards,
photographs, charts, graphs, notebooks, customer lists, computer disks, tapes or printouts, sound recordings and
other printed, typewritten or handwritten documents, sample products, prototypes and models or any other
property belonging to the Company and/or its Affiliates,
any residential accommodation, automobile, furniture, fixtures, fittings and furnishings, communication
equipment, and all other items, and
any tangible expression of Confidential Information, including, without limitation, photographs, plans, notes,
renderings, journals, notebooks, computer programs and samples relating thereto.
“Subsidiaries” has the meaning ascribed to it under the Companies Act, 2013.

i. Words of any gender include each other gender;
ii. Words using the singular or plural number also include the plural or singular number, respectively;
iii. The terms “hereof,” “herein,” “hereby” and derivative or similar words refer to this entire Agreement and not
to any particular clause, article or section of this Agreement;
iv. Headings and captions are used for convenience only and shall not affect the interpretation of this Agreement;
v. References to Recitals, Clauses, Sub-clauses and Schedules, Annexures, Appendixes, Appendices and Exhibits,
if any, shall be deemed to be a reference to the recitals, clauses, sub-clauses and schedules, annexures, appendixes,
appendices and exhibits, if any, of this Agreement;
vii. The words “other” and “otherwise” shall not be construed ejusdem generis with any foregoing words where a
wider construction is possible;
viii. No provision of this Agreement shall be interpreted in favor of, or against, any Party by reason of the extent
to which such Party or its counsel participated in the drafting hereof or by reason of the extent to which any such
provision is inconsistent with any prior draft hereof;
ix. Any reference to any Party being obliged to “procure” or “cause” any action shall be construed as a reference
to that Party being obliged to exercise all rights and powers available to it so as to procure or cause the relevant
action;
x. The word “including” herein shall always mean “including, without limitation”.
xi. Time is of the essence in the performance of the Parties’ respective obligations; if any time period specified
herein is extended, such extended time shall also be of the essence; and
xii. The Schedules, Annexures, Appendixes, Appendices and Exhibits, if any, to this Agreement form an integral
part of this Agreement.

In consideration of, and as a condition of my employment with IKAN, I, Anikit Das , hereby represent to, and
agree with IKAN as follows:
2. Proprietary Information. I understand that my employment by IKAN creates a relationship of confidence and
trust with respect to any information of a confidential or secret nature that will be disclosed to me by IKAN that
relates to the business of IKAN or to the business of any parent, subsidiary, affiliate, customer or supplier of
IKAN or any other party with whom IKAN agrees to hold information of such party in confidence ("Proprietary
Information"). Such Proprietary Information includes but is not limited to Inventions, Intellectual Property,
Confidential Information and any other information and materials concerning the IKAN’s business, operations or
plans.
3. Confidentiality Obligations. I understand and acknowledge that I will acquire Confidential Information in the
course of or incidental to my employment with IKAN, and that the ability of IKAN to continue in business could
be seriously jeopardized if such Confidential Information were to be used by me or by other persons or firms to
compete with IKAN. Accordingly, I agree that I shall not, directly or indirectly, at any time, during the term of my
employment with IKAN or at any time thereafter, and without regard to when or for what reason, if any, such
employment shall terminate, use or cause to be used any Confidential Information in connection with any activity
or business except the business of IKAN, and shall not disclose or cause to be disclosed any Confidential
Information to any individual, partnership, corporation, or other entity unless such disclosure has been specifically
authorised in writing by IKAN, or except as may be required by any applicable law or by order of a court of
competent jurisdiction, or any regulatory or governmental body. Further, I agree that I will give IKAN prompt
notice of any such order / direction of a court / regulatory or governmental body so that IKAN may seek relief by
way of a protective order or other appropriate remedy, and further will provide any assistance which IKAN may
reasonably require in order to secure such order or such remedy (with the Employee's expenses reasonably
incurred in providing such assistance to be reimbursed by IKAN).
In the event such protective order or other remedy is not obtained, I shall furnish only that portion of the
Confidential Information which is legally required by the Governmental entity or regulatory authority; and will
use reasonable efforts to obtain confidential treatment for any Confidential Information so disclosed.
I understand that IKAN at times receives information from third parties that IKAN must maintain in confidence

and use only for limited purposes (“Third Party Information"). I agree that I shall not, directly or indirectly, at any
time, during the term of my employment with IKAN or at any time thereafter, and without regard to when or for
what reason, if any, such employment shall terminate, use or disclose Third Party Information except as permitted
by the written agreement between IKAN and such third party, unless such use or disclosure has been specifically
authorised in writing by IKAN, or except as may be required by any applicable law or by order of a court of
competent jurisdiction, or any regulatory or governmental body.
Further, I agree that I will give IKAN prompt notice of any such order / direction of a court / regulatory or
governmental body so that IKAN may seek relief by way of a protective order or other appropriate remedy. In the
event such protective order or other remedy is not obtained, the Employee shall furnish only that portion of the
Third Party Information which is legally required.
For the purpose of this Clause, Confidential Information has the meaning ascribed to the term under the
Employment Agreement.
4. Disclosure of Inventions and Intellectual Property. I will promptly disclose in confidence to IKAN all
inventions, improvements, designs, original works of authorship, formulas, processes, compositions of matter,
computer software programs, databases, mask works and trade secrets ("Inventions") and Intellectual Property that
I make or conceive or first reduce to practise or create, either alone or jointly with others, during the period of my
employment, whether or not in the course of my employment, and whether or not such Inventions are patentable,
copyrightable or protectable as trade secrets. Intellectual Property has the meaning ascribed to the term under the
Employment Agreement.
Owned by IKAN. I acknowledge and agree that any copyrightable works prepared by me within the scope of my
employment are "works for hire" under the Copyright Act in India and under international copyright laws and
that IKAN will be considered the owner of such copyrightable works. I agree that all Inventions and Intellectual
property and other rights related thereto that (a) are developed using equipment, supplies, facilities or trade
secrets of IKAN, (b) result from work performed by me for IKAN, or (c) relate to IKAN’s business or current or
anticipated India and development, will be the sole and exclusive property of IKAN and are hereby irrevocably
assigned by me to IKAN.
Owned by the Employee. I have attached as Attachment 1 a complete list of all Inventions and Intellectual
Property to which I claim ownership and that I desire to remove from the operation of this Agreement, and I
acknowledge and agree that such list is complete. If no such list is attached to this Agreement, I represent that I
have no such Inventions and Intellectual Property at the time of signing this Agreement.
6. Assignment of Other Rights. In addition to the foregoing assignment of Inventions and Intellectual Property to
IKAN, I hereby irrevocably transfer and assign to IKAN all Intellectual Property Rights. Intellectual Property
Rights include (i) all rights, title, and interest under any statute or under common law including patent rights;
copyrights including moral rights; and any similar rights in respect of Intellectual Property, anywhere in the world,
whether negotiable or not; (ii) any licences, permissions and grants in connection therewith; (iii) applications for
any of the foregoing and the right to apply for them in any part of the world; (iv) right to obtain and hold

appropriate registrations in Intellectual Property and, (v) all extensions and renewals thereof (vi) Causes of action
in the past, present or future, related thereto including the rights to damages and profits, due or accrued, arising out
of past, present or future infringements or violations thereof and the right to sue for and recover the same.
7. Assistance. I agree to assist IKAN in every proper way to obtain for IKAN and enforce patents, copyrights,
mask work rights, trade secret rights and other legal protections for IKAN’s Inventions and Intellectual Property in
any and all countries. I will execute any documents that IKAN may reasonably request for use in obtaining or
enforcing such patents, copyrights, mask work rights, trade secrets and other legal protections. My obligations
under this paragraph will continue beyond the termination of my employment with IKAN, provided that IKAN
will compensate me at a reasonable rate after such termination for time or expenses actually spent by me at
IKAN’s request on such assistance, appoint the appropriate authorised representatives of IKAN as my attorney-in-
fact to execute documents on my behalf for this purpose.
8. No Breach of Prior Agreement. I represent that my performance of all the terms of this Agreement and as an
employee of IKAN does not and will not breach any agreement to keep in confidence proprietary information,
knowledge or data acquired by me in confidence or in trust prior to my employment by IKAN, and I will not
disclose to IKAN, or induce IKAN to use, any confidential or proprietary information or material belonging to any
previous employers or others. I represent and warrant that I have returned all property and confidential
information belonging to all prior employers. I have not entered into, and I agree I will not enter into, any
agreement either written or oral in conflict herewith or in conflict with my employment with the IKAN (including
but not limited to a non-competition agreement with any third party relating to the current, proposed or future
business of IKAN). I further agree to conform to the rules and regulations of IKAN.
9. Notification. I hereby authorise IKAN to notify my actual or future employers of the terms of this Agreement
and my responsibilities hereunder.
10. Publication of Material Concerning IKAN’s Business. Prior to my submitting or disclosing for possible
publication or dissemination outside IKAN any material prepared by me that incorporates information that
concerns IKAN’s business or future business, I agree to deliver a copy of such material to an officer of IKAN for
his or her review. Within twenty (20) days of such submission, IKAN agrees to notify me whether IKAN believes
such material contains any Proprietary Information, and I agree to make such deletions and revisions as are
reasonably requested by IKAN to protect its Proprietary Information. I further agree to obtain the consent of
IKAN prior to any review of such material by persons outside IKAN.
11. Name & Likeness Rights, Etc. I hereby authorise IKAN to use, reuse, and to grant others the right to use and
reuse, my name, photograph, likeness (including caricature), voice, and biographical information, and any
reproduction or simulation thereof, in any media now known or hereafter developed
(Including but not limited to film, video and digital or other electronic media), both during and after my
employment, for whatever purposes IKAN deems necessary.
12. Maintenance of Records. I hereby acknowledge and agree that my contribution to the business of IKAN as
well as any portion thereof shall be the sole property of IKAN from the date of creation thereof. During the term

of my employment and for six (6) months after termination of my employment with IKAN, I agree to maintain
adequate and current written records on the development of all Intellectual Property and to disclose promptly
upon its creation to IKAN all Intellectual Property and relevant records, which records will remain the sole
responsibility of IKAN further agree that all information and records pertaining to any idea, process, trademark,
service mark, invention, technology, computer program, original work of authorship, design, formula, discovery,
patent or copyright that I do not believe to be an Intellectual Property, but is conceived, developed, reduced to
practise by me (alone or with others) during the period of employment, shall be promptly disclosed to IKAN (such
disclosure to be received and kept in confidence).
13. Third Party Rights I hereby represent and warrant that I will not use or integrate any third party materials or
data that are not validly licensed to IKAN unless previously authorised by my reporting officer in IKAN. I
represent and warrant that I have not violated the Intellectual Property Rights of any third party, and covenant that
I shall not violate the Intellectual Property Rights of any third party in the course of my employment with IKAN.
Provided that in the event IKAN is held liable for my violation of any Intellectual Property Rights, I undertake to
indemnify IKAN and / or its Affiliate as the case may be against any and all losses, liabilities, claims, actions,
costs and expenses, including reasonable attorney’s fees and court fees resulting there from.
14. Injunctive Relief. I understand that in the event of a breach or threatened breach of this Agreement by me
IKAN may suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement.
15. Governing Law; Severability. I understand that although I may work for IKAN outside of Bangalore or India,
I understand and agree that this Agreement will be governed, interpreted and enforced in accordance with the laws
of India, without regard to or application of choice of law rules or principles. In the event that any provision of this
Agreement is found by a court, arbitrator or other tribunal to be illegal, invalid or unenforceable, then such
provision shall not be voided, but shall be enforced to the maximum extent permissible under applicable law, and
the remainder of this Agreement shall remain in full force and effect.
16. Dispute Resolution. Subject to the exceptions set forth below, I agree that any and all claims or disputes that I
have with IKAN, or any of its employees, which arise out of my employment or under the terms of my
employment, shall be resolved through final and binding arbitration, as specified herein. This shall include,
without limitation, disputes relating to this Agreement, my employment by IKAN or the termination thereof,
claims for breach of contract or breach of the covenant of good faith and fair dealing, and any claims of
discrimination or other claims, state or local law or regulation now in existence or hereinafter enacted and as
amended from time to time concerning in any way the subject of my employment with IKAN or its termination.
The only claims or disputes not covered by this paragraph are disputes related to (i) workers' compensation laws
and (ii) issues affecting the validity, infringement or enforceability of any trade secret or patent rights held or
sought by IKAN or which IKAN could otherwise seek; in both of the foregoing cases such claims or disputes shall
not be subject to arbitration and will be resolved pursuant to applicable law. Binding arbitration will be conducted
in Bangalore, India in accordance with the rules and regulations of the Indian Arbitration and Conciliation Act,
1996. If, at the time the dispute in question arose, I lived and worked outside Bangalore or India then I have the
option of requesting that the arbitration take place in the jurisdiction in which IKAN has an office that is nearest to
my home. Each party will split the cost of the arbitration, filing and hearing fees, and the cost of the arbitrator.

Each side also will bear its own attorneys' fees; that is, the arbitrator will not have authority to award attorneys'
fees unless a statutory section at issue in the dispute authorises the award of attorneys' fees to the prevailing party,
in which case the arbitrator has authority to make such award as permitted by the statute in question. I understand
and agree that the arbitration shall be instead of any trial in court and that the arbitrator's decision shall be final
and binding to the fullest extent permitted by law and enforceable by any court having jurisdiction thereof.
17. Terms of Employment. I understand that this agreement, in itself, does not constitute a contract of
employment or obligate IKAN to employ me for any stated period of time beyond the time as provided for in my
Employment/Appointment Letter. Unless IKAN and I have entered into another written document that expressly
supersedes this Section 17, this is the complete agreement between IKAN and me on this term of my employment.
This Agreement shall be effective as of the first day of my employment by IKAN.
This Agreement can only be modified by a written agreement executed by a duly authorised officer of IKAN, or
by an amendment to the IKAN’s policy as IKAN deems necessary from time to time at its sole discretion, along
with being communicated to me in writing through an appropriate medium, and this shall be binding on me and
shall supersede the terms of the agreement to that extent. Discharge of my undertakings in this agreement shall be
an obligation of my executors, administrators, or other legal representatives or assigns. If any provision contained
in this Agreement is held to be invalid or unenforceable, the unenforceability or invalidity of such provision shall
not be held to render any other provision of this agreement unenforceable or invalid.
I HAVE READ THIS AGREEMENT CAREFULLY AND I UNDERSTAND AND ACCEPT THE
OBLIGATIONS WHICH IT IMPOSES UPON ME WITHOUT RESERVATION. NO PROMISES OR
REPRESENTATIONS HAVE BEEN MADE TO ME TO INDUCE ME TO SIGN THIS AGREEMENT. I SIGN
THIS AGREEMENT VOLUNTARILY AND FREELY.
