Sub: Award of Contract for Appointment of Agency for
providing Services of Point of Presence (PoP) for
implementation of National Pension System (NPS) in
Bharat Dynamics Limited for Superannuated and
Existing employees opted for NPS.

Ref: (i) The discussion in the meeting at BDL on 23 Aug


2024.
(ii) Your Mails dated 01 Aug 2024 and 27 Aug 2024.

We are pleased to appoint you as Agency for providing Services of Point


of Presence (PoP) for implementation of National Pension System
(NPS) in Bharat Dynamics Limited for Superannuated and Existing
Employees opted for NPS. The detailed requirement and terms and
conditions are as stated below:

1. INTRODUCTION:

1.1 Bharat Dynamics Limited (BDL), is a Miniratna Defence PSU


with -

Bhanur Unit:
Located at Bhanur, Patancheru Mandal, Medak District,
Telangana – 502305;
Vizag Unit:
Located at G-Block, APIIC-IALA, VSEZ Post,
Visakhapatnam, Andhrapradesh – 530049;
Liaison Office (New Delhi):
Located at 802 A&B, 8th Floor, Konnectus Tower-2, DMRC
Building, Bhavbhuti Marg, New Delhi – 110002.
1.2 Presently, BDL has separate Schemes for Defined Contribution
Pension in respect of Executives and Non-executives. The
Management of the Pension Scheme rests with BDL Employees
Superannuation Trust (BEST) constituted for the purpose. BDL
has engaged M/s. LIC of India as the Fund Manager to manage the
Pension Fund. The annuities are purchased from M/s.LIC of India,
M/s. SBI Life and M/s. HDFC Life i.e. the empaneled Annuity
Service Providers as per the various options exercised by the
Superannuating/Optional Retirement/VRS employee(s)/
nominee(s) of deceased employee(s). The annuities are directly
distributed by Annuity Service Providers to the
employee(s)/nominee(s) of the deceased employee(s).

1.3 National Pension System (NPS) is a Government of India (GoI)


promoted, Defined Contribution Pension Scheme, regulated by
Pension Fund Regulatory and Development Authority (PFRDA)
Under the Pension Fund Regulatory and Development Authority
Act, 2013.
1.4 BDL is in the process of implementing NPS for its employees.
Accordingly, it is proposed to introduce "National Pension System
(NPS) - Corporate Sector Model" at BDL as an ‘Option’ in

addition to the existing Defined Contribution Pension Scheme and
select the Point of Presence (PoP). However, the choice whether to
continue with existing Defined Contribution Pension Scheme or
NPS will rest with the beneficiaries. In other words, NPS Scheme
will be voluntary in nature. The strength is 2299 employees as on
31.12.2024 at various locations in India and Abroad. However, the
number of employees are subject to change every year due to new
joining / separation of employees.

1.5 The Selection of Agency for providing Services of Point of


Presence (PoP) for implementation of NPS in BDL for
Superannuated and Existing employees opted for NPS would be
for one year.
2. SCOPE OF WORK:
The scope of work for PoP for extending the services to
Superannuated and Existing employees opted for NPS covers the
following:
(a) Registration Processing:
(i) Completion of the registration process with PFRDA and
Central Record Keeping Agency (CRA) for BDL and
allotment of Corporate Registration number for BDL
under NPS. The PoP shall also facilitate changes in Trust
Deed, Deed of Variation (DoV) and approval of
Commissioner of Income Tax, etc., as and when required.
(ii) The PoP shall process applications received from BDL
Superannuated and Existing employees opted for NPS for
generation of PRAN number.

(iii) The PoP shall process request of BDL Superannuated and


Existing employees opted for NPS for merger of
Individual NPS plan to Corporate NPS Plan. This should
not attract any charges/levies. In case some accounts are
dormant / inactive, the same needs to be activated.

(b) Initial contribution processing at the time of registration:

(i) Collecting and transferring the funds after verifying the


employee’s details such as PRAN No., Name, Payment
details, etc., to the Trustee Bank for the corresponding
PRAN of the employee.
(ii) Visit to the BDL Divisions/Offices for early processing of
PRAN for Superannuated and Existing employees opted
for NPS.

(c) Regular pension contribution:


(i) After all due diligence, collecting and transferring the
Funds to the NPS Trustee Bank for the corresponding
PRAN of the subscriber.
(ii) Upload subscriber contribution details online into the
CRA system for the corresponding PRAN of the
subscriber.
(d) Transfer to Superannuation Fund to NPS:
The PoP shall facilitate movement of funds from M/s.LIC of
India to NPS in respect of Superannuated and Existing
employees who opted for NPS.

(e) Changes in Subscriber details:

The PoP shall also provide the following non-financial services


related to NPS to the employees:

(i) Processing change request for change in employee's


personal details such as address, etc.
(ii) Processing change request of Investment Scheme/ Pension
Fund Manager.

(iii) Processing of withdrawal request.
(iv) Attend request from employee for re-issue/regeneration of
I-pin, T-pin and PRAN card.
(v) Any other subscriber services prescribed by PFRDA/CRA
from time to time.

(f) Grievance handling:

(i) The PoP shall communicate with other NPS intermediaries


for resolving the grievances of the employees of BDL and
ensure prompt resolution of grievances.

(ii) The queries related to the NPS Corporate Model shall be


resolved by the PoP on call, e-mail, etc.

(iii) The PoP shall address the queries/grievances of the


employees within the deadlines prescribed by PFRDA.

(g) The PoP shall complete the work assigned within the deadlines
prescribed by PFRDA.

(h) BDL will provide the following to the PoP:

(i) Bulk data as per the format provided by PoP for


mapping of individual accounts of Superannuated and Existing
employees opted for NPS to corporate NPS account of BDL.

(ii) One time contribution data in the prescribed format


provided by PoP along with the funds for transfer to Trustee
Bank and maintenance of records by CRA.

(i) Facilitation of settlement of Funds i.e, receipt of amount by


concerned individual members on account of superannuation, etc,
as per NPS guidelines prescribed by PFRDA.

(j) In cases of such employees where disciplinary proceedings are
being contemplated/ initiated/ in progress or any penalty has been
imposed, as the case may be the PoP will administer the
admissibility / release of the benefits to such employees, as
directed by BDL, in accordance with various PFRDA guidelines.

(k) The role of the PoP would be advisory in nature in respect of


selection of PFM. BDL/ subscribers reserves its right to place the
funds with the PFM of its choice.

(l) The PoP shall conduct awareness programs/ webinars/ workshops/


training sessions on the various features of NPS to BDL
employees, in virtual mode as well as physical mode at BDL
locations, if required. Initial training need to be provided every
week till the time PRAN Account of all BDL employees who have
opted for NPS is opened.

(m) Preparation of bilingual (in Hindi and English) brochure


explaining various features of the NPS Scheme to BDL employees
and periodic updating of the brochure. Brochure is to be prepared
in PDF format and soft copy provided to BDL for circulation.
Brochure will be BDL property and BDL will be free to use it in
any manner.

(n) For prompt servicing of NPS related issues of superannuating


employees of BDL, advice for appropriate selection of annuities,
commutation of pension etc. should be provided at BDL at the end
of each month in which superannuation of employee takes places.
PoP shall facilitate employees on the selection of Annuity Service
Providers.

(o) To provide prescribed MIS reports as specified by PFRDA/CRA


from time to time.

(p) Any other work/service as prescribed by PFRDA / CRA / NPS
Trust or any other regulatory body from time to time assigned as
PoP activity.

(q) Other services – covered in the Annexure-I,

3. COMMERCIAL TERMS & CONDITIONS:

3.1 Payment Terms:

All PoP charges including GST would be borne by members


themselves i.e, BDL Superannuated and Existing employees opted
for NPS. The charges are to be directly debited from the concerned
employees' account at the awarded rate and as per the methodology
as allowed by PFRDA.

3.2 Prices:

3.2.1 PFRDA has prescribed minimum and maximum charges for PoPs.
The Price offered is as per Annexure-II.

3.2.2 The price quoted by the PoP shall remain firm and fixed until
completion of the contract. However, the rate will be subject to
downward revision by the Regulatory Authority and will be
proportionally reduced from the quoted and agreed price.

3.3 Period of the Contract:

One years from the date of commencement of the PoP Services.

3.4 Cancellation of the Contract:


BDL may at any time cancel the PoP Services.

3.5 Indemnity:

The PoP shall at all times indemnify BDL against breach in


maintaining confidentiality or failure of the PoP in adhering to the
mutually agreed Terns & Conditions.

3.6 Confidentiality:

The PoP shall maintain confidentiality of all the data/ information


provided and the same should not be furnished or disclosed to
anyone, The PoP shall ensure confidentiality of such information
even after expiration/ Termination or cancellation of the Contract
Period.

3.7 Bribes and Gifts:

Any Bribe, Commission, Gift or advantage given, promised or


offered by on behalf of the PoP or his parties, agent or servant or
any one on his or their behalf to any Officer, servant,
representative or agent of BDL or any person on his or their behalf
in relation to the obtaining or to the execution of this or any other
contract with BDL shall in addition to any criminal liability which
the PoP may incur, subject the PoP to the cancellation of this and
all other contracts with BDL and also to payment to BDL of any
loss or damage resulting from any such cancellation thereof. Any
question or dispute as to the commission of any offence under the
present clause shall be settled by BDL in such manner and on such
evidence or information as BDL may think fit and sufficient and
BDL's decision shall be final and conclusive.

3.8 Assignment or Transfer of Contract:

The PoP shall not, without prior written approval of BDL, assign
or transfer the Contract or any part thereof or any share, or interest
therein to any other person. No sum of money which may become

payable under the Contract shall be payable to any person other
than that of the PoP.

3.9 Immunity to the Government of India:

It is expressly understood and agreed by and between BDL & PoP


that BDL is entering into this contact solely on its own behalf and
not on behalf any other person or entity in particular, it is expressly
understood and agreed that Government of India is not a party to
this tender/ contract and has no liabilities, obligations or right
hereunder. It is expressly understood and agreed that PoP is an
independent legal entity with power and authority to bid/ enter into
contracts solely on its own behalf under the applicable laws of
Indian and general principles contract law PoP expressly agreed
acknowledges and understand that BDL is not an agent,
representative or delegate to the Government of India. It is further
agreed and understood that Government of India is not and shall
not be liable for any acts, omissions, commissions, breaches or
other wrongs arising out of the contract. Accordingly, PoP hereby
expressly waives releases and foregoes any and all actions,
including counterclaims, impleader claims or counter claims
against the Government of India arising out of this RFQ/ contract
and covenants as to any manner, claim cause or action or this
whatsoever arising out of or under this RFQ/ contract.
3.10 Appropriation:

Whenever any sum of money is recoverable from sum of money


payable to the PoP. BDL shall be entitled to recover such sum by
appropriating in part or whole by deducting any sum then due or
which at any time thereafter may become due to the PoP in this or
any other contract entered by BDL as a whole its Divisions and
Branch Offices etc., held by the PoP alone or in partnership with
others. Should this sum be not sufficient to cover the full amount
recoverable, the PoP shall pay to BDL on demand the remaining
balance due.

3.11 Arbitration:

All disputes or differences whatsoever arising between the parties


out of or relating to the construction, meaning and operation or
effect of this Contract or the breach thereof shall be settled by
arbitration in accordance with the rules of arbitration under the
Indian Arbitration & Conciliation Act 1996 and the award made in
pursuance thereof shall be binding on the parties The venue of
Arbitration will be Hyderabad.

Work and Payment during arbitration - Work under the


contract shall if reasonably possible continue by mutual agreement
during the arbitration proceedings and no payment due to or
payable by BDL will be withheld without reasonable cause and
merely on account of the pendency of such proceedings.
3.12 Involvement of any Agents and Middlemen:

No involvement of Agents or Middlemen in India or abroad in any


capacity what so-ever is permitted at any stage in relation with this
tender and the resultant contract. PoP's should specifically indicate
if any of their office or contact exists in India or abroad providing
the details and extent of the activities handled and provide the
details of the employees, address of the office/ location, phone and
fax numbers. Offers and all correspondence/ communications
should be addressed directly to BDL. No agency commission in
any form is payable to any Agent/ Middlemen or any third party in
India or abroad. Anything contributing to the above is noticed or
made known to BDL, BDL has the right to disqualify the offer or
cancel the contract, forfeit all payments and take actions as deemed
fit.

3.13 Parallel Contract:

BDL shall reserve the right for entering into parallel contracts with
other Firms/ PoP's for the same items/services, if it is found
necessary.
3.14 Jurisdiction and Applicable Laws:

The courts of Hyderabad only shall have jurisdiction to deal with


and decide any legal matter whatsoever arising out of the resultant
Rate Contract/ purchase order. The resultant contract shall be
governed by and subject to and interpreted and construed in
accordance with the Laws of Republic of India, which are in force
from time to time.

Please acknowledge the receipt of order. In case we have not


received the order acknowledgement within 02 days from the date
of this order then it is deemed that order has been fully accepted
and acknowledge from your end.

NPS employees and update them on latest developments/
changes w.r.t. the scheme.
8. Counseling at Retiree specific counseling on all Annuity options and exit
the time of procedure assistance for online/ offline process by HDFC
Retirement Life SPOC.
9 NPS launch Full hand holding to the Corporate for NPS
implementation which includes Calanderised NPS activity
(with teasers, Posters and brochures in local language –
Telugu/ Hindi/ English, etc) for NPS launch, designing /
customizing launch in coordination with the corporate.
10. Launch Launch campaign Providing banners, leaflets, standees etc
Campaign for all locations to increase product visibility.
