With reference to your interview with us, we are pleased to inform you that you have passed the
Various rounds of interviews, and have been selected for employment with Sopra Steria India Limited,
a part of Sopra Steria Group (“Sopra Steria” or “Company”), we are pleased to offer you in the
position of Engineer Trainee 1'B, on the terms and conditions set out in this Offer letter.
This offer is based on your profile and performance in the selection process. The validity of this offer is
subject to you accepting the terms of this letter, and your joining us on or before 05/11/2024 (DD-MM-
YYYY Format), beyond which this offer shall automatically stand withdrawn and cancelled.
1 INTRODUCTION
1.1 The terms and conditions of this Offer Letter as mentioned hereunder will be effective from the
date on which you commence employment with us 05/11/2024 (DD-MM-YYYY Format). Further
information on Company’s HR policies and procedures is available on Company’s intranet site,
which shall be deemed to be binding upon you. The Company reserves the right to vary, delete
or modify any or all of the terms and conditions of its employment policies and procedures from
time to time which shall be binding on you.
2 PROBATION
Your employment with the Company is subject to six (6) months initial probationary period which
period shall commence from the date of your joining the Company. If your performance is satisfactory
in the Company’s view during the probationary period, the Company shall confirm the appointment in
writing. You would continue to be on probation until you receive written communication confirming the
successful completion of your probationary period.

3.1 Your duties and responsibilities have been explained to you during your interview. The Role
Title may be modified or withdrawn at Company’s discretion. The Company reserves the right,
at any time during your employment, with reasonable notice, to require you to undertake any
reasonable, alternative duties which are within your capabilities.
3.2 Depending on business needs, the Company may, at its sole discretion, change your
designation or transfer you to any other team, department or offices of the Company, its
affiliates or their customers. In the event of a change that reasonably requires you to relocate
your primary residence, you will be entitled to the relocation benefits in force at that time. If on
an on-site assignment, you will be additionally governed by the rules, regulations and
conditions of service of that location.
3.3 You shall devote all of your skill, knowledge and working time to the conscientious performance
of your duties and responsibilities and you shall perform your duties with diligence and
devotion. Since this is a full-time employment with the Company, while in the employment of
the Company, you are not allowed to be employed in any other organization on a permanent,
temporary or part time basis nor shall you offer your services with or without consideration to
any physical person, legal entity or public authority or be occupied in your own business,
without the prior written consent of the Company. You will comply with all directions given to
you by the Company and faithfully observe all the rules, regulations, and arrangements
applicable to you.
4 PERFORMANCE MANAGEMENT
4.1 Your performance within the Company may be managed through 'Career Management System
(CMS) programme. It is an opportunity to gain feedback on performance as well as planning
career progression. This is done by asking employees to participate in a mid-year and annual
review meeting with informal reviews at appropriate intervals.
4.2 The Company expects its employees to demonstrate the highest standards of professional
behaviour, conduct and integrity at all times. Additionally, employees should behave in a
pleasant, co-operative and professional manner whether with the general public, customers,
business contacts or work colleagues.
4.3 You shall not engage in activities that could result in a conflict of interest with the Company
without prior approval from your manager. Any conflict of interest or potential conflict of interest
shall be disclosed to the Company.
4.4 From time to time, the Company may require you to undergo specialised training, whether
onsite or offsite, in order to enhance your skills and capabilities, or the Company may send you
abroad for a knowledge transfer assignment. Such training or assignment is also likely to
enhance your career prospects. As a result and as a condition of your employment with the
Company, the Company may require you to sign an agreement or bond and provide a
commitment to work and remain in compliance with such conditions as provided in the training
bond/agreement, failing which you shall be liable to reimburse the training expenses and pay
liquidated damages to the Company.
5.5 Your all-inclusive gross annual remuneration on a cost to the company (CTC) INR 600,000.00
(only) attached in the Annexure-1 below. This is as per the Company policies which may be
withdrawn or revised from time to time. Tax to be deducted at source by the Company.
Any contributions (including but not limited to any contributions relating to provident fund,
pension fund, employees’ state insurance, labour welfare fund, etc.) to be made by the

Company on your behalf shall be deducted from your salary. Salaries will be reviewed from
time-to-time as per the salary review guidelines of the Company.
5.2 You are entitled to claim reimbursement for out-of-pocket expenses incurred on the Company’s
business, which will always be subject to Company policy in this regard and management
approval.
5.3 You shall be entitled to certain social security and health benefits by the Company as per the
Company policy.
5.4 The details of the benefits applicable to you are available on the Company’s intranet site,
Face2Face, which can be viewed after joining.
5.5 Your compensation may be increased or decreased from time to time by the Company at its
sole discretion depending upon any business exigencies. The Company also reserves the sole
right to make any changes to your compensation structure. You understand and acknowledge
that any future increments, promotions or any other incentives shall be based on your
performance during employment and solely at the discretion of the Company.
5.6 By signing below, you hereby provide your consent to the Company to make any deductions as
deemed appropriate by the Company from your compensation.
6.1 You shall report to the Company’s offices, currently located at SSG IN - Chennai - 2/G-2
SIPCOT, 60103 CHENNAI. The Company reserves the right to change the office location or
relocate you, as may be desired by the Company from time to time.
6.2 You shall work as per the stipulated days and hours per week although the Company may
require you to work additional hours as are necessary to perform your duties and
responsibilities properly and effectively, as permitted by law.
6.3 The Company may require you from time to time, to travel to locations in India or overseas and
work out of client’s sites. The Company may also require you to engage in travel on behalf of
the Company, and to work night hours, required by the nature of the business of the Company.
You expressly agree to accept such travel and hours of work without additional compensation.
Reasonable and necessary professional expenses for travel and lodging, incurred by you, in
furtherance of Company business, shall be reimbursed to you in accordance with the standard
policies of the Company, as in effect from time to time, upon presentation of documentary
evidence that is acceptable to the Company.
6.4 Depending on business circumstances or government mandate, the Company may temporarily
or permanently require you to work from home (WFH). Any such WFH arrangement shall be at
your cost and the Company shall not be required to reimburse any such costs. During any such
WFH, you shall continue to report to the Company’s office as mentioned above and you shall
follow all Company policies.
6.5 It is agreed that you shall not engage in any other remunerative employment, whether on full-
time or part-time basis, as the director/partner/employee of any other organization or entity
engaged in any form of business activity, without the consent of the Company. The consent
may be given subject to any terms and conditions that the Company may deem fit and it may
be withdrawn at the discretion of the Company at any time without assigning any reason.
6.6 Maternity benefits will be provided to all eligible female employees as per the provisions of the
Maternity benefits act 1961, as amended or superseded by the Code on Social Security, 2020
(once made effective).

7.1 You will be governed by the Company’s leave policy as published from time to time.
7.2 You will retire from the services of the Company on attaining the age of 60 years. Date of birth
entered in your service record will be considered for the purpose of determining your date of
retirement, which cannot be altered.
8.1 As a condition of your employment with the Company, you shall be required to sign an
agreement titled Non-Disclosure, Non-Solicitation and Non-Compete and Proprietary Rights
Agreement, and any other agreements including terms but not limited to the Confidentiality,
Intellectual Property Rights, Non-compete, Non-solicit, Code of Business Ethics. Your
employment shall be governed by all the rules and regulations, as amended from time to time,
of the Company as applicable to your employment with us.
9.1 Following the successful completion of your probationary period, your employment may be
terminated at any time by either party giving to the other 2 Months advance notice in writing.
The Company may in its sole discretion decide to pay you basic salary in lieu of notice.
9.2 During your probation period, either party is entitled to terminate your employment upon giving
not less than one (1) month’s notice in writing to the other party. The Company may in its sole
discretion decide to pay you basic salary in lieu of notice.
9.3 Notwithstanding the provisions of Clause 10.1, 10.2 or anything else to the contrary, the
Company may terminate your employment with immediate effect without notice or payment of
basic salary in lieu of notice, for any of the following reasons:
9.4 The Company has a formal Disciplinary Policy with which you are required to familiarise
yourself.

9.5 Your employment with the Company shall automatically terminate upon your permanent
disability, mental or physical illness which may hamper your working efficiency and
performance.
10 GARDEN LEAVE
10.1 The Company shall be entitled to place you on ‘garden leave’ during any period of notice.
During garden leave you shall continue to be employed by the Company and shall be paid your
annual salary and other applicable benefits. The Company reserves its right during garden
leave to:
10.1.1 Cease to vest in or assign to you any powers or duties or to provide any work to
you;
10.1.2 Change your designation or duties as the Company decides appropriate;
10.1.3 Prevent you contacting or communicating with any current, former or proposed
clients, customers, employees, or vendors of the Company;
10.1.4 Exclude you from the premises of the Company; and/or
10.1.5 Announce to employees, clients, customers, vendors and other relevant persons of
the Company that you have been given notice of termination or have resigned.
You hereby acknowledge and confirm to comply with any conditions laid down by the Company
during the period of garden leave and accept that your duties of confidentiality and good faith
continue to apply, together with all of the obligations contained in this letter.
10.2 The Company may set off any amounts owing and payable by you to the Company at the date
of termination against any amount then payable to you by the Company.
10.3 If your employment with the Company is terminated by reason of the liquidation of the
Company, in case of any reconstruction, merger, spin-off, acquisition, amalgamation involving
the Company, by reason of any reorganisation of the Company or any other corporate action
(including a transfer of establishment / unit / undertaking), and if you have been offered
employment with the entity succeeding to the Company upon such event on terms no less
favourable to you (in aggregate) than the terms in effect under this Offer Letter then, you shall
have no legal or contractual claim against the Company by reason of the termination of your
employment.
10.4 You hereby agree that if the termination is found to be wrongful by an appropriate court in India,
based on a non-appealable order, the maximum liability of Company shall not exceed your
fifteen (15) days' salary and statutory benefits for every year of service in case the Company
does not re-instate you in employment.
10.5 Upon termination of your employment with the Company for any reason, the Company may
require you to sign a release and waiver of claims in favour of the Company at no additional
consideration or payment.
11.1 Unless authorised by the Company in writing you shall not sign any contract or agreement that
binds the Company or creates any obligation (financial or otherwise) upon the Company.
11.2 You shall also not enter into any commitments or dealings on behalf of the Company for which
you have no express authority nor alter or be a party to any alteration of any principle or policy
of the Company or exceed the authority or discretion vested in you without the previous
sanction of the Company.

11.3 You shall not hold yourself out as a representative, agent or spokesperson of the Company in
any media (including social media), to any journalists or to any government authorities, except
as authorised by the Company in writing.
12.1 You shall be responsible for any of your act or conduct during the course of your employment
with the Company. If any loss or damage is caused to the Company, its consultants, advisors,
employees, officers, directors or entities with which the Company has contracted, on account of
the negligence, on your part, the Company shall be entitled to seek compensation for such
damage or loss from you.
12.2 In case you fail to compensate the Company within ten (10) days of the demand so made by
the Company, the Company shall be entitled to make deductions of the said amount from your
compensation or gratuity as permissible under the applicable law from the remuneration
payable to you by the Company and/or the Company reserves the right to subject you to strict
disciplinary action including but not limited to termination of employment with the Company.
13 INDEMNITY
13.1 You shall indemnify and hold the Company harmless from and against any and all damages,
loss, injury or liability for a claim of damage, loss or injury to person or property caused by or
resulting from any of your act or omission to the Company, agents, principals or its employees
or representatives which constitutes a breach of the term of your employment or negligent
performance of your duties as expected from you while in employment of the Company.
14 NON-DISPARAGEMENT
14.1 During the term of your employment with the Company and at all times thereafter, you will not
make any false, defamatory or disparaging statements about the Company, or the employees,
officers or directors of the Company that are reasonably likely to cause damage to any such
entity or person.
15 COMPANY'S POLICIES
15.1 You hereby acknowledge and agree to abide by all the Company’s policies, rules, regulations
and practices, as enforced from time to time on matters whether specified herein or not, which
you will be able to access, upon joining, on the Intranet “Face2Face”. These policies cover
various human resources, information security and other administrative topics and procedures.
The Company reserves the right to change/amend/alter these policies at any time in its
absolute discretion.
Employees should avoid situations where their personal interests, investments, relationships or
activities, including those of their family members, are contrary to the Company's interests.
16.1 Employees should not participate in any remunerative activity (including as an officer, director,
partner, owner, consultant, or employee) whether on full-time or part-time basis that could or
appears to interfere with the performance of their or other team member's duties and
responsibilities, affect their independent and objective judgment, compete with a Company
business, or discredit the Company, without the consent of the Company.
16.2 Every employee's primary business obligation should be to Sopra Steria India.
16.3 Any revenue generation activity is not permitted. Any remuneration/award received in a
Company sponsored event must be disclosed to the Company immediately upon receipt.

Our offer of employment is conditional upon the Company conducting a background and reference
checks (directly or through third party), for which you provide your consent. If it is found that you have
furnished false or misleading information, our offer shall stand rescinded or your employment with the
Company will be liable for termination.
Employees must not use Sopra Steria India prestige or influence, directly or indirectly, for personal
gains or benefits. In this regard, an employee, while on the job or as a Company representative,
should not solicit customers to hire or contract with him/her for outside work of any kind.
Employees should promptly and fully disclose to the manager and/or Talent Management Team any
situation that could reasonably present either an actual conflict of interest or a potential conflict of
interest. Any activity that may even appear to represent a conflict of interest should be disclosed and
avoided.
The consent may be given subject to any terms and conditions that the Company may deem fit and it may
be withdrawn at the discretion of the Company at any time without assigning any reason. The Employer
has zero tolerance policy with this situation of dual employment and the company shall have the absolute
right to terminate your employment with immediate effect without providing any compensation thereof.
Incase of being found guilty of working with multiple organization/s, the employee will be blacklisted in our
records as well as the other employer will be formally intimated. Also any salary paid to the employee will
be recovered and additional penalty will have to be borne by the aforesaid.
17.1 You shall be responsible for the safe keeping and returning in good order all the Company’s
properties such as laptop, desktop, mobile phone, data card, headphone, hard disk, speakers,
documents, files, books, papers, information, memos, compact disks, data files or other
computer programs, Confidential Information or any other property and equipment in your
possession or under your control (this includes all IP and any leased properties). The Company
shall have the right to deduct the money value of such items from your salary/dues and take
such other action as it deems fit in the event of your failure to account for such properties
whether during the course of service or otherwise.
17.2 You shall also return to the Company any Letter of Authority or Power of Attorney on demand
or on termination of your employment.
18 NOTICES
18.1 All notices, consents or other communications made either by you or the Company will be in
writing or in electronic form and shall be effective and be deemed to be received:
18.1.1 Upon delivery when delivered by hand (refusal to receive any communication sought to be
delivered personally will amount to insubordination);
18.1.2 Upon delivery, if sent by courier or registered/speed post;
18.1.3 Upon delivery, if sent to the email address provided by the employee/Company.
18.2 You shall keep the Company informed about your latest postal address at all times, and
intimate in writing in case of a change in address. Any communication sent to you by the
Company on your last known address (as intimated by you) shall be deemed to have been duly
served upon you. In addition, you shall inform the Company, in writing, about any change in
your name/surname with supportive documents facilitating updation of Company’s record and
for taking up such administrative actions which may be necessary as a consequence of change
in name/surname etc.

19.1 Your employment with the Company shall be governed and construed in accordance with the
laws of India. Each party hereby irrevocably submits to the exclusive jurisdiction of the courts of
Chennai, for the adjudication of any dispute hereunder or in connection herewith.
You are also required to treat this letter and its contents as strictly confidential and do not disclose the
same to any person or entity (except to your advisors, attorneys and accountants, for seeking their
advice) without the Company’s prior written consent. Your compensation details are confidential and you
should refrain from discussing it with other employees of the Company.

joining, is enclosed as Annexure-2.
Kindly sign the duplicate copy of this Offer Letter, the Annexure-1 enclosed hereunder and return it to us
as your acceptance of the appointment and its terms and conditions.
