Article 2: SHIPMENT AND DELIVERY TERMS


2.1/ Time of Shipment : March 2025
2.2/ Port of loading : Hochiminh City Port, Vietnam
2.3/ Port of discharge : United Kingdom port
2.4/ Partial shipments : Not Allowed
2.5/ Shipping method : In dry container by ocean vessels

Article 3: PRODUCT QUALITY:


* Quality: The goods meet the specifications as the customer requirements.
* The Buyer has responsibility for all importing licenses and procedures of cargo to United Kingdom.

Article 4: PAYMENT TERM


- By TTR 20% (86,003 USD) deposit within 2 working days from signing contract date, and TTR balance
amount 344,010 USD against scanned full set of documents. The seller will make telex release on Bill of
Lading and will be sending the original documents to the buyer once the seller receives the full payment.

- Currency of payment: USD (United States Dollar)
- Bank charge outside Vietnam in Buyer account.

Article 5: SHIPPING DOCUMENTS


- The shipping documents required as follows:
+ Telex Release Bill of Lading (one copy)
+ Signed Commercial Invoice in triplicate.
+ Packing list in triplicate
+ Certificate of Origin
+ Phytosanitary Certificate

Article 6: ARBITRATION
6.1/ In the execution course of this Contract, all disputes arising out of or relation to this Contract which not
reaching at amicable agreement shall be finally settled by The Vietnam International Arbitration Center at
the Vietnam Chamber of Commerce and Industry whose awards shall be final and binding both parties.
6.2/ Arbitration fee and other related charges shall be borne by the losing party, unless otherwise agreed.

Article 7: GENERAL CONDITION


7.1/ This Contract comes into effect from the signing date to end of June 2025, any amendment and
additional clause to these conditions shall be valid if made in written form and duty confirmed by both sides.
The Contract signed by fax is valid.
7.2/ This Contract including 2 pages made in 2 copies in English and Each party keep 1 copy with equal
value.
7.3/ This Contract is subjected to Incoterms 2010.
In case of any circumstances preventing either Party from complete or partial fulfillment of the
Contractual obligations, namely: fire, natural disasters, strike, war or military operations, embargo, adopting
of legal acts of government authorities mandatory for the Parties, the date of fulfillment of the contractual
obligations shall be changed in accordance with the duration period of such circumstances.
Either Party affected by circumstances which make fulfillment of the contractual obligations impossible
shall notify the other Party of commencement and cessation of such circumstances within seven days.
Documents issued by the official letter of Authority of the country, on the territory of which the specified
force majeure circumstances of the Seller and the Buyer correspondently took place, shall be sufficient proof
of occurrence, existence, and duration of such circumstances.
The Party shall not be entitled to invoke force majeure circumstances arisen after expiration of the period
for fulfillment of the obligation hereunder as an excuse for release from fulfillment of such obligation
hereunder or from liability for late fulfillment of the obligation.
